and Consent to Sale of Property from PLC to Mansion Properties, Inc.

Dear Howard:
Enclosed please find our application for a lot line adjustment to reconfigure the boundary
between Assessor's Parcels 111-074-01 ("Holmby Place") and 111-074-02 ("Cove"). The Cove
property was recently repurchased by Chevron based on their inability to timely remediate the
soils within the time frame anticipated under the PLC purchase agreement. As part of the Cove
repurchase agreement, Chevron also has agreed to repurchase a 1.4-acre portion of the adjoining
Holmby Place property with similar remediation issues.
The lot line adjustment is requested for the purpose of creating a legal parcel for conveyance
purposes per the Subdivision Map Act. As with the Cove repurchase, we are also requesting the
City's consent to the sale of the additional 1.4-acre area in compliance with Section 4.2 of
Development Agreement No. 90-1.

PLC Land Company is applying for a Lot Line Adjustment to reconfigure the boundary between
two adjacent parcels of land, APN's 111-074-02 (Parcel 1) and 111-074-01 (Parcel 2). The
parcels are located on the east side of Gothard Street, between Promenade Parkway and Garfield
Avenue. Both properties are vacant and zoned for residential use per the Holly Seacliff Specific
Plan. Parcel 1 is zoned RMH, Residential Medium High Density. Parcel 2 is zoned RM,
Residential Medium Density, and includes a four-acre neighborhood park site.
Parcel 1 is 10.450 gross acres in size and is owned by Mansion Properties, Inc. Parcel 2
encompasses 17.785 gross acres and is owned by PLC, a California general partnership.
Through the lot line adjustment, a 1.476-acre portion of Parcel 2 along Gothard Street is to be
added to Parcel 1, as shown on the sketch enclosed with the application.
Both parcels are currently served by existing utilities. No change in use of either parcel,
installation of any improvements or public utilities, public areas, tree planting nor restrictive
covenants are proposed as a result of the lot line adjustment.
