The project site is located at 16467 and 16475 S. Pacific Avenue, at the southwest corner of Pacific Avenue and 23rdStreet in Sunset Beach. Pursuant to Section 241.24 of the Huntington Beach Zoning and Subdivision Ordinance, the Neighborhood Notification process is required. You are encouraged to review the proposed plans during business hours from June 8, 2015 to June 17, 2015 at the Planning and Building Department, 2000 Main Street, Huntington Beach, CA 92648 or contact the Planning and Building Department at (714) 536-5271. All comments must be submitted to the Planning and Building Department prior to 5:00 pm on Wednesday, June 17, 2015. Under the provisions of the Huntington Beach Zoning and Subdivision Ordinance, the action taken by the Director of Planning and Building becomes final, unless appealed. A person desiring to appeal the decision shall file a written notice of appeal with the Planning and Building Department within ten calendar days of the date of the department's action. The notice of appeal shall include the name and address of the appellant, the decision being appealed, and the basis for the appeal. A filing fee shall also accompany the notice of appeal. The appeal fee is $494.00. The appeal period starts at the end of the 10-day review period. Thefollowingtermswhen usedinthis policymean: (a) "insured": the insured name in ScheduleA, and, subject to any rights or defenses the Company would have had against the named insured,those who succeedto the interest of the named insured by operationof law as distinguishedfrom purchaseincludingbut not limitedto, heirs,distributees,devisees, survivors,personal representatives,nextof kin, or corporateor fiduciarysuccessors. The term "insured" also includes: the owner of the indebtedness secured by the insured mortgage and each successor in ownership of the indebtednessexcept a successor who is an obligor under the provisions of Section 12(c)ofthese Conditionsand Stipulations(reserving,however,all rightsand defensesas to any successorthat the Companywould have hadagainstany predecessorinsured,unlessthe successor acquired the indebtednessas a purchaser for the value without knowledge of the asserted defect, lien encumbrance,adverse claim or other matter insured against by this policy as affectingtitle to the estateor interestinthe land); any governmental agency or governmental instrumentalitywhich is an insurer or guarantor under an insurance contract or guaranty insuringor guaranteeingthe indebtednesssecured by the insuredmortgage,or any partthereof,whethernamedas an insuredhereinor not; the partiesdesignatedin Section2(a)of theseConditionsand Stipulations. (b)"insuredclaimant": an insuredclaiminglossor damage. (c) "insuredlender": The ownerof an insuredmortgage. (d) "insured mortgage": a mortgageshown in ScheduleB,the ownerof which is namedas an insured in ScheduleA. (e) "knowledge" or "known": actual knowledge, not constructive knowledge or notice which may be imputedto an insuredby reasonof the publicrecordsas definedin this policyor any other recordswhich impartconstructivenoticeof mattersaffectingthe land. . (f) "land": the land described or referredto in Schedule[A] [C], and improvementsaffixedthereto which by law constitute real property. The term "land" does not includeany property beyondthe lines of the area described or referred to in Schedule [A] [C], nor any right, title, interest, estate or easement in abuttingstreets,roads,avenues,alleys,lanes,waysor waterways,but nothinghereinshallmodifyor limit the extent to which a right of access to and from the land is insured by this policy. (g)"mortgage": mortgage,deedof trust,trust deed,or othersecurityinstrument. (h) "public records": records established under the state statutes at Date of Policy for the purpose of imparting constructive notice of matters relating to real property to purchasers for value and without knowledge. (i) "unmarketabilityof the title": an allegedor apparentmatteraffectingthe title to the land, not excluded or excepted from coverage, which would entitle a purchaser of the estate or interest described in Schedule A or the insured mortgage to be released from the obligation to purchase by virtue of a contractualconditionrequiringdeliveryof marketabletitle. 2.Continuationof Insurance. (a) After Ac uisition of Title b Insured Lender. If this policy insures the owner of the indebtedness securedby the insured mortgage, the coverage of this policy shall continue in force as of Date of Policy in favor of (i) such insured lender who acquires all or any part of the estate or interest in the land by foreclosure,trustee'ssale,conveyanceinlieuofforeclosure,orotherlegalmannerwhichdischargesthe lien of the insured mortgage; (ii) a transferee of the estate or interest so acquired from an insured Page 5 of 19 Order No: 610-1300389-60 Policy No: 5002100-0008448e Conditions & Stipulations CONDITIONSANDSTIPULATIONS corporation,providedthe transferee is the parentor wholly-ownedsubsidiaryof the insuredcorporation, andtheir corporatesuccessorsby operationof lawand notby purchase,subjectto any rightsor defenses the Company may have against any predecessor insureds; and (iii) any governmental agency or governmentalinstrumentalitywhich acquiresall or any partof the estateor interestpursuantto a contract of insuranceor guarantyinsuringor guaranteeingthe indebtednesssecuredbythe insuredmortgage. After Conve ance of Title b an Insured. The coverageofthis policyshallcontinueinforce as of Date of Policy in favor of an insured only so long as the insured retains an estate or interest in the land, or holdsan indebtednesssecuredbya purchasemoneymortgagegiven bya purchaserfromthe insured,or only so longas the insuredshall have liabilityby reasonof covenantsof warrantymade bythe insuredin anytransfer or conveyanceof the estateor interest. This policyshall notcontinueinforce in favor of any purchaserfrom an insuredof either (i) an estateor interestinthe land,or (ii) an indebtednesssecuredby a purchasemoneymortgagegivento an insured. Amount of Insurance. The amount of insuranceafter the acquisitionor after the conveyance by an insuredlendershall in neithereventexceedthe leastof: The amountof insurancestated inScheduleA; The amount of the principalof the indebtednesssecuredby the insured mortgageas of Date of Policy, interest thereon, expenses of foreclosure,amounts advancedpursuantto the insured mortgageto assure compliancewith laws or to protectthe lien of the insured mortgage prior to the time of acquisitionof the estate or interest in the land and securedthereby and reasonable amounts expended to prevent deteriorationof improvements,but reduced by the amount of all paymentsmade;or The amount paid by a governmentalagencyor governmentalinstrumentality,ifthe agencyor the instrumentality is the insured claimant, in the acquisition of the estate or interest in satisfactionof its insurancecontractor guaranty. Noticeof Claimto be Given b InsuredClaimant. An insured shall notify the Company promptly in writing (i) in case of any litigation as set forth in 4(a) below, (ii) in case knowledgeshall cometo an insuredhereunderof any claimof title or interestwhich is adverse to the title to the estate or interest or the lien of the insured mortgage,as insured, and which mightcause loss or damagefor which the Companymaybe liable by virtue of this policy,or (iii) if title to the estate or interest or the lien of the insured mortgage,as insured, is rejected as unmarketable. If promptnoticeshall not be givento the Company,then as to that insuredall liabilityof the Companyshall terminatewith regardto the matteror mattersfor which promptnoticeis required;provided,however,that failure to notifythe Companyshall in no case prejudicethe rightsof any insuredunderthis policy unless the Company shall be prejudiced by the failure and then only to the extent of the prejudice. Defense and Prosecution of Actions. Dut of Insured Claimant to Coo erate. Upon written request by an insured and subject to the options contained in Section 6 of these Conditions and Stipulations, the Company, at its own cost and without reasonable delay, shall provide for the defense of such insured in litigation in which any third party asserts a claim adverse to the title or interestas insured,but only as to those stated causesof actionalleginga defect,lien or encumbranceor other matter insured against by this policy. The Company shall have the right to select counsel of its choice (subjectto the rightof such insuredto objectfor reasonablecause)to representthe insuredas to those stated causes of action and shall not be liablefor and will not pay the fees of any other counsel. The company will not pay any fees, costs or expenses incurred by an insured in the defense of those causesof actionwhich allegemattersnot insuredagainstbythis policy. The Companyshall havethe right,at its own cost,to instituteand prosecuteany actionor proceeding or to do any other act which in itsopinionmaybe necessaryor desirableto establishthe titleto the estate or interestor the lien of the insured mortgage,as insured,or to preventor reduce loss or damageto an insured. The Company may take any appropriate action under the terms of this policy, whether or not it shall be liable hereunder,and shall not thereby concede liabilityor waive any provisionof this policy. If the Companyshall exerciseits rightsunderthis paragraph,it shalldo so diligently. In all caseswhere this policy permitsor requiresthe Companyto prosecuteor providefor the defense of any action or proceeding,an insuredsh a l l s e c u r e t o t h e C o m p a n y t h e r i g h t t o s o p r o s e c u t e o r p r o v i d e defensein the actionor proceeding,andall appealstherein,and permitthe Companyto use,at itsoption, the name of such insured for this purpose. Whenever requested by the Company,an insured, at the Company'sexpense,shall give the Companyall reasonableaid (i) in any action or proce e d i n g , s e c u r i n g evidence,obtainingwitnesses,prosecutingor defendingthe actionor proceeding,or effec t i n g s e t t l e m e n t , and (ii) in any other lawful act which in the opinion of the Company may be necessaryor desirableto establishthe title to the estate or interestor the lienof the insuredmortgage,as insured. If the Company is prejudicedbythe failure of an insuredto furnishthe requiredcooperation,the Company'sobligationsto such insured underthe policy shallterminate,includingany liabilityor obligationto defend, prosecute,or continueany litigation,with regardto the matteror mattersrequiringsuchcooperation. Proofor Lossof Dama e. In addition to and after the notices required under S e c t i o n 3 o f t h e s e C o n d i t i o n s a n d S t i p u l a t i o n s h a v e been providedthe Company,a proof of loss or dam a g e s i g n e d a n d s w o r n t o b y e a c h i n s u r e d c l a i m a n t shall be furnished to the Company within 90 days after the insured claimant shall ascertain the facts giving rise to the loss or damage. The proof of lo s s o r d a m a g e s h a l l d e s c r i b e t h e d e f e c t i n , o r l i e n o r encumbranceon the title, or other matterinsuredagainstbythis policywhich constitutesthe basisof loss or damage and shall state, to the extent possible, the basis of calculating the amount of the loss or damage. If the Company is prejudicedby the failure of an insuredclaimantto providethe requiredproof of loss or damage,the Company'sobligationsto such insured underthe policyshall terminate, including any liability or obligation to defend, prosecute, or continue any litigation, with regard to the matter or mattersrequiringsuch proofof lossor damage. In addition,an insured claimant may reasonablybe requiredto submitto examinationunderoath by any authorizedrepresentativeof the Companyand shall producefor examination,inspectionand copying,at such reasonable times and places as may be designated by any authorized representative of the Company,all records,books, ledgers,checks,correspondenceand memoranda,whether bearinga date before or after Date of Policy,which reasonablypertainto the loss or damage. Further, if requestedby any authorized representativeof the Company,the insuredclaimantshall grant its permission,in writing, for any authorized representative of the Company to examine, inspect and c o p y a l l r e c o r d s , b o o k s , ledgers, checks, correspondence and memoranda in the custody or control of a third party, which reasonably pertain to the loss or damage. All information designated as confidential by an insured claimantprovidedto the Companypursua n t t o t h i s S e c t i o n s h a l l n o t b e d i s c l o s e d t o o t h e r s u n l e s s , i n t h e reasonablejudgement of the Company, it is neces s a r y i n t h e a d m i n i s t r a t i o n o f t h e c l a i m . F a i l u r e o f a n insured claimant to submit for examinationunder oath, produceother reasonablyrequestedinformation or grant permission to secure reasonably necessary informationfrom third parties as required in this paragraph, unless prohibited by law or governmental regulation, shall terminate any liability of the Companyunderthis policyasto that insuredfor that claim. 0 tionsto Pa or OtherwiseSettleClaims.Terminationof Liabilit . Incaseof a claim underthis policy,the Companyshallhavethe followingadditionaloptions: (a)To Pa or Tender Pa mentof theAmountof Insuranceorto Purchasethe Indebtedness (i) to pay or tender paymentof the amountof insuranceunderthis policytogetherwith any costs, attorneys' fees and expe n s e s i n c u r r e d b y t h e i n s u r e d c l a i m a n t , w h i c h w e r e a u t h o r i z e d b y t h e Company,upto the time of payme n t o r t e n d e r o f p a y m e n t a n d w h i c h t h e C o m p a n y i s o b l i g a t e d t o pay;or (ii) in case loss or damageis claimed under t h i s p o l i c y b y t h e o w n e r o f t h e i n d e b t e d n e s s s e c u r e d by the insured mortgage,to purchasethe in d e b t e d n e s s s e c u r e d b y t h e i n s u r e d m o r t g a g e f o r t h e Page 7 of 19 Order No: 610-1300389-60 Policy No: 5002100-0008448e Conditions & S t i p u l a t i o n s CONDITIONSANDSTIPULATIONS amount owning thereon together with any costs, attorneys' fees and expenses incurred by the insured c l a i m a n t w h i c h w e r e a u t h o r i z e d b y t h e C o m p a n y u p t o t h e t i m e o f p u r c h a s e a n d w h i c h the C o m p a n y i s o b l i g a t e d t o p a y . If the Company offers to purchase the indebtednessas herein provided, the owner of the indebtednessshall transfer, assign,and conveythe indebtednessand the insuredmortgage,togetherwith any collateralsecurity,to the Companyuponpaymenttherefor. Uponthe exercise by the Companyof the option providedfor in paragrapha(i), all liabilityand obligationsto the insured under this policy, other than to make the paymentrequired in that paragraph,shall terminate, including any liabilityor obligationto defend,prosecute,or continueany litigation,andthe policyshall be surrenderedto the Companyfor cancellation. Upon the exercise by the Companyof the option providedfor in paragrapha(ii) the Company'sobligationto an insured Lender under this policy for the claimed loss or damage,other than the payment requiredto be made, shallterminate,includingany liabilityor obligationto defend,prosecuteor continueany litigation. (b)To Pa or OtherwiseSettlewith PartiesOtherthan t h e I n s u r e d o r W i t h t h e I n s u r e d C l a i m a n t . to payor otherwisesettlewith other partiesfor or in the nameof an insuredclaimantany claim insuredagainst underthis policy,togetherwith any costs, attorneys'fees and expensesincurred by the insured claimantwhich were authorized by the Company up to the time of paymentand which the Companyisobligatedto pay;or to pay or otherwisesettlewith the insuredclaimantthe lossor damage providedfor underthis policy, together with any costs, attorneys'fees and e x p e n s e s i n c u r r e d b y t h e i n s u r e d c l a i m a n t which were authorized by the Company up to the time of payment and which the Company is obligatedto pay. Uponthe exerciseby the Companyof eitherof the optionsprovidedfor in paragraphsb(i) or b(ii),the Company's obligationsto the insured underthis policyfor the claimed loss or damage,other than the paymentsrequiredto be made,shallterminate,includingany liabilityor obligationto defend,prosecuteor continueany litigation. 7.Determinationand Extentof Liabilit . This policy is a contractof indemnityagainstactualmonetarylossor damagesustainedor incurredbythe insured claimant who has suffered loss or damage by reason of matters insured against by this policy and only to the extent hereindescribed. (a)The liabilityof the Companyunderthis policyto an insuredlendershall notexceedthe leastof: the Amount of Insurancestated in ScheduleA, or, if applicable,the amount of insuranceas definedin Section2 (c) ofthese Conditionsand Stipula t i o n s ; the amount of the unpaid principal indebtednesssecuredby the insured mortgageas limited or provided under Section8 of these Conditionsand Stipulationsor as reduced under Section 9 of these Conditionsand Stipulations,at the timethe lossor damageinsuredagainstbythis policy occurs,togetherwith interestthereon;or the difference betweenthe value of the insuredestate or interestas insuredand the value of the insured estate or interest subjectto the defect, lien or encumbrance i n s u r e d a g a i n s t b y t h i s policy. (b) Inthe eventthe insured lenderhas acquiredthe estateor interestin the mannerdescr i b e d i n S e c t i o n 2(a) of these Conditionsand Stipulationsor hasconveyedthe title, thenthe liabilityof the Companyshall continueas set forth in Section7(a)of theseConditionsand Stipulations. (d) The Company will pay only those costs, attorneys'fees and expenses incurred in accordancewith Section4 of these Conditionsand Stipulations. 8.Limitationof Liabilit . Ifthe Companyestablishesthe title, or removesthe allegeddefect,lienor encumbrance,or curesthe lack of a right of access to or from the land, or cures the claim of unmarketabilityof title, or otherwise establishes the lien of the insured mortgage, all as insured, in a reasonably diligent manner by any method, including litigationand the completionof any appealstherefrom,it shall have fully performedits obligationswith respectto that matterandshall notbe liablefor any lossor damagecausedthereby. In the event of any litigation,includinglitigationby the Companyor with the Company'sconsent,the Companyshall have no liabilityfor lossor damageuntilthere has beena final determinationby a court of competentjurisdiction,and dispositionof all appealstherefrom,adverseto the title, or, ifapplicable,to the lienof the insuredmortgage,as insured. The Companyshall not be liablefor loss or damageto any insuredfor liabilityvoluntarilyassumedby the insuredin settlingany claimor suitwithoutthe priorwrittenconsentofthe Company. The Companyshall not be liableto an insuredlenderfor:(i) any indebtednesscreatedsubsequentto Dateof Policyexceptfor advancesmadeto protectthe lienof the insuredmortgageand securedthereby and reasonable amounts expended to prevent deteriorationof improvements; or (ii) construction loan advances made subsequentto Date of Policy,except constructionloan advances made subsequentto Date of Policy for the purposeof financing in whole or in partthe constructionof an improvementto the land which at Date of Policy were secured by the insured mortgage and which the insured was and continuedto beobligatedto advanceat and after Dateof Policy. 9.Reductionof Insurance. Reductionor Terminationof Liabilit . All payments underthis policy,exceptpaymentsmadefor costs,attorneys'fees and expenses,shall reducethe amount of insurancepro tanto. However,as to an insured lender,any paymentsmade prior to the acquisition of title to the estate or interest as provided in Section 2(a) of these Conditions and Stipulationsshall not reducepro tanto the amountof insuranceaffordedunderthis policyas to any such insured, except to the extent that the payments reducethe amount of the indebtednesssecured by the insured mortgage. Payment in part by any personof the principalofthe indebtedness,or any otherobligationsecuredby the insured mortgage, or any voluntary partial satisfaction or release of the insured mortgage, to the extent of the payment, satisfaction or release, shall reduce the amount of insurance pro tanto. The amountof insurance may thereafter be increased by accruing interest and advances made to protect the lien of the insured mortgage and secured thereby, with interestthereon, provided in no event shall the amountof insurancebe greaterthanthe Amountof Insurancestatedin ScheduleA. Payment in full by any person or the voluntary satisfactionor release of the insured mortgageshall terminate all liability of the Company to an insured lender except as provided in Section 2(a) of these Conditionsand Stipulations. 10. Liabilit Noncumulative. It is expressly understoodthat the amount of insurance under this policy shall be reduced by any amount the Company may pay under any policy insuringa mortgageto which exception is taken in ScheduleB or to which the insured has agreed, assumed, or taken subject, or which is hereafter executed by an insured and which is a chargeor lien ontheestateor interestdescribedor referredto inScheduleA, andtheamountsopaidshallbe deemeda paymentunderthis policyto the insuredowner. Paymentof Loss. No paymentshall be madewithout producingthis policyfor endorsementof the payment unlessthe policy has been lost or destroyed, in which case proof of loss or destruction shall be furnished to the satisfactionof the Company. When liability and the extent of loss or damage has been definitely fixed in accordancewith these Conditionsand Stipulations,the lossor damageshallbe payablewithin 30 daysthereafter. 12. Subro ation U on Pa ment or Settlement. The Company'sRightof Subrogation. Wheneverthe Companyshall havesettledand paida claim underthis policy,all rightof subrogationshallvest in the Companyunaffectedbyany act of the insuredclaimant. The Companyshall be subrogatedto and be entitledto all rightsand remedieswhich the insuredclaimantwould have had against any personor property in respectto the claim hadthis policy not been issued. If requestedby the Company,the insured claimant shall transfer to the Companyall rightsand remediesagainst any personor propertynecessaryin orderto perfectthis rightof subrogation. The insuredclaimantshall permitthe Companyto sue,compromiseor settle in the nameof the insuredclaimantand to usethe nameof the insuredclaimantin any transactionor litigationinvolvingthese rightsor remedies. If a paymenton account of a claim does not fully cover the loss of the insured claimant,the Companyshall be subrogated(i) as to an insuredowner,to all rightsand remediesin the proportionwhich the Company'spayment bearsto the whole amount of the loss; and (ii) as to an insured lender,to all rights and remediesof the insured claimantafterthe insuredclaimantshall haverecoveredits principal,interest,and costsof collection. If loss should result from any act of the insuredclaimant,as stated above,that act shall not void this policy, but the Company,in that event, shall be requiredto pay only that part of any losses insured against by this policy which shall exceedthe amount, if any, lostto the Companyby reasonof the impairmentby the insuredclaimant ofthe Company'srightof subrogation. The Insured'sRightsand Limitations. Notwithstandingthe foregoing, the owner of the indebtednesssecured by an insured mortgage, provided the priority of the lien of the insured mortgage or its enforceability is not affected, may release or substitute the personal liability of any debtor or guarantor, or extend or otherwise modify the terms of payment, or release a portion of the estate or interest from the lien of the insured mortgage,or release any collateral security for the indebtedness. When the permitted acts of the insured claimant occur and the insured has knowledgeof any claim of title or interest adverse to the title to the estate or interest or the priority or enforceability of the lien of an insured mortgage,as insured,the Companyshall be requiredto pay only that part of any losses insuredagainst by this policy which shall exceed the amount, if any, lost to the Company by reason of the impairment by the insured claimantofthe Company'srightof subrogation. The Company'sRightsAgainst Non-insuredObligors. The Company'sright of subrogationagainst non-insuredobligorsshall exist and shall include,without limitation, the rights of the insured to indemnities, guaranties, other policies of insurance or bonds, notwithstandingany terms or conditionscontainedinthose instrumentswhich providefor subrogationrightsby reasonofthis policy. Arbitration. Unless prohibitedby applicable law, either the Companyor the insured may demand arbitrationpursuantto the Title InsuranceArbitration Rulesof the AmericanArbitrationAssociation. Arbitrablemattersmay include,but are not limited to, any controversy or claim betweenthe Companyand the insured arising out of or relatingto this policy, any service of the Company in connectionwith its issuanceor the breach of a policy provisionor other obligation. All arbitrable matters when the Amount of Insuranceis $1,000,000or less shall be arbitrated at the option of eitherthe Companyor the insured. All arbitrablematterswhen the Amountof Insuranceis in excessof $1,000,000shall be arbitratedonly when agreedto by boththe Companyandthe insured. Arbitrationpursuantto this policy and under the Rules in effect on the date the demandfor arbitration is made or, at the option of the insured,the Rules in effect at Dateof Policyshallbe bindinguponthe parties. The award may includeattorneys' fees only ifthe lawsof the state in whichthe land is locatedpermita courtto awardattorneys'fees to a prevailing party. Judgement upon the award rendered by the Arbitrator(s)may be entered in any court havingjurisdiction thereof.
