THIS AGREEMENT, dated theme`' day of _, 1956, by
and between the HUNTINGTON BEACH COMPANY, a corporation, hereinafter called
"The Company," and the CITY OF HUNTINGTON BEACH, a municipal corporation,
hereinafter called "The City,"
WITNESSETH:
WHEREAS., The City is desirous of a right of way, for street purposes
only over that certain parcel of land situate in the County of Orange, State
of California, more particularly described as follows:
The South thirty (30) feet of Block 1012 and the North thirty
(30) feet of Block 908 of the Wesley Parke___Section of the City
of Huntington Beach, Orange County, California, as shown on
the Map recorded in Book 4, Page 17, of Miscellaneous Maps and
"Records of Orange County, California,
hereinafter referred to as said land, and
WHEREAS, The Company has granted an easement to Standard Oil Company
of California, hereinafter referred to as "Standard," for the purpose of laying
and maintaining a four (4) inch gas pipe line and a six (6) inch water pipe line
across the said land, and
WHEREAS, The Company is desirous of having these lines cased, and, in
the event it becomes necessary as a result of The City's operations to do so, ,
buried to a sufficient depth to protect the said lines., gy 'u;
N o w T h e r e f o r e, for and in consideration of the premises, ',.
The Company does hereby grant and convey unto The City a right:of way .for
street purposes only over the surface of the said land, togetherwith the.3gh
in and to the subsurface of the said land for the sole purpose of .Ourying the
above-mentioned four (4) inch and six (6) inch pipe lines in the event that such
pipe lines must be buried, subject to the covenants and conditions hereinafter
set forth:
1. The City hereby covenants and promises that it will, at its
sole cost and expense, case the said pipelines in'a manner satisfactory
to Standard.

2. The City further covenants and promises that it will, at its
sole cost and expense, bury the said pipe lines in a manner satisfactory
to Standard prior to engaging in any work whatsoever to improve the
said land.
3. The City shall protect and hold The Company harmless from and
against all loss, cost, liability, and expense of any character with
respect to any claim or demand for injury to or death of persons or for
damage to or loss of property or any expense directly or indirectly
arising out of or attributed to The City, its agents, servants, employees
or invitees.
4. The City hereby agrees that it has examined the said land, that
said land is in good condition and repair, and The City accepts said
land in its present condition.
5. The City expressly relieved The Company of any obligation to
repair said land or correct any conditions now existing or Mich may
arise during such time that The City retains the use of said land, and
The City covenants and agrees to keep said land in good condition and
repair at all times that it retains the use of said land.
