FOR A VALUABLE CONSIDERATION, receipt of which is c z
hereby acknowledged, Huntington Beach Company, a corporation,
(hereinafter called "HB Co. ") hereby GRANTS to °the City of
Huntington Beach, a municipal corporation, (hereinafter called
"City") the following described real property in the County of
Orange, State of California:
That certain land containing 11. 70 acres,
more or less, known as Lots 1 through 22,
inclusive, of Block 2002, Lots l through
63 inclusive. and Lots 8 and 10 of Block
2001, and Lots 2 through 14, inclusive,
and Lots 16, 17, 18, 20 and 22 of Block
1903, all in Tract No. 12 , as recorded
in Book 9, Page 13 of Miscellaneous Maps ,
Records of Orange County, California,
hereinafter called "said property, "
EXCEPTING AND RESERVING TO HB Co. , its successors and
assigns, all oil, gas, asphalt and asphaltum and other hydro-
carbons, and all other minerals, whether similar or dissimilar
to those herein specified, lying below five hundred (500) feet
under the surface of such real property within or that may be pro-
duced from said property, together with the exclusive right from
time to time to drill in, into and within said property below
r five hundred (500) feet under the surface of such real property
by means of a well or wells drilled from the surface of land other
than said property, and with the exclusive right to repair, re-
drill, deepen, maintain, rework and operate such well or wells
and produce said oil, gas, asphaltum and other hydrocarbons and
other minerals by means of such well or wells. Such exclusive
rights shall not be limited by the first or any subsequent exercise
thereof. Provided, however, that HB Co. shall not have the
right to use the surface of said property or five hundred (500)
feet under the surface thereof for any of the aforesaid purposes .

A special 'meeting of the Board of Directors of
Huntington Beach Company was held at ,the office of
the corporation in San Francisco, California, the
6th day of February, 1969., at 10:00 o'clock a.m.,
pursuant to call by the President and proper notice

The meeting was called to order by President
J. H. Thacher.
The minutes of the special meeting of the Board
of Directors held on December 41 1968 were read,
and on motion duly seconded, approved.
On motion duly seconded, it was unanimously
RESOLVED: That as a supplement to the 1969 HUNTINGTON
capital and 'expense budget SHORES MOTEL
approved at a special meeting of the Board of EXPANSION -
Directors on December 4., 1968, the sum of SUPPLEMENT TO
$120,000 be and hereby is approved for purposes 1969 BUDGET'
of expanding the corporation' s Huntington
Shores Motel by 18 units .
On motion duly seconded, it was unanimously SALE TO CITY
OF HUNTINGTON
RESOLVED: That the President or a BEACH FOR
r; Vice-President of this CIVIC CENTER
corporation, together with the Secretary or an
*� a Assistant Secretary of .this corporation, be and
they hereby are authorized in the name of this
corporation and as its act and deed to enter into
a sale, in settlement of pending condemnation, to
the City of Huntington Beach, upon the total
payment by. the City of not less than $360,000,

and upon such other terms and conditions including
mineral reservation rights but no surface reserva-
tions, as they may deem desirable or necessary,
,,--ofe(that certain land containing '11.70 acres, more
or less, known as Lots 1 through 22 inclusive of
Block 2002, Lots 1 through 6 inclusive and Lots 8
and 10 of Block 2001, and Lots 2 through 14
inclusive and Lots 16, 17, 18, 20 and _22 of Block
1903, all in Tract No. 12, as recorded , in Book 9,.

On motion duly seconded, it was unanimously
DIVIDEND RESOLVED: That a dividend No. of
NO. 415 Sixty-five Cents ( $.65 per share
be declared on the outstanding stock of this
corporation payable on March 10, 1969, to all
shareholders of record as shown by the transfer
books of the corporation at the close of business
February 24, 1969.
There being no further business, the meeting was
adjourned .
