GRANT OF EASEMENT

HUNTINGTON PACIFIC CORPORATION, a corporation, organized under
the laws of the State of California, and having its principal place of
business at 2110 Main Street, Huntington Beach, in said State, hereby grants
to the CITY OF HUNTINGTON BEACH, a municipal corporation, (hereinafter
called "Grantee"), its successors and assigns, 'a subterranean easement and
subterranean right of way to construct, lay, install, use, maintain, alter,
add to, repair, replace, inspect and remove, at any time and from time to
time a storm drain line, in, under and through that certain real property
in the City of Huntington Beach, County of Orange, State of California,
described below, it being understood and agreed that said subterranean
easement shall commence at and be wholly contained below a depth of nine (9)
feet below the surface of the overlying property in Parcel 1, and below
a depth of seven-tenths (7/10th) feet below the surface of the overlying
property in Parcel 2, the subsurface areal extent of each of said parcels
being described as follows:
Parcel 1: A strip of land 25.00 feet in width lying 12..50 feet on each
side, measured at right angles from the following described
centerline.
Beginning at the intersection of the centerline of 22nd Street
and the northeasterly right of way line of Pacific Coast
Highway (formerly, Ocean Avenue) as shown on a map of Huntington
Beach Seventeenth Street Section recorded in Book 4 Page 10 of
Miscellaneous Maps records of Orange County, thence southwesterly
along the southwesterly prolongation of the centerline of said
22nd Street 100.00 feet to the true point of beginning, said
point lies on the southwesterly right of way of said Pacific
Coast Highway. Thence continuing southwesterly along the
southwesterly prolongation of said centerline of 22nd Street
58.02 feet to a point, said point being the terminus of said
centerline of Parcel 1.

Parcel 2: A strip of land 25.00 feet in width lying 12.50 feet on
each side, measured at right angles from the following
described centerline.
Beginning at the terminus of said centerline of Parcel 1,
thence southwesterly along the southwesterly prolongation
of said centerline of 22nd Street 54.51 feet to a point,
said point being the terminus of said centerline of
Parcel 2.
Grantee shall not have the right to use the surface of said
property for any purposes except for its initial excavation for the install-
ation of its facilities for the aforesaid purposes, which excavation shall
be made and completed within 90 days from the date hereof. Grantee shall
make such excavation in such a manner as will cause the least injury to the
surface of the ground around such excavation and shall replace the earth so
removed by it and restore the surface of the ground to as near the same
condition as it was prior to such excavation as is possible. Grantor
specifically reserves the right to use the surface of said property in
any manner it so desires including, by way of illustration and not of
limitation, the construction in, on, over and through said property of
buildings, fences, walls or other structures or facilities as desired by
Grantor.
The Grantee, its successors and assigns, and its and their
respective contractors, agents and employees, shall have the right to cut
such roots as may endanger or interfere with said storm drain line and shall
have the right of subterranean access, from adjacent property in which it
has rights to operate, to said storm drain line and every part thereof, at
all times, for the purpose of exercising the rights herein granted.
This grant is made subject to all valid and existing licenses, leases,
grants, exceptions, reservations and conditions affecting said property.
IN WITNESS WHEREOF, said HUNTINGTON PACIFIC CORPORATION has caused
its corporate name and seal to be affixed hereto and this instrument to be
executed by its Vice President and Assistant Secretary, thereunto duly

TIFICATION
This is to certify that the interest in real property conveyed
by the deed dated August 16, 1971
from Huntington Pacific Corporation to the City
of Huntington Beach , a municipal corporation, is hereby accepted
by the undersigned officer or agent on behalf of the City Council
of the CITY OF HUNTINGTON BEACH pursuant to the authority con-
ferred by resolution of the City Council of the City of Huntington
Beach adopted on June 3, 1968, and the grantee consents to the
recordation thereof by its duly authorized officer.
