An easement for storm drain 10 purpose, as granted by Southern California Edison Company, a corporation, to the 11 City of Huntington Beach, a municipal cor- poration, recorded October 31, 1963 as 12 Instrument No . 31982, in Book 6785, page 985 of Official Records in the office of 13 the County Recorder of Orange County . 14 5 . An easement for sanitary sewer purposes, as granted by Southern California 15 Edison Company, a corporation, to Orange County Sanitation District No . 3, recorded 16 October 20, 1959 in Book 4935, page 280 of Official Records in the office of the County 17 Recorder of Orange County . 18 6 . Covenants, conditions, restrictions, reservations, exceptions, encumbrances, rights , 19 easements, and licenses affecting the above described real property, whether of record or 20 not, including, but not limited to, those herein referred to . 21 22 The foregoing grant is made subject to the following 23 terms and conditions : 24 1. The Easement is granted subject to the right of 25 Grantor, its successors and assigns, to construct, maintain, use, 26 operate, alter, add to, repair, replace, reconstruct and/or remove 27 in, on, over, under, through, along and across the above-described 28 real property, electric transmission and distribution lines and -5- ! 0692PG 420 1 telephone lines , together with supporting structures and appur- 2 tenances, for conveying electric energy for light, heat , power 3 and telephone purposes, and pipelines and appurtenances for the 4 transportation of oil, petroleum, gas, water, or other substances , 5 and conduits for any and all purposes . g 2 . The Easement shall be exercised so as not to 7 endanger or interfere with the construction, maintenance, use, 8 operation, presence, repair, replacement, relocation, reconstruc- 9 tion or removal of such electric transmission, distribution or 10 telephone lines, pipelines, or other conduits . 11 3 . Grantee agrees to pay to Grantor, upon demand, 12 any and all costs of relocation and/or construction of such 13 electric transmission, distribution and telephone lines and 14 supporting structures, pipelines , and conduits which may be or 15 become necessary by reason of the exercise of the rights granted r 16 pursuant to the Easement . 17 4 . As a controlling part of the consideration for the 18 execution and delivery of this instrument by Grantor, Grantee 19 convenants, for itself, its successors and assigns, to construct 20 and maintain the roads to be located on the above-described proper y 21 at its own expense. Grantee further agrees that if and when 22 sidewalks, curbs, and gutters are required, they will be con- 23 strutted and maintained at no cost to the Grantor . 24 5 . Grantee for itself, its successor and assigns 25 agrees to hold harmless and indemnify Grantor its successors and 28 assigns to the fullest extent to which it can legally do so, from 27 and against all claims, liens , encumbrances, actions, loss , 28 damage, expense and/or liability arising from or growing out of -6- + OOK 10692PG 421 1 loss or damage to property, including Grantor ' s own property, or 2 injury to or death of persons, including employees of Grantor, 3 resulting in any manner whatsoever, directly or indirectly, by 4 reason of the exercise of the rights hereby granted; provided, . 5 however, that this covenant shall not apply in those instances 6 where such claims , liens , encumbrances, actions, loss , damage, 7 expense and/or liability are proximately caused in whole or in 8 part by any active negligence of Grantor . 9 6. All plants or trees located on the Easement Prop- 10 erty shall be maintained by the Grantee and Grantee shall trim or 11 remove any tree or other planting which exceeds fifteen (15) feet 12 in height . Notwithstanding an obligation of Grantee to limit the g g Y g 13 height of any tree, foliage or plant, Grantor reserves for itself, 14 its successors and assigns, the right to trim any tree or trees 15 which may grow in or on the Easement Property and which, in the 16 opinion of Grantor, its successors or assigns , endanger or inter- 17 fere with the proper operation or maintenance of said electric 18 transmission, distribution and telephone lines, to the extent 19 necessary to prevent any such interference or danger . 20 7 . The Easement Property is to be used only for the 21 purposes specified herein and in the event : 22 (a) said Property is not so used ; 23 (b) said Property shall be vacated as a 24 public road; or 25 (c ) the project for which this Easement is 26 being granted is abandoned, 27 the Easement shall thereupon, ipso facto, revert to and merge in 28 the interest of Grantor in the Easement Property. -7- ex ! 0692PG 422 1 8 . As a controlling part of the consideration for the execution and delivery, of this instrument by Grantor, the 3 Easement is accepted upon and subject to the express condition 4 that the improvement for which the Easement is given, regardless 5 of the time performed, and any other work or improvement commenced 6 within two years from the date of recording of this Easement 7 (which improvement and other work or improvement are hereinafter a sometimes collectively called "Improvement") shall be done without 9 any cost or expense whatsoever to Grantor, and that in the event 10 a special assessment or assessments is or are levied by an 11 authorized lawful body against the real property of Grantor for 12 the Improvement, Grantee agrees that it will reimburse Grantor 13 and it shall be the binding obligation of the Grantee to reimburse 14 Grantor for the full amount of any and all such special assessment 15 or assessments so levied for said Improvement and paid by Grantor . 16 9 . The two year limitation contained in paragraph 8 17 above to the contrary notwithstanding, Grantee agrees that it will 18 reimburse Grantor for the full amount of any and all special 19 assessment or assessments levied for curbs, driveways, sidewalks 20 and/or other improvements which may at any time be installed at 21 this location, which special assessment or assessments have been 22 paid by Grantor, its successors or assigns . 23 10 . Grantee agrees that in the exercise of its rights 24 hereunder, its contractors, employees and other agents will main- 25 tain a clearance between any and all equipment operating or placed 26 within the boundaries of the Easement Property of not less than 27 fifteen (15) feet from any and all overhead electric conductors . 28 -8- 106 92PG 423 1 All equipment operating on the Easement Property shall stay within 2 the boundaries of said Easement Property . 3 11 . Grantee agrees that all construction equipment, 4 when not in use, shall be parked clear of Edison' s right of way 5 and/or rendered immobile. 6 12 . Grantee agrees that it will water down the con- 7 struction area periodically to prevent the dust contamination of 8 Grantor 's facilities located on, near or adjacent to the Easement 9 Property . 10 13 . Grantee agrees that it will not place or store any 11 flammable materials within the boundaries of the Easement Property 12 and will not permit others within its control to do so. 13 14 . Grantor shall have full unobstructed access to its 14 facilities at all times during the existence of the rights granted 15 herein. 16 15 . Upon termination or reversion of the rights herein 17 granted, Grantee shall execute and deliver to Grantor, within 18 thirty (30) days after service of a written demand therefor, a 19 good and sufficient quitclaim deed to the rights ,herein given. 20 Should Grantee fail or refuse to deliver to Grantor a quitclaim 21 deed, as aforesaid, a written notice by Grantor reciting the fail- 22 ure or refusal of Grantee to execute and deliver said quitclaim 23 deed as herein provided and terminating this Easement shall, 24 after ten (10) days from the date of recordation of said notice, 25 be conclusive evidence against Grantee and all persons claiming 26 under Grantee of the termination or reversion of the rights 27 herein given. 28 -9- BK r C692PG 424 1 16 . Upon the termination or reversion of the rights 2 herein granted, if requested to do so by the Grantor, Grantee shal g at its own risk and expense remove said facilities and restore 4 said premises as nearly as possible to the same state and condi- 5 tion they were in prior to any construction of said facilities, 6 but if it should fail to do so within sixty (60) days after such 7 termination, Grantor may do so at the risk of Grantee, and all 8I cost and expense of such removal and the restoration of said 9 premises as aforesaid, together with interest thereon at the rate 10 of ten percent (10%) per annum shall be paid by Grantee upon 11 demand. 12 17 . In case of a suit to enforce any terms, covenants 13 or conditions of this . Easement, Grantee agrees to pay Grantor 14 in addition to any other recovery or relief to which Grantor may 15 be entitled, a reasonable attorney 's fee to be fixed and allowed 16 by the Court . 17 18 . Any notice provided herein to be given by either 18 party hereto to the other may be served by depositing in the 19 United States Post Office, postage prepaid, a sealed envelope 20 containing a copy of such notice and addressed to said other 21 party at its principal place of business . 22 19 Grantee hereby recognizes Grantor 's title and 23 interest in and to the Easement Property and agrees never to 24 assail or resist Grantor 's title or interest therein. 25 20 . The rights hereby granted are not necessary or 26 useful in the performance of the duties of Grantor to the public . 27 21. It is expressly understood and agreed that this 28 Easement is granted pursuant to the authority of and upon and -10- aK 1 ®6 92PG 425 1 subject to the conditions prescribed by General Order No. 69-B 2 of the Public Utilities Commission of the State of California 3 dated and effective September 10 , 1963, which by this reference 4 is incorporated herein and made a part hereof . 5 22 . The use of the neuter gender herein will, when 6 appropriate, be construed to mean either the masculine or feminine 7 gender or both . Unless expressly provided elsewhere, herein to 8 the contrary, the terms, covenants and conditions of this Ease- 9 ment inure to the benefit of and are binding upon the heirs, 10 successors, representatives and assigns of the parties hereto. 11 23 . Grantee agrees to install six (6) foot green vinyl 12 fences , sixteen (16) foot double drive gates and sixteen (16) foot 13 wide curb dips and commercial driveways capable of supporting a 14 gross load of forty (40) tons on a three axle truck in accordance 15 with plans approved by the Grantor and at locations specified by 16 the Grantor. 17 24 . Grantee further agrees for itself, its successors Z8 and assigns, to the fullest extent to which it can legally do so, 19 to indemnify and hold harmless Grantor, its successors and assigns 20 and its and their officers , agents, employees and licensees, from 21 any and all claims , demands , loss, liens, encumbrances , damage, 22 actions, expense and/or liability, including court costs and 23 attorney 's fees, whether to persons or to property, including the 24 property of the Grantor, in any manner arising out of or resulting 25 from activities of the Grantor, its successors and assigns , in the 26 washing of insulators on and adjacent to said Easement Property 27 and other maintenance or repair work required to be performed by 28 the Grantor . -11- 6K 10692PG 426 1 25 . Grantee agrees that in the event there shall be any 2 disturbance of earth or backfilling on the Easement Property by 3 Grantee or its agents, employees, or contractors, either during 4 the period of construction of the roads or thereafter, the Grantee 5 will cause said disturbed or backfilled area to be compacted to g ninety percent (90%) of its prior condition to avoid future 7 erosion. 8 26 . Grantee agrees that adequate grounding will be 9 provided on all metallic structures . 10 27 .
