That Railroad hereby grants to Grantee the right to con- struct, reconstruct, maintain and use a street or highway by means of an underpass, hereinafter termed "highway", over and across that certain property of Railroad in the County of Orange, State of California, more particularly described on the Exhibit "A", attached and made a part hereof. 1-a. The rights granted are limited vertically to a plane or planes coincident with the top of the underpass structure, or a plane parallel with and twenty (20) feet above the roadway surface of the highway as originally constructed, whichever is the higher. 1-b. Any contractor performing work on the property herein described shall execute Railroad's standard form of contractor's right of entry permit prior to commencing any work on Railroad's premises. This grant is made subject and subordinate to the prior and continuing right and obligation of ' Railroad, its successors and assigns, to use all the property described herein in the performance of its duty as a common carrier and for that purpose there is reserved unto Railroad,its successors and assigns, the right (consistent with the rights herein granted) to construct, reconstruct, maintain and use,existing and future railroad tracks, facilities and appurtenances and existing and future transportation, communication and pipe line facilities and appurtenances in, upon, over, under, across or along said property. 3. Grantee shall obtain any necessary authority and permission required to construct, reconstruct, maintain and use said highway upon said property from the governmental body or bodies having jurisdiction thereover. 7. Except as herein otherwise provided, Grantee shall bear the entire cost and expense of constructing, reconstructing and maintaining said highway upon said property. Grantee agrees to reimburse Railroad for any and all assessments which may be levied by order of any authorized lawful body against the property of Railroad (and which may have been paid by Railroad) to defrayany part of the cost or expense incurred i corm n with the construction or reconstruction of said highway upon said property commenced withii}/ 9? f7demafhe date first herein written. 9. Should Grantee, its successors or assigns, at any time abandon the use of said property or any part a thereof,or fail at any time to use the same for said purpose for a continuous period of one (1) year, the rights granted shall cease to the extent of the use so abandoned or discontinued, and Railroad, its successors or assigns,shall"at once have the right,in addition to but not in qualification of the rights hereinabove reserved, to resume exclusive possession of the said property,or the part thereof the use of which is so discontinued or abandoned. Upon termination of the rights hereby granted, Grantee agrees to remove said highway, in- cluding the paving, from said property of Railroad, to restore said property as nearly as practicable to the same state and condition in which it existed prior to the construction of said highway,and to bear the expense -thereof._ Should Grantee in such event fail, neglect or refuse to so remove said highway and restore said property, such removal and restoration may be performed by Railroad at the expense of Grantee, which expense Grantee agrees to pay to Railroad upon demand. 10. This indenture shall inure to the benefit of and be binding upon the successors and assigns of the parties hereto. The City Clerk and Mayor are hereby authorized to execute on behalf of city the agreement attached hereto as Exhibit "A . " 2. The City Administrator is authorized to accept grant of easement on behalf of city in the form attached hereto as Exhibit "B" and cause, same to be recorded. 3. OF HUNTINGTt'IN USACK, a municipal corporation of the State of California, Post Office Box 1.94, Huntington Beach, Californian 92648, herein termed "City"; RECITALS: City ,proposes to construct a grade separation at Ellis .Avenue, Crossing No. BAA-622.1.1$ at or near Huntington Beach, in the County of Orange, State of California, at the location and in the manner shown on the print of Railroad's Los Angeles Division aw- ing A--11948 dated February 27 1975, attached and made a part hereof. By separate indenture, Railroad will grant to City the right to construct, reconstruct, maintain and use a highway by weans of an underpass hereinafter re- ferred to as "structure" upon certain property of Rail- road at said Huntington Beach, California. The parties now desire to set forth hereib their understandings and agreements relating to the construction and maintenance of said structure, and the changes made necessary in connection therewith. AGRE EVENT 1. Except as herein otherwise provided, City shall furnish or cause to be furnished all labor, materials, tools and equipment for the con- struction of said structure. Said structure shall be constructed in a manner to accommodate Railroad's tracks and in accordance with plans and specifications which sbal.l be subject to the approval of Railroad. The work to be performed by City includes construction of four (4) spans of cast-in-place reinforced concrete boat girders totaling 131 feet n length, resting on concrete piers and abutments on a pile foundation. City shall reimburse Railroad for all cost and expense incurred by Railroad in connection with the construction of said structure, including, but not limited to, the items listed on Exhibit "A", attached and made a part hereof. Work to be performed by Railroad shall include but not be limited to removal and later restoration of approximately 198 feet of branch track at the bridge construction site and furnishing of engineering inspection as required The estimated amount of the cost and expense to be incurred by Railroad in connection with the construc- tion of said structure is summarized in said Exhibit "A". 1 All work to be performed by Railroad hereunder shall be done only by its employees working under railroad labor agreements on a force-account basis or by contract. Railroad shall submit all statements of cost to City Sk IkI329 for payment of work performed by Railroad in accordance with the Inter- state Commerce Commission's System of Accounts for Railroads and on the basis of the items set forth in said Exhibit "A". The final statement of casts shall cover the actual cost of items of work performed by Rail- road. 2. City shall bear liability for and all costs involved in or associated with the rerouting of trains and/or transfer of freight to reach its destination, caused by or brought about by the temporary sus- pension of service due to the removal of tracks during the construction period. 3. All work contemplated in thin agreement shall be performed in ssE good and workmanlike manner to the satisfaction of the parties, and each portion shall be promptly commenced by the party obligated to do the same and thereafter diligently prosecuted to completion In its logical order and sequence. The books, papers, records and accounts of the parties, so far an they relate to the items of expense for labor and materials or are 'in any way connected with the work herein contemplated, shall at all reason-, able times be open to inspection and audit by the agents and authorized representatives of the parties. 4. In the: event any of the work contemplated herein, upon the property of Railroad, is advertised for bids by !City, the awarded con- tract shall include the provisions set forth in Exhibit "B", attached and made a part hereof. The contractor shall not commence worts until �- (a) City has furnished to Railroad's Chief Engineer a copy of said contract, executed by contractor, and a public liability and property damage policy con- taining endorsement in substantially the same form incorporated in said Exhibit "B" and (b) Railroad's Chief Engineer has advised City by letter that the limits, form and wording of said insurance policy are satisfactory to Railroad. Said public liability and property damage insurance policy or policies shall be kept in full force and effect by City'ss contractor during the performance of said work upon and adjacent to Railroad's property, and thereafter until contractor removes all tools, equip- ment and material: from Railroad's property and cleanse up the promises to a presentable condition satisfactory ry to Railroad. w2- .410 Ex 1: 1811 c 1330 City and its contractor shah.
