BRANCH,Cou tv Re=rr137- 8 THIS AGREEMPIT , made and entered into this ;7 : 3ay of 9 1980 , by and between the CITY OF HUIITIITGTODI BEACF, 10 a municipal corporation of the Stage of California , hereinafter ® 11 i referred to as "Grantor," and ORMIGE COUNTY WATER DISTRICT , a 12 public corporation , hereinafter referred to as-"Grantee " wherein a. 13 -the parties hereto do hereby agree as follows : %b 0 11 1. _7 LU 14 11 i 15 � 1. Grantor does hereby grant to Grantee a perpetual , non- w 16I exclusive easement to drill , install , construct , reconstruct , W 17 remove and replace , operate , inspect , repair and maintain a f I 18 groundwater observation well in, on , and under those certain 19 parcels of real property in the City of Huntington Beach , County 20 of Orange , State of California , as described on Exhibit "A" 21 ; attached hereto and made a part hereof. ,.2 23 i 24 f 25 26 L i 27 28 -1- { v i 1 2. In addition thereto, Grantor grants to Grantee a terlporary 2 easement for access and construction purposes in , on , under , i 3 and across those certain parcels of real property in the City of 4 Huntington Leach , County of Orange , State of California , as i i 5 described on Exhibit "Bli attached hereto and made a part hereof , 6 for use during the period of construction of said observation well 7 Said temporary easement shall in any event terminate on Decem- 8 ber 31 , 1980. Upon completion of construction or termination of 9 said temporary easement as herein provided , Grantee shall restore 10 the area of said temporary ,easement to a condition equivalent to j i 11 that existing at the time of commencement of construction. I I 12 13 3• Grantor reserves the right to the continued use of said 141 perpetual easement area after completion of construction for any i 15 purpose whatsoever including but not limited to the installation , 16 maintenance and repair of utility lines or pipelines of all kinds 17 which shall not unreasonably interfere with the use of said 18 I perpetual easement by Grantee for the purpose hereinabove des- 19 cribed. Provided , however , that Grantor shall not at any time 20 construct any structures upon, over , or across said perpetual 21 easement without Grantee' s prior written approval. Grantor 22 covenants and agrees that in the event Grantor' s use of the above I 23 described property shall at any time or times necessitate the 24 ! relocation , rearrangement , reconstruction, reinforcement , modifi- 25I cation or other changes of of Grantee' s facilities located on i g any 26 the above described property, Grantor shall promptly pay to 27 Grantee on demand the reasonable cost thereof. All such work 28 shall be performed by Grantee or by any means authorized by it. -2 � a � � 5 P� c; 3 1 1 , 4 . Grantee shall, at its expense , repair and restore-. any 2 damage done by Grantee, its agents , or contractors , to the I i 3 surface area of the first above described easement and to ad 4 jacent areas in the course of the construction, maintenance , or 5 operation of said observation well . 6 7 5. Grantee shall, and does hereby agree to defend and indem 8 nify Grantor against , and to hold Grantor harmless from, any loss f 9 of or damage to any property, or injury to or death of any person 10 whomsoever proximately caused, in whole or in part, by any negli- i 11 gence of Grantee or its employees or agents , or by any act or 12 omission for which Grantee or its employees or agents are liable 13 without fault in the exercise of the rights herein granted, save 14 ( and except in those instances where such loss or damage or injury 15 or death is proximately caused solely b an act or omission for p y y y 16 which Grantor or its employees or agents are liable. 17 18 6. The aforesaid easements are also granted subject to all 19 easements, rights, leases , licenses and encumbrances of record 20 or of which Grantee has notice, affecting the above described 21 real property, or any portion thereof. 22 23 i 7 .
