SEACLIFF ESTATES, a California general partnership ("GRANTOR"), hereby GRANTS to
the CITY OF HUNTINGTON BEACH, a municipal corporation ("GRANTEE"), real property
in the City of Huntington Beach, County of Orange, State of California, and more
particularly described on Exhibits 'A" and "B" (the "Subject Property") attached hereto and
by this reference made a part hereof.
EXCEPTING AND RESERVING TO GRANTOR, its successors and assigns, existing
easements on the Subject Property necessary for installation, repair and maintenance of a
drainage system for the Subject Property and surrounding properties, including but not
limited to a right of way for a drainage channel more particularly described in Exhibit C and
shown cross-hatched on Exhibit C-1 attached hereto and made a part hereof.
FURTHER EXCEPTING AND RESERVING TO GRANTOR, its successors and assigns, a
forty foot (401) easement to lay, construct, maintain, operate, repair, renew, from time to
time change the size of and remove and/or relocate pipelines, pipes and other lines for
pipeline, water, and utility purposes in, on, through and under to a depth of two hundred feet
(2009 measured vertically from the surface of the Subject Property as said easement is more
particularly described in Exhibit D and as shown cross-hatched on Exhibit D-1, both attached
hereto and made a part hereof.
FURTHER EXCEPTING AND RESERVING TO GRANTOR, its successors and assigns, a
twenty foot (201) square easement to lay, construct, maintain, operate, repair, renew, and
from time to time change the size of and remove, and/or relocate pipelines and/or a sewer
pump station for pipeline, water and sewerage purposes, in, on, through and under to a depth
of two hundred feet (2001) measured vertically from the surface of the Subject Property as
said easement is more particularly described in Exhibit E and as shown cross-hatched on
Exhibit E-1, both attached hereto and made a part hereof.
GRANTOR, and its successors and assigns, shall have right of free access to and from
the surface of said easements excepted and reserved by Offeror herein for the purpose of
exercising all of the rights herein excepted and reserved to GRANTOR.

The above described rights excepted and reserved to GRANTOR, its successors and
assigns, shall not be limited to, or by, the first or any subsequent exercise thereof.
The foregoing rights and privileges reserved to GRANTOR and its successors and
assigns, shall be sole and exclusive.
This Grant Deed is made subject to all matters of record whether or not referred to
herein.

THIS OFFER TO DEDICATE is made as of this -W day of September,
1983, by Seacliff Estates, a general partnership consisting of Mansion Properties,
Inc. ("MPI") and Rutter Limited ("Rutter") as general partners, hereinafter
referred to as"Offeror".
WHEREAS, Offeror is the owner of certain real property ("Project
Property") described in Exhibit "A" attached hereto and incorporated herein; and
WHEREAS, Offeror is the owner of certain real property ("Subject
Property") consisting of two (2) parcels, one being approximately 7.8 acres and one
being approximately 2.48 acres, described in Exhibits 1113-1" and B-2", attached
hereto and incorporated herein; and
WHEREAS, on January 23, 1980, the California Coastal Commission
("Commission") acting on behalf of the People of the State of California approved
Coastal Development Permit No. A-349-79 for a residential development on the
Project Property subject to the condition that Permittee offer to dedicate certain
property for buffer and public recreational use.
WHEREAS, on May 13, 1982 an Offer to Dedicate dated April 27, 1982,
("Offer") was recorded as Instrument Number 82-165774 in Official Records of
Orange County, California and Offeror wishes to amend and modify said document.

NOW THEREFORE,
1. Offeror hereby offers to dedicate by grant deed to the City of
Huntington Beach (hereinafter "The City"), or such other public agency approved by
the Executive Director all its right, title and interest in the Subject Property,
subject to the terms, conditions, covenants, exceptions and reservations set forth
below. Upon acceptance of this Offer to Dedicate by The City, Offeror shall have
no further obligations or liability under and by virture of this Offer to Dedicate
except as provided in paragraph 8. below.
2. The Subject Property is offered only for buffer and public
recreational open space.
3. The portion of the Subject Property described in Exhibit 11B-2" is
dedicated to The City. Offeror intends and Commission and the City understand
that Offeror intends to claim full credit of 2.48 acres of land for application
against The City's park and recreational dedication requirements imposed pursuant
to Articles 974 and 996 of Division 9 of The City's Ordinance Code if that certain
real property described in Exhibit "C" attached hereto and incorporated herein is
developed. Offeror reserves its right to make such claim and receive such credit.
4. Use of the Subject Property by The City shall be consistent with
protection of Bolsa Chica wetlands and the recreational corridor concept set forth
in the Bolsa Chica Regional Linear Park plan of the Orange County Local Coastal
Program.
5. Offeror hereby excepts and reserves existing easements on the
Subject Property necessary for installation, repair and maintenance of a drainage
system for the Subject Property and Project Property and surrounding properties
including but not limited to a right-of-way for a drainage channel more particularly
described in Exhibit B-2 and as shown on Exhibit B-3 attached hereto and made a
part hereof. It is acknowledged that plans for the installation and maintenance of
such drainage system have been approved by the California Coastal Commission
and the City of Huntington Beach.

6. Offeror hereby excepts and reserves from Subject Property all
existing oil and gas leases, pipeline and utility easements, and oil, gas,
hydrocarbon, and other mineral royalties and further excepts and reserves
therefrom oil, gas, hydrocarbon, any and all minerals and pass through rights for
the exploration and production thereof below a depth of 500 feet measured
vertically from the surface of Subject Property.
Offeror further excepts and reserves from Subject Property a forty foot (40')
easement to lay, construct, maintain, operate, repair, renew, from time to time
change the size of and remove and/or relocate pipelines, pipes and other lines for
pipeline, water, and utility purposes in, on, through and under to a depth of two
hundred feet (200') measured vertically from the surface of Subject Property as
said easement is more particularly described in Exhibit "D" and as shown on Exhibit
D-2 both attached hereto and made a part hereof. Provided, however, that Offeror
shall bury all such pipes, pipelines and other such structures to a reasonable depth
below the surface of such ground. Portions of such structures may protrude at
irregular intervals above the surface of Subject Property but not more than six (6)
inches and only where it is necessary for the placement of manholes, covers,
grates, vents and other similar structures.
Offeror further excepts and reserves from Subject Property a twenty foot (20')
square easement to lay, construct, maintain, operate, repair, renew, and from time
to time change the size of and remove, and/or relocate pipelines and/or a sewer
pump station for pipeline, water and sewerage purposes, in, on, through and under
to a depth of two hundred feet (2001) measured vertically from the surface of
Subject Property as said easement is more particularly described in Exhibit "E" ans
as shown on Exhibit E-1 both attached hereto and made a part hereof. Provided,
however, that Offeror shall bury all such pipes, pipeline, sewer pump station
facilities and other related structures to a reasonable depth below the surface of
such ground. Portions of such structures may protrude at irregular intervals above
the surface of Subject Property but not more than six (6) inches and only where it
is necessary for the placement of manholes, covers, grates, vents and other similar
structures. Offeror shall have right of free access to and from the surface of said

easements excepted and reserved by Offeror herein to exercise all of the rights
herein so excepted and reserved. After exercise of its rights herein, Offeror shall
restore said surface as nearly as practicable to the same state and condition it was
in prior to such exercise.
7. This Offer to Dedicate may be accepted by an approved public
agency at any time within twenty-one (21) years from the date of recordation of
this document. Acceptance shall be evidenced by recordation of a certificate of
acceptance of form and content substantially identical as to that shown as Exhibit
"F" of this offer.
8. The Offeror retains all liability for injuries to persons or damage
to or loss of property arising out of the use, repair, maintenance and operation of
the Subject Property and improvements thereon until such time as this offer is

accepted, if at all, by an appropriate public agency as described herein, at which
time Offeror's liability shall automatically cease and terminate, except for
Offeror's exercise of its rights in and to the easements described in Paragraph 6.
above.
Offeror agrees to indemnify, defend and hold City harmless against all expense,
liability, and claims for damage to property (including property belonging to
Offeror) and injury to or death of persons (including employees or agents of
Offeror) directly or indirectly resulting from anything about or in connection with
the negligent acts or omissions of Offeror in the use, repair, maintenance and
operation of said easements.
The City agrees to indemnify, defend and hold Offeror harmless against all
expense, liability, and claims for damage to property (including property belonging
to the City) and injury to or death of persons (including employees or agents of
City) directly or indirectly resulting from anything about or in connection with the
negligent acts or omissions of City in the use, repair, maintenance and operation of
the Subject Property.

9. The public agency that acquires title to the Subject Property by
the terms of this Offer to Dedicate shall manage, maintain and supervise the
Subject Property. This shall include but not be limited to keeping the Subject
Property clean and free of litter and regulating public use to prevent excessive
crowds and loud or disorderly conduct.
10. This Offer to Dedicate shall run with the land for twenty-one (21)
years from the date of recordation, or such time as it is accepted as provided
herein and may be assigned by the City of Huntington Beach, a municipal
corporation, to Orange County, California. Each and all of the provisions of this
Offer to Dedicate shall bind and inure to the benefit of the respective successors
and assigns of the parties hereto.
11. Offeror shall record this Offer to Dedicate as soon as practicable
after execution of the offer.
12. This Amended Offer to Dedicate shall supersede and cancel said
Offer dated April 27, 1982 referred to in the last recital on Page 1 hereof.
