Huntington Beach, County of Orange, State of California, as per map
filed in Book 523, Pages 33 through 35, inclusive, of Miscellaneous
Maps in the Office of The County Recorder of said County, described as

An easement for water line purposes over a strip of land 10.00
feet wide, lying 5.00 feet on each side of the following described
centerline:
Beginning at a point in that certain course shown as

the Resolutions adopted by the unanimous written consent of the
Board of Directors of said corporation on July 21, 1976:
RESOLVED, that JAMES E. RODGERS, President of
the corporation, is hereby designated as the
signatory officer of the corporation, to sign
the corporate name and to sign on behalf of
the corporation such instruments and documents
as may be deemed by such officer to be in the
best interests of this corporation.
RESOLVED FURTHER, that the said officer shall
remain and act as such signatory officer until
further action by this Board of Directors.
3 . That the Bylaws of the corporation so authorize the
Board of Directors to act by unanimous written consent without a
meeting.
4. That the above Resolutions are currently in effect,

CONSENT OF THE BOARD OF DIRECTORS
OF
WESTFIELD DEVELOPMENT COMPANY, INC.
We, JAMES E. RODGERS, FRANCES E. RODGERS, and MICHAEL
E. RODGERS, as members of the Board of Directors of WESTFIELD
DEVELOPMENT COMPANY, INC. , a corporation, organized under the
General Corporation Law of California (hereinafter referred to
as the "corporation") , being all the members of such Board as
i presently constituted, do by this writing consent to take the
following action and adopt the following resolutions:
RESOLVED, that JAMES E. RODGERS, President of
the corporation, is hereby designated as the
signatory officer of the corporation, to sign
the corporate name and to sign on behalf of
the corporation such instruments and documents
as may be deemed by such officer to be in the
best interests of this corporation.
RESOLVED FURTHER, that the said officer shall
remain and act as such signatory officer until
further action by this Board of Directors.
We direct that this consent be filed with the minutes
of the proceedings of the Board of Directors of the corporation.
