Atha,and in his capacity as Executor and Trustee and Personal Representative of the Estate and Revocable Trust of Gladys Atha, his wife (collectively, the "Athas"), to the CITY OF HUNTINGTON BEACH, a•municipal corporation (the "City"). Cr RECITALS WHEREAS, the City is the fee owner of the real property located in Orange County, California, more particularly described as (a) That portion of the East 500.00 feet of the North 200.00 feet of the South Half of the Northwest Quarter of the Southeast Quarter of Section 13, Township 6 South, Range 11 West, San Bernardino Base and Meridian ("S.B.B.&M."), lying southerly and southwesterly of a strip of land, 145.00 feet wide, described as Parcel D1=106 in the Gran Feed to the Orange County Flood Control TJistrict, Recorded June 19, 1961 in Book 5=157�, Page 811 of Official Records of Orange County, California(the "Surface Property"); and (b) The oil, gas and mineral rights beneath the South half of the Northwest quarter of the Southeast quarter(S/2NW/4SE/4) and all that portion of the Southwest quarter of the Southeast quarter(SW/4SE/4) of Section 13, Township 6 South, Range 11 West, S.B.B.&M. lying-north of the southerly line of the land conveyed by Willow Land. Thorpe by deed recorded June 13, 1917, in Book 302, page 69, of Deeds, Records of Orange County, California north of Pacific Coast Highway and east of Newland Avenue in the City of Huntington Beach (the "Mineral Rights"). The Surface Property and the Mineral Rights are collectively•referred to hereinafter as the "Property and WHEREAS, the City entered into an oil and gas lease with respect to the Property with;George C. Atha, dated January 15, 1952, which lease was recorded in the Official Records- of Orange County, California on February 28, 1952 in Book 2294,page 587 (hereinafter referred 12261\0002\673602.4 to as the "CHB Lease") which affected certain real property located in Orange County, California, described therein,(the "CHB Leasehold"); and WHEREAS;by a certain "Assignment of Oil and Gas Lease",effective as of March 7, 1952, George C. Atha and his wife, Gladys Atha, reserved an overriding royalty interest in'the CHB Lease of six and.one-sixth percent (6-1/6%) of all oil, gas and other hydrocarbon substances which might be produced from the leased premises, and such assignment was recorded in the Official Records of Orange County, California;in Book 2347 at Page 316 as Document 31834 on,or about June 24, 1952. (the "Atha Assignment"); WHEREAS, George C. and Gladys Atlia held or claimed an interest in.the CHB, were individuals and are now deceased, and Robert Atha is the Executor.and Trustee and Beneficiary of such decedents' Estates and Revocable Living Trusts, and succeeded to all right, title and.interest of the Athas, in the CHB Lease; and WHEREAS, Robert Atha is the Executor, and Trustee and Beneficiary of the Estate and.Revocable Living Trust of George C. Atha; and WHEREAS, Robert Atha is the Executor, Trustee and Beneficiary of the Estate and Revocable Living Trust of Gladys Atha; and WHEREAS, any interest which George C. Atha or Gladys Atha held or claimed an interest in the CHB Lease became an asset of their respective estates; and WHEREAS, the CHB Lease has terminated by its own terms; and any interests previously held by the George C. Atha and Gladys Atha also terminated and Robert Atha individually and in his capacity as Executor and Trustee and Beneficiary of the Estates and Revocable Living Trusts of George C. Atha and Gladys Atha, is prepared to surrender to the City all of his right, title and interest, if any, in and to the Property, the CHB Lease and the CHB Leasehold in accordance with the terms of the Lease. WITNESSETH- NOW, THEREFOR, for good,and valuable consideration, the receipt and sufficiency of which is hereby acknowledged,ROBERT ATHA individually and in his capacity as Executor and Trustee and Beneficiary'of the Estate and Revocabie Trust of George C. Atha, and in his capacity as Executor and Trustee and Beneficiary of the Estate and Revocable Trust of Gladys Atha, hereby quitclaims, releases, remises, relinquishes and surrenders to the CITY OF HUNTINGTON BEACH, a municipal*corporation, all right, title and interest in and to the Property, the'CHB Lease and the CHB Leasehold.
