RESOLUTION OF TIE] BOA_PD OF TRUSTEES OF TKa CITY OF HUNTINGTON
BEACH APPI?OVIEG AND, ACCEPTING BID OF SOUTIEER'u COU1,,TIES GAS COM-
PANY OF CALIFORNIA, A CORPORI'MOE', FOR PURCHASE OF A PUBLIC UTILITY.
The Board of Trustees of the City of Huntington Beach RESOLVE
as follows:
RESOLVED, that the Board of Trustees of the said City of Hunt-
ington Beach did, at a regular meeting of said Board on the 20th day
of December, 1926, pass and adopt its Resolution No. 562 whereby said-
Board of Trustees did, by a two-thirds vote of all its members deter-
mine that the public interest and necessity demanded that a public
utility, owned by said City, to—fait , the Gas Distributing System, works,
equipment and appurtenances owned by and located in said City, should
be sold; and
RESOLVED, that thereafter and at a regular meeting of said Board
of Trustees held on the loth day of January, 1927, the said Board of
Trustees of said City did, by a tiro-thirds vote of all its members,
order the submission of the proposition of selling said public utility,
to-wit: the Gas Distributing System, works, equipment and appurtenances
owned and operated by and located in the said City of Huntington Beach,
to the qualified voters of said City, at an election to be held for
that purpose, by Ordinance No. 296 , passed and adopted by said Board of
' Trustees as aforesaid on said last mentioned day and date , which said
Ordinance calling for said special election did recite the object for
which the election was to be held, the purpose for which the proceeds
of said sale is proposed to be expended, the manner of holding said
election, and of voting for or against the sale of said public utility,
and that in all particulars not recited in said ordinance, said election
should be held as provided by law for holding municipal elections in
such municipality; and
RESOLVED, that said Ordinance No. 296, was duly published once a
week for two weeks in Huntington Beach News, a weekly newspaper, printed,
published and circulated inlaid City, (there being no daily newspaper
printed, published or circulated in said City) , designated by the Board
of Trustees of said City for that purpose, the first publication of said
Ordinance having been made at least two weeks prior to the date mentioned
in said Ordinance for holding said election; and
RESOLTJED, that pursuant to and in accordance with said Ordinance
No. 296, and pursuant to and in accordance with the provisions of law,
and particularly an Act of the Legislature of the State of California,
entitled "An Act Authorizing Cities, Towns and Taunicipal Corporations
to Sell and Dispose of Public Utilities, Providing for Calling of Spec-
ial Elections to Vote Upon the Question of Authorizing Such Sale, and
Regulating the h.anner in which the Proceeds of such Sale Shall be Ap-
plied", approved May 31, 1921, and Acts amendatory thereto , and an Act
of the Legislature of the State of California, entitled rrAn Act to pro-
vide for and Regulate Municipal Elections in Cites of the fifth and
sixth class" , adopted May 27, 1919, and Acts amendatory thereto, and
otherwise pursuant to and in accordance with the general laws of the
State of California; and
RESOLVED, that said special municipal was held in the manner afore-
said and in accordance with the ?provisions of law in said. City of Hunt-
ington Beach, Oranve County, State of California, on the 8th day of
February, A. D. 1927, at which said election the total number of lawful
votes cast was 497 votes, and of which said votes 425 votes were in favor
of said proposition to sell said public utility and in favor of the sale
of the same, and 72 votes were against the proposition to sell said pub-
lic utility and against the sale of same ; and

RESOLVED, that on Monday, the 14th day of February, A.D. 1927,
it being the first MorAay following the date of said election, the
said Board of Trustees at a regular adjourned meeting of said Board,
did canvass the votes cast at said election, in the manner provided
by law, and did pass and adopt by two-thirds vote of all its members,
Resolution No. 570, of said City, declaring the result of said elec-
tion, and that the proposition voted upon wasadopted and carried
by two-thirds of the lawful votes of all voters voting at said elec-
tion, and directing the City Clerk to publish notice inviting sealed
proposals or bids for said public utility, as and in the manner and
for the time required by law, and said Resolution No. 570, and author-
izing and empowering the President of the said. Board of Trustees, and
the- City Clerk of the said City of Huntington Beach, for and on behalf
of the said City, and as its act and deed, ani under its seal , to make,
execute, acknowledge and deliver with all the formalities of law, a
good and sufficient conveyance , granting and conveying to the success-
ful highest bidder, for cash, the said public utility, and all of said
municipality's right, title , . interestdd and estate therein; and
RESOLVED, that notice$r scribepd try said. re bide and by
law was duly given by publication of said notice once a week for two
weeks in said Huntington Beach News, a newspaper designated by said
Board of Trustees for that purpose, the first publication of which
said notice was made at least two weeks prior to the day and date
fixed by said Resolution No . 570, for receiving bids; and
RESOLVED, that Southern Counties Gas Company of California, a
public utility corporation, did within the time and in the manner
prescribed by law and by Resolution No. 570, and pursuant to said
notice given as aforesaid, file with the City Clerk of said. City of
Huntington Beach its sealed proposal or bid for said public utility,
offering to pay to the City of Huntington Beach the sum of Seventy-

five Thousand (175,000.00) Dollars cash, and one and one-quarter
cents (1-1/4�) per thousand cubic feet on gas delivered by said
Company within the City of Huntington Beach for certain industrial
purposes, and did enter into and properly execute its agreement in
writing to operate and continue to operate and maintain the said-
public utility, to-wit, the Gas Distributing System, works, equip-
ment and appurtenances as provided by law; and
R.-IliSOLITEED, that the said bid of Southern Counties Gas Company
of California was and is the highest and best bid, and that the same
be and is hereby accepted by the Board of Trustees of the City of
all other bids be rejected; and all
Huntington Beach; and/bids ha.vinm been opened and considered; and
RESOLVED, FURTIE R, that the President of the Board of Trustees
of the City of Huntington Beach, and the City Clerk of said City do
execute, acknowledge and deliver for and on behalf of the City of
Huntington Beach, in its name and under its corporate seal, a good
and sufficient deed,conveying said municipally owned public utility,
to-wit, the Gas Distributing System, works, equipment and appurte-
nances, owned and operated by the City of Huntington Beach, to the
said highest and best bidder, Southern Counties Gas Company of Cali-
fornia, upon payment to the said City of Huntington Beach of the en-
tire cash consideration named in said bid.
Passed and adopted by the Board of Trustees of the City of
Huntington Beach at a regular meeting of said Board held on March
7th, 1927.
