RESOLUTION NO. 3815
A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF HUNTINGTON BEACH APPROVING OF APPROPRIAT-
ING FUNDS FOR CONSULTANT CONTRACT
BE IT RESOLVED by the City Council of the City of
Huntington Beach as follows
That certain Consultant Contract, by and between the
City of Huntington Beach, Orange County, State of California,
and Kenneth A. Reynolds, a copy of which is attached hereto
and made part hereof as if fully set forth hereat, is hereby
approved; and
The Mayor and the City Clerk are directed and authorized
to execute such contract and the sums of money which city
is obligated to pay to consultant by the terms of such con-
tract are hereby appropriated, and the Finance Director of
t city is directed and authorized to pay such sums to consultant
in accordance with the terms of such contract.
PASSED AND ADOPTED by the City Council of the City of
Huntingtpn Beach a regular meeting thereof held on the

C O N T R A C T
THIS CONTRACT made and entered into in the City of
Huntington Beach, California this-JI lay of December, 1973
by and between the CITY OF HUNTINGTON BEACH, Orange County,
California, hereinafter called "CITY," and KENNETH A. REYNOLDS,
hereinafter called "CONSULTANT, "
WHEREAS, CONSULTANT is well acquainted with the
problems and projects of the City of Huntington Beach in re-
lation to municipal planning and has developed substantial
expertise and experience in such area; and
WHEREAS, the City of Huntington Beach desires to
utilize the expertise and experience of CONSULTANT for a
period of six (6) months commencing January 1, 1974;
NOW, THEREFORE, for and in consideration of the
mutual promises and considerations herein described, it is
agreed by and between CITY AND CONSULTANT as follows:
1. Term. The term of this agreement shall com-
mence on January 1, 1974, and shall terminate on June 30,
1974, or upon commencement of employment by CONSULTANT on a
full-time employer-employee basis with some other employer,
whichever occurs first .
2. Duties . CONSULTANT shall perform such consult-
ing services to the City of Huntington Beach within CONSULTANT' s

area of expertise as may be reasonably required and directed
by the City Administrator of the City of Huntington Beach. In
connection with the performance of CONSULTANT' s responsibilities
and duties hereunder, CONSULTANT shall not be obligated to pro-
vide clerical, drafting or professional planning support . Any
such expense, if required, shall be provided by CITY at its
sole expense.
3. Compensation. As and for the services rendered
hereunder CITY shall pay CONSULTANT the sum of $2, 217 per month
during the term of this agreement, payable on the loth day of
each month commencing January 10 1974 and continuing until the
termination of this agreement .
4. Independent Contractor. CONSULTANT' s relationship
with CITY shall be that of independent contractor and not as
City employee.
5. Outside Consulting Services . It is expressly
agreed by the parties hereto that CONSULTANT shall be free to
perform consulting services for other clients, persons, or
entities, and that nothing herein shall restrict CONSULTANT' s
right to do so .
6. Attorney' s Fees . In the event suit is brought
by either party to this agreement to enforce any of the pro-
visions hereof, the prevailing party shall be entitled to

reasonable attorney' s fees .
