HomeMy WebLinkAboutCity Council - 5088 RESOLUTION NO . 5088 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF HUNTINGTON BEACH AUTHORIZING THE CITY ADMINISTRATOR TO EXECUTE MEMORANDUM OF UNDER- STANDING TO PARTICIPATE IN ORANGE COUNTY ENERGY ASSOCIATION WHEREAS, the Orange County Energy Association was formed of seven cities in the county, and the county to address energy management problems; and The City of Huntington Beach has been invited to partici- pate in proposed programs , and assist in research and study of new technologies to enable the county and its various communi- ties to cope with accelerated energy problems; and This Council has reviewed the Memorandum of Understanding, required to be executed in order to participate in such associ- ation., and finds that the goals set forth therein are of par- ticular value and interest to this city, NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Huntington Beach that it agrees to the conditions set forth in the Memorandum of Understanding, attached hereto and by this reference made a part hereof as though set out in full herein, and does hereby authorize and direct the City Administrator to execute such Memorandum of Understanding. PREAMBLE This Memorandum of Understanding is entered into by the Cities of Anaheim, Costa Mesa, Fullerton, Garden Grove, La Habra, and Orange, and the County of Orange, for the purpose of assuring the most cooperative, expeditious, and economical introduction of energy management procedures and technologies within Orange County. II RECITALS A. The County is a political subdivision of the State of California pursuant to Section 23000 of the California Government Code. B. The Cities are municipal corporations organized under the laws of the State of California. C. The Cities and the County have a common interest in reducing their respective energy costs, and their vulnerability to energy shortfalls, and in accelerating the use of new or existing cost-effective energy management systems and renewable energy technologies. D. The Cities and the County recognize the need to enhance their respective energy management programs through cooperative arrangements which effectively employ limited local government resources and which encourage private sector initiatives in energy management. E. The Cities and the County recognize that there will be specific instances when it is in their mutual best interest to collectively support and participate administratively and financially in the application of new energy management programs and technologies. III COOPERATIVE AGREEMENT NOW, THEREFORE, .in consideration of the mutual benefits to the parties hereto, to the expeditious introduction of cost-effective energy management programs and technologies within the County of Orange, and in consideration of the covenants and conditions herein contained, the parties do hereby agree as follows: A. To, by this Memorandum of Understanding, establish the Orange County Local Government Energy Association. 4 w .. B. To jointly engage, through the Association, in efforts to review new or existing energy management programs and technologies as they may relate to city/county operations and/or responsibilities. C. To, without necessarily committing funds, provide policy support for grant applications submitted by the Association to Federal and State agencies. D. To consider the testing and application of new energy programs and technologies on behalf of the Association, and to provide Association members with test results. E. To designate a specific staff position/person to represent their respective entity on-the -Association's Technical Advisory Committee. F. That unless there is specific action taken during public meetings of the member parties in support of any proposed action of the Associ- ation, the member partiesare not obligated in any manner or forma , G. Additional Orange County Cities may become members of the Association if they agree by resolution to the conditions of this Memorandum of Understanding. H. This Memorandum of Understanding may be amended or modified by a majority of the Association members. Notification of intent to modify this Memorandum must be made not less than three weeks prior to such modification. I. The Technical Advisory Committee shall establish bylaws to govern the conduct of its meetings and assignment of responsibilities. J. Member agencies may withdraw from the Association by acting pursuant to a resolution of their Council or Governing Board. Anaheim. Duties : 1. Chairperson : The Chairperson shall preside at all meetings. He/She shall I, appoint all committees, call for reports, form committees and call special meetings of the committee. 2. Vice Chairperson: The Vice Chairperson shall assume the responsibilities of the Chairperson in his/her absence. 3. Recorder: The Recorder shall be responsible for notifying members of meetings and for the prompt publication of brief meeting summaries. Article VI Meetings 1. The Technical Committee shall be subject to the provisions of the Brown Act. 2. The Committee shall hold its meetings in the Anaheim City Hall , located at 200 South Anaheim Boulevard, Anaheim, California, in Conference Room 5377.- The meetings shall be held on the second Thursday of each month. 3. A quorum shall exist if one-third (1/3) of the membership is present. Article VI1 - Technology Assessment Responsibilities • 1. The Technical Advisory Committee, by majority vote, shall assign specific technology assessment responsibilities to each of its members. These responsibilities shall include, but not be limited to, 'reviewing specific energy related subjects, projects, and technologies, and providing oral or written reports to the member- ship at regular meetings of the Technical Advisory Committee. 2. The Technical Committee shall not have the authority to commit any member agency to expenditure of funds without the explicit consent (through Board/Council action) of that agency. Article VIII - Amendments These bylaws may be amended by a majority vote of the Technical Advisory. Committee. 082-B1 ORANGE COUNTY LOCAL GOVERNMENT ASSOCIATION BYLAWS Article I - Background The purpose of these bylaws is to fulfill the requirements of the Orange County Local Government Energy Association (LGEA) Memorandum of Under- standing, as agreed .to by member agencies. Article II - Purpose of the LGEA The purpose of this organization is as follows: A. To jointly engage, through the Association, in efforts to review new or existing energy management programs and technologies as they may related to city/county operations and/or responsibilities; B. To, without committing funds, provide policy support for grant appli- cations submitted by the Association to Federal and State agencies; C. To consider the testing and application of new energy program tech- nologies on behalf of the Association, and to provide Association members with test results. Article III - Association Membership Association membership shall be limited to those local government agencies within the County of Orange who have adopted the LGEA Memorandum of Under- standing. Article IV - Technical Advisory Committee The governing body of the Association shall be called the Technical Advisory Committee and shall be composed of representatives appointed by the member agencies. Each agency shall have one voting member on the Technical Advisory Committee. The Technical Advisory Committee may appoint ex officio non-voting persons to the Committee when said membership will facilitate the objectives of the Association. Article V - Officers A. Officers; The Technical Committee shall select from among its members a Chairperson, Vice Chairperson and Recorder. B. Term of Office: The, Term of Office shall be for one year. Res.
