A RESOLUTION OF THE REDEVELOPMENT AGENCY OF
THE CITY OF HUNTINGTON BEACH APPROVING THE
DISPOSITION AND DEVELOPMENT AGREEMENT BETWEEN THE
REDEVELOPMENT AGENCY OF THE CITY OF HUNTINGTON BEACH
AND SASSOUNIAN CAPITAL VENTURES, INC. ,
•AND MAKING OTHER FINDINGS
WHEREAS, the Redevelopment Agency of the City of Huntington
Beach (the "Agency" ) is engaged in activities necessary to carry
out and implement the Redevelopment Plan for the Talbert Beach
Redevelopment Project (the, "Project Area" ) ; and
In order to carry out and implement such Redevelopment Plan
the Agency proposed to enter into a Disposition and Development
Agreement (the "Agreement" ) with Sassounian Capital Ventures,
Inc. , (the "Developer" ) for the development of certain property
in the Project Area (the "Site" ) , all as described in the
Agreement; and
The Developer has submitted to the Agency and the City
Council of the City of Huntington Beach copies of said proposed
Agreement in a form executed by the Developer; and
The Agency and the City Council of the City of Huntington
Beach have conducted a duly noticed joint public hearing
regarding the proposed disposition of real property in
accordance with California Health and Safety Code Sections 33431
and 33433 ; and
The 33433 report pertaining to the Agreement has been on
display prior to the joint public hearing in accordance with
Section 33433 of the California Health and Safety Code; and

The Agency has duly considered all terms and conditions of
the proposed Agreement and believes that the redevelopment of
the Site pursuant thereto is in the best interests of the City
of Huntington Beach and the health, safety, and welfare of its
residents, and in accord with the public purposes and provisions
of applicable state and local laws and requirements ,
NOW, THEREFORE, BE IT RESOLVED by the Redevelopment Agency
of the City of Huntington Beach, as follows :
SECTION 1. The Environmental Determination (Categorically
Exempt) prepared with respect to the Agreement (and all
undertakings pursuant thereto) indicates that the proposed
development will not have a significant effect on the
environment, and is hereby certified.
SECTION 2. The Agency recognizes that it has received and
heard all oral and written objections to the proposed Agreement
and to the proposed development of the Site and to any other
matters pertaining to this transaction, and that all such oral
and written objections are hereby overruled.
SECTION 3 . The Chairman of the Agency is hereby authorized
to execute the Agreement on behalf of the Agency. A copy of the
Agreement when executed by the Agency shall be placed on file in
the office of the Agency Clerk.
SECTION 4 . The Executive Director of the Agency (or his
designee) is hereby authorized, on behalf of the Agency, to sign
all documents necessary and appropriate to carry out and
implement the Agreement and to administer the Agency' s

obligations, responsibilities and duties to be performed under
the Agreement and related documents .
