Statement of Issue: Both of the Professional Services Agreements with AESCO
Technologies, Inc. and Harrington Geotechnical Engineering, Inc. require an amendment to
increase the contract amounts to cover the costs of materials testing and inspection for
construction projects through the term of the agreements.
Funding Source: Funds are available within budgeted capital improvement projects.
Recommended Action: Motion to:
1. Approve Amendment Number 1 to Agreement between the City of Huntington Beach
and AESCO Technologies, Inc. for on -call testing and inspection services in the
amount of $150,000; and
2. Approve Amendment Number 1 to Agreement between the City of Huntington Beach
and Harrington Geotechnical Engineering, Inc. for on -call testing and inspection
services in the amount of $250,000.
Alternative Action(s): Do not authorize the increase to the Professional Services
Agreements amount and direct staff to request proposals from other materials
testing consultants to complete budgeted projects. Budgeted projects could be delayed up
to six months.

Analysis: The City has three-year Professional Services Agreements with AESCO
Technologies and Harrington Geotechnical Engineering that will expire on June 24, 2005. In
2002, the City entered into agreements with three firms to provide on -call materials testing
and inspection services. The demand for materials testing, special deputy inspection on
major building projects and miscellaneous capital and utility inspection resulted in a greater
use of these contract services than anticipated two years ago. The limited staff available and
current workloads require Public Works to supplement staff by covering for inspection and
materials testing services.
Two of these Professional Service Agreements currently have a $350,000 limit, however the
remaining expenditure authorization available for AESCO and Harrington is less than
$50,000. Authorizing an additional $150,000 for AESCO and $250,000 for Harrington
Geotechnical would revise the agreements to $500,000 and $600,000 respectively, providing
enough funding authorization to continue these services through the remaining term of the
agreements. Although the contracts will expire in June, additionai funding would ensure
continued inspection for arterial highway rehabilitation, storm drain installation, private
development and utilities inspection.
Staff believes it is to the City's benefit to increase our current contract funding limits and
retain these qualified firms through the allowable time limits of the contract for providing
materials testing and inspection services on capital projects. The alternative to using on -call
materials testing and inspection contracts is the preparation of documents and requesting
proposals for individual projects. Prior to the time expiration of our current contracts, the
Public Works Department will send out RFP's for new proposals as required by the Municipal
Code for inspection and testing services in the early spring. New contracts will be awarded
prior to the expiration of these agreements.

AMENDMENT NO. 1 TO AGREEMENT BETWEEN THE
CITY OF HUNTINGTON BEACH AND
AESCO TECHNOLOGIES, INC. FOR ON -CALL
TESTING AND INSPECTION SERVICES
THIS AMENDMENT is made and entered into by and between the CITY OF
HUNTINGTON BEACH, a California municipal corporation, hereinafter referred to as "CITY",
and AESCO TECHNOLOGIES, INC., a California corporation, hereinafter referred to as
"CONSULTANT.".
WHEREAS, CITY and CONSULTANT are parties to that certain agreement, dated
February 2, 2004, entitled `'Professional Services Contract Between the City of Huntington
Beach and AESCO Technologies for On -Call Testing and Inspection Services" which agreement
shall hereinafter be referred to as the "Original Agreement," and
CITY and CONSULTANT wish to amend the Original Agreement to provide for the
payment of additional compensation,
NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows:
ADDITIONAL COMPENSATION
Section 4 of the Original Agreement entitled "Compensation," is hereby amended to read
as follows:
In consideration of the performance of the services described herein, City agrees
to pay Consultant on a time and materials basis at the rates specified in Exhibit
"B", an additional fee including all costs and expenses, not to exceed One
Hundred Fifty Thousand Dollars ($150,000.00). The total amount of
compensation is Five Hundred Thousand Dollars ($500.000.00)
2. REAFFIRMATION
Except as specifically modified herein, all other terms and conditions of the Original
Agreement shall remain in full force and effect.

Statement of Issue: The Public Works Department requires independent inspection and
testing services for a variety of projects. Services include geotechnical testing, material
testing, welding, and concrete inspection. -Contracts- with three qualified firms to perform
these functions on an on' -call basis are proposed.
Funding Source: Funds are available within budgeted capital improvement projects.
Recommended Action: Approve and authorize the Mayor and City Clerk to execute
contracts for on -call testing and inspection services with PA and Associates, not to exceed
$350,000: with AESCO Technologies, not to exceed $350,000 and with Harrington
Geotechnical Engineering, Inc., not to exceed $350,000.
Alternative Actlon(s): Do not authorize the contracts. This action will delay capital project
completions.

Analysis: The Public Works Department contracts with several different firms to provide on -
call geotechnical testing, materials testing and other inspection services. The services are
necessary when the contract requires independent. or specialty services. Occasionally,
inspection services will be requested if Public Works staff is not available. It is critical to
project schedules that these services be readily available. The on -call agreement provides
maximum flexibility when testing and inspection services are required on short notice.
The agreements are established for a not -to -exceed dollar amount over a three-year term.
Proposals were requested and submitted in compliance with Chapter 3.03 of the Huntington
Beach Municipal Code. Funding sources will be primarily capital project accounts, using the
approved project budget. Testing and inspection services are examples of supplemental
expenses that are budgeted in each project.
Public Works Commission Action: Not required.

2. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly with CONSULTANT
in the performance of this Agreement.
3. ; -TERM; TIME OF PERFORMANCE
Time is of the essence of this Agreement. The services of CONSULTANT
are to commence as soon as practicable after the execution of this Agreement by CITY (the
"Commencement Date"). This Agreement shall expire on L� `�t.o5 , unless
sooner terminated as provided herein. All tasks specified in Exhibit "A" shall be
completed no later than the deadlines from the Commencement Date of this

In consideration of the performance of the services described herein, CITY

CITY is obtained.
6. METHOD OF PAYMENT
CONSULTANT shall be paid pursuant to the terms of Exhibit "B."
7. DISPOSITION OF PLANS, ESTI_MATES AND OTHER DOCUMENTS
CONSULTANT agrees that title to all materials prepared hereunder,
including, without limitation, all original drawings, designs, reports, both field and office
notices, calculations, computer code, language, data or -programs, maps, memoranda,
letters and other documents, shall belong to CITY, and CONSULTANT shall turn these
materials over to CITY upon expiration or termination of this Agreement or upon
PROJECT completion, whichever shall occur first. These materials may be used by CITY
as it sees fit.
8. HOLD HARMLESS
CONSULTANT hereby agrees to protect, defend, indemnify and hold
harmless CITY, its, officers, elected or appointed officials, employees, agents and
volunteers from and against any and all claims, damages, losses, expenses, judgments,
demands and defense costs (including, without limitation, costs and fees of litigation of
every nature or liability of any kind or nature) arising out of or in connection with
CONSULTANT's (or CONSULTANT's subcontractors, if any) negligent performance of
this Agreement or its failure to comply with any of its obligations contained in this
Agreement by CONSULTANT, its officers, agents or employees except such loss or
damage which was caused by the sole negligence or willful misconduct of CITY.
CONSULTANT will conduct all defense at its sole cost and expense and CITY shall

approve selection of CONSULTANT's counsel. This indemnity shall apply to all claims
and liability regardless of whether any insurance policies are applicable. The policy limits
do not act as limitation upon the amount of indemnification to be provided by
CONSULTANT.
9. PROFESSIONAL LIABILITY INSURANCE
CONSULTANT shall obtain and furnish to CITY a professional liability
insurance policy covering the work performed by it hereunder. This policy shall provide
coverage for CONSULTANT's professional liability in an amount not less than One
Million Dollars ($1,000,000.00) per occurrence and in the aggregate. The above -
mentioned insurance shall not contain a self -insured retention, "deductible" or any other
similar form of limitation on the required coverage except with the express written consent
of CITY. A claims -made policy shall be acceptable if the policy further provides that:
A. The policy retroactive date coincides with or precedes the initiation
of the scope of work (including subsequent policies purchased as
renewals or replacements).
B. CONSULTANT shall notify CITY of circumstances or incidents
that might give rise to future claims.
CONSULTANT will make every effort to maintain similar insurance during
the required extended period of coverage following PROJECT completion. If insurance is
terminated for any reason, CONSULTANT agrees to purchase an extended reporting
provision of at least two (2) years to report claims arising from work performed in
connection with this Agreement.

10. CERTIFICATE OF INSURANCE
Prior to commencing performance of the work hereunder, CONSULTANT
shall furnish to CITY a certificate of insurance subject to approval of the City Attorney
evidencing the foregoing insurance coverage as required by this Agreement; the certificate
shall:
A. provide the name and policy number of each carrier and policy;
B. shall state that the policy is currently in force; and
C. shall promise that such policy shall not be suspended, voided or
canceled by either party, reduced in coverage or in limits except
after thirty (30) days' prior written notice; however, ten (10) days'
prior written notice in the event of cancellation for nonpayment of
premium.
CONSULTANT shall maintain the foregoing insurance coverage in force
until the work under this Agreement is fully completed and accepted by CITY.
The requirement for carrying the foregoing insurance coverage shall not
derogate from CONSULTANT's defense, hold harmless and indemnification obligations as
set forth in this Agreement. CITY or its representative shall at all times have the right to
demand the original or a copy of the policy of insurance. CONSULTANT shall pay, in a
prompt and timely manner, the premiums on the insurance hereinabove required.
11. IN-DEFENDEN'T CONTRACTOR
CONSULTANT is, and shall be, acting at all times in the performance of
this Agreement as an independent contractor herein and not as an employee of CITY.
CONSULTANT shall secure at its own cost and expense, and be responsible for any and

all payment of all taxes, social security, state disability insurance compensation,
unemployment compensation and other payroll deductions for CONSULTANT and its
officers, agents and employees and all business licenses, if any, in connection with the
PROJECT and/or the services to be performed hereunder.
12. TERMINATION OF AGREEMENT
All work required hereunder shall be perfonmed in a good and workmanlike
manner. CITY may terminate CONSULTANT's services hereunder at any time with or
without cause, and whether or not the PROJECT is fully complete. Any termination of this
Agreement by CITY shall be made in writing, notice of which shall be delivered to
CONSULTANT as provided herein. In the event of termination, all finished and
unfinished documents, exhibits, report, and evidence shall, at the option of CITY, become
its property and shall be promptly delivered to it by CONSULTANT.
13. ASSIGNMENT AND DELEGATION
This -Agreement is a personal service contract and the work hereunder shall
not be assigned, delegated or subcontracted by CONSULTANT to any other person or
entity without the prior express written consent of CITY. If an assignment, delegation or
subcontract is approved, all approved assignees, delegates and subconsultants must satisfy
the insurance requirements as set forth in Sections 9 and 10 hereinabove.
14. COPYRIGHTS/PATENTS
CITY shall own all rights to any patent or copyright on any work, item or
material produced as a result of this Agreement.

15. CITY EMPLOYEES AND OFFICIALS
CONSULTANT shall employ no CITY official nor any regular CITY
employee in the work performed pursuant to this Agreement. No officer or employee of
CITY shall have any financial interest in this Agreement in violation of the applicable
provisions of the'California Government Cade.
16. NOTICES
Any notices, certificates, or other communications hereunder shall be given
either by. personal delivery to CONSULTANT's agent (as designated in Section I
hereinabove) or to CITY as the situation shall warrant, or by enclosing the same in a sealed
envelope, postage prepaid, and depositing the same in the United States Postal Service, to
the addresses specified below. CITY and CONSULTANT may designate different
addresses to which subsequent notices, certificates or other communications will be sent by
notifying the other party via personal delivery, a reputable
certified mail -return receipt requested:

No waiver or modification of any language in this Agreement shall be valid
unless in writing and duly executed by both parties.
19. SECTION' HEADINGS
The titles, captions, section, paragraph and subject headings, and descriptive
phrases at -the beginning of the various sections in this Agreement are merely descriptive
and are included solely for convenience of reference only and are not representative of
matters included or excluded from such provisions, and do not interpret, define, limit or
describe, or construe the intent of the parties or affect the construction or interpretation of
any provision of this Agreement.
20. INTERPRETATION OF THIS AGREEMENT
The language of all parts of this Agreement shall in all cases be construed
as a whole, according to its fair meaning, and not strictly for or against any of the parties.
If any provision of this Agreement is held by an arbitrator or court of competent
jurisdiction to be unenforceable, void, illegal or invalid, such holding shall not invalidate
or affect the remaining covenants and provisions of this Agreement. No covenant or
provision shall be deemed dependent upon any other unless so expressly provided here.
As used in this Agreement, the masculine or neuter gender and singular or plural number
shall be deemed to include the other whenever the context so indicates or requires.
Nothing contained herein shall be construed so as to require the commission of any act
contrary to law, and wherever there is any conflict between any provision contained herein
and any present or future statute, law, ordinance or regulation contrary to which the parties
have no right to contract, then the latter shall prevail, and the provision of this Agreement

which is hereby affected shall be curtailed and limited only to the extent necessary to bring
it within the requirements of the law.
21. DUPLICATE ORIGINAL
The original of this Agreement and one or more copies hereto have been
prepared and signed in counterparts as duplicate originals, each of which so executed shall,
irrespective of the date of its execution and delivery, be deemed an original. Each
duplicate original shall be deemed an original instrument as against any party who has
signed it.
22. IMMIGRATION
CONSULTANT shall be responsible for full compliance with the
immigration and naturalization laws of the United States and shall, in particular, comply
with the provisions of the United States Code regarding employment verification.
23. LEGAL SERVICES SUBCONTRACTING PROHIBITED
CONSULTANT and CITY agree that CITY is not liable for payment of any
subcontractor work involving legal services, and that such legal services are expressly
outside the scope of services contemplated hereunder. CONSULTANT understands that
pursuant to Huntington Beach City Charter Section 309, the City Attorney is the exclusive
legal counsel for CITY; and CITY shall not be liable for payment of any legal services
expenses incurred by CONSULTANT.
24. ATTORNEY'$ FEES
In the event suit is brought by either party to construe, interpret and/or
enforce the terms and/or provisions of this Agreement or to secure the performance hereof,

each party shall bear its own attorney's fees, such that the prevailing party shall not be
entitled to recover its attorney's fees from the non -prevailing party.
25. SURVIVAL
Terms and conditions of this Agreement, which by their sense and context
survive the expiration or termination of this Agreement, shall so survive.
26. GOVERNING LAW
This Agreement shall be governed and construed in accordance with the
laws of the State of California.
27. ENTIRETY
The parties acknowledge and agree that they are entering into this
Agreement freely and voluntarily following extensive arm's length negotiation, and that
each has had the opportunity to consult with legal counsel prior to executing this
Agreement. The parties also acknowledge and agree that no representations, inducements,
promises, agreements or warranties, oral or otherwise, have been made by that party or
anyone acting on that parry's behalf, which are not embodied in this Agreement, and that
that party has not executed this Agreement in reliance on any representation, inducement,
promise, agreement, warranty, fact or circumstance not expressly set forth in this
Agreement. This Agreement, and the attached exhibits, contain the entire agreement
between the parties respecting the subject matter of this Agreement, and supercede all prior
understandings and agreements whether oral or in writing between the parties respecting
the subject matter hereof.

Rouge, Louisiana as a drilling company, which grew to a full-scale engineering firm. Kay

Construction Materials Engineering and Testing
AESCO operates construction materials engineering (CME) laboratory in Huntington Beach,
California, and capable of performing in-house or on -site testing and inspection services. Our
laboratory produces thousands of reports annually involving concrete, aggregates, soils in -place,
and bituminous materials. AESCO also regularly tests brick, granite, stone masonry, mortar, and
manufactured elements such as pre -stressed beams and pre -cast panels.

Construction projects have used AESCO's geotechnical expertise in program development, site

industrial solid waste services has led to the acquisition and development of special capabilities
in the drilling services area. We maintain a good inventory of field equipment and
instrumentation including a truck -mounted drilling rig. AESCO operates two rigs (Failing 1500
drilling rig, and mobile 1353) offering services to all phases of the environmental and
geotechnical industries. Our rigs are fully equipped for geotechnical and environmental services,
Shelby tube samplers, Modified California Sampler, hydraulic extrude system and split spoon
driven by a standard 140-lb hammer. The sampler is equipped with split tubes and can be used
with three types of liners: carbon steel, stainless steel or plastic. Our monitor well installation
experience includes PVC, Teflon, fiberglass, and stainless steel construction.
Obtaining Reliable Data
High quality geotechnical engineering begins with obtaining accurate and reliable data. Our
drilling rigs perform a full range of drilling and testing services.
AESCO's experienced geotechnical team provides rapid, comprehensive services. Aerial
photographs, soil survey maps, and information from geotechnical investigations are used to
develop preliminary evaluations. Our experienced field engineers and drillers assess the
subsurface conditions as they are encountered to achieve an accurate representation of the soil
and bedrock materials beneath a site.
Our laboratory facilities and equipment allow comprehensive testing of samples collected in the
field. Registered professional engineers then evaluate the results of field investigations and
laboratory testing to provide accurate and cost-effective solutions to our clients' needs.
AESCO can deliver geotechnical services from routine classifications to triaxial shear and
consolidation tests. Our laboratory testing services include testing of soils, concrete, masonry,
fireproofing, asphalt, roofing, and aggregates. Laboratory testing is performed using ASTK
AASHTO, ACi, CaiTrans, and other applicable specifications and guidelines.
Special testing services and field laboratories can be provided, as necessary. In addition to
comprehensive soil testing, we are equipped to perform a variety of rock mechanics test
procedures, in accordance with standard methods specified by ASTM, ISRK and CANIv ET.
AESCO's experience includes a wide variety of rock types ranging from hard igneous,
metamorphic and sedimentary rock to weak volcanic and sedimentary rock. We have the
capabilities to determine the basic engineering index properties, shear strength, dynamic
deformation modulus, and permeability of rock samples. We also have the capability of
performing tests required for evaluation of concrete and asphalt aggregates and rip rap.

QUALITY POLICY
Aesco maintains a Quality Assurance Program to ensure that all materials, processes and
workmanship meet or exceed the quality requirements detailed in the project plans and
specifications. The Quality Assurance Program encompasses the following elements:
• Project Compliance Testing -- Ensures that that materials, processes and workmanship
comply with project plans and specifications. All activities at the job site are supervised
by a Registered Engineer to verify that sampling and testing (both job site and laboratory)
are performed in accordance with American Society for Testing and Materials (ASTM)
and Caltrans specifications, Uniform Building Code (CBC) or other imposed
specifications or standards. AESCO maintains current copies of Caltrans, ASTM
manuals, Greenbook (2000 Edition) and UBC (1997).
• Equipment Reliability Testing -- Verifying that all equipment used on the project has
been properly calibrated and is in top working condition. AESCO runs periodic tests on
all field and laboratory equipment and replaces or repairs the equipment as required. In
addition, all job site and laboratory testing equipment is calibrated annually by a licensed
outside agency authorized to perform the calibration procedures in accordance with
accepted standards.
• In Process Reviews -- The Supervising Engineer of the project oversees the sampling
and testing of all engineers assigned to the project to verify that equipment is being
employed properly and that procedures and processes are being performed to both project
requirements and AESCO's quality standards.
• Manufactured Materials Testing -- Manufactured materials are sampled and tested in
accordance with project requirements to ensure quality compliance. The testing is
performed in AESCO's laboratory or, when required, in an approved outside facility
• Corrective Action -- When test results indicate failing or substandard conditions, the
project engineer notifies the responsible party and requests that the deficiency be
corrected. Additional sampling and testing may be conducted to establish the extent of
non-compliance. After corrective action has been taken, additional observations,
sampling and/or testing are performed to verify that the defective work has been
corrected.
• Project Reporting -- Reports are generated and delivered to the client as necessary
during the progress of the project and at the conclusion of the project. AESCO uses
unique computerized numbering system of reports. This system simplifies tracking the
results and invoicing. Our detailed reports are reviewed, approved and signed by the
Supervising Project Engineer. Master copies of reports are retained for a period of seven
years unless the contract requires longer retention period.

OTHER SERVICES
AESCO when directed, will prepare written reports and attend staff level meetings with City
staff, public officials, community leaders, developers, contractors and the general public and will
also provided, when needed, an analyzation of the City's needs and prepare and administration
actions on long and short range capital improvement programs consistent with the economic
capabilities of the City.
AESCO also will review and provide written comments on planning programs, land
development controls, recommend regulations and ordinances pertaining to testing and
inspection services when directed. Our representative will also establish a working relationship
and coordination with other public agencies, the public and utility companies involving public
works, and municipal engineering. AESCO also will provide the below to meet with our
company standards.
In many instances, especially projects involving waste management activities, geotechnical
activities overlap with environmental aspects. This combined expertise in environmental,
geotechnical and material -testing services set AESCO ahead of the pack when comprehensive
services are needed. To ensure that drilling operations are within the highest quality standard, a
registered professional engineer or geotechnical engineer always supervises the drilling
operation.
Monitor well installation services and geotechnical analyses are also available. For
environmental drilling operations, AESCO units frequently utilize hollow stem augers. This
drilling technique provides a continuous casing as the boring advances, minimizing cross
contamination or mixing of upper zones of soil and groundwater with lower zones.
AESCO also has full mud rotary drilling capabilities for specialized geological investigations for
deep or large -diameter boreholes. Types of drilling methods and systems include, but are not
limited to, hollow stem auger, solid stem auger, mud rotary, air rotary, angle drilling,
barge/platform, ODEX, conventional and wire -line coring, and all soil sampling systems and
techniques.
Environmental Site Assessments
The potential liabilities associated with the presence of hazardous substances on a property can
be substantially greater than the value of the property itself. Environmental laws and court
decisions have increased the risk of liability for lenders as well as for buyers, sellers and
operators of property. AESCO assists clients in making critical, timely and economically sound
decisions on property management and ownership transfers. Our Environmental Site
Assessment (ESA) services are offered in phases to provide maximum benefits in the most cost
effective manner.
AESCO takes pride in the use of the latest computer technology in support of each project. We
start with any client -supplied database and then make full use of any Government agency

databases to research the history of the site. This enables us to assess a complete environmental
history of the subject site.
Phase I
The purpose of the Phase I ESA is to identify any obvious concerns for potential environmental
impairment. The scope of work consists of the following activities:
• Determine the existing site conditions: complete a comprehensive visual walk-
through examination of the site.
• Review the site history: collect historic maps, photographs and directories, examine
aerial photographs and title abstracts, and interview persons familiar with the site
(e.g., former owners, occupants, workers, neighbors).
• Evaluate physical setting information: topography, soil conditions, site geology,
regional ground water conditions, and floodplain and zoning information.
• Visually examine surrounding land use: research surrounding properties for present
and past activities that may affect environmental suitability.
• Regulatory review: inquire of appropriate local, state, and federal agencies to identify
environmental concerns.
• Prepare Phase I report: evaluate all data and prepare an opinion and/or conclusions
stating that either the site has minimum probability for environmental concern, or that
the assessment has led to questions regarding environmental suitability. If potential
environmental liabilities are identified, recommendations are made for additional
activities, including Phase H investigation.
Phase II
The Phase II investigation commonly consists of subsurface exploration to obtain samples and
analysis of soil and/or groundwater samples for the presence of hazardous substances or
petroleum products. AESCO's typical approach to a Phase II ESA includes:
• Preparation of a site -specific sampling and analysis plan to confirm the extent and
concentrations of contamination.
• Preparation of a site -specific health and safety plan.
• Sample collection of waste, waste streams, hazardous materials, surface water,
groundwater, soils, asbestos, or other material samples, and the testing of underground
storage tanks for content and structural integrity.
• Comprehensive review of the regional and local geology and hydrogeology to determine
the migration pathways of surface and subsurface contamination; and the installation, as
required, of groundwater monitor wells to determine site hydrogeology and extent of
contamination.

• Laboratory analyses of environmental samples; chemical analyses vary from site to site
and typically include parameters such as petroleum hydrocarbons, volatile organic
compounds, inorganic contaminants, and asbestos.
• Preparation of a summary report.
Phase III
Phase III is a remediation program which may include remedial investigation, risk assessment,
feasibility and treatability studies, conceptual and detailed remedial designs, and remediation or
construction oversight. AESCO provides technical and economic analyses of remediation plans

Purpose:
The policy of the Federal Government in acquiring architectural, engineering, and related
professional services is to encourage firms lawfully engaged in the practice of those
professions to submit annually a statement of qualifications and performance data. Standard
Form 254, "Architect -Engineer and Related Services Questionnaire," is provided for that
purpose. Interested A-E firms (including new, small, and/or minority firms) should complete
and file SF 254's with each Federal agency and with appropriate regional or district offices
for which die A-E is qualified to perform services. The agency head for each proposed
project shall evaluate these qualification resumes, togedier with any other performance data
on file or requested by the agency, in relation to the proposed project. The SF 254 may be
used as a basis for selecting, firms for discussions, or for screening firms preliminary to
inviting submission of additional information.
Definitions:
"Architect -Engineer Services" are defined in fart 36 of the Federal Acquisition Regulation.
"Parent Company" is that firm, company, corporation, association or conglomerate which is
the major stockholder or Inglrest tier owner of the Finn completing this questionnaire; i.e.,
Firm A is owned by Firm B which is, in turn, a subsidiary of Corporation C. The "parent
company" of Firm A is Corporation C.
"Principals" arc those individuals in a firm who possess legal responsibility for its
management. Thcy may be owners, partners, corporate officers, associates, administrators,
etc.
"Discipline," as used in this questionnaire, refers to the primary technological capability of
individuals in the responding firm. Possession of an academic degree, professional
registration, certification, or extensive experience in a particular field of practice normally
reflects an individual's primary technical discipline.
"Joint Venture" is a collaborative undertaking by two or more firms or individuals for which
the participants are both jointly and individually responsible.
"Consultant," as used in this questionnaire, is a highly specialized individual or firm having
significant input and responsibility for certain aspects of a project and possessing unusual or
unique capabilities for assuring success of the finished work.
"Prime" refers to that firm which may be coordinating the concerted and complementary
inputs of several firms, individuals or related services to produce a completed study or
facility. The "prime would normally be regarded as having full responsibility and liability for
quality of performance by itself as well as by subcontractor professionals under its
jurisdiction.
"Branch Office" is a satellite, or subsidiary extension, of a headquarters office of a company,
regardless of any differences in name or legal structure of such a branch due to local or state
laws. "Branch offices" are normally subject to the management decisions, bookkeeping, and
policies of the main office.

11. Using the "Experience Profile Code" numbers in the same sequence as entered in item 10,
give details of at least one recent (within the last five years) representative project for each
code number, up to a maximum of thirty (30) separate projects, or portions of projects, for
which firm was responsible. (Project examples may be used more than once to illustrate
different services rendered on die same job. Example: a dining hall may be part of an
auditorium or educational fhcility.) Firms which select less than thirty "profile codes" may
list two or more project examples (to illustrate specialization) for each code number so long
as total of all project examples does not exceed thirty (30). Alder each code number in
question 11, show: (a) whether firm was "P," the prime professional, or "C," a consultant,
or "JV," part of a joint venture on that particular project (new firms, in existence less than
five (5) years may use the symbol "IE" to indicate "Individual Experience" as opposed to
firm experience); (b) provide name and location of the specific project which
typifies firm's (or individuals) performance under that code category; (c) give
name and address of the owricr of that project (if government agency indicate
responsible office); (d) show the estimated construction cost (or other applicable
cost) for that portion of the project for which the fun was primarily responsible.

(c) state year work on that particular project was, or will be, completed.

the chief executive officer.

Purpose:
This form is a supplement to the "Architect -Engineer and Related Services Questionnaire"
(SF 254). Its purpose is to provide additional information regarding the qualifications of
interested firers to undertake a specific Federal A-E project. Firms, or branch offices of firms,
submitting this form should enclose (or already have on file with the appropriate office of the
agency) a current (within the past year) and accurate copy of the SF 254 for that office.
The procurement official responsible for each proposed project may request submission of die
SF 255 "Architect -Engineer and Related Services Questionnaire for Specific Project" in
accord with applicable civilian and military procurement regulatiums and shall evaluate such
submissions, as well as related information contained on the Standard Form 254, and any
other- performance data on file with the conformance with Public Law 92-582. This form
should only be filed by an architect -engineer or related services firm when rcqucstc i to do so
by the agency or by a public announcement. Responses should be as complete and accurate
as possible, contain data relative to the specific project for which you wish to be considered,
and should be provided, by the required due date, to the office specified in die request or
public announcement -
This form will be used only for the specified project. Do not refer to this submittal in
response to other requests or public announcements.
Definitions:
"A "Neel -Engineer Services" are defined in Fart 35 of the Federal Acquisition Regulation.
"Principals" are those individuals in a firm who possess Legal responsibility for its
management. They may be owners, partners, corporate officers, associates, administrators,
etc.
"Discipline," as used in this questionnaire, refers to the primary technological capability of
individuals in the responding Cum. Possession of an academic degree, professional
registration, certification, or extensive experience in a particular field of practice normally
reflects an individual's primary technical discipline.
"Joint Venture" is a collaborative, undertaking by two or more Cans or individuals for which
the participants are both jointly and individually responsible.
"Key Persons, Specialists, and Individual Consultants," as used in this questionnaire, refer
to individuals who will have major project responsibility or will provide unusual or unique
capabilities for the project under consideration.

1. Give name and location of the project for which this form is being submitted.

3a. List the name, title. and telephone number of that principal who will serve as
the point of contact. Such an individual must be empowered to speak for the
firm on policy and contractual matters and should be familiar with the programs
and procedures of the agency to which (his form is directed.
3b. Give the address of the specific office which will have responsibility for
performing the announced work

subject project on line (B). While some personnel may be qualified in several
disciplines, each person should be counted only once in accord with hisknich,

5. Answer only if this form is being submitted by a joint venture of two or more
collaborating firms. Show the names and addresses of all individuals or organizations
expected to be included as part of the joint venture and describe their particular areas
of anticipated responsibility (i.e. technical disciplines. administration, financial,

Regardless of whether respondent is a joint venture or an independent firm, provide
brief resumes of key personnel expected to participate on this project. Cam should be
taken to limit resumes to only those personnel and specialists who will have major
project responsibilities. Ench resume must include: (a) name of each key person and
specialist and his or her title, (b) the project assignment or role which that person will be
expected to fulfill in eortnoction with this project, (c) the name of the firm or
organization, if any. with whom that individual is presently associated, (d) years of
relevant experience with present firms and other firms, (e) the highest academic degree
achieved and the discipline covered (f more than one highest degree, such as two
MD_'s, list both), the year received and the particular technicuVprofe"ssional discipline
which that individual will bring to the project, (f) if registered as an architect, engineer,
surveyor, etc. show only the field of registration and the year that such registration was
first acquired If registered in several states, do not list states, and (g) a synopsis of
experience, training, or other qualities which reflect individual's potential contribution to
this project. Include such data as: familiarity with Government or agency procedures,
similar type of work performed in the past, mamgenrart abilities, familiarity with the
geographic area, relevant foreign language capabilities, etc. Please limit synopsis of
experience to directly relevant infammlion.
List up to tern projects which demonstrate the firms or joint venture's competence to
perform work similar to that likely to be required on this project. The more recent such
projects, the better. Nmte consideration will be given to projects which illustrate
respondent's capablility for performing work similar to that being sought. Required
information must include: (a) name and location of project, (b) brief description of type
and extent of services provided for each project (submissions by joint ventures should
indicate which member of llte joint venture was the prime on that particular project and
what rule it played), (c) name and address of the owner of that project (if Goverruncnt
agency, indicate responsible office), and name and phone number of individual to contact
for reference (preferably the project manager), (d) completion date (actual when

Soil and Foundation Engineering
The backbone of AESCO is a geotechnical engineering and testing services. Our engineers and technicians have saved customers millions of dollars
with our problem -solving abilities. Construction projects have used AESCO's geotechnical expertise in program development, site reconnaissance, field
exploration, field and laboratory testing, geotechnical evaluation, construction quality control and testing. In addition, our environmental engineering
expertise has been playing an increasing role in many projects.
Construction Material Testing
AESCO operates a construction materials engineering (CME) laboratory in Huntington Beach, California, and is capable of performing in-house or on -
site testing and inspection services. Our laboratory produces thousands of reports annually, involving concrete, aggregates, soils in -place, and
bituminous materials. AESCO also regularly tests brick, granite, stone masonry, mortar, and manufactured elements such as pre -stressed beams and
precast panels. Engineering consultation and inspection services are available for each phase of construction_
Soil Boring
AESCO's involvement in groundwater monitoring projects and investigations of hazardous and industrial solid waste services has led to the acquisition
and development of special capabilities in the drilling services area. We maintain a good inventory of field equipment and instrumentation including a
truck -mounted drilling rig. AESCO operates two rigs (Failing 1500 and Mobile B53 Geotechnical Drilling Rigs) offering services to all phases of the
environmental and geotechnical industries. Our rigs are fully equipped for geotechnical and environmental services. They are equipped with Shelby
tube samplers, a Modified California Sampler, a hydraulic extrude system and split spoon driven by a standard 140-1b hammer_ The sampler is
equipped with split tubes and can be used with three types of liners: carbon steel, stainless steel or plastic. Our monitor well installation experience
includes PVC, Teflon, fiberglass, and stainless steel construction.

AESCO maintains a Quality Assurance Program to ensure that all materials, processes and workmanship meet or exceed the quality requirements
detailed in the project plans and specifications. The Quality Assurance Program encompasses the following elements:

• Rush test assignments requiring unscheduled overtime in laboratory are subject to a 54
percent surcharge.
• Engineering consultation, evaluation, and review in connection with any lab testing
service will be charged at the appropriate rate.
All labor rates and transportation charges are charged on a portal basis from our
laboratory in Huntington Beach, California.
• Overtime rates will be applicable for any and all hours worked over 8 hours per day or
beyond our daylight work hours of 8:00 a.m. to 5:00 p.m., Monday through Friday, and
for all hours worked on Saturdays, Sundays, and holidays. Overtime rate is at 1.5 regular
hourly rate. A minimum of four hours per trip or service call will be charged.
• Direct expenses incurred in connection with project will be invoiced at cost plus 15
percent for handling.
• The prices listed above include up to 4 copies of the report distributed and mailed in
accordance with client instructions.
