R E C I T A L S Pursuant to Huntington Peach Municipal Code Section 3.0:.120, t which provides for modification of terms and conditions to axiy existing professional services agreement, the parties to this Adden_",um desire to modify that certain I'Londscape Architect Con- sultant Agreement" between -',I e roarties, dated April 3, 1979 (attached) as follows: SECTION 1. EMPLOYMENT: Substitute the words "Oo-imunity Services" in place cf "Rarbors, Beacbes, Recreaon and Parks." SECTION 2. TERM , The date "April 3, 1979" shall be replaced by the date of execution of this Addendum. SECTION 4. COMPENPATION: 11'$30• Cfl" shall be substituted in place of 11.$20.25.;, .1Com-, riiunity Services" shall be sub!tituted in place: of "Harbors, Beaches, ilecreation and Parks." WORKERS' COMPENSATION INSURANCE: This entire seetton shPU be replaced as follows: "ARCHITECT shall cj,,,ply with all of the provi8ions of the Workers' Compensation Insurance and &� fety Act,=, of the State of Calif'cr.,:.a, the applicable p ,ovisions of Divi.lon 4 and 5 of the California Labor cd, an, "ill amendments thereto;, and all similar State or Pederal acts or Laws applicable. ARCHITECT shall furnish to CITY a certificate of Workers' Compensation Insurance. The irsurer shall not cancel or modify thA policy without thirty (30) days' prior written notice to CzTY. In the alternative, the ARCHIT^CT may show proof of a certificate of consent to self -insure issued by the Director of Industrial Relations according to California Labor Code Section 3800." SECTION 9. LIABILITY INSURANCE, ADDITIONAL INSURED: This entice section shall be replaced as follows: "ARCHITECT shall obtain a oolicy of comprehensive bodily injury and property damage liability insurance, and maintain such pclicy in effect for the period covered by this agreement, providing coverage for bodily injury and property damage in the minimum amount of $300,000 combined single limit per occurrence. INDEPENDENT CONTRACTOR: It is further understood and agreed that ARCHITECTz is, and shall be, acting at all tides as an independent contractor herein and not as an employee of CITY ARCHITECT shall set,ure at its expense, and be re^ponsible for any and all payment of income tax, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for ARCHI- TECT and its officers, agents and employees, and all business li,enses, if any, in connection with the services to be performed hereunde r� In the event of any con;Iict or inconsistence betweer_ the provi,sionz of this Addendum and said Agroement, the r;rovisions of this Addendum shall control in all respects. LANDSCAPE ARCHITECT CONSULTANT AGREEMENT THIS AGREEMENT, made and entered into this 3 f.d- day of 1979, by and between the CITY OF HUNTING:t'ON BEACH, State of California, a municipal corporation, hereinafter referred to as "CITY1r, and ALAN E. RIBERA, an indiviaual, here- inafter referred to as "ARCHITECT". RECIT 1. CITE'' has a need for a landscape arenitect and desires to hire a consultant on a contract basis with terms and condi- tions as provided herein. Z. ARCHITECT shall not be included in CITY's Personnel. System, and ARCHITECT shall be an independent conwractor. 3. In its search to fulfil the position of landscape architects CITY ,has made a selection from its Professional Register in accordance with Huntington Beach municipal Cede Sectlozi 3.03.050. and ARCHITECT is willing to perform services for CITY on a contract; basis for that position wilder the terms and conditions set forth herein. Mr. Ribera is currently striving to complete the schematic master plans for several parks remaining in the Open Space and Conservation Element of the City's General Plan; however, due to a fGmily tragedy he was on leave of absence for over a month. Staff feels this work can be accomplished by June 30, 1981, and requests his current contract be extended until that date under the existing terms. The Community Services Commission recommended an extension at its April 8 meeting. ANALYSIS: During the past year, Mr. Ribera has completed schematic master plans for 5-acre Warner Para, 18-acre Langenbeck Park, 30-acre Bartlett Park and Newland House grounds, 12-acre Huntington Beach Community Park and 185 acres of Huntington Central Park. He also coordinated conbtruction drawings and specifications of 6 additional neighborhood parks and supervised construction of 3 others. To complete the City's park plan will require schematic plans for 2.5-acre Wieder Park, 5-acre Gibbs Park, 3-acre Rancho View Park, 2-acre Lamb Park and 8-acre Irby Park (Phase II).. The cost of Mr. Ribera's services the past year was $37,280. If the City contracted the same service town outside consulting 'irm, the cost would have been more than double. The working arrangement between Mr. Ribera and the Cardoza-DiLallo firm has proven to be an efficient and effective way to design parks. The addendum to his landscape architect agreement was continued until the April 21 meeting when Council asked to be furnished w, :A additional information regarding completed and proposed projects. Council also requested a termination clause be included in the addendum. RECOMMENDATION Due to a considerable cost savings 'o the City as a result of Mr. Ribera's .services of high quality of performance during the past year of consulting, it is recommended that the addendum to the current agreement be approved and the Mayor authorized to execute same. ANALYSIS During the past year, Mr. Ribera has completed seven neighborhood park master plans, a schematic master plan which totaled twenty-two acres, 85 percent completion of the HCP schematic master plan and six miscellaneous park projects. These master ;flans and park projects consisted of field investigating, research information, coordination with special consultants and public agencies, preparation of preliminary plans, public presentations:. plan revisions and preparation of development cost estimates. Mr. Ribera has developed numerous concepts in his park designs to minimize park maintenance costs. If the services perfoiined by Mr. Ribera in the past year had been contracted with outside consulting fiims, the cost would have been in excess of $75,000; whereas, the City has paid Mr. Ribera less than half this amount to perform these services ($30.273.74). If the P.ouncil decides to seek a replacement consultant through the bidding process, it would require a minimum of three months (advertising, interviewing and negotiating of contract) delay in designing of current projects. Further time lag would occur during an orientation period for a new consultant. t� REQUEST FOR CITY COUNCIL ACTION Page 2 ANALYSIS (continued) Due to inflation, parr projects projected for development within the next three to five years will increase in cost by approximately $250,600 (based on six percent inflation for three month period times the projected project development costs). The proposed budget for master planning services this year is $75,000. This covers both Mr. Ribera's time and also inf;ludes the draftsman's time, plus supplies, mileage and miscellaneous printing costs. Last year's budget was in the amount of $50,000, which required sixty percent of Mr. Ribera's time (24 hours per week) and tour months of the draftsman's time. This year's budget requires ninety percent of both Mr. Ribera's and the draftsman's time (36 hours per week each). Per Council direction, there are seven neighborhood parks and orie ccrri;riunity park yet to be master planned, along with the HCP schematic master plan and preparation of the HCP preliminary master plan. In addition, under the coming year's agreement, Mr- Ribera is to rev>ew the balance of the existing park system and provide recommendations for modifications to achiev£ a reduction of maintenance costs. The estimated cost for an outside firm to provide these services would be between $lib,000 to $15o,000,, It is estimated that Mr. Riberaas fee (under the propose' agreement) to accomplish this same amount of work is less than half this amount ($56,150). Mr. Ribera is engaged primarily to perform park master planning. It was determined that it wou'W be faster and less expensive to hire an outside firm to prepare construe-- tion documents. The firm of Cardoza-DiLallo was selected November, 1979 to provide these services at by far the least expensive rates (as compared to five firms submitting bid proposals to prepare park construction documents for the City of Huntington Beach). The Community Services Commission on April g. 1980 moved unanimously to continue M,. Ribera's services for another year. In accordance with the present agreement, Section 3, Earlier Termination, stated that either party has the right to terminate the agreement at any time after the effective date upon thirty bays written notice to the other party.
