YSB' On February 5, 1990, Council awarded a contract to American La'adscape, Inc. for the construction of the landscape Improvements along the ocean side of Pacific Coast Highway, north of Golden West Street. Construction of these improvements is now complete, per the approved plans/specifications, and tharefore. the Director of Public Works recommends acceptance of the project and requests that the City Clerk be authorized to file the Notice of Completion. In accordance w)th the agreement, Chevron Immediately started the abandonment of their wells, As a result of conflicting work ;J and the priority of the well abandonment, American Landscape, It,c. Has forced to I "pull -off" th4 job for seven months. When American Landsrape, Inc. re-entered the ! Site, they had to repair damages amounting to $57,254.00. On December 3, 1990, r� Council authorized staff to ded:ict $76,966.00 froth the balance due Chevron U.S.A. to �t . cover the cost of one-half the downtime and the entire amount of damages Incurreu by American Landscape. Shortly after construction began, the City and Chevron U.S.A. entered into in agreement to abandon all Chevron oil wells along the project site. in accordance with the agreement, Chevron immediately started the abandonment of their wells. Chevron has been given detailed ind documented infcrmation, including photographs of the damages. Apparently Itmeri.can 'andscape contends it has been damaged to the extent of downtime costs and damage to landscape improvements in the c:curse of Chevron's performance of its agreement to abandon wells. The city has a contract with American Landscape to landscape:; the bluffs. In an effort to negotiate this dispute, apparently the city takes the position that it is reasonable to pay $57,524.00 to American Landscape in damages, and $39,424.00 in downtime costs. The city has asked Chevron to pay all of the damages and split the downtime costs, in the total sum of $75,966.00. However, Chevron is unwilling to pay anv of the downtime costs, and will only pay $46,000.00 of the damages, leaving a difference between the city and Chevron of $30,966.00. The proposal is to deduct this sum from amounts otherwise due Catevron under the contract for ,abandoning the oil wells. At the same time, it is also proposed that an additional $5C,000.00 be authorized for change orders and other contingencies. We have reviewed the lay- applicable to such disputes and the right +,.o offset damages and have the following thoughts and recommendations. First, the law does not authorize the city to unilaterally deduct such amounts in dispute from the balance otherwise due Chevron under the contract. The contract between the city and Chevron, which is dated March 5, 1990, does not contain any r-ght of offset for third party Maims and damages. Second, as a practical matter, the city can take the position that it will withhold payment under the contract and raise. the offsets by way of a claim in a court action for declaratory relief and the other remedies. SiV-IAAT ? pADJA FUMLAYS It is agreed by the parties hereto that in case: the total work called for hereunder is not in all part; and requirements finished or completed within the number of calendar days as set forth in Section 4 herein, damage will be sustained by CITY; and that it is, and would be, impractical and extremely difficult to ascerta;n and determine the actual damage which CITY would sustain in the event of end by reason of such delay; it is, therefore, agreed that CONTRACTOR will pay to CITY, as liquidated damages and not as a penalty, the sum of Four Hundred Dollars ($400.00) per day for each and every working day's delay in completing the work in excess of the number of working/calendar days set forth in section Z herein, which sum represents a reasonable endeavor by the parties heroto to estimate a fair compensation for the foreseeable losses CITY would sustain in the event of and by reason of such delay; and CONTRACTOR agrees to pay said damages herein provided, and further agrees that CITY may deduct the amount thereof from any monies due or that may become due to CONTRACTOR hereunder. When CCNTRACTOR has, in the judgment of the DPW, faithfully executed fifty percent (50%) or more of the value of the work as determined from the bid schedule, and it the DPW finds ghat satisfactory progress has been and is being made, the CONTRACTOR may be paid such sum as will bring the payments of each month up to ona hundred percent (100%) of the value or the work completed since the commencement of the PROJECT, as determined by DPW, less all previous payments and less all previous retained amounts. ANALYSIS; On February 6, 1989, Council approved a second amendment to the architectural landscape agroement, with Purkiss-Rose Associates, thereby authorizing the preparation of plans and specifications for the remaining 12 million dollars or improvements along the ocean side of Pacific Coast Highway north of 6olden West Street. These plans and specifications are complete and thereibre, the Director of Public Works requests approval of these documents and the authorization to solicit construction bids. This request Is sought by staff provided Council concurs with the following stipulations: 1. The project area will be fen,ed off during the summer of 1990 to allow germination of turf and plants to establish; however, the bike trail and service road will remain accessible and, safe fence openings will be provided for public access to the beach. 2. Gravel areas directly adjacent to existing oil well facilities will remain. Should the A-0 wells be purchased by the City or abandoned by Chevron Oil then a sixth and final phase of construction would have to he undet-taken to Improve these portions of the site.
