WHEREAS, AUBREY HORN, hereinafter referred to as

WHEREAS, Horn is being assigned and has assumed addi-
tiora'. responsibilities as set forth in s' 'Letter dated
March 231., 1973, wrJtten by David Rowlards, City Administrator,
with regard to the library,,, f:.nd;
WHEREAS, the parties desire to madif'y the aforesaid
agreement.
FLOW, THEREFCRES In conoide ration of the premises, it
4_s mutually agreed:
1. That the last sentence of paragraph 9 of the agree-
ment dated rune 16, 1971 is modified to react as follows:
"Horn is to receive a, transportation allow-
ance of fifteen cent, (15�) per mile, with
a maximum of fi.ve h<<ndrp.0. (500) miles per
month, for mileage outsid,, the city limits
of Huntington Beach, in performing these
services."
2. Pai,agraph 10- of the agreement. dated Jane 16, 197:6

3. Paragraph 11 of the agreement dated Jun-e 16, 19?1
is amended by add.'..ng the following thereto:
"Horn shall. be entitlea to all the blenefitb
of city employees, including Workmen's
Compensation coverages and shall be entitled
to participate in allvoluntary employees
programs. "
4. Horn agrees to assum:.- the duties set forth in said
letter dated March 23, 1973, addressed to Dic;- Neutra.
5. All other terms of the agreement of June 16, 1971
Hhall remain the same.
6. The effective date of this agreement shall be
Ma.rah 23, 1973.

EMPTA MINT SERVICES AGREEMNT TO CITY CLERK
This agreemor.t made this --Z + day of wane, 1971, between
AUBREY HORNS 1334 Hwpshire Cirole, Newport Beaoh, CGlifornia,
hareinaft,er referred to as "Horn", and the CITY OF HUNTIN3TON BEACH s
hereinafter roforred to as "City";
WHEREAS, the City is oonatructing it civic center ani
library complex and desires to contract for the overall management
of construction operations pertaining thereto, and;
WHEREAS, Horn is experienced in the overall supervision
of construction projects;
THEREFORE, the City engages the services of Horn as
Project Manager of the civic center and library complex and in
oonsidcration of the mutual promises herein 000ntained, the parties
agree as follows:
TERi$
This employment shall be for a period commencing cn
May 16, 1971, and may be terminated by either party by giving thirty
(30) daye written notice to the other party, and shall continue
in effect until completion of the Huntington Beach civic center and
librery complex. The City reserves the right to determine when
said project has been completed.
DUTIES AND RESPONSIBILITIES
2. The Project Measager will review all construction
drawings and specifications for the library and civil center
complex. He will p:^ovlde knowledgeable guidance on design and con-
structicn criteria. acceptable to the City. He will coordinate all
ridding and contract award activity.
3. The Project Manager will administer and evaluate all
contracts with the prime contractors to assure complia;nee with
scheduling and cost estimates. He will have the responsibility of
recommending approval of all progress and final contract p+ Aymenta .
The Project Manager will administer the day-to-day elements of the
con"*raaation operation including but not limited to: recommend-
ation of change orders and time extensions. The Project Manager

will be responsible to and report to the City Adminiotr ator or
his designated agent., All change orders muss► be approved by the
City Administrator or his designates representative. He will
I proaese and refer all material subst,!.tution requests to the arohi

subject to the apprc► &1 of the City administrator or his designated
agent and the Public Facility Corporation.
4. The Project Manager will be responsible for all on
oil;* inspection activity during the various phases of construction.
He will supervise all inspection activities of building Inspectors.
He will evaluate and assure that quality control guidelines, build-
ing codes and standarus are complied with by the ^ontractors
involved. He will have responsibility for fl.nal testing, inspection
and acceptance of *he facilities of the City.
5. The Project Manager will attend all meetings and
conforerces concerning project operations, He will coordinate

oontra.ctor-vendor operations with appropriate City departments.
Hr. will have responsibility for resolving diffPrrences between
inspectors and Aontractors on controversial matters.
6. The Project Manager will submit periodic status
J reports including an overall project schedule showing start and
completlin dates with explanations of variances, forecasted and
actual expenditures, descriptions of critical problem. areas and �
suggested solutions to the City Administrator or Y,is designated
representative.
7. The Project Manager will have no authority to ccn-
tractually bind City for any purpose.
USE OR AGENTS OR ASSISTANTS
8. Horn shall be available at all times during the
normal work week in carrying ot'zt the duties as project Manager and

shall not assign nor delegate thi duties above sat forth or duties
reasonable to be implied therefrom without the written consent of
the City Administrator. This contract is not assignable,

11. Horn shall be a temporary full time employee of the
City under this agreement.. He shall be subject to all employee
deductions. He shall not be entitled to the benefits of a penman-,
ent employee, It is agreed that Horn's services come within the

provisions of Huntington Beach Ordinance Code Section 1831(f) as

i ENTIRE AGREEMENT
12. This agreement supersedes any and all other agree-
ments, either oral or in writing, between the panties hereto with
respect to the subject: matter hereof, and no other agreement,

statement, or promise relating to the subject matter of this
agreement which is not contained herein shall be valid or binding.
ASSIGNMENT
13. Neither this agreement nor any duties or obligations
hereunder shall be assignable by Horn without the prior written
consent of the City* obtained through the City Administrator or
his designated representative. In the event of an assignment by
Hcrn to which the City has consented, the assignee or his legal
representative shall agree in writing with the City to personally
assume, perform, and be bound by the covenants, obligations, and
agreements cont&3.ned herein.

SUCCESSORS AND ASSIGNS
14, Subject to the provision regarding assignment, this
agreement Shall be binding on the heirs, executors, administrators,
suceeasors, and assigns of the respective parties.
ATTORNEY'S FEES
15. If any action at law or in equity is brought to
enforce or interpret the provisions of this agreement the prevail-
ing party shall be entitled to reationable attorney's fees in
addition to any other relief to which he may be entitled.
GOVERNING LAW
16. The validity of this agreement and of any of its
terms or provisions, as well as the nights and duties of the parties

reports Including an overall project schedule showing start and
completion dates with explanations of varialaces, forecasted and
actual expenditures, descriptions of critical problem areas and
suggested volvtiens to the City Administrator or his designated
representative.
7. The project manager will have no authority to con-
tractually bind City for any purprse.
