ACCEPTANCE OF CONDITIONS OF WORK; PLANS AND SPECIFICATrONS CONTRACTOf? acknowledges that It is fully familiar with all the terms# conditions and obligations of this Agre*mient and t-he Contract Documents (as hereinafter defined), the location of the jab site, and the conditions under which the work to to be porfar"d, &rid that It enters into this !►areement based upon its invostigation of all such matters and it relying in no way upon any opinions or representations of CITY. 2. It is agreed that the Contract Documents aLfe incorporated into this Agreement by this reference, with the same force and effect as if tna some were stet forth at length herein, and that CONTP.ACTOR and its subcontractors, if any, shall be sound by said Contract Documents insofar ae they relate in part or in any way, directly or indirectly, to the work covered by this Agreement. "Contract. Documents" as defined herein mean and include: A. 'Phis Agreement; B. Bonds covering the work herein agreed upon; C. The CITY'S ntandard Plans and Specifications and special contractual provisions, including thcosse o;� file in the office of the Director of Public Worke of CITY and adopted by the City Council of CITY, and any revisions, amendments or addenda thereto; V. The 1982 edition of Standard specifications for PublicWorks Construction, published by Builder's News, Inc., 3055 Overland Avenue, Los Angeles, California 90034, and all amendments thereto, written rnd promulgated by tLle Southern California :hipter of the American Public Works Association and the Southern California DiatvicL Associated General ^.ontractors of the California Joint Cooperative Committee; E. Bid documents includingy the Notice Inviting Bide, the Special Instructions to Sidders and the Contractor's proposal (attached hereto as Exhibit "A" )1 3. F. Should there be any conflict between the terms of this Agreement and the bid or proposal of CONTRACTOR, then this Agreement shall control and nothir.g herein shall be considered as an &cceptance+ of the te!un of said bid or prolwsal which is in conflict herewith. 3. COMPENSATION CITY agreee to pay and CONTRACTOR .agrees to accept AV full compensation for the faithful performance of thin Agreement, subject to any additions or dedtictAcne made under t'he provisions of this Agreement or the Contract Documents, the sun of Two -hundred and thirty-four thousand, Five --hundred and ninety-six dollars ($234,596.00) as set forth in the Contract Documents, to be paid as provided for in Sections 1, 6, 13 and 14 herein. 4. 4. COMMENCEMENT OF PRR03ECT CONTRACTOR agrees to commence the PROJEC."r within ton (10) working days after notice to proceed is issued and shall diligently prosecute PROJECT to completion within two -hundred and severity (270) calendar days from the execution of this Agreement by CITY, excluding delays provided for in Section 11 herein. S. TIME OF THE ESSENCE The parties hereto recognize and agree that time is of the eusence in the performance of this Agreement and each and every provision of the Contract Documents. CONTRACTOR shall prepare and obtain approval es required by time Contract Documents for all shop drawings, details and sampler, and do all other things .secessary and Incidental to the prosecution of its work in conformance with the progress schedule set forth in the Contract Documents. CON'T".CTOR shall cocird inate its work with the work of all other contractors, subcontractors and CITY forces working on the PROJECT. in a spanner that will facilitate the efficient completion of the PRCnCT and in accordance with Section 4 herein. CITY shall have complete control of the premises on which the work is to be performed and shall have the right to decide the time ^nd order in which the various portions of the work shall be performed and thew priority of the work of other r_�ontractors, subcontractors and CITY forces and, in general a .211 patters concerning the tiaely acne orderly conduct oV the work of CONTRACTOR on the promises. CONTRACTOR agrees to crake any and all changes, furnish mote rialt anal perform all wo-•k necessary within the scope if the PROJECT as the DPW may require in writing. Under no condition shall CONTRACTOR cake any changes wi tbout the written order of the DPW, and CITY shall not pay any extra charges e►ade by CONTRACTOR that have not been agreed upon in writing by the DPW. NOTICE. TO PRDCEED No work, services, material, or equipment shall be performed or furnished under this Agreement unless and until as Notice to Proceed has been given to the CONTRACTOR by CITY. CITY does nmt warrant that the work site will be available on the date the Notice to proceed is issued. CONTRACTOR, within ten (10) days after notice by CITY of any defect in the Work, shall have the option to make appropriate repairs or replace the defective item or items. Upon expiration of such ten (10) day period, CITY may then awake appropriate repair or replacement at CCN'I'RACTOR' S risk and expense. 10. The requirement for carrying the foregoing insurance shall not derogate from the provisions for indennification of CITY by CONTRACTOR under Section 18 of thin Agreeaent. Unless the vinlatior, in cured within ten (10) days after such Notice of Intention hje been served on CONTRACTOR, CITY may, without prejudice to any other remedy it may have, terminate this Agreement upon the expiration of that time. ANALYSIS: The following bids ranging frog $204,586 to $286,000 were received. Micro Media Controls $2049586 BIF Accutel Inc 2349596 Nova power Inc. 2449100 Southern Contracting Co. 2539006 System Analysis b Integration Inc. 28690DO Bids have been evaluated by the City's consultant, Alexander Engineers, Inc. and staff. The low bidder, Micro Media Controls, has based their bid on equipment that fails to meet the specifications in a number of areas. Attached is a copy of a letter from Alexander Engineers enumerating the de-, ficiencies in the low bid. In addition, City staff attended a demonstration of the software package on April 26, 1985. It was observed that the software package proposed dot• not meet the requirements of Section 500 because itrequires a programmer versed in computer language to crear:e or modify pictorial graphics. Micro Media Inc. proposes to use equipment of Butler National Compeny. I have checked with Butler and found they have no telemetry systems for water systems in operation anywhere in the U-57— The telemetry system will have it minimum life of twenty (20) years. In the specifications we call for a system that can be expanded to include future water facilities and flood control pump stations. S,.:tens in current operation in C31ifornia with state--of-the-art equi.pmenr that we have seen are those manufactured by B.I.F. Accutel , Autocon and Bristol Babcock. These companies have been in business for many years, and are. expected to provide* future maintenance service and parts. It wrxdld not be prvident to purchase a system with no experience record.
