THIS AGREEMENT is made and entered into on this is

HUIMINGTON BEACH, a municipal corporation of the State of
California, hereinafter referred to as "CITY," and B.L.F.
Division General Signal Controls, Inc.
ACCiWN&P-4W,., a Delaware corporation, hereinafter referred to
as "CONTRACTOR."
KHERE.AS, CITY has solicited bide for a public works project,
ha_r.inafter referred to as "PK0J!!CT," maze fully descrihtd as
the furnishing and installation of a telemetry :ot7trol system
for water and flood control facilities, in the City of
Huntington Beach, California and, CON';'MMOR has been selected
and is to perform said work;
NOW. THEREFORE. in consideration of the promises ar.d
agreements hereinafter made and exchange. -I, they parties covenant
and agree as follows:
1. .STATENEta'Y' OF WORK: ACCLPTAttCE OF RISK
CONTRACTOR shall furnish, at its own e"nse, all
labor, Plant, tools, equipment, supplies, ttsnsportation,
utilities and all other items, services And facilitle• necessary
to complete and conxtruct the PMWECT in a good and workeanlike
"nnfr.

CONTRAL"I'OR agrees to assume the risk of all loss or
damage arising out of. 6ne nature of the PRCJECT, during its
progress or prior to acceptance, from the action of the
elements, from any unforseen difficulties which way arise or be
encountered in the prosecution of work, and for all other risks
of any description connected with the work, including, but not,
limited to, all oxpenses incurred by or in consequence of the
suspension or discontinuance of work, except such as are herein
expressly stipulated to be borne by CITY, -And for well and
fairtifolly completing the work within the stipulated time and in
the manner shown and described in this Agreement, and in
accordance with the requirements of CITY under then for the
compensation set forth in the accepted bid proposal.
Ilowever, the total compensation to be paid is to be computed
on the basis of the units of work as it is actually performed,
in accordance with the stipulated prices named in the Bid
Sbeet(s).
2. ACCEPTANCE OF CONDITIONS OF WORK; PLANS AND
SPECIFICATrONS
CONTRACTOf? acknowledges that It is fully familiar with
all the terms# conditions and obligations of this Agre*mient and
t-he Contract Documents (as hereinafter defined), the location of
the jab site, and the conditions under which the work to to be
porfar"d, &rid that It enters into this !►areement based upon its
invostigation of all such matters and it relying in no way upon
any opinions or representations of CITY.
2.
It
is
agreed
that
the
Contract Documents

incorporated
into
this
Agreement
by
this reference, with
the
same force and effect as if tna some were stet forth at length
herein, and that CONTP.ACTOR and its subcontractors, if any,
shall be sound by said Contract Documents insofar ae they relate
in part or in any way, directly or indirectly, to the work
covered by this Agreement.
"Contract. Documents" as defined herein mean and include:
A. 'Phis Agreement;
B. Bonds covering the work herein agreed upon;
C. The CITY'S ntandard Plans and Specifications and
special
contractual provisions, including

the City Council of CITY, and any revisions, amendments or
addenda thereto;
V. The 1982 edition of Standard specifications for
PublicWorks Construction, published by Builder's News, Inc.,
3055 Overland Avenue, Los Angeles, California 90034, and all
amendments thereto, written rnd promulgated by tLle Southern
California :hipter of the American Public Works Association and
the Southern California DiatvicL Associated General ^.ontractors
of the California Joint Cooperative Committee;
E. Bid documents includingy the Notice Inviting Bide,
the Special Instructions to Sidders and the Contractor's
proposal (attached hereto as Exhibit "A" )1

F. The particular plans, spe :ificatlocin, apeca"aI
provisions and a,.,Idenda applicable to the PROJECT. Anything
mentioned in the Specifications and not indicated in the Plans
or indicated in the Plans and not mentioned in the
Specifications, stall be of like effect as if indicated and
mentioned in both. In case of discrepancy between any plans.
specifications, special provisions, or addenda, the matter *Nall.
be inmed ately submitted by CONTRACTOR to the Department of
Public Works of CITI (hpre3inafter referred to as "DPW"), without
whose decision said discrepancy shall no: be adjusted by -
CONTRACTOR, salve only at its own risk And expense.
Should there be any conflict between the terms of this
Agreement and the bid or proposal of CONTRACTOR, then this
Agreement shall control and nothir.g herein shall be considered
as an &cceptance+ of the te!un of said bid or prolwsal which is
in conflict herewith.
3. COMPENSATION
CITY agreee to pay and CONTRACTOR .agrees to accept AV
full compensation for the faithful performance of thin
Agreement, subject to any additions or dedtictAcne made under t'he
provisions of this Agreement or the Contract Documents, the sun
of Two -hundred and thirty-four thousand, Five --hundred and
ninety-six dollars ($234,596.00) as set forth in the Contract
Documents, to be paid as provided for in Sections 1, 6, 13 and
14 herein.
4.
4. COMMENCEMENT OF PRR03ECT
CONTRACTOR agrees to commence the PROJEC."r within ton
(10) working days after notice to proceed is issued and shall
diligently prosecute PROJECT to completion within two -hundred
and severity (270) calendar days from the execution of this
Agreement by CITY, excluding delays provided for in Section 11
herein.
S. TIME OF THE ESSENCE
The parties hereto recognize and agree that time is of
the eusence in the performance of this Agreement and each and
every provision of the Contract Documents.
CONTRACTOR shall prepare and obtain approval es
required by time Contract Documents for all shop drawings,
details and sampler, and do all other things .secessary and
Incidental to the prosecution of its work in conformance with
the progress schedule set forth in the Contract Documents.
CON'T".CTOR shall cocird inate its work with the work of all other
contractors, subcontractors and CITY forces working on the
PROJECT. in a spanner that will facilitate the efficient
completion of the PRCnCT and in accordance with Section 4
herein. CITY shall have complete control of the premises on
which the work is to be performed and shall have the right to
decide the time ^nd order in which the various portions of the
work shall be performed and thew priority of the work of other
r_�ontractors, subcontractors and CITY forces and, in general a .211

submit isa.meOiately to the DPW a written cost proposal reflecting
the effect, of the change. Should the DPW not agree to such cost
proposal, the work shall be performed According to the changes

submitted by tiie CONNTRACTOR; thereupon, CITY will promptly issue
an adjusted change order to CONTRACTOR and they contract price
will be adjusted upward or downward accordingly.
7. NOTICE. TO PRDCEED
No work, services, material, or equipment shall be
performed or furnished under this Agreement unless and until as
Notice to Proceed has been given to the CONTRACTOR by CITY.

CONTRACTOR shall, prior to entering upon the
performance: of this Agreement, furnish the following bands
approved by the City Attarneyt One in the amount of one hundred
percent of th4 contract price to guaranteet the CONTRACTOR'S
faithful performance of the work and to warrant such performance
for a period of one (1) year after CITY'S acceptance thereof,
and one in the amount of fifty percent (501) of the contract
price to guarantee payment of all claims for labor and materials
furnished.
g. WARRA.14 'IES
The CONTRACTOR unconditionally guarantees all work dome
under this Agreemr,it including, but not limited to, ally
workmanship, installation, fabrication, material or structural
facilities constructers. CONTRACTOR, within ten (10) days after
notice by CITY of any defect in the Work, shall have the option
to make appropriate repairs or replace the defective item or
items. Upon expiration of such ten (10) day period, CITY may
then awake appropriate repair or replacement at CCN'I'RACTOR' S risk
and expense.
10. IVDEPEXDEW' CONTRACTOR
It is understood and agreed that the CONTR4CT R ir, and
eha:a be, acting at all r i sae hereunder as an independent

ct:ntxactcr and not as an employee of CITY. CONTRACTOR shall
secure, at its expense, and be responsible to. any and all
payeaent of incoine tax, cocial securi Ly, state disability
insurance compensation, unemployment compensation and other
payroll deductions for C'ONTFAC"'OR and its officers, agents and
employees, and all business licenses, if any, in connection with
the PRWECT .
11. LIQUIDATED D MAGES i)EI.AYS

8.
CONTRACTOR will be granted an extension of tine and
will not be aosessed damagen for any portion of the delay in
completion of the work due to unforseeable causes beyond the
control and without the fault or negi igenLI of CONTRACTOR,
including, but not restricted to, act* of God or o&" the public
enemy, fire, Moods, epidemics, quarantine restrictions,
strikes, uns�jicable weather, or delays o-'- subcantra-tore due to
such causes.
CONTRACTOR sha11, within fifteen (15) dayv from the
beginning
of
any
such
delay

the date of
final settlement of
the Agreement), notify the DPW in writing of the caase Of the
delay and CITY shall extend the time fot completing the work if,

Should CONTRACTOR be delayed in the prosecution or
completion of the work by the act, neglect or default of CIry,
or should CONTRACTOR ba delayed wailizq for materiels required
by this Agreement to be furnished by C111t, or by danage caused
by fire or other casualty at the job site for which CONTR.AC`"$OR

such conditions, an equitable adjustment ishall. boa ws4e and the
Agreement wodifted in writing accordingly;

No claim of the CONTRACTOR under this Section ,shall be allowed
unless the CONTRAcroR has given the notice required hereunder,
provided, however, rhe. time prescribed therefor may be extended

13. VARIATIONS IN ESTIMATED QUIPQ TITIES
The quant i tiers listed in the bid schedule will not govern
final payme n.t. Paymcnt to the CONTRACTOR will be macil! only for
the actual quantities of contract items used in construction of
the PRLMECT, in accordance with the plans and speci f icat icons.
Upon conpletion of the I)ROJECT, if the actual quantities used
are either more than or 1`s r than the quantities, listed in the
bid schedule, the hid Price shall prevail nub ject to the
provisions of this Section. The DPW, mry, at ita eol.e
discretion, when warranted by the facts and circumstances, order,
an equitable ad juatment , upwards or downwa-da , in payment to the
CONTRACTOR where �.he actual quantities used in construction of.
the PROJECT are in variation to the quantiti^s lusted in the bid
schedule. No claim by CCyTRA`TOR for an equitable adjustnen'; in
price or time: for ccmp.let ion shnl l be allowed if asserted after
final payment under this Agreement. Ii the Z»antity variation

15. WITHHELD CONTRACT FUNDS, SUBSTITUTION OF SECUPITILES
At the request and expense of CONTRACTOR, who shall
retain beneficial ownership and receive interest, if any
thereon. CITY shall per zi t the auh•ir.i tut i on and ciaposai t
therewith of securities equivalent. to the amount of any aaonies
withheld by CITY to ensure performance under Section 13 of this
Agreement.
16. AFFIDAVITS OF SATISFACTION OF CLAIMS
After the ci-nmpletion of the work contemplated by this
Agreement, CONTRACTOR shaI 1 file with the DPW its affidavit
stating that all workers and ,per cons employed, all firms
supplying materials and a l i subcontractors upon PMTECT have_
been paid in full and that there art? no claims outstanding
against PROJECT for either or material, exc*pt certain

I i . WAIVER OF CLAIMS
The acceptance by CONTRACTOR of the paysstnt of the
final certificate! shall constitute a waiver of all claims
against CITY under or arising out of this Agreement.
18. INDEl+NIF:CATION, DEFENSE, HOLD iIARMLMS
CONTRACTOR heraby agrees to protect, defend, And*un! fy
and hold and save harmless CITY, its officers, agents and
employees against .any and all liability, chime, judr,weatet

from death or injury to CONTRACTOR'S employees and damage to

3.9. WORKERS i'OMPEhSATION INSURUMCE

derogate from the provisions for indernification of CITY by
CONTRACTOR under Section In of this Agreer ent .
CONTRACTOR shall require all subcontractors to provide
such Workers' Compensation insurance for all of the
subcontractor n' employees. CONTMCTOR shall furnish to CITY a►
certificate of waiver of subrogation under the terms of the
Workers' Compensation Insurance any CONTRACTOR shall similarly
require all subcontractors to waive subrogation.
20. INSURA,11.10E

CWTRAcTOR shall subscribe for and asaintain said insurance
policies in full force and offset during the life of this

shall require its insurer to waive its subrogation rights
against CITY and agrees to provide certificates evidencing the
same.

insurance policy covering all work performed by it hereunder.
Said policy shall provide caverage for CONTRACITORS errors and
oasission.s in an amount of not less than $300,000.

CONTRACTOR. shall furnish to CITY certificates of inmuranc_*
subject to approval of the City Attorney evidencing the
foregoing insurance coverages; said certificates shall provide
the name anti policy numb.�r of each carrier ant! policy. and shall
state that the policy is currently in force and will not be
cancelled without thirty (30) days written notice to CITY.
CONTRACTOR shall maintain the foregoing insurance coverages in
farce until the work under this Mgrennzent in fully completed and
accepted by CITY.
The requirement for carrying the foregoing insurance
shall not derogate from the provisions for indennification of
CITY by CONTRACTOR under Section 18 of thin Agreeaent. CITY or
Its representative ahAll at all times have the right to demand
the original or a copy of all raid polie.iea of insurance.
CONTRACTOR shall pays in a prompt and timely man-ser, , the
pr*miuses on all insurance hereinabove rkmquir+ed.

21. DEFAULT AND TERMINATION
If CONTRACTOR fails or refu,ren to proaccuLe the work
hereunder %ith diligence, or failu to ^omplete tha work within
the time specified, or is adjudged a bankrupt or zakea an
assignment for the benefit of creditors o:- becores insolvent, or
violates a,.-iy prevision of this Agreement or the Contract
Documents, CITY may give notice in writing of its intention to
terminate this Agreement. Unless the vinlatior, in cured within
ten (10) days after such Notice of Intention hje been served on
CONTRACTOR, CITY may, without prejudice to any other remedy it
may have, terminate this Agreement upon the expiration of that
time. Upon such default by CONTRACTOR, CITY may elect not to
terminate this Agreement; in suen event CITY may make good the
deficiency ire which the clef au IL con siate; and deduct the
resulting costs from the progr, _. pNsyment s Lhen cor to become due
to CONTRACTOR.
22. D7SFOSITION OF PLANS, CS'TMATES AND OTHER LaO t1NENT 5
CONTRACTOR agrees that upon completion of the work to
be performed hereunder, or upon earlier ter-mi na t i on of this
Agreement, all original plane, specifications, drawings,
reports, calculations, naps and other documents pertaining to
this Agreement shall be del iverell to CITY and become its sole
property at no further cost.
23. NOR—ASSIC►NABILIiY
CORTRAC'TOR shall not sell, assign, transfesr, convey or
encumber this Agrneaant, or any part hsroof, or any right or �

duty created herein, without the prior written consent of CITY
and the surety.
24. CITY EMPLOYEES AND OFFICIALS
CONTRACTOR shall emptay no CITY official nor any
regular CITY erg-:.oyee in the worl: performed pursuant to this
Agrearent. In accordance wi th California Government Code
Sections 1000 et seq., but subject to the exceptions therein set
forth, no CITY official or employee shall be financially
interested in nor derive any financial benef it, either direectly
or indirectly, from this Agreement.
25. ATTOMEY' S FEES
If any action of law or in c.,-ui ty becomen necessary to
enforce or interpret the tens of thi , Agreer:ent, the prevailing
party shall be entitled to reasonable attorney's fees, costs,
and necessary dishursements in ,addition to any other relief to
which that party inuy be entitled. I f any action is brought
against CONTRACTOR or any subcontractor to enforce a Stop Notice
or Notice to Withhold which nares CITY as a party to said action
or by reason of which CITY incure exr->enue s, CITY shall be
entitled to reasonable administrative and attorney's fees&,
caste and necessary disbursements arieei.ng out of the processing
of said Stop Notices, Notices to iiithhold, or any similar legal
document necessary to the prosecution of such action. Said
obligation shall boa provided for in the labor and materials
payment bond required of CONTRACTOR. CITY may charge an
administrative E*4 of One -hundred Dollars ($100) for every Step

the interpretation, construction or waning of the provisions of
this Agreement.

STAi rEMENT OF ISSUE: `
Pursuant to Council approval bids were received for the installation of a
telemetry system on April 10, 1985.
RECOMMENDATION:
Reject low bidder for failure to comply with equipment specifications and
award contract in the amount of $234,596 to BIF Accutel inc, (Second low bickcier).
ANALYSIS:
The following bids ranging from $ZOO+, 586 to $286,000 were received.

Bids'. have been evaluated by the City'► consultant, Alexander Engineers, Inc.
and staff. The low bidder, Micro Media Control s, has based their bid on
equipment that fails to meet the specifications in a number of arras.
Attached is a cony, of a letter from ail,!xa :der Englneers enumerating the de-
ficiencies in the low bid.
In addition, City staff attended a demonstration of the software package on
April 26, 1985. It was oLserved chat: the software package proposed doers
not meet the requirements of Se:ctio;i 500 because it- requires a programmer
versed in computer language to create or ,rodify pictorial, graphic:. In add-
ition the equipment fat. % s to meet the specifications because modifications
customizing the software for the City system must be done only by the systc►e

The second low bidder HXF Accutel has submitted all data and information on
their equipment which fully complies with the contract sper.ificationg. 31F
Accutel's completed telementry projects have* been verified and successfully
demonstrate the manufacturer's qua i f ic► r ions . I'he BIF Accutel bid i s in
the amount of fZ 34, 596 wi tht n the estimate and aval i ahl a funds of $Z40 5001G.

the Bid Proposal is not in compliance with requirements of
Contract Documents.
Specificotions, Section 104 outlines the information and
data to bit submitted with Bid Proposal. Micromediu Controls,
Inc. did not submit the following as required:
1. Detailed specification sheet for CPU Equipment.
2. retailed specification sheaf for Printer.
3. Detailed specification cheat for CRT Consoles.
4. Professional Resume for System Manufacturer's Proj+ret
Manager.
5. Functional outline, equipmrot installed, date of contract
award, amount of contract and dote of commissioning for
three (3) representative projects to demonstrate Manufacturer's
qualifications. Thir information was not included for
any projects.

A supplemental sulomittail was received from Micromedia
Controls, 'fnc . for the Ptintor and CkT Console. The
submittal for the Printer Included two (2) modals. Pro-
posed model was not designated. The submittal for the
CRT Console indicated a 17 inch screen. The Specifi-
cations require a 19 inch +creen. The cover letter for
the supplemental subrnittsals indicated that final selection
of the computer had not been made.

The Bidder submitted all data and information regivired by
Specifications Section 104.
All proposed equipment is in compliance with Contract
Documents.
Manufacturer's representative projects have boon verified

determinations are on file at the office of the City Clerk and the office
cf the Director of Public Works of the city of Huntington Beach, Cali f'om. ia.
Plans and specifications, together With proposal form, may be ortained at
the office of the Director of Public works, City Hall, Huntington Beach,
California.
No bid will be received unless it is made or. a blank forth furnished by

botIA by staff and our consultant, Alexander Engineer:.. Attached is a
copy of Mr. Alexander's evaluation.
The low bidder, Micro Media Controls Inc. could not meet Section 103 of
the specifications, System Manufacturer': Demonstrated Experience as
follows:
"The System Manufacturer F.hall have furr.;ished and been tech-
nically responsible for a minimum of three (3) telemetry
control iystems of comparable ma&nitude that are currently
in successful opeT,-3tion. three (3) systems shall util.-
ize the sane central .yste -:�:vui ;menc, remote telemetry units
and operating software prug rar;s ."
Micro Media Inc. proposes to use equipment of Butler National Compeny.
I have checked with Butler and found they have no telemetry systems for
water systems in operation anywhere in the U-57—
The telemetry system will have it minimum life of twenty (20) years. In
the specifications we call for a system that can be expanded to include
future water facilities and flood control pump stations. S,.:tens in
current operation in C31ifornia with state--of-the-art equi.pmenr that we
have seen are those manufactured by B.I.F. Accutel , Autocon and Bristol
Babcock. These companies have been in business for many years, and are.
expected to provide* future maintenance service and parts. It wrxdld not be
prvident to purchase a system with no experience record.
Subsequent investigations indicate that a system with lest: control
equipment will operate satisfactorily. 'Therefore it is recommended
that the specifications be revised and the project be re --bid.

City Clerk at the Civic Center, Second Floor Administration Building,
2000 Main Street, Huntington Beach, California, on or before 10:00 A.M.
