This contract covers complete editorial work of recodification ant' the publication of fifty (50) copies of the code (complete with binders) in the BOOK PUBLIt-HING COMPANY MUL_ILITH FORMAT. A sample code page is attached in this contract following the signature page. The code may be printed on one side of the sheet ( 1, or on both rides of the sheet . Choice is usually based on the probable size of the code, t6 result in a single volume of convenient size. The 500 pages stated for Basic Cast is not an estimate of the size of the code for the City of Huntington Beach. PAYMENT SCHEDULE On signing of the contract, cne-third of the basic bid is due for payment. An additional one-third payment is due when the Ordinance Analysis and Report is submitted to ';he city. The balance of t;hf total cost of the code is 1ue on delivery of the code books to the city. in some cases, the city prefers to have three (3) advance copies of the code delivered. These are used to officially adopt the code. If this procedure is followed, the balance of the total cost of the code is due on delivery of the three (3) advance code books to the city. The company will make duplicates of the ordi- nances necessary to the code and will charge the city the com- pany•s cost in having the ordinances duplicated. ME FOR COMPLETION Time is of the essence. It is the intention of the company to deliver the completed code volumes to the city within one year of the signing of this contract. Should delivery be delayed because of the city's delay in performing its duties according to this contract, the company shall have the right to increase the final cost of _he code to compensate for any increase in labor, materials or overhead costs. PRODUCTION SCHEDULE FOR CODE 1. Ordinance Analysis and Report. Immediately after receipt of the ordinance ana ys� is and report, an editorial conference will be scheduled to be held in the city between the city attorney or authorized city representative and the Book Publishing Company representative. The conference will be held at a time mutually satisfactory to both the company and the city and after the city has had an opportunity to review the ordinance analysis and report. At this conference, the book Publishing Company repre- sentative and the city will review the rough code manuscript prepared by the company in order to determire recommended or needed changes in the city°s laws. 4. Post Conference Work. Upon completion of the editorial conference conducted in the city, it will be the responsibility of the city to draft and enact all amendments, repeals, and new ordinances agreed to by the city. In most case., the amendments, repeals, and new ordinances will be included i:i the. code upon original publication. however, in those cases where changes or additions will be extensive, the city may omit selected provisions from the original codification. omitted provisions will then be included in a later supplement. To produce a municipal code, Book Publishing Company will follow these pr.:ceduress COUiFICkTION PROCEDURES AYD EDITORIAL SPECIFICATIONS 1. Examine all ordinances and codify, classify and edit, subject to the approval of the city representative, all, ordinances of a genexal or public .nature or imposing a fine, penalty or for- feiture. Separate and arrange such ordinances logically according to subject in numbered titles (first division), chapters (second division), a ccitions ;third division)- Each division will contain prow.L-,.Lon.• similarly related ani complete within themselves. 2. Formulate, draft and zecommend a title and chapter outline of a proposed code structure and furnish to the city representative a copy,of the outlined proposed code structure and classification of exiLting ordinances (Ordinance Analysis and Report). Such pro- posed structure and classification of ordinances will not be adopted 'intil it has been approved by the city representative. 3. Inform the city representative of all oL moded or obsolete ordinal :es and of all apparently conflicting provisions of ordi- nances, ,here amendment., repeal, or new legislation is deemed neress..ry or advisable. 4. Techni.cai codes which have been adopted by reference --- c.g., building, plumbing, electrical, and similar technical odes -- will be excluded from the municipal code unless the city rep- resentative directs the company to include such technical codes in toto. Ordinances adopting such technical codes by reference shall be included and classified in appropriate sections of the municipal code. 6. All ordinances will be checked against applicable state statutes and a ,r conflicts or inconsistencies will be pointed out to the city representative, State Supreme Court decisions and United States Supreme Court decisions affecting or bearing upon the validity of the ordinances of the city will be pointed out to the city reprF.sentative. 7. A table showing the disposition o"' each ordinance of the city will be prepared and included in the code volume. B. Catchli,nes for each individual section of the code will be inserted at the beginning of each section. 9. A table of contents for each chiVter will be prepared consisting of numerical listinge of the catchlines of the individual sections in each particular chapter. A table of contents for each title will be prepared consisting of numerical 'listings of the chapters in each partycula.r title. 10. A historical citation showing its legislative history and derivation_ will be prepared for each vection of the code. 11. Cross-references to related parts of the :ode will be prepared with proper and appropriate references in numbered foot- notes under the apuropriate sections of the code. 12. Only the ubstantive provisions of each ordinance will be codified, provisions such as the 'title, ordaining clause and attestation clause of each ordinance being omitted to the extent permitted by law. 13. Where necessary, the lang,:ag�y of existing ordinances will be edited, �.mproved and/or mo•de%-rtized to clarify, y(r t meanings will not be changed. 14. The city representative shall accept or reject any or all of the recommendations submitted by the �,ompany. The city representative shall make all legal decisions and determine all legal questions and shall be responsible to the city council for such determination, 15. A complete and comprehensive general index covoring sash section of the code will be prepared and included in the code volume. 4 16. Only experienced and qualified editors and researche.-, will be employed in all editing, research and codification work. The supervising editor will consult the city, when necessary, and will keep the city informed of the progress of all c;odfication work. 17. The city aias exclusive right: to sell copies of the com- pleted code and thn loose-leaf supplementation material. MECHANICAL SPECIFICATIONS 1. Upon completion of the editorial, research and codification work, the coele will be reFroducec accord�.ng to samples submit,.ed and the style selected by the city. 2. Birders shall be a loose-leaf style selected by the c7itY -- either the binder submitted as a sample and included in the basic cost. or a binder ordered at an addir=oval cost, as speci- fied by the cir ty. An appropriate title approved by the city shall be imprinted on each binder. 3. All labor and materials for the completed code will be furnished by Book Publishing Company tend all services will be perform.:d in a �;rofessional and workmanlike manner. COSTS AND PAYMENT SCHEDULE 1. The pay.,ient schedule shall be as agreed between Book Publishing Company and the city, but unless otherwise staffed in writing, shall be as set forth on page 2 of this 7ontract. 2. The costs shall be ac^.ordina to the biO agreement s`.gned by Book Publishing Company and the city. The total cost is adjusted from the basic coast according to the actual riumbei of pages -used, the number of copies ordered, the use or ov is;sion of tabbed title divider pages, the possible selection. of special binders at extra cost, ar d any other pertinent factors. 3. The first annual supplement is due one year after the delivery date of the code, if desired, more frequent supplements will be published. 2. Ordinances adopted by the.city are to be forwarded as they are enacted. Book Publishing Company will edit such ordinances, appending appropriate headnotes, catchlines, cross references and explanatory noteu, and reprint the page or pages of the code amended, reiiioving the provisions superseded by the amendment and inserting the new provisions. The pages in the comprehensive index which are affected by the amendment will also be revised to take account of change.; and of new provisions and will be reprinted. 3. Copies of tha supplement pages for each code book, together with instruction sheets containing full instructions for insertion of all supplemental material and revised index sheats will be sup- plied to the city, 4. Supplements will btu' in the style and format of the original codification, Replacement pages will be provided not less tnan once each year. The supplying of more frequent replacement pages or the use of advance sheets will be established with experience, according to the needs of the city. S. Payment for the supplement service will be at the pjr--page rare established in the signed' bid agreement. Payment is due on delivery to the city of the replacement page supplement material. 6. The supplement service, may be terminated after five years by written notice of cancellation not less than sixty days prior to the date for delivery of the annual supplement material. The volume was examined in an office staff meeting and several questions were raised. It was suggested that the index might be more aseful if the page number of d given topic was shown in addition to the resolution number (or section number in the municipal code). Perhaps you could explain the policy of excluding the page numbers. It was pointed out that "Volume I" did not appear on the cover of the binder. 1 explained that the codes of Huntington Beach would be in four volumes, but that the Administrative Code was separate from the several volumes of the municipal code. We will expect the volume number to appear on the covers of the three volumes of the municipal code. The page entitled, "Procedure for Drafting, Ordinances", Included in front of the title page was confusing. We appreciate the information but ?eel that it is unnecessary to include a copy of sack page in each copy. Since such procedure pige is not important to the general public and detracts from the effect of the title page, we plan to remove such page and -equest that it not be placed in the copies of the municipal code. Perhaps the most importar"; item noted in the Administrative Code concerns the pain 1 � of future volumes. It is imperative that the patios of the municipal code be printed on both sides.
