STATEMENT OF ISSUE:
Boyle Engineering Corporation has completed the preliminary design phases of their exist—
ing contract with the City for improvements to the Heil AVE:nue Channel and 1--inage Sys-
tem. The City wishes t4-xercise its option within t-7e agreement to autho- e Boyle
Engineering Corporation to prepare the final design plans and s*cificati( for improve-
ments to the system.
W,0a"MENDATION c
1. Authorize the City to obt,�_n Boyle Engineering Corporation to prepare final design,
plans and specifications for improvements to the Heil Avenue Channel System a_nd
Pimp Station at a cost of $36,150 (per option in existing agreement with Boyle
Engax:ei-aring, dated Februaiy 3, 1984) .
2. Approve a $20,000 appropriation from the Unappropriated General Fund balance in
Drainage District 5.
3. Approve a $20,000 appropriation from the Unappropriated General Fund balance in
Drainage District~ 5C.
ANALYSIS:
Boyle Engineering Corporation eras retained to analyze the Heil Avenue Channel System
and Pik Station and provide preliminary design for improvements to the system. This
phase has been ct q)letLd and was provided to us in a reps t dated June of 1984.
The following is a recap of deficiencies found, recommended improvements and an estimate
of cost:
1. Box Culvert at Heil. Avenue Reconstruct to increase capacity $ 150,000
2. Heil Avenue PLurp Station Acid third puizp and engine $ 140,000
3. Storm Derain Systems, N,/o Heil, Catch basin reconstruction and
W/o C5-SC3 Charnel additional storm drains $ 120,000
Storm Drain Systems, S/o Heil, Catch basin reconstruction and
W/o C5-Sc3 Channel addit-ional storn drain
4. City Channel C5-Sc:3 Peconstrcict to increase capacity $ 3.5 million

in the drainage district:. An assessment was made to phase thA nprovements, consider-
ing benefits and costs:
The first pricrity is the recons` ruiction of the Heil Avenue Box Culvert 4 ]i.ch presently
is restricting channel flaw.

CONSULTANT AGREEMENT BETWEEN THE CITY OF HUNTINGTOtT BEACE
AND BOYLE ENGINEERING CORPORATION FOR ENGINEERING
OF HEIL AVENUE CHANNEL AND DRAINAGE SYSTEM IMPROVEMENTS
THIS AGREEMENT, is made and entered into this / �n Ray
of Q �g,�,, , 19 , r)y and between the CITY OF HUNTINGTON
BEACH, a municipal corporation of the State of California,
hereinafter referred to as "CITY," and BOYLE ENGINEERING
CORPORATION, hereinafter referrer? to -s "CONSULTANT."
WHEREAS, the CITY OF HUNTINGTON BEACH previously engaged, by
contract dated February 3, 1984, the services of CONSULTANT to
provide prelintinary engineering services for the Heil Avenue
i Channel and Drainage System Improvements; and
Pursuant to said contract, CITY was granted an option to
ret,uire CONTRACTOR to perform certain further engineeri.nq
services; and
CITY timely exercised said option and desires CONSULTANT to
perform the further engineering services,
NOW, THFREFORE, it is agreed by CITTY and CONSULTANT as
follows:
1. WORK STATEMENT
CONSULTANT shalt provide the engineering services
described in the document entitled Request for Proposal;
Upgrading of a Concrete Flood Control Channel and a Concrete Poi;
Cull-:_rt, a cony of which is included in, and supplemented by,

the document Entitled Proposal for Enqineerinq Services,
hereinafter referred to as Ex-aibit "A", as supplemented by the
document entitled Proposal for Design of Heil Avenue Channel
System and Pump Station Improvements, hereinafter referred to as
Exhibit "B". All three (3) of said documents are incorporated
into this Agreement by this reference. CONSULTANT shall
complete Tasks 4, 5 and 6 as described in Exhibit "A"..
CONSULTANT shall also perform Part I ("Sur✓eying, Mapping and
Utility Investigations") and Part 'l ("Geotechnical.
Investigation") of Tasks 2 and 3. All of said engineerinq
services shall be performed at the costs specified in Exhibit
"A".
CONSULTANT shall attend and assist in all coordination
meetings.
CONSULTANT shall designate a registered civil engineer
who shall represent it and be its sole contact and agent in all
consultations with CITY during fulfillment of the terms of this
Agreement.
2. DISPOSITIONS OF PLANS, ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that all original drawings, re-norts,
both field and office notes, calculations, maps and other
documents, shall be turned over to CITY upon anv termination of
PROJECT. CITY shall Bold CONSULTANT harmless from any liability
arising from the use of these documents for ot�ier that the use
contemplated by this Agreement.

harmless CITY, its officers, agents, and employees from and
against any and all. liability, damages, costrs, loss, claims anI
expenses of any kind or nature which CITY may sustain or incur
or which may be imposed upon them as a result of, arising out
of, or in any manner connected with the negligence or willful
misconduct of CONSULTANT.
CONSULTANT shall be required to defend any action
brought, against CITY, when it is alleged that any cause or
causes of action arose out of the aforesaid negligence or
willful misconduct of CONSULTANT or the combined active or
passive negligence or willful misconduct o CITY and of
CONSULTANT however, CONSULTANT shall not be required to
indemnify or save and hold harmless CITY for any award of
damages arising out of either, the sole active or passive
negligence or willful misconduct of. CITY or CITY'S she.re of any
concurrent or joint negligence or willful misconduct award
against both CITY and CONSULTANT. CITY may enter into anv
action brought against CITY and CONSULTANT and provide for its
own defense without any rights to reimbursement for cost of
defense from CONSULTANT. In the event a final iudgment is
entered against CITY and CONSULTANT because of the concurrent or
joint negligence or willful misconduct of CITY and CONSULTANT
and the parties defendant cannot agree as to an apportionment of
the damages, an apportionment of liability to pax such judgment

Lmay be requested of the court in which the iudgment was
rendered, but in no case shall a fury apportionment be demanded
or requested.
I, a. WORKERS' COMPENSATION
f CONSULTANT shall comply with all of the provisions of
the Workers' Compensation Insurance and Safety Acts of the State
f of California, the appLicable provisions of Division 4 and 5 of
the Cali'_ornia Labor Coc:e and all amendments thereto; and all
similar state or federal acts or law. applicable; and shall
indemnify, defend and hold harmless �"ITY from and against all
claims, demands, payments, suits, actions, oroceedings and
judgments of every nature and description, including attorney's
fees and costs presented, brought or recovered against ,ITY, for
or onaccountof any liability under any of said acts which may
be incurred by reason of any work to be performed by CONSULTANT
under this Agreement.
5. INSURANCE
In addition to the Workers' Compensation Insurance anc9
CONSULTANT'S covenant to indemnify CITY, CONSULTANT shall
procure the following insurance policies to cover the PROJECT:
A. General Liability{ Insurance. A policy of general.
public liability insurance, including motor vehicle
coverage. Said policy shall name CITY, its officers
and employees, while acting within the scope of their
duties, as Additional insureds, for the acts of the
insured, and shall provide coverage in not less than

the fo3 .ring amount: combined single limit bodily
injury o, proi�erty damage of §300,000 per occurrence.
Said policy shall specifically provide: that anv other
insurance coverage which may be applicable to the
PROJECT shall be deemed excess covr-rage and that
CONSULTANT'S insurance shall be primary.
B. Errors and omissions Insurance. CONSULTANT shall
acquire an errors and, omissions insurance policy
covering the work performed by it hereunder. Said
policy shall provide coverage for CONSULTANT'S errors
and omissions in an amount of not less that t300 nq0.
Certificates of Insurance for said policies shall be
approved in writing by the City Attorney nrior to the
_commencement of. any Work hereunder. All certificates of
Insurance (and the policies of insurance or endorsements
thereof) shall provide that any such Certificates and policies
shall not be cancelled or modified without thirty (30) hays'
prior written notice to CITY.
6. INDEPENDENT CONTRACTOR
CONSULTANT is, and shall be, acting at all times in the
performance of this Agreement as an independent contractor.
CONSULTANT shall secure at its expense, anO be responsible for
any and all payments of all taxes, social security, state
disability insurance compensation, unemployment comnensation and
other payroll deductions for CONSULTANT. and its officers, agents
and employees and all business licenses, if an",r, in connection
with the services to be performed nereunder.
7. CTT'Y STAFF ASSISTANCr'
CITY shall, assign a staff coordinator to work directly
with CONSULTANT in ^onnection with the work of this Agreement.
8. PROVISION FOR PAMMENT'
In consideration of the performance of the above
described engineering sc_tvices, CITY agrees to pay CONSULTANT
according to the fee schedule set forth in Ex'libit "A", a sum
not to exceed thirty six thousand, one hundred and fifty dollars
(t36,150). CONSULTANT will submit to CIT;' monthly invoices for
approval by the Director of Public works prior to payment.
9. EXTRA WORK
In the event of authorization, in writing by the City
Engineer of changes from the work as indicated in Exhibit "A or
for other written permission authorizing additional work not
contemplated herein, ad61tional compensation shall be allowed
for such extra work, so long as t'ie prior written approval of
CITY is obtained.
10. TERMINATION OF CONTRACT
All work shall be clone in a good and workmanlike
manner. CITY may terminate CONSULTANT'S services hereunder at
any time with or without cause, and whether or not PROJECTis
fully complete. Any termination and any special instructions
hereunder from CITY shall be made through the City Engineer„ and
in writing, which may be delivered in person to CONSULTANT or
mailed through, the normal course of mail to its now -established
business address. In the event this Agreement is terminated,

all drawings, designs, specification;i and appurtenant data may
be used by CITY.
11. DURATION OF AGREEMENT
CONTRACTOR agrees to complete the PROJECT within five
(5) months of the execution of this Agreement.
12. SUBCONTRACTORS
This Agreement is a personal service contract and the
work hereunder shall not be delegated to any person or entity
without the cor_sent of CITY.

CONSb TANT agrees that no regular employee of CITY

Proposal for Design of Heil Avenue
Channel System and Pump Station Improlrements
As requested, we are providing this letter proposal for
engineering design services for the following items of work:
1. Enl.prgement of the Heil Avenue Box Culvert.
2 Addition of a new 13 foot long catch basin on the east side
of the Sunlight Drive -Magellan Lane interse,tions and
addition of a new 24 inch diameter storm didin from the new
catch basin to the Heil Avenue pump station.
3. Enlargement of the existing catch basin at the north end of
Delton Circle and replacement of the 24 inch diameter
portion of the pipeline between Delton Circle and the Heil
Avenue Pump Station, with 36 inch diameter pipe.
4 Enlargement of the existing Heil Avenue pump station to
include addition of a third engine pump (to be furnished by
the City), and discharge lire into the channel..
This proposal confirms the design costs established in our
existing contract with the City dated February 3, 1984. That
contract incorporated as Exhibit A, our December 9, 1983 Proposal
for Engineering Services (on upgrading of a concrete flood
control charnel and a concrete box culvert, CC649) and authorized
us to proceed with Tasks 1, 2, and 3 (hydrology, Hydraulics, and
Preliminary Design) while excluding surveying, mapping, utility
investigation, and. geotechncal investigations. These three
tasks were completed with submittal of our Technical, Memorandum
on June 13, 1984.
Our contract also provides that upon completion of Tasks 1, 2
and 31 the City shall have the option to authorize us to perform
Tasks 4 through 6 (Final Dosign and Assistance during Bidding and
Construction) This option extends for a period of six months

beyond completion {f the work authorized in Tasks 1, 2, and 3
(until December 13, 1984).
The method for determining design phase fees ha,s already been
established in Exhibit A to our contract. That Exhibit indicates
that design fees are to be based on a percent of construction
cost using ASCE curve B in ASCE Manual No. 45 (Consulting
Engineering) as a guideline. A factor of 0.75 will then be
applied to compensate for work completed during the preliminary
phase. The exhibit references ASCE curve B, which is applicable
to projects of average complexity such as the work being proposed
on at that time (upgrading the channel and box culvert). ASCE
Manua? No. 45 specifically defines pumping station design work as
being of above average complexity for which curve A wouid be
applicable

In order to establish a design fee, it is necessary to utilize
our estimated construction costs for the proposed work (since
actual construction costs are indeterminate at this time). Our
Technical Memorandum submitted on June 13, 1984 estimated these
costs to be $410,000. Of that amount, $270,000 is for the box
culvert, catch basin, and storm drain work, and $140,000 is for
the pump station work. Therefore, design fees can be determined
utilizing ASCE curves A and B as follows:

Other Design Phase Costs
Exhibit A also notes costs for surveying work and a geotechnicaJ
investigation of $3,00.0 and $5,000, respectively. As noted
previously, these items were excluded from the earlier City
authorization. Both of these services will need to be performed
prior to final design of the proposed work. Therefore, these
fees 'should ,be added to the previous Design Fee Subtotal.

We propose to use the firm of Moore and Taber to perform the
geotechnical investigation. Moore and Taber performed the
original soils work on the adjacent tract in 1966 and is familiar
witi_ the area. We have also worked with them on numerous
projects in the Orange County area and maintain a good: working
relationship with their staff.
Surveying services will be performed by Keitt. Bush and
Associates. We have also worked with this firm on several other
assignments.
In addition, the cost o;: reproducing final contract documents is
not yncluded in the basic design services as defined in ASCE
?Manual No. 45 and therefore is not included in the median
(.compensation extracted from Curves A and B. We propose that an
additional $1,000 be added to cover the cost of final printing of
40 sets of contract documents, specifications, and reduced plans
bound into one document.

noted in Exhibit A to our existing contract would be:

1. The existing improvement plans ('as furnished by the City)
for the channel, box culvert, tract storm drain system, and
pump station accurately depict existing conditions in the
project area. Since none of these plans are marked "Record
Drawings" or "As -Built" we cannot be sure of their accurate
depiction of existing conditions
2. Technical specifications, piping requirements, installation
instructions, and wiring diagrams for the existing engine to
be furnished for the pump station will be provided by the
City. it is our intent to request the Waukesha Service
Center to provide a quotation on a complete overhaul of the
engine and appurtenances. When the job is bids this
quotation would be added to the contractor's bid and made a
part of his contract. An alternate bid from the contractor
for sut;plying the exact same overhaul could also be
accepted. The lower of the two bids could then be awarded.

This procedure for overhauling the engine will substantially
.reduce engineering design costs.
3. Existing natural gas/propane service lines and manifold
piping are adequately sized to serve the third engine.
4. Our standard contract documents (tigreement, Insurance, and
Bond Forms), general provisions, and standard specifications
will, be utilized for this project.
5. Design fee is for design phase services only. It does not
include any construction phase or bidding assistance
services. Design phase shall be deemed to conclude on t-he
earliest of: l) when the City accepts the plans,
specifications, and contract documents as being complete;
or Z) on the first day the project is advertised_
Deviation from the above five assumptions may require
renegotiation of the engineering design fee.

Schedule
The most critical element in the schedule is :he receipt of the
final geotechnical report. We anticipate that report can be
submitted within six to eight weeks from issuance of a Notice to
Proceed.. Final design plans and specifications can be submitted
within six weeks of receipt of the final geotechnical report (not
including City review time).

THIS AGREEMENT, made and entered. into this aday
of -�� ,�1981, by and between the CITY OF HUNTINGTON BEACH,
a municipal corporation of the State of California, hereinafter
referred to as "CITY," and BOYLE ENGTNEERING CORPORATION, a
California corporation, hereinafter referred t, as "CONSULTANT."
RECITALS
WHEREAS, the CITY OF HUNTINGTON BEACH desires to engage the
services of an Engineering consultant to provide hydrology and
hydraulics study plus preliminary plans and cost estimates for the
improvement of exieting concrete flood control channel -- CC 649;
and
CONSULTANT has been selected to perform said services,
NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows:
1. WORK STATEMENT
CONSULTANT shall provide all engineering services as
described in the document entitled Request for Proposal;, Upgrading
of a Concrete Flood Control Channel and a Concrete Box Culvert as
supplemented by the document entitled Proposal for Engineering
Services both of which documents which are included in Fsxhibit "A"
and incorporated into this agreement by this reference.
CONSULTANT shall complete Tasks 1, 2 and 3 as described in Exhibit
"A" except that CONSULTANT shall not perform Part l (Surveying,
Mapping and Utility Investigations) or Part 2 (Geotechnical'
AA
Investigation) of Tasks 2 and 3. Upon completion of Tasks 1, 2
and 3-, CITY shall have the option to require CONSULTANT to perform
said Parts 1 and 2 at the costs specified in Exhibit "A. CITY
shall also have the option to require CONSULTANT to perform Tasks
4 through 6 at the costs specified in Exhibit "A." Said options
shall terminate, if not exercised, within six (6) months of
completion of Tasks 1, 2 and 3.
CONSULTANT shall attend and assist in all coordination
meetings.
CONSULTANT shall designate a Project Manager who shall
represent it and be its sole contact anet agent in all
consultations with CTIFY during fulfillment of the terms of this
agreement.
2. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that all original drawings, reports,
both field and office notes, calculations, maps and other
documents shall 'be turned over to CITY upon any termination of
PROJECT.
3. INDEMNIFICATION, DEFENSE, HOLD IiARMLESS
CONSULTANT hereby agrees to defend, indemnify and hold
harmless CITY, its officers, agents and employees, from and
against any and all liability, damages, costs, losses, claims and
expenses, however caused, resulting directly or indirectly from or
connected with CONSULTANT'S performance of this agreement
including, but not limited to, such liability, cost, damage, loss,
claim, or expense arising from the death or injury to an agent or
employee of CONSULTANT, subcontractor, or of CITY or damage to the

property of CONSULTANT, subcontractor, or of CITY or of any agent
or employee of CONSULTANT, subcontractor, or of CITY, regardless
of the active or passive negligence of CITY, except where such
liability, damages, costs, losses, claims or expenses are caused
solely by the neg,igent or wrongful acts of CITE' or any of its
agents or employees including negligent omissions or commissions
of CITY, its agents or employees, in connection with the general
supervision or direction of the work to be performed hereunder.
4. WORKERS` COMPENSATION
CONSULTANT shall comply with all of the provisions of the
Workers' Compensation Insurance and Safety Acts of the State of
California, the applicable provisions of Division 4 and 5 of the
California Labor Code and all amendments thereto; and all similar
State -)r Federal acts or laws applicable; and shall indemnify,
defend and cold harmless CITY from and against all claims,
demands, payments, suits, actions, proceedings and judgments of
every nature and description, including attorney's fees and costs
presented, brought or recovered against CITY, for or on a,—zunt of
any liability under any of said acts whichi n.ay be incurred by
reason of any work to be performed by CONSULTANT under this
agreement.

to CITY and maintain in force until the completion of PROTECT a
policy of general liability insurance in which CITY is named as an
additional. insured. The policy shall indemnify CITY, its officers

against any and all claims arising out of or in connection with
PROJECT. The policy shall provide coverage in not less than the
following amounts: combined single limit bodily injury and/or
property damage of $300,000 per occurrence; and errors and
omissions insurance of $100,000. Such policy insurance shall
specifically provide that any other insurance coverage which may
be applicable to the loss shall be deemed excess coverage and
CONSULTA?T`S insurance shall be primary. A certificate of all
such insurance policies required by this agreement shall be
delivered to the City Attorney prior to the commencement of any
work and shall be approved by her in writing. No such insurance
shall be cancelled or modified without thirty (30) days' prior
written notice to CITY.

CONSULTANT is, and shall be, acting at all times in the

Engineer, of changes from the work as indicated in Exhibit "A." or
for other written permission authorizing additional work not
contemplated herein, additional compensation shall be allowed for
such extra work, so long as the prior written approval of CITY is
obtained,

STATEMENT OF ISSUE: r
Proposals were requested from qualified civil engineering firms -,:o perform and/or
provide all necessary studies and field investigations required to, subsequently,
prepare plans and specifications for upgrading the concrete flood control channel
northwest of Heil Avenue and Gothard Street.
RECOWEND.ATIONS :
1 Approve. the selection of Boyle Engineering Corporation to perform and/or provide
all necessary studies and field investigations required for upgrading the con-
crete flood control channel.
2) Establish a study and analysis budget of $15,000 (this will include consultant
agreement and miscellaneous costs as required).
3) Authorize the Mayor. and City Clerk to execute the attached consultant agreement
with Boyle Engineering for $11,700.00.
ANALYSIS:
On November 7, 1983, the Council authorized staff to solicit proposals, from qualified
civil engineering firms, to perform aiO/or provide all necessary studies and field
investigations required to, subsequently, prepare plans and specifications for upgrad-
ing the concrete flood cont?:ol channel nortinaest of Heil Avenue and Gothard Street,
Therefore, pursuant to Chapter 3.03 "Professional Services" of the Municipal Code,
requests for engineering services were mailed to qualified firms listed on the City's
professional roster.
Requests were received from four (4) engineering firms. Of the four, Boyle Engineer-
ing Corporation submitted the most qualified proposal. Phase I, of their proposal,
consists of recommending specific improvements. These recomTendations will be based
on extensive studies of flood control channel needs relevant to existing facilities.
Phase II, the cost of preparing plans and specifications for the recomriended improve-
ments, is also included in the Boyle proposal, however, this will not be incorporated
into the agreement at this time:.
. UTMING SOUrKE:
.Adequate funds for Phase I are available in Drainage District 5C. The July 1,,1983
audit report showed an unencured balance of $110,704.03.

Gentlemen:
`?`he City of Huntington Beach is requesting proposals from qualified civil engi-ieers
to prepare plans, specifications and eYgineer's estimate for the upgrading of a
trapezoidal reinforce concrete flood control channel and a reinforced concrete box
culvert. The location of the channel is approximately 600 feet west of Gothard
Street and north of Heil Avenue (see Attach. "A")
Tile City's 1979 Master Plar. of Drainage discusses the su)rject ch,,nnLl* and concludes
that it has adequate capacity to accormr-date tie drainage area. Recant review of
the 1979 report indicate that an incorrect slope was used for channel analysis and
both the channel and the 6 x 10 foot reinforced box culvert under Heil Avenue are
inadequate to handle design flows
In addition to the problem of channel capacity, the residents of the saodivisicn
west of the subject flood control channel and north of ,Heil Avenue are conceri.e'
that the drainage system serving their neighborhood is inadequate and that flocair,
regularly occurs at the intersection of Magellan and Sunshine where .:urb inlet-s are
located. The inlets discharge to the Heil Avenue pump station which gx ps storm
water into the adjacent channel. Maintenance personnel report no problems with the
punp station even during the heavy storms of January and blarch, 1983. ;
The scope of work for which proposals are being solicited include;
I. Perform and/or provide all necessary studies and field investigations required
to prepare the prelmnnazy plans and working drawings.. Project studies shall i

channel and a determination of the capacity necessary to met the City's
design standards,

2. Preparing all preliminary plans and'cost estimates for the improvement of the
existing channel per design flow requirements (includes the cost of all mis-
cellaneous printing, etc.).

plans and working drawings.
Based on an approval of the preliminary plans and cost estimates, the engineer
shall prepare and provide 40 sets of the:

5. The engineer shall, during bid advertisanent and construction, provide _support
including interpretation of plans and specifications, review of shop drawings,

6. Provide one acceptable set of reproducible "as -built" mylar drawings. (Note:
10% of the contract amount will be withheld until the "as -bunts" are submitted
and approved.)
7. Furnish $300,000 of errors and omission insurance and all other insurances as
noted in sarple contract. The advertising for bids and awarding of a contract for this project will be admin-
istered by City staff. In addition, City personnel will control contract administra-
tion and -perform the required construction inspections.

with The notation "Flood Control Channel Upgrades" on the envelope. Each proposal
should include the following information:
1. A list of similar projects.
2. A stateuent of your understanding of the scope of work and the steps necessary
to complete the project.
3. A list of personnel, including the proposed project manager who will be assigned
to work on this project, and a brief resume for each.
4. A brief outline of how you propose to handle this project, if awarded to your
firm, and a time -line for completing the nrojer`.
5. Your fee based on an hourly rate or percentage .f the final. cost estimate. A
maximum not -to -exceed fee should also be specified.

1. Expertise and experience.
