ENGL ire�c�dF, Community Services SUBJECT: AUTHORIZE PROFESSIONAL SERVICE EXPENDITURE F0k MONITORING OF LANDFILL GAS SYSTEM AT SPORTS CbMPL-Ex �Eitem:en:t:,:f Issue, Funding Source, Recommended Action, Alternative Action(s), Analysis, Environmental Status, Attachment(s) Statement of Issue: Funds for compliance monitoring of the landfill gas system at the Central Park Sports Complex were approved as part of the 03-04 fiscal year budget. Due to an administrative oversight, however, business unit 10045403 was not included in the list of budgeted professional service contracts. Fundinct Source: The action requested does not require a new appropriation. Funds were previously included in the General Fund, Adult Sports, Repairs and Maintenance Account 10045403.64520 for fiscal year 03-04. Recommended Action: Motion to: Authorize expenditure in an amount not to exceed $150,000 from Adult Sports business unit 10045403for professional service contract for monitoring of landfill gas system at the Huntington Central Park Sports Complex. Alternative Action(s): Do not authorize expenditure and direct staff accordingly. Analysis: On March 11, 2002, a professional services contract was authorized between the city and Bryan A. Stirrat and Associates (BAS) for "As Needed Services" though March 11, 2005 (Attachment 1). As one of the services provided through this contract, a proposal was received from BAS to perform operation, maintenance, and monitoring of the landfill gas migration (LFG) control system at the Sports Complex in compliance with South Coast Air Quality Management District regulations. Their proposal is included as Attachment 2, but generally involves weekly, bi-weekly and monthly monitoring, collecting and analyzing samples, corrective repairs, and preparing monthly reports. E (A REQUEST FOR COUNCIL ACAN MEETING DATE: January 20, 2004 DEPARTMENT ID NUMBER: CS O4-001 Part of the on -going maintenance of the Sports Complex is the monitoring of the landfill gas migration system and compliance with South Coast Air Quality Management District regulations. This annual expense was included in the overall proforma for the Sports Complex approved by City Council on June 2, 2003. However, due to the technical expertise required to perform the necessary monitoring and reporting requirements, the expenditure and business unit (10045403) should be added to the list of City Council -approved professional service contracts for fiscal year 03-04. The purpose of this Request for Council Action is to amend the listing of professional services approved contracts to include compliance monitoring at the Sports Complex in the amount of $150,000. CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to work directly with CONSULTANT in the performance of this Agreement. 3. TERM,• TIME OF PERFORM ANCE Time is of the essence of this Agreement. The services of CONSULTANT are to commence as soon as practicable after the execution of this Agreement by CITY (the "Commencement Date"j. MEnTUD OF PAYMENT CONSULTANT shall be paid pursuant to the terms of Exhibit "B," which is attached hereto and incorporated by reference into this Agreement. 7. DISrPOSTTTON OF PLANS, ESTIMATES -AND OT_IM DOCUMENTS CONSULTANT agrees that title to all materials prepared hereunder, including, without limitation, all original drawings, designs, reports, bold field and office notices, calculations, computer code, language; data or programs, maps, memoranda, letters and other documents, shall belong to CITY, and CONSULTANT shall turn these materials over to CTTY upon expiration or termination of this Agreement or upon PROJECT completion, whichever shall ocetr first. These materials may be used by CITE'' as it sees fit_ 8. HOLD HARMLESS CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless CITY, its officers, elected or appointed officials, employees, agent.5 and volunteers from and against any and all claims, damages, losses, expenses, judgments, demands and defense costs (including, without limitation, costs and fees of litigation of every nature or liability of any kind or nature) arising out of or in connection with CONSULTANT's (or CONSULTANTS subcontractors, if any) negligent performance of this Agreement of its failure to comply with any of its obligations contained in this Agreement by CONSULTANT, its officers, agents or employees except such lass or damage which was caused by the sole negligence or willful rnisccmduct of CTTY.` egrCrAGrrnVPMrSCrV 10/15/01 3 U zI70 ' d �LST bL€ 17T2, HRH= FF Nn I FIN T I WnH ;1R : V T r�GlGlr'—CGI—r11i#J CONSULTAN`f will conduct all defense at its sole cost and expense and CITY shall approve selection of CONSUIJANT's counsel. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as limitation upon the amount of indemnification to be provided by CONSULTANT. 9_ PROFF..SSIONAL LIABILITY INSU ANCE CONSULTANT shall obtain and furnish to CITY a professional liability insurance policy covering the work performed by it hereunder. This policy shall provide coverage for CONSULTANT's professional liability in an amount not less than One Million Dollars (S1,000,044.00) per occur=cc and in the aggregate. The above - mentioned insurance shall not contain a self -insured retentionn, "deductible" or any other similar form of limitation on the required coverage except with the express written consent of CITY. A claims -made policy sliall be acceptable if the policy fm her provides that: A_ The policy retroactive date coincides with or precedes the initiation of the scope of work (including subsequent policies punbased as renewals or replacements), B. CONSULTANT shall notify CITY of circumstances or incidents that might give rise to future claims. CERTIFICATR OE 1NSUR&N F Prior to commencing performance of the work hereunder, CONSULTANT shall furnish to CITY a ceRificate of insurance subject to approval of the City Attorney evidencing the foregoing insurance covemge as required by tWs Agreement; the certificate shall: A. provide the name and policy number of each carrier and policy; 13, shall state that the policy is currently in force; and C. sha11 premise that such policy shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty (30) days' prior written notice; however, teen 0 0) days' prior written notice in the event of cancellation for nonpayment of premium. . CONSULTANT shall maintain the foregoing insurance coverage in force until the work under this Agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverage shall not derogate from CONSULTANT's defense, hold hanniess and indemnification obligations as set forth in this Agreement. CfTY or its representative shall at all times have the right to demand the original or a copy of the policy of insurance. CONSULTANT shalt pay, in a prompt and timely manner, the premiums on the insurance hereinabove required. 11. INDEPENDENT CONTRACTOR CONS ULTANT is, and shall be, acting at all times in the: peri'onnance of this Agreement as an independent contractor herein and not as an employee of CITY. TERMiNA110 QF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and whether or not the PROJECT is fully complete. Any terminations of this .Agreement by CTTY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided herein. In the event of termination, all finished and unfinished documents, exhibits, report, and evidence shall, at the option of CITY, become its property and shall be promptly delivered to it by CONSULTANT, 13. ASSIGNMENT AND D GATION This Agreement is a personal service contract and the work hereunder shall not be assigned, delegated m subcontracted by CONSULTANT to any other person or entity without the prior express written consent of CITY. If an assignment, delegation or subcontract is approved, all approved assignees, delegates and subconsultants must satisfy the insurance requirements as set fortb in Sections 9 and 10 hereinabove. 14. No officer or employee of CITY shall have any financial interest in this Agreeuieiit in violation of the applicable provisions of the California Government Code. 16. NQTICES Any notices, certificates, or other communications hounder shall be given either by personal delivery to CONSULTANTS agent (as designated in Section I hereinabove) or to CITY as the situation shall wan -ant, or by enclosing the same in a sealed envelope, postage prepaid, and depositing the same in the United States Postal Service, to the addresses specified below. M SEC INGS The titles, captions, section, paragraph and subject headings, and descriptive phrases at the beginning of the various sections in this Agreement are merely descriptive and are included solely for convenience of rc*Tence only and are not representative of matters included or excluded from such provisions, and do not interpret, define, limit or describe, or coststrue the intent of the parties or affect the construction or interpretation of any provision of this Agreement. 20, TNTERPRETATIM QE TICS AGREQAMa The language of all parts of this Agreement small in all cases be construed as a whole, according to its fair tncaning, and not strictly for or against any of the parties. If any provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be unenforceable, void, illegal or invalid, such holding sha11 not invalidate or affect the remaining covenants and provisions of this Agreement. No covenant or provision shall be deemed: dependent upon any other unless so expressly provided ,here. As used in this Agreement, the masculine or neuter gender and singular or plural number shall be deemed to include the other whenever the context so indicates or requires. Each duplicate original shall be deemed an original instrument as against any party who has aigned it. 22. IMMIGRATION CONSULTANT Mali be responsible for full compliance with the immigration and natumlizat':on laws of the United States and shall, in particular, comply with the provisions of the United States Code regarding employment verification. 23. LEGAL. SERVICES SUBCONI&&CIR LG MO IBITED CONSULTANT and CITY agree that CITY is not liable for payment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. CONSUL"1'ANT understands that pursuant to Huntington Beach City Charter Section 349, the City Attorney is the exclusive legal counsel for CITY; and CITY shall not be liable for payment of any legal services expenses incurred by CONSULTANT. 24. The parties also acknowledge and agree that no representations, inducements, promises, agreements or warranties, oral or otherwise., have been made by that party or anyone acting on that party's behalf, which are not embodied in this Agreement, and that that party has not executed this Agreement in reliance on any representation, inducement, promise, agreement, warranty, fact or circumstance not expressly sct forth in this Agreement. Stirrat & Associates (BAS) is pleased to submit this proposal to perform operation, maintenance, and monitoring (OM&M) of the landfill gas (LFG) migration control system and South Coast Air Quality Management District (SCAQMD) Rule 1150.1 compliance monitoring at the Huntington Beach Central Sports Complex (former Huntington Beach Landfill). This document describes our proposed scope of work, overall assumptions and conditions, and BAS' proposed fees to perform the required services. 1.0 SCOPE OF WORK BAS proposes to operate, monitor, and maintain the LFG system to control LFG migration so that operational goals are met and regulatory compliance is achieved. BAS proposes to divide OM&M services into the following categories: Routine OM&M services and SCAQMD Rule 1150.1 compliance monitoring and reporting. Non -routine scheduled maintenance and non -routine unscheduled emergency services. These activities are described in detail in the following paragraphs: 1.1 ROUTINE OPERATION, _MAINTENANCE, AND MONITORING Routine OM&M services consist of those activities required to control LFG migration. Data will be collected and recorded for the following tasks: — Meteorological conditions (e.g., wind velocity, barometric pressure, ambient temperature, etc.). -- Extraction blower operating (inlet and outlet) temperatures and pressures. — Methane gas, oxygen gas, and carbon dioxide gas concentrations at the carbon adsorber inlet and outlet. -- Differential pressure across the system flame arrestor and other critical components. — LFG flow rates. The LFG will be sampled and analyzed using a photo ionization detector at the inlet and outlet of the carbon adsorbers in accordance with the conditions of the operating permit. Condensate sump liquid levels will be checked and the sumps will be pumped as necessary on a weekly basis. The condensate will be transferred to the holding tank at the treatment facility. Extraction wells will be monitored weekly in the first two -quarters, bi-weekly in the third quarter, and monthly in the fourth quarter. Data will be collected and recorded for the following: — LFG temperature — wellhead vacuum -- header vacuum methane concentration oxygen concentration carbon dioxide concentration -- LFG flow rate • On -site structure monitoring for methane will be performed at the North concession building and at the maintenance building initially, monthly for the first quarter, and quarterly thereafter in accordance with the schedule and procedures described by the engineer on the, project. Extraction well and blower speed adjustments will then be forwarded to field technicians for implementation. These tasks will be performed weekly in the first two quarters, bi-weekly in the third quarter, and monthly in the fourth quarter and thereafter. 1.1.3 Maintenance Monthly Proper operation of the automatic dialer system will be verified. The blower bearings will be lubricated in accordance with the manufacturer's specifications. Quarterly Alarm. -signals (e.g., blower failure, etc.) will be simulated. for proper operation and notification. During alarm simulation activities (when applicable) the alarm sensing equipment will be calibrated in accordance with the manufacturer's specifications. Flame arrestor disassembly and observation will be conducted (cleaning will be performed as required). Annually A list of critical spare parts will be developed for inclusion in the annual report. A comprehensive annual observation of all components contained in the LFG control facilities will be made and documented for the annual report 1.1.4 OM&M Reporting * Once each month, BAS will prepare a report to the City of Huntington Beach containing the data collected, the engineering analysis/recommendations, and a summary of all project activities performed during the reporting period. Completed maintenance checklists/reports will be attached to the monthly reports. Annually, a report summarizing the results and recommendations as to equipment or material replacement and/or changes in operating procedures will be submitted. Ms. Sudi Shoja Re: Huntington Beach Central Sports Complex — OM&M of the LFG Migration Control System and SCAQMD 1150.1 Compliance Monitoring May 5, 2003 Page 4 1.1.5 SCAQMD Rule 1150.1 Compliance The City submitted a Compliance Plan/Alternative Monitoring Plan (AMP) to SCAQMD in October of 2001. For estimating purposes, this proposal assumes the requested AMP tasks and frequencies will be approved by the SCAQMD. The 1150.1 compliance requirements and frequencies based on acceptance of the AMP are described below. • Boundary compliance probe monitoring will be conducted monthly. • Integrated surface sampling will be conducted semi-annually. • Instantaneous surface monitoring will be conducted semi-annually. • Landfill gas sampling at the treatment facility will be performed monthly. Within 45 days of the end of each quarterly period, BAS will prepare and submit to SCAQMD a site specific Rule 1150.1 Quarterly Monitoring Report. Each report will include an executive summary, a separate discussion of each task completed, summary tables of field measurements and laboratory analytical results (if applicable), and a site map showing the locations of all monitoring points. Field data sheets and laboratory analytical reports.(if applicable) will_be included as appendices. If the City does not receive an approved compliance plan based on the submitted AMP from SCAQMD, additional 1150.1 monitoring and laboratory analysis will be required at an additional cost, 1.2 NON -ROUTINE ACTIVITIES The Non -Routine category consists of two components, Non -Routine Scheduled Maintenance and Non -Routine Unscheduled Emergency Services. Both of these components are described below. 1.2.1 Non -Routine Scheduled Maintenance Non -routine scheduled maintenance consists of corrective repair or maintenance work identified as being required during the routine work. Examples of this type of work include piping and wellhead repairs, well construction, and blower repair or replacement. This work is essential for proper system operations; however, it is considered the type of work that can be scheduled to allow for procurement of materials, equipment, scheduling of personnel. Non -routine scheduled maintenance will only be performed subsequent to notification to and written authorization by the City. Examples of non - routine, scheduled maintenance include replacement of granular activated carbon and off site disposal of LFG condensate. 1.2.2 Non -Routine Unscheduled Emergency Services Nan -routine unscheduled emergency services include events that require immediate response, including, but not limited to, call outs by City staff or auto -dialer call outs. These services will also be conducted subsequent to notification and verbal authorization of the City, on time -and -expense basis with a not to exceed amount. 2.0 ASSUMPTIONS AND CONDITIONS Our Scope of Work and Compensation have been developed based on the following assumptions and conditions: • BAS' responsibilities are limited to the scope of work described in this proposal and the frequencies provider) in the attached cost estimate. Should -additional work be required beyond these tasks presented in the cost estimate,. additional compensation will be required based on the Standard BAS Schedule of Charges. • The LFG system consists of 35 vertical extraction wells, 5 monitoring probes, 8 below grade condensate sumps, a knockout vessel, a condensate holding tank, 2 blowers, 2 carbon adsorber units with appurtenant mechanical and electrical control equipment, and below grade header and lateral lines. • The on -site automatic dialer alarm system will notify BAS of a shutdown. • BAS will not take responsibility for the overall quality of the gas collected from the LFG control system with regard to trace components. • BAS takes no legal responsibility for any of the potential hazards associated with the condensate and/or LFG. 3.0 COMPENSATION SAS will perform all routine OM&M services as described in this proposal for a period of two (2) years for the following annual cost: First year lump s $1 Z 1, 700 . DISPOSITION OF PLANS ESTIMATES AND OTHER DOCUMENTS CONSULTANT agrees that title to all materials prepared hereunder, including, without limitation, all original drawings, designs, reports, both field and office notices, calculations, computer code, language, data or programs, maps, memoranda, letters and other documents, shall belong to CITY, and CONSULTANT shall turn these materials over to CITY upon expiration or termination of this Agreement or upon PROJECT completion, whichever shall occur first. PROFESSIONAL LIABILITY INSURANCE CONSULTANT shall obtain and furnish to CITY a professional liability insurance policy covering the work performed by it hereunder. This policy shall provide coverage for CONSULTANT's professional liability in an amount not less than One Million Dollars ($1,000,000.00) per occurrence and in the aggregate. The above - mentioned insurance shall not contain a self -insured retention, "deductible" or any other similar form of limitation on the required coverage except with the express written consent of CITY. A claims -made policy shall be acceptable if the policy further provides that: A. The policy retroactive date coincides with or precedes the initiation of the scope of work (including subsequent policies purchased as renewals or replacements). B. CONSULTANT shall notify CITY of circumstances or incidents that might give rise to future claims. CONSULTANT will make every effort to maintain similar insurance during the required extended period of coverage following PROJECT completion. If insurance is terminated for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two (2) years to report claims arising from work performed in connection with this Agreement. agmdfomns/profsery 1 als/01 4 0 0 10. CERTIFICATE OF INSURANCE Prior to commencing performance of the work hereunder, CONSULTANT shall furnish to CITY a certificate of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverage as required by this Agreement; the certificate shall: A. provide the name and policy number of each carrier and policy; B. shall state that the policy is currently in force; and C. shall promise that such policy shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty (30) days' prior written notice; however, ten (10) days' prior written notice in the event of cancellation for nonpayment of premmum. CONSULTANT shall maintain the foregoing insurance coverage in force until the work under this Agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverage shall not derogate from CONSULTANT's defense, hold harmless and indemnification obligations as set forth in this Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of the policy of insurance. CONSULTANT shall pay, in a prompt and timely manner, the premiums on the insurance hereinabove required. 11. INDEPENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor herein and not as an employee of CITY. CONSULTANT shall secure at its own cost and expense, and be responsible for any and agreelfomWprofs 10/15/01 5 0 i all payment of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for CONSULTANT and its officers, agents and employees and all business licenses, if any, in connection with the PROJECT and/or the services to be performed hereunder. 12. TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and whether or not the PROJECT is fully complete. Any termination of this Agreement by CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided herein. In the event of termination, all finished and unfinished documents, exhibits, report, and evidence shall, at the option of CITY, become its property and shall be promptly delivered to it by CONSULTANT. 13. ASSIGNMENT AND DELEGATION This Agreement is a personal service contract and the work hereunder shall not be assigned, delegated or subcontracted by CONSULTANT to any other person or entity without the prior express written consent of CITY. If an assignment, delegation or subcontract is approved, all approved assignees, delegates and subconsultants must satisfy the insurance requirements as set forth in Sections 9 and 10 hereinabove. 14. INTERPRETATION OF THIS AGREEMENT The language of all parts of this Agreement shall in all cases be construed as a whole, according to its fair meaning, and not strictly for or against any of the parties. If any provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be unenforceable, void, illegal or invalid, such holding shall not invalidate or affect the remaining covenants and provisions of this Agreement. No covenant or provision shall be deemed dependent upon any other unless so expressly provided here. As used in this Agreement, the masculine or neuter gender and singular or plural number shall be deemed to include the other whenever the context so indicates or requires. IMMIGRATION CONSULTANT shall be responsible for full compliance with the immigration and naturalization laws of the United States and shall, in particular, comply with the provisions of the United States Code regarding employment verification. 23. LEGAL SERVICES SUBCONTRACTING PROHIBITED CONSULTANT and CITY agree that CITY is not liable for payment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. ENTIRETY The parties acknowledge and agree that they are entering into this Agreement freely and voluntarily following extensive arm's length negotiation, and that each has had the opportunity to consult with legal counsel prior to executing this Agreement. The parties also acknowledge and agree that no representations, inducements, promises, agreements or warranties, oral or otherwise, have been made by that party or anyone acting on that parry's behalf, which are not embodied in this Agreement, and that that party has not executed this Agreement in reliance on any representation, inducement, promise, agreement, warranty, fact or circumstance not expressly set forth in this Agreement. MER1Q OF_PAYMENT CONSULTANT shall be paid pursuant to the terms of Exhibit "E," which is attached hereto and incorporated by reference into this Agreement 7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS CONSULTANT agrees that title to all materials prepared hereunder, including, without limitation, all original drawings, designs, reports, both field and office notices, calculations, computer code, language, data or programs, maps, memoranda, letters and other documents, shall belong to CITY, and CONSULTANT shall turn these materials over to CITY upon expiration or termination of this Agreement or upon PROJECT completion, whichever shall occur first. These materials may be used by CITE' as it sees fit. 8. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable_ The policy limits do not act as limitation upon the amount of indemnification to be provided by CONSULTANT. 9_ PROFESSIONAL_ LIABILITY INSURANCE CONSULTANT shall obtain and furnish to CITY a professional liability insurance policy covering the work performed by it hereunder. This policy shall provide coverage for CONSULTANT'S professional liability in an amount not less than One Million Dollars ($1,000,000.00) per occurrence and in the aggregate. The above - mentioned insurance shall not contain a self -insured retention, "deductible" or any ether similar form of limitation on the required coverage except with the express written consent of CITY. A claims -made policy shall be acceptable if the policy further provides that: A_ The policy retroactive date coincides with or precedes the initiation of the scope of work (including subsequent policies purchased as renewals or replacements). B. CONSULTANT shall notify CITY of circumstances or incidents that might give rise to future claim. OF TNSURANCF Prior to commencing performance of the work hereunder, CONSULTANT' shall furnish to CITY a certificate of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverage as required by this Agreement; the certificate shall: A, provide the name and policy number of each carrier and policy; fi_ shall state that the policy is currently in force; and C. shall promise that such policy shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty (30) days' prior written notice; however, ten (10) days' prior written notice in the event of cancellation for nonpayment of Premium. CONSULTANT shall maintain the foregoing insurance coverage in force until the work under this Agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverage shall not derogate from CONSULTANT's defense, hold harmless and indemnification obligations as set forth in this Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of the policy of insurance. CONSULTANT shall pay, in a prompt and timely manner, the premiums on the insurance hereinabove required. 11. INDEPENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor herein and not as an employee of CITY.
