Hopkins, PE, Director of Public Works SUBJECT: Approve and authorize execution of Amendment No. 1 with Bucknam Infrastructure Group, Inc., in the amount of $70,000 for a total contract amount not to exceed $156,000 for Pavement Management Proqram Statement of Issue: The City is required to update its Pavement Management Plan every two years. An amendment to the existing contract with Bucknam Infrastructure Group, Inc. will allow for this update to take place. Financial Impact: Funds in the amount of $70,000, for the contract amendment, are included in the "FY 2017/18 proposed budget in Measure M account 21385201.69635. Recommended Action: Approve and authorize the Mayor and City Clerk to execute "Amendment No. 1 to Agreement Between Bucknam Infrastructure Group, Inc. for Pavement Management Program," in the amount of $70,000 for a total contract amount not to exceed $156,000. Alternative Action(s): Do not authorize Amendment No. 1 and direct staff on how to proceed. Analysis: The Orange County Transportation Authority requires member City's to maintain a Pavement Management Plan (PMP) in order to be eligible to receive Measure "M2" funding. Additionally, the PMP must be updated every two years. In 2015, the City entered into a Professional Services Contract with Bucknam Infrastructure Group, Inc. to provide the 2016 PMP update. The agreement has a time frame of three years; therefore, staff is requesting that the agreement be amended in order to provide additional funds for Bucknam Infrastructure Group to provide the City with the required 2018 PMP update. The existing contract budget for the 2016 PMP was $86,000. The additional fee for the 2018 PMP update is $70,000, bringing the total contract cost to $156,000. Environmental Status: Not applicable. FOR PAVEMENT MANAGEMENT PROGRAM THIS AMENDMENT is made and entered into by and between the CITY OF HUNTINGTON BEACH, a California municipal corporation, hereinafter referred to as "CITY," and BUCKNAM INFRASTRUCTURE GROUP, INC., a California corporation, hereinafter referred to as "CONSULTANT." METHOD OF PAYMENT CONSULTANT shall be paid pursuant to the terms of Exhibit "B." 7 DISPOSITION OF PLANS. ESTIMATES AND OTHER DOCUMENTS CONSULTANT agrees that title to all materials prepared hereunder, including, without limitation, all original drawings, designs, reports, both field and office notices, calculations, computer code, language, data or programs, maps, memoranda, letters and other documents, shall belong to CITY, and CONSULTANT shall turn these materials over to CITY upon expiration or termination of this Agreement or upon PROJECT completion, whichever shall occur first These materials may be used by CITY as it sees fit. 8 HOLD HARMLESS CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless CITY, its officers, elected or appointed officials, employees, agents and volunteers from and against any and all claims, damages, losses, expenses, judgments, demands and defense costs (including, without limitation, costs and fees of litigation of every nature or liability of any kind or nature) arising out of or in connection with CONSULTANT's (or CONSULTANT's subcontractors, if any) negligent (or alleged negligent) performance of this Agreement or its failure to comply with any of its obligations contained in this Agreement by CONSULTANT, its officers, agents or employees except such loss or damage which was caused by the sole negligence or willful misconduct of CITY CONSULTANT will conduct all defense at its sole cost and expense and CITY shall approve selection of CONSULTANT's counsel This indemnity shall agree/ surfnet/professional Svcs 50 to 100 10/12 3of11 apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as limitation upon the amount of indemnification to be provided by CONSULTANT 9. PROFESSIONAL LIABILITY INSURANCE CONSULTANT shall obtain and furnish to CITY a professional liability insurance policy covering the work performed by it hereunder This policy shall provide coverage for CONSULTANT's professional liability in an amount not less than One Million Dollars ($1,000,000.00) per occurrence and in the aggregate. The above - mentioned insurance shall not contain a self -insured retention without the express written consent of CITY, however an insurance policy "deductible" of Ten Thousand Dollars ($10,000 00) or less is permitted A claims -made policy shall be acceptable if the policy further provides that A The policy retroactive date coincides with or precedes the initiation of the scope of work (including subsequent policies purchased as renewals or replacements) B CONSULTANT shall notify CITY of circumstances or incidents that might give rise to future claims CONSULTANT will make every effort to maintain similar insurance during the required extended period of coverage following PROJECT completion If insurance is terminated for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two (2) years to report claims ansing from work performed in connection with this Agreement If CONSULTANT fails or refuses to produce or maintain the insurance required by this section or fails or refuses to furnish the CITY with required proof that agree/ surfnet/professional svcs 50 to 100 10/12 4 of 11 insurance has been procured and is in force and paid for, the CITY shall have the right, at the CITY's election, to forthwith terminate this Agreement Such termination shall not effect Consultant's right to be paid for its time and materials expended prior to notification of termination. CONSULTANT waives the right to receive compensation and agrees to indemnify the CITY for any work performed prior to approval of insurance by the CITY. 10 CERTIFICATE OF INSURANCE Prior to commencing performance of the work hereunder, CONSULTANT shall furnish to CITY a certificate of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverage as required by this Agreement, the certificate shall A provide the name and policy number of each carrier and policy, B. state that the policy is currently_ in force; and C shall promise that such policy shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty (30) days' prior written notice, however, ten (10) days' prior written notice in the event of cancellation for nonpayment of premium CONSULTANT shall maintain the foregoing insurance coverage in force until the work under this Agreement is fully completed and accepted by CITY The requirement for carrying the foregoing insurance coverage shall not derogate from CONSULTANT's defense, hold harmless and indemnification obligations as set forth in this Agreement CITY or its representative shall at all times have the right to demand the original or a copy of the policy of insurance CONSULTANT shall pay, in a prompt and timely manner, the premiums on the insurance hereinabove required agree/ surfnet/professional sves 50 to 100 10/12 5 of 11 11. INDEPENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor herein and not as an employee of CITY CONSULTANT shall secure at its own cost and expense, and be responsible for any and all payment of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for CONSULTANT and its officers, agents and employees and all business licenses, if any, in connection with the PROJECT and/or the services to be performed hereunder 12 TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and whether or not the PROJECT is fully complete. Any termination of this Agreement by CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided herein In the event of termination, all finished and unfinished documents, exhibits, report, and evidence shall, at the option of CITY, become its property and shall be promptly delivered to it by CONSULTANT 13 ASSIGNMENT AND DELEGATION This Agreement is a personal service contract and the work hereunder shall not be assigned, delegated or subcontracted by CONSULTANT to any other person or entity without the prior express written consent of CITY. If an assignment, delegation or subcontract is approved, all approved assignees, delegates and subconsultants must satisfy the insurance requirements as set forth in Sections 9 and 10 heremabove agree/ surfnet/professional svcs 50 to 100 10/12 6 of 11 14 COPYRIGHTS/PATENTS CITY shall own all rights to any patent or copyright on any work, item or material produced as a result of this Agreement 15. CITY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement No officer or employee of CITY shall have any financial interest in this Agreement in violation of the applicable provisions of the California Government Code 16. NOTICES Any notices, certificates, or other communications hereunder shall be given either by personal delivery to CONSULTANT's agent (as designated in Section 1 heremabove) or to CITY as the situation shall warrant, or by enclosing the same in a sealed envelope, postage prepaid, and depositing the same in the United States Postal Service, to the addresses specified below. CITY and CONSULTANT may designate different addresses to which subsequent notices, certificates or other communications will be sent by notifying the other party via personal delivery, a reputable overnight carver or U S certified mail -return receipt requested TO CITY. SECTION HEADINGS The titles, captions, section, paragraph and subject headings, and descriptive phrases at the beginning of the various sections in tlus Agreement are merely descriptive and are included solely for convenience of reference only and are not representative of matters included or excluded from such provisions, and do not interpret, define, limit or describe, or construe the intent of the parties or affect the construction or interpretation of any provision of this Agreement 20. INTERPRETATION OF THIS AGREEMENT The language of all parts of this Agreement shall in all cases be construed as a whole, according to its fair meaning, and not strictly for or against any of the parties. If any provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be unenforceable, void, illegal or invalid, such holding shall not invalidate or affect the remaining covenants and provisions of this Agreement No covenant or provision shall be deemed dependent upon any other unless so expressly provided here As used in this Agreement, the masculine or neuter gender and singular or plural number shall be deemed to include the other whenever the context so indicates or requires Nothing contained herein shall be construed so as to require the commission of any act agree/ surfnet/professional svcs 50 to 100 10/12 8 of 11 contrary to law, and wherever there is any conflict between any provision contained herein and any present or future statute, law, ordinance or regulation contrary to which the parties have no right to contract, then the latter shall prevail, and the provision of this Agreement which is hereby affected shall be curtailed and limited only to the extent necessary to bring it within the requirements of the law. 21. DUPLICATE ORIGINAL The original of this Agreement and one or more copies hereto have been prepared and signed in counterparts as duplicate originals, each of which so executed shall, irrespective of the date of its execution and delivery, be deemed an original Each duplicate original shall be deemed an original instrument as against any party who has signed it 22 IMMIGRATION CONSULTANT shall be responsible for full compliance with the immigration and naturalization laws of the United States and shall, in particular, comply with the provisions of the United States Code regarding employment venfication 23 LEGAL SERVICES SUBCONTRACTING PROHIBITED CONSULTANT and CITY agree that CITY is not liable for payment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. CONSULTANT understands that pursuant to Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for CITY, and CITY shall not be liable for payment of any legal services expenses incurred by CONSULTANT agree/ surfnet/professional svcs 50 to 100 10/12 9 of 11 24 ATTORNEY' S FEES In the event suit is brought by either party to construe, interpret and/or enforce the terms and/or provisions of this Agreement or to secure the performance hereof, each party shall bear its own attorney's fees, such that the prevailing party shall not be entitled to recover its attorney's fees from the nonprevailmg party. 25 SURVIVAL Terms and conditions of this Agreement, which by their sense and context survive the expiration or termination of this Agreement, shall so survive. 26 GOVERNING LAW This Agreement shall be governed and construed in accordance with the laws of the State of California 27. SIGNATORIES Each undersigned represents and warrants that its signature herembelow has the power, authority and right to bind their respective parties to each of the terms of this Agreement, and shall indemnify CITY fully for any injuries or damages to CITY in the event that such authority or power is not, in fact, held by the signatory or is withdrawn. 28. ENTIRETY The parties acknowledge and agree that they are entering into this Agreement freely and voluntarily following extensive arm's length negotiation, and that each has had the opportunity to consult with legal counsel prior to executing this Agreement The parties also acknowledge and agree that no representations, inducements, promises, agreements or warranties, oral or otherwise, have been made by that party or anyone acting on that party's behalf, which are not embodied in this Agreement, and that that party has not executed this Agreement in reliance on any representation, inducement, agree/ surfnet/professional sves 50 to 100 10/12 10 of I1 promise, agreement, warranty, fact or circumstance not expressly set forth in this Agreement This Agreement, and the attached exhibits, contain the entire agreement between the parties respecting the subject matter of this Agreement, and supersede all prior understandings and agreements whether oral or in writing between the parties respecting the subject matter hereof 29. EFFECTIVE DATE This Agreement shall be effective on the date of its approval by the City Attorney. This Agreement shall expire when terminated as provided herein. METHOD OF PAYMENT CONSULTANT shall be paid pursuant to the terms of Exhibit "B." 7 DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS CONSULTANT agrees that title to all materials prepared hereunder, including, without limitation, all original drawings, designs, reports, both field and office notices, calculations, computer code, language, data or programs, maps, memoranda, letters and other documents, shall belong to CITY, and CONSULTANT shall turn these materials over to CITY upon expiration or termination of this Agreement or upon PROJECT completion, whichever shall occur first These materials may be used by CITY as it sees fit. 8 HOLD HARMLESS CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless CITY, its officers, elected or appointed officials, employees, agents and volunteers from and against any and all claims, damages, losses, expenses, judgments, demands and defense costs (including, without limitation, costs and fees of litigation of every nature or liability of any kind or nature) arising out of or in connection with CONSULTANT's (or CONSULTANT's subcontractors, if any) negligent (or alleged negligent) performance of this Agreement or its failure to comply with any of its obligations contained in this Agreement by CONSULTANT, its officers, agents or employees except such loss or damage which was caused by the sole negligence or willful misconduct of CITY CONSULTANT will conduct all defense at its sole cost and expense and CITY shall approve selection of CONSULTANT's counsel This indemnity shall agree/ surfnet/professional svcs 50 to 100 10/12 3 of 11 apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as limitation upon the amount of indemnification to be provided by CONSULTANT 9. PROFESSIONAL LIABILITY INSURANCE CONSULTANT shall obtain and furnish to CITY a professional liability insurance policy covering the work performed by it hereunder This policy shall provide coverage for CONSULTANT's professional liability in an amount not less than One Million Dollars ($1,000,000.00) per occurrence and in the aggregate. The above - mentioned insurance shall not contain a self -insured retention without the express written consent of CITY, however an insurance policy "deductible" of Ten Thousand Dollars ($10,000 00) or less is permitted A claims -made policy shall be acceptable if the policy further provides that A The policy retroactive date coincides with or precedes the initiation of the scope of work (including subsequent policies purchased as renewals or replacements) B CONSULTANT shall notify CITY of circumstances or incidents that might give rise to future claims CONSULTANT will make every effort to maintain similar insurance during the required extended period of coverage following PROJECT completion If insurance is terminated for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two (2) years to report claims arising from work performed in connection with this Agreement If CONSULTANT fails or refuses to produce or maintain the insurance required by this section or fails or refuses to furnish the CITY with required proof that agree/ surfnet/professional svcs 50 to 100 10/12 4 of 11 insurance has been procured and is in force and paid for, the CITY shall have the right, at the CITY's election, to forthwith terminate this Agreement Such termination shall not effect Consultant's right to be paid for its time and materials expended prior to notification of termination. CONSULTANT waives the right to receive compensation and agrees to indemnify the CITY for any work performed prior to approval of insurance by the CITY. 10 CERTIFICATE OF INSURANCE Prior to commencing performance of the work hereunder, CONSULTANT shall furnish to CITY a certificate of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverage as required by this Agreement, the certificate shall A provide the name and policy number of each carrier and policy, B. state that the policy is currently in force; and C shall promise that such policy shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty (30) days' prior written notice, however, ten (10) days' prior written notice in the event of cancellation for nonpayment of premium CONSULTANT shall maintain the foregoing insurance coverage in force until the work under this Agreement is fully completed and accepted by CITY The requirement for carrying the foregoing insurance coverage shall not derogate from CONSULTANT's defense, hold harmless and indemnification obligations as set forth in this Agreement CITY or its representative shall at all times have the right to demand the original or a copy of the policy of insurance CONSULTANT shall pay, in a prompt and timely manner, the premiums on the insurance heremabove required agree/ surfnet/professional sves 50 to 100 10/12 5 of 11 11. INDEPENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor herein and not as an employee of CITY CONSULTANT shall secure at its own cost and expense, and be responsible for any and all payment of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for CONSULTANT and its officers, agents and employees and all business licenses, if any, in connection with the PROJECT and/or the services to be performed hereunder 12 TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and whether or not the PROJECT is fully complete. Any termination of this Agreement by CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided herein In the event of termination, all finished and unfinished documents, exhibits, report, and evidence shall, at the option of CITY, become its property and shall be promptly delivered to it by CONSULTANT 13 ASSIGNMENT AND DELEGATION This Agreement is a personal service contract and the work hereunder shall not be assigned, delegated or subcontracted by CONSULTANT to any other person or entity without the prior express written consent of CITY. If an assignment, delegation or subcontract is approved, all approved assignees, delegates and subconsultants must satisfy the insurance requirements as set forth in Sections 9 and 10 hereinabove agree/ surfnet/professional svcs 50 to 100 10/12 6 of 11 14 COPYRIGHTS/PATENTS CITY shall own all rights to any patent or copyright on any work, item or material produced as a result of this Agreement 15. CITY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement No officer or employee of CITY shall have any financial interest in this Agreement in violation of the applicable provisions of the California Government Code 16. NOTICES Any notices, certificates, or other communications hereunder shall be given either by personal delivery to CONSULTANT's agent (as designated in Section 1 hereinabove) or to CITY as the situation shall warrant, or by enclosing the same in a sealed envelope, postage prepaid, and depositing the same in the United States Postal Service, to the addresses specified below. SECTION HEADINGS The titles, captions, section, paragraph and subject headings, and descriptive phrases at the beginning of the various sections in this Agreement are merely descriptive and are included solely for convenience of reference only and are not representative of matters included or excluded from such provisions, and do not interpret, define, limit or describe, or construe the intent of the parties or affect the construction or interpretation of any provision of this Agreement 20. INTERPRETATION OF THIS AGREEMENT The language of all parts of this Agreement shall in all cases be construed as a whole, according to its fair meaning, and not strictly for or against any of the parties. If any provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be unenforceable, void, illegal or invalid, such holding shall not invalidate or affect the remaining covenants and provisions of this Agreement No covenant or provision shall be deemed dependent upon any other unless so expressly provided here As used in this Agreement, the masculine or neuter gender and singular or plural number shall be deemed to include the other whenever the context so indicates or requires Nothing contained herein shall be construed so as to require the commission of any act agree/ surfnet/professional svcs 50 to 100 10/12 8of11 contrary to law, and wherever there is any conflict between any provision contained herein and any present or future statute, law, ordinance or regulation contrary to which the parties have no right to contract, then the latter shall prevail, and the provision of this Agreement which is hereby affected shall be curtailed and limited only to the extent necessary to bring it within the requirements of the law. 21. DUPLICATE ORIGINAL The original of this Agreement and one or more copies hereto have been prepared and signed in counterparts as duplicate originals, each of which so executed shall, irrespective of the date of its execution and delivery, be deemed an original Each duplicate original shall be deemed an original instrument as against any party who has signed it 22 IMMIGRATION CONSULTANT shall be responsible for full compliance with the immigration and naturalization laws of the United States and shall, in particular, comply with the provisions of the United States Code regarding employment verification 23 LEGAL SERVICES SUBCONTRACTING PROHIBITED CONSULTANT and CITY agree that CITY is not liable for payment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. CONSULTANT understands that pursuant to Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for CITY, and CITY shall not be liable for payment of any legal services expenses incurred by CONSULTANT agree/ surfnet/professional svcs 50 to 100 10112 9 of 11 24 ATTORNEY' S FEES In the event suit is brought by either party to construe, interpret and/or enforce the terms and/or provisions of this Agreement or to secure the performance hereof, each party shall bear its own attorney's fees, such that the prevailing party shall not be entitled to recover its attorney's fees from the nonprevailing party. 25 SURVIVAL Terms and conditions of this Agreement, which by their sense and context survive the expiration or termination of this Agreement, shall so survive. 26 GOVERNING LAW This Agreement shall be governed and construed in accordance with the laws of the State of California 27. SIGNATORIES Each undersigned represents and warrants that its signature hereinbelow has the power, authority and right to bind their respective parties to each of the terms of this Agreement, and shall indemnify CITY fully for any injuries or damages to CITY in the event that such authority or power is not, in fact, held by the signatory or is withdrawn. 28. WORK PROGRAM/PROJECT SCHEDULE: The Consultant shall perform all work according to the Work Flow/Project Schedule, on page 1-3 and 1-4, which is included in the Project Understanding/Scope of Work which is attached as Exhibit "A I" EXHIBIT A Exhibit "A.1" Project Understanding / Scope of Work Project Understanding / Approach We have defined detailed phases to the scope of work, 1 Project Implementation 2 Client Satisfaction 3 Project Schedule 4 Scope of Work (Major Tasks) 1) Project Implementation TASK 1.1: Project Kickoff The first step in implementing a successful pavement management program (PMP) truly resides in frequent communication and timely scheduled data updates For the City of Huntington Beach it will be essential to establish, up front, the Public Works pavement management priorities for FY 2015/16 and beyond During August 2015, our firm/Project Manager discussed with Huntington Beach staff the upcoming 2015/16 work efforts and long-term management of the PMP This allowed for the identification of key project tasks while identifying tasks that could be refined, improved upon and/or removed, thus allowing for cost -savings to the City Our team will set a Project Kickoff meeting to further discuss and review in detail the expectations of the project, technical approach, zone maintenance, Orange County Transportation Authority (OCTA) compliance, finalization of the scope of work and the review of the budget/schedule This effort will continue to build upon the consensus between the Public Works and Maintenance departments as well as build stronger ARTERIAL and RESIDENTIAL maintenance programs/schedules The first key topics to be discussed will include the review and assessment of the existing PMP pavement plan/data, OCTA compliance, survey areas (based on recent maintenance work and schedules), new construction, data quality and condition, current pavement procedures, historical expenditure levels, and desired service levels After the meeting the City's official Notice -to -Proceed will be given Deliverable: Meeting minutes, revised project schedule (if necessary) TASK 1.2: Project Status Meetings - Quality Control Program Status Meetings and Progress Reports • Minimum of three meetings during the project (kickoff, field, and status meetings) • Field review meetings Monthly progress status reports will be delivered to City project manager Project Understanding / Scope of Work Quality Control (QC) We will use a statistical sampling approach for measuring the quality of our field technician's work In this manner, 10 percent of the original surveys will be re -surveyed by an independent survey crew (38 miles), supervised by a lead supervisor, and the results will be compared to the original surveys Our QC process involves checking the field crews' work in a "blind study" fashion Quality control checks will be performed at the end of each survey week This will ensure that all field personnel are properly collecting distresses and pavement quantities for all street segments Since we are collecting distress information on our field Tablets with the Huntington Beach PMP database live, our staff will perform several quality control tests within the pavement management software using a sample set of the City of Huntington Beach's street distress data. For all surveys, the use of our PMP-Tablet units allows our staff to collect pavement data with the City of Huntington Beach's PMP database live in the field At the end of the day all electronic data is transferred to our office for quality control and management Our Tablet methodology sets us apart from the competition since we are using a paper -less inventory process to enter data; this in turn generates cost savings to enhance the project schedule and other portions of the project such as CIP reporting, PMP software training, and on -call services. Roadway Verification Survey - A listing of the field attribute data that is updated/verified during the survey for the pavement management database is listed below 1. Field Attribute Data (updated and/or verified) ❖ From/to, indicating the assigned limits of the section, sample test areas, street name, ❖ Street ranking indicating local, alley, arterial, collector, # of lanes, surface type ❖ Historical PCI tracking from previous inspections and 2015 PCI inspections ❖ Segment quantities, indicating the length, width, and total true area of the section ❖ ADT volumes (if available from previous reports or current City documents) 2. Conditional data will be evaluated for all street segments and will include: ❖ ASTM 20 AC & 19 PCC distresses by type, severity and sample area ❖ PCI ratings (0-100), taking into account the surface condition, level of distress ❖ Other known or found environmental issues (standing water, site condition, etc) We welcome staff from the City to join our surveys. Section Distress and PCI Reporting Once inspections are completed, we will generate a draft Pavement Condition Index (PCI) Report for City staff to review This report will also include future PCI performance prediction modeling and potential causes of failure (if possible) The City and our staff will review these reports to ensure that all inventory data is correct and the project is running smoothly PCI reports will include identification of all street segments in a continuous manner (i e , W to E, S to N) as well as PCI values for each segment sorted by rank, name and PCI Deliverable: Citywide PCI reports, compliant OCTA PCI reports, updated PMP database DEVELOP RECOMMENDED IMPROVEMENT PROGRAM TASK 4,3: Maintenance & CIP/Budgetary Analysis We will assist the City in developing the most cost-effective preventative maintenance, repair and rehabilitation (M & R) strategies possible This will be accomplished by meeting with the City to discuss and strategize maintenance activities that are currently being used by the City We will conduct an historical and prospective analysis on the conditional and financial impact these practices have on the pavement network Based on our fiscal and deterioration analysis, we will present our results and recommendations to City staff This analysis will become an essential building block for the biennial (even -year) OCTA submittals and Public Works CIP programs Our staff will review the Huntington Beach database deterioration curves that have been developed based on historical pavement condition inspections, surface type, work histories and road classification The curves will be updated based on 2015 pavement conditions Maintenance strategies that are typically reviewed are rehabilitation and reconstruction (R&R), localized maintenance, grinding, slurry seals, AC on PCC patching and overlays, the expected improvement in pavement condition, the life -cycle extension that would result and the unit costs for maintenance All maintenance practices/unit costs will be integrated into software and will be derived from the most recent construction bids for pavement rehabilitation We will account for inflation rates when long-term revenues projections are made Our staff will also review and recommend an update to the existing Area/Zone residential cycle; this will allow us to proactively schedule localized maintenance efforts throughout the CIP. Our Project Manager and Principal will work closely with City in defining repair and rehabilitation strategies during each fiscal year (i e 2016-2023) Once the repair/rehabilitation strategies have been defined, the identification of a seven year Forecasted Maintenance schedule will be generated The recommended budget scenarios will be identified on the basis of several criteria • Assessment and review of the City's Pavement CIP i C' 1-6 Project Understanding / Scope of Work • Present pavement conditions, Desired levels of service and available _ resources • Cost benefit of individual strategies (e g reach a PCI of 80 in 7-years, etc ) • Recommendations budget strategies and unit costs • Demonstration of effectiveness of several M&R strategies including preventive, recycling alternatives, high -density mineral bonds and surface/base reconstruction • Scheduling with the City's major CIP projects (water, sewer, etc ) • Budgetary recommendations that satisfy OCTA Local Match Reduction guidelines • Future routine maintenance needs based on projected deterioration rates • Renewed Measure M and AHRP objectives and improving citywide weighted PCI The primary emphasis of this task is to maximize the scheduling of street maintenance using the most cost-effective strategies available and taking into account a life -cycle cost analysis A working "draft" Final Report will be generated for City staff to review The report will include an executive summary, the PCI Report as well as draft budgetary findings and recommendations TASK 4.4: Final CIP Report/OCTA Measure M Compliance Reports We will deliver the Executive Summary / Final Report to the City which will be essential for staff use/reference and beneficial for elected officials/upper management The report will be prepared in a format that uses the information delivered by the PMP in conjunction with the information and analysis performed by our team The report will provide the City with information on ❖ Current inventory and pavement conditions indices (PCI) for all road classes ❖ Projected annual rehabilitation programs for street maintenance for a seven-year period (ARTERIAL and RESIDENTIAL Forecast Maintenance Reports) that show the largest return on investment and acceptable levels of service ❖ Modeling and comparison of budget scenarios typically include ■ Maintenance required to complete all streets within 7-years ■ Current / Actual budget projection (citywide approach) ❖ Strategies and recommendations for the City's AHRP, Measure M and maintenance programs and procedures, including a preventative maintenance schedule ❖ Supporting documentation required by OCTA Renewed Measure M (January, 2015, or latest version), Chapter 3 items from Countywide PMP Guidelines Manual (OCTA) ❖ Pavement Management Plan Certification ❖ A detailed breakdown of deferred maintenance (backlog) o' r, g nnm zAc P r : rh 1-7 Project Understanding / Scope of Work ❖ The PMP will be presented to the Huntington Beach City Council and/or upper management, and we will support Huntington Beach staff in the development of the PMP presentation Deliverable: Three (3) hard copies of the Final Pavement PMP Report, in binder and digital/ electronic form (.pdf), will be sent to the City. TASK 4.5: Mapping and GIS Update As an enhancement and proactive approach to this project, our staff will update the existing Pavement-GIS link between Micro PAVER and the City's GIS system The City's centerline will be used as the platform for updating the unique pavement-GIS layer Once the City has approved the Pavement Condition Report, we will develop the necessary Micro PAVER-GIS linkages By using the unique ID's within the PMP and the City's GIS street segment ID's, we will create a one-to-one match for each pavement section in the GIS As new pavement inspections and edits are entered into the PMP the link that we have created will display the most current PMP data through the City's GIS The maps described below will be incorporated into the City's Final PMP report ❖ PCI values for every section ❖ Work History identifications ❖ 7-yr Arterial / Residential Rehabilitation and Slurry Seal Programs ❖ Functional classification maps Our staff will upload all PMP data to the dedicated GIS layer and import the necessary GIS files into the City's GIS enterprise A demonstration of the layers use, applications and reporting will be shown to the City Deliverable: Complete GIS files/themes based on list above (shapefiles). 5) Optional Tasks TASK 5.1: Pavement Field & Software Training We will provide City staff with the quality, certified training and necessary skills needed to steward and maintain the PMP This will include operation manuals for both field data collection and software use Peter Bucknam, who is certified in the use of MicroPAVER, will conduct comprehensive multi -day training sessions covering segmentation management, reporting, and editing/updating the database This is estimated to consist of a minimum of 10 hours of training There is no minimum or maximum amount of people that can be trained under this methodology -8 Project Understanding / Scope of Work Bucknam will provide training in the AC and PCC pavement field survey p - 7, 1 techniques Engineering, Street Maintenance and GIS staff will have a clear understanding of how the system is developed and data recorded City staff will be versed in the proper procedures for field data collection, thereby ensuring the ability of the City to repeat the pavement survey on its own when the need arises At the completion of the training, the City will be able to update each individual portions of the dataset as maintenance and future inspection are completed The training will include ❖ General MicroPAVER use ❖ Annual data entry needs, reporting requests and deterioration modeling ❖ Annual budget projection reports — PCI report generation ❖ Update of maintenance costs, strategy assignments, engineering data, and deterioration curves, interpretation and utilization of management reports) ❖ Querying, managing and plotting from PMP — GIS mapping Deliverable: Training materials used in workshops, field survey forms TASK 5.2: On -Call Services Pavement Management Program Support Bucknam will provide annual support for a period of two years where we will provide quality and accurate use of the in-house operation of MicroPAVER software Once the City has approved the Pavement Condition Index Report under this year's work effort, this service will become active Our typical On -Call services include !1 Additional budget scenarios, general reporting, deterioration studies �1 Additional visual inspections above the mileage amount indicated in Task 4 2 N& Additional pavement management —GIS mapping I� Additional MicroPAVER training, operation use N& GIS Enterprise assessment, management, implementation The agreement will to include the provision of onsite and telephone support for the City staff TASK 5.3: Automated Digital Roadway Imaging Bucknam has performed numerous digital roadway imaging survey throughout Southern Califnornia over the past ten years Based on the City's infrastructure / GIS data collection priorities we have performed digital imaging surveys for local agencies that complament -9 Project Understanding / Scope of Work our pavement inspections Our services are a proactive and cost efficient GPS survey methodology that will allow for the collection of numerous GPS locations using "one" set of digital imagery (e g five citywide infrastructure surveys for the cost of one) Beyond the pavement survey capabilities, the City will be able to collect other infrastructure assets in the future such as signs, driveways, catch basins and other ROW features; a tremendous costs savings that could reach $400,000 over the next 3 years. With verification of street segmentation, the inspection of approximately 383 centerline miles will be surveyed (or citywide) MicroPAVER - Army Corp of Engineers AC and PCC distress types will be collected based upon actual surface conditions and physical characteristics of the segment while being flexible to current City practices Our automated digital imaging allows technician to collect the following • Continuous pavement imaging (images taken every 5 meters, competition typically surveys at every 8 meters/25 feet intervals) • Surface roughness ratings (IRI) • Rutting depth (full width of lane or street) • Imaging captures 100% of each pavement segment (not just one lane) • Data transfers seamlessly to MicroPAVER • Optional Ground Penetrating Radar (GPR) for arterials and collectors • 2mm pixel images allows for centimeter horizontal and vertical accuracy The first survey process will involve the mobile GPS vehicle taking approximately two -week's time to survey the Huntington Beach's street network, additionally, the vehicles drive the posted speed limits The images that are collected are taken by using Sony digital stereographic cameras (6 cameras) positioned on the vehicle The images have a resolution of 2448 x 2050 and are geo-referenced by means of inertial GPS equipment contained within the van, images are taken every 4 to 6 meters, 15 ft intervals The quality of the imagery and its GIS / record collecting capabilities within the software provided allows the technician to accurately identify the required pavement distresses defined by the pavement software and the project (distresses are collected in-house) _ ; also be included with the payment requests 43 CONTRACTOR shall maintain adequate records and shall permit inspection and audit by CITY of I CONTRACTOR's charges under this Contract and any Authorization Agreements CONTRACTOR shall make such records available to CITY during normal business hours upon reasonable notice Nothing herein shall convert such records into public records, and they will be available only to CITY and any specified public agencies Such records shall be maintained by CONTRACTOR for Zone (1) year following completion of the work under this Contract unless a Authorization Agreement within the time periods specified therein, shall constitute a material breach of both the Authorization Agreement and this Ongoing Contract, entitling CITY to terminate either for Completion of Work 5 5 1 if, at any time, the work is delayed due to a suspension order by CITY, or due to any other cause which, in the reasonable opinion of CITY, is unforeseeable and beyond the control and not attributable to the fault or negligence of CONTRACTOR, then CONTRACTOR shall be entitled to an extension of time equal to said delay, subject to CITY's right to terminate this Contract as provided herein 552 CONTRACTOR shall submit to CITY a written request for an extension of time within ten (10) days after the discovery of such delay, and failure to do so shall constitute a waiver thereof CITY shall, in its sole discretion, determine whether and to what extent any extensions of time shall be permitted 553 No extension of time requested or granted hereunder shall entitle CONTRACTOR to additional compensation unless, as a consequence of such extension, additional work must be performed In such event, CITY shall, in good faith, consider any request for additional compensation submitted by CONTRACTOR 6 TAXES 61 CONTRACTOR shall pay all sales, consumer, use, and other similar taxes required to be paid by CONTRACTOR in accordance with state and local laws 62 work or the incorporation in the work of any invention, design, process, product or device which is the subject of patent rights or copyrights held by others If a particular invention, design, process, product or device is specified in the contract documents for use in the performance of the work and if, to the actual knowledge of CITY, its use is subject to patent rights or copyrights calling for the payment of any license fee or royalty to others, the existence of such rights shall be disclosed by CITY in the contract documents CONTRACTOR shall indemnify and hold harmless CITY and anyone directly or indirectly employed by CITY from and against all claims, damages, losses and expenses (including attorneys' fees) arising out of any infringement of patent rights or copyrights incident to the use in the performance of the work, or resulting from the incorporation in the work of any invention, design, process, product or device not specified in the contract documents, and shall defend all such claims in connection with any alleged infringement of such rights 8 STANDARDS OF PERFORMANCE CONTRACTOR shall be responsible for the completeness and accuracy of its services and work and documents) resulting there from, and CITY shall not be responsible for discovering deficiencies therein CONTRACTOR shall correct any such deficiencies or errors without additional insurance required hereunder The Certificate and endorsements shall state that "The City of Palmdale, City of Palmdale in its capacity as the Successor Agency to the CRA, Palmdale Civic Authority, Housing Authority, Industrial Development Authority, Airport Authority, their officers, agents, employees and volunteers are named as additional insured" B "Severability of Interest" clause 104 Promptly on execution of this Contract, and prior to commencement of any work, CONTRACTOR shall deliver to CITY certificates of insurance and endorsements to all required policies demonstrating that CONTRACTOR has the required coverage and showing the required named insureds Within five (5) days of written request from CITY, CONTRACTOR shall deliver to CITY full and complete copies of all insurance policies required by this Contract 10 5 The requirements as to the types and limits of insurance to be maintained by CONTRACTOR are knot intended to and shall not in any manner limit or qualify CONTRACTOR's liabilities and obligations under this Contract 106 Any policy or policies of insurance that CONTRACTOR elects to carry as insurance against loss or damage to its equipment and CONTRACTOR fails to maintain the required insurance for any period of time or fails to comply with any of the insurance requirements listed above i 11 TERMINATION WITHOUT CAUSE CITY reserves the right to Iterminate this Contract, any Authorization Agreement or any part thereof for its sole convenience with fifteen (15) days written notice In the event of such termination, CONTRACTOR shall immediately stop all work hereunder, and shall immediately cause any of its suppliers and subcontractors to cease such work CONTRACTOR shall also) surrender to CITY all finished or unfinished documents or programs and other materials, which shall be City's property As compensation in full for services performed to the date of such termination, the CONTRACTOR shall receive an amount equal to the value of the work completed as of the termination date in accordance with the fee schedule or as negotiated between the parties In no event shall the amount payable upon termination exceed the total maximum compensation provided for in the Authorization Agreement or this Contract 12 TERMINATION FOR CAUSE If CITY determines that CONTRACTOR has failed to supply an adequate working force, or to provide services of proper quality, or has failed in any other respect to satisfactorily perform the services specified in this Contract or in any Authorization Agreement, CITY shall give written notice to CONTRACTOR specifying all defaults to be remedied within thirty - (30) days Such notice shall set forth the basis for CITY's dissatisfaction and suggest corrective measures If, after thirty days, CONTRACTOR has failed to implement the corrective measures, CITY may elect to terminate this Contract or any Authorization Agreement, in' whole or in part 12 1 In the event CITY terminates this Contract or any Authorization Agreement, in whole or in part for cause, CITY may procure, upon such terms and in such manner, as it may deeim appropriate, services similar to those terminated 12 2 with hiring another CONTRACTOR to complete the services In ascertaining the value of the work performed up to the date of termination, consideration shall be given to both completed work and work in progress, to complete and Incomplete documents when such are delivered to CITY, and to authorized reimbursement expenses The above is in addition to any other remedies available by law or equity to CITY 12 3 If, after notice of termination of the Contract under the provisions of this Section 12, it is determined, for any reason, that CONTRACTOR was not in default, or that the default was excusable, then the rights and obligations of the parties shall be the same as if the notice of termination had been issued pursuant to Section 11 13 DISPUTE RESOLUTION All claims, disputes and other matters in question between CITY and CONTRACTOR arising out of, or relating to this Contract or any Authorization Agreement, or the breach thereof shall, to the extent reasonably feasible, be resolved through good faith negotiations between the parties 14 OWNERSHIP OF DOCUMENTS All documents, including; but not limited to, research, field notes, investigations, analysis and studies which are prepared in the performance of this Contract are to be, and remain the property of CITY CONTRACTOR shall furnish CITY, upon its request, originals or reproducible I or electronic copies of reports, studies and of all other documents listed above 15 SUBCONTRACTING, DELEGATION AND ASSIGNMENT 151 CONTRACTOR shall not delegate, subcontract or assign its duties or rights hereunder, either inlwhole or in part, without the prior written consent of CITY, provided, however,) that claims for money due or to become due to CONTRACTOR from CITY under this Contract may be assigned to a bank, trust company or other financial institution without such approval Any proposed delegation, assignment or subcontract shall provide a description of the services covered, identification of the proposed assignee, delegee or subcontractor, and an explanation of why and how the same was selected, including the degree of competition involved Any proposed agreement with an assignee, delegee or subcontractor shall include the following A The amount involved, together with CONTRACTOR's analysis of such cost or price, and B A provision requining that any subsequent modification or amendment shall be subject to CONTRACTOR and shall not bind or purport to bind CITY and shall not release CONTRACTOR from any obligations under this Contract including, but not limited to, the duty to properly supervise and coordinate the work of employees, assignees, delegees and subcontractors No such assignment, delegation or subcontract shall result in any increase in the amount of total compensation payable to CONTRACTOR under this Contract 1 16 NON-DISCRIMINATION AND EQUAL EMPLOYMENT OPPORTUNITY 161 In performance of this Contract, CONTRACTOR shall not discriminate against any employee, subcontractor or applicant for employment because of sex, color, race, religion, ancestry, national origin, disability, medical condition, marital status, sexual orientation or age CONTRACTOR will take affirmative action to ensure that applicants are employed, and that employees are treated during employment, without regard to their sex, color, race, religion, ancestry, national origin, disability, medical authorized by federal law to work in the United States If CONTRACTOR uses any subcontractors to complete this Contract, this same requirement shall be included in all subcontracts and strictly enforced by CONTRACTOR To assist in compliance with this section CONTRACTOR shall enroll and shall require any subcontractor to enroll, in E-Verify and the IMAGE Program with the intent to become Peter J Bucknam Project Manager Scope of Work -*CITY CITE" F PA LMDALE Project Understanding / Approach As the City of Palmdale's infrastructure matures, the City's staff is striving to update the City's Pavement Management Program (PMP) through "annual" cost effective condition surveys, budgetary reporting, Proposition C compliance and data updates within the MicroPAVER database The City's 2015 focus for field inspections will cover all defined streets within the network (504 miles) The City requires a team that will not only resurvey the defined sections using cost-conscious methodologies but will create a comprehensive program that includes the enhancement of your ten-year CIP, zone maintenance, educational training, operational manuals, stewardship of the PMP, GIS links to the PMP, and the knowledge of the inner workings of MicroPAVER Bucknam is currently assisting 25+ Los Angeles local agencies with PMP compliance, survey and reporting During the 2013-14 project, Bucknam provided these services through our proactive and accurate implementation of your PMP, this project will extend those services where we will continue addressing the City's primary goals of • Updating MicroPAVER with 2015 inspections, work history and maintenance data, • Surveying 504 miles of Arterial, Collector and Residential, • Verifying / Updating pavement centerline and metric data (PMP vs GIS), • Generating 2015 Pavement Condition Index (PCI) ratings for each segment, • Developing a proactive preventative slurry seal / overlay maintenance schedules based on existing capital funding, • Establishing solid recommendations for current / future maintenance needs, • Utilizing the City's existing funding to generate a baseline ten (10) year Capital Improvement Program (CIP), and • Recommending alternative maintenance budgets that demonstrate realistic return -on - investments (ROI), earned value, i e 30-yr CIP plan, etc We have defined detailed phases to the scope of work in accordance to the City's RFP, 1 Project Implementation 2 Client Satisfaction 3 Project Schedule (See Section 6) 4 Scope of Work (Major Tasks) Ax '? _ y y4 z a *— r ^a m� kit g„t. Scope of Work J � CITY OF PALMDALE 1) Project Implementation TASK 1.1: Project Kickoff The first step in updating a successful pavement management program truly resides in frequent communication and timely scheduled data updates For the City of Palmdale it will be essential to implement common-sense achievable PMP methods that improve the decision making process and ensure maintenance decision consistency through multiple departments Our team will set a Project Kickoff meeting to further discuss and review in detail the expectations of the project, technical approach, finalization of the scope of work and the review of schedule and budget With five years between major pavement inspections and reporting, Bucknam will ensure that all available work history, public/private designations and street segmentation is established prior to survey, data accuracy and knowledge will be essential for this project This effort will build consensus between the Maintenance and Public Works departments as well as build stronger ARTERIAL and RESIDENTIAL maintenance programs Our staff already has the necessary data pertaining to the City's street rankings and maintenance zones If changes have been made to this data, we will incorporate the changes within the Palmdale MicroPAV+ER database The first key topics to be discussed will include the review and assessment of existing pavement plan/data, Proposition C compliance, survey areas based on recent maintenance work and schedules, new construction, data quality and condition, current pavement procedures, historical expenditure levels, MicroPAVER implementation and desired service levels TASK 1.2: Project Status Meetings - Quality Control Program Status Meetings and Progress Reports • Minimum of four meetings during the project (kickoff, field, and status meetings) • Maintain continuous communication with City's Project Manager • Field review meetings • Coordination / Management of Subconsultant's • Monthly progress status reports will be delivered to City project manager • Earned value analysis Quality Control (QC) We will use a statistical sampling approach for measuring the quality of our field technician's work In this manner, 15 percent (76 miles) of the original surveys will be re -surveyed by an independent survey crew, supervised by a field supervisor, and the results will be compared to the original surveys a 1-2 v Scope of Work -*)CITY OFP LF Our QC process involves checking the field crews' work in a "blind study" fashion Quality control checks will be performed at the end of each survey week This will ensure that all field personnel are properly collecting distresses and pavement quantities for all street segments Since we are collecting distress information on our field Tablets with the Palmdale MicroPAVER database live, our staff will perform several quality control tests within the pavement management software using a sample set of the City of Palmdale's street distress data. This will ensure that all system and analysis settings as well as City recommendations and standards are being followed Registered Engineer / Lead Engineer Mr Steve Bucknam, P E will supervise all operations, review all completed data and prepare and sign a final report incorporating the results of our pavement evaluation and conditions We will provide engineered recommendations for pavement rehabilitation and replacement design based upon field data and analysis 2) Client Satisfaction TASK 2.1: Project Deliverables Shown throughout our Scope of Work, each Task includes major work efforts and deliverables Client satisfaction will derive from frequent communication with the Project Manager and key staff members from the Public Works and Maintenance departments Project success is created by delivering on three main factors, 1) Adherence to scope tasks and deliverables, 2) Performing to the standard set by the Project Schedule and 3) Controlling costs Our Project Manager will follow each of these factors throughout the duration of the project See Task 4 6 for specific line item deliverables based upon the scope below 3) Project Schedule TASKII: Work Flow/ Project Schedule Our project schedule shows each major task identified in our scope of work, as well as quality control milestones and meetings Bucknam currently has ample staff to apply to this project in order to meet an aggressive schedule (2 to 3 field technicians will drive the proactive schedule) With a completed survey, our team will work with you to establish a PMP that provides specific, manageable pavement segments, detailed maintenance schedules of needed repairs and cost conscious maintenance recommendations that will assist you in preparing budget estimates required to complete the scheduled work for fiscal year 2015-16 and beyond See project schedule included within Section 6 of our proposal �$mm 1-3 .SS.3a'- Scope of Work * CITY OF PALM DA LE 4) Scope of Work (Major Tasks) TASK 4.1: Preliminary Investigations & Update Maintenance Activities Based on the pavement maintenance that has been performed by in-house staff as well as contractual maintenance, our staff will review all street maintenance activities that have been performed since the last major PMP update (FY 2013) All street maintenance and original construction dates data will be entered into MicroPAVER to enhance the recommendations for the upcoming budgetary analysis and CIP reporting Based upon section functional class, Bucknam will update/verify Palmdale pavement family curves for all sections During this process, Bucknam will review all street segmentation to ensure that all streets are correctly represented (i e public vs private, alley, their metrics, work histories, etc ) The City has requested that a new version of MicroPAVER be utilized (MicroPAVER 7 01), If the City has not yet purchased the new MicroPAVER 7, Bucknam will assist in the purchase and delivery of the software or use the City's already purchased version TASK 4.2: Conduct Pavement Condition Survey Once the pavement segmentation has been assessed and verified, the inspection of approximately 504 5 centerline miles of streets will be performed (155 1 miles of Arterials/Collectors and 349 4 miles of residentials Our survey methodologies will include one of the following approaches based on the City's cost and benefit analysts 1 Automated Digital Roadway Imaging (Standards survey, Bucknam has recently performed this service for the cities of Bellflower, Palmdale, Culver City, Norwalk, Fountain Valley, Beverly Hills, Cypress, RSM, Santa Ana, La Habra Heights, National City and Palm Desert for PMP and ROW inspections Our staff will establish all inspection sample locations for survey based on D6433 ASTM/MicroPAVER guidelines, 2 Windshield/Walking based Army Corps of Engineers (D6433 ASTM) MicroPAVER survey performed on Tablets live in the field Our staff will establish all inspection sample locations for survey based on ASTM/MicroPAVER guidelines, Distress types will be collected based upon actual surface conditions and physical characteristics of the segment. Both survey methods are conducted by remaining consistent with MicroPAVER & the Army Corp of Engineers sampling guidelines while being flexible to current City practices Automated Digital Roadway Imaging 1-4 Scope of Work lj� CITY OF PALM DALE I Beyond the pavement survey capabilities, the City will be able to collect other infrastructure assets in the future such as ADA ramps, traffic signs, catch basins, street lights, manhole covers, parkway drains, fire hydrants, pavement markings and other ROW features; a tremendous costs savings that reaches $300,000 over the next 3 years. With verification of street segmentation, the inspection of approximately 504 miles will be surveyed MicroPAVER - Army Corp of Engineers AC and PCC distress types will be collected based upon actual surface conditions and physical characteristics of the segment while being flexible to current City practices Our automated digital imaging allows technicians to collect the following • Continuous pavement imaging (images taken every 5 meters, competition typically surveys at every 8 meters/25 feet intervals) • MicroPAVER AC and PCC distresses (e g linear/transverse cracking, alligator, patching, bleeding, block cracking, etc • Surface roughness ratings (IRI); rutting depth (full width of lane or street) • Imaging captures 100% of each pavement segment (not just one lane) • Data transfers seamlessly to MicroPAVER • 2mm pixel images allows for centimeter horizontal and vertical accuracy The first survey process will involve the mobile GPS vehicle taking approximately two -week's time to survey the Palmdale's street network, additionally, the vehicles drive the posted speed limits The images that are collected are taken by using Sony digital stereographic cameras (6 cameras) positioned on the vehicle The images have a resolution of 2448 x 2050 and are geo- referenced by means of inertial GPS equipment contained within the van, images are taken every 4 to 6 meters, 15 ft intervals The quality of the imagery and its GIS / record collecting capabilities within the software provided allows the technician to accurately identify the required pavement distresses defined by the pavement software and the project (distresses are collected in-house) All pavement GIS data associated with each pavement section will be entered into the City's working software Survey vehicles are equipped with digital measuring instrumentation (DMI) that will be used to verify all pavement section lengths and widths Our vehicles can be equipped with road roughness rating equipment, strip mapping cameras and are set to record 360 degree street imaging s qAX R>t 7 ..._, v NF.`. — as-^i't-y 141� The survey will be performed by the Bucknam team that is experienced and trained in pavement condition assessment using LambdaTech's "Feature Extraction" software Bucknam will measure specific distress types from the digital image set A listing of the field attributes that will be collected during the survey is listed below (Roadway Verification Survey) ,_� PaF ci:: 1- Scope of Work ;IT`S' OF PALFLF Walking / Windshield For this project our quality control / field investigations will be conducted through walking / windshield surveys We will use the City's GIS centerline live in the field to reduce survey times and project schedules If the City has a recent high -resolution aerial (approx 3") we will use this file during our field survey efforts to verify street measurements and other segment attributes Our use of MicroPAVER-Tablet units allows our staff to collect pavement data with the City of Palmdale's MicroPAVER database live in the field At the end of the day all electronic data is transferred to our office for quality control and management Our Tablet methodology sets us apart from the competition since we are using a paper -less inventory process to enter data; this in turn generates cost savings to enhance other portions of the project such as CIP reporting, GIS implementation, MicroPAVER training, and on -call services. for implementing a unique pavement-GIS layer Bucknam will work with the City's GIS staff and existing GIS vendors in implementing the necessary GIS project files to the GIS network Prior to the establishment of pavement surveys, we will develop the necessary MicroPAVER-GIS linkages By using the unique ID's within the PMP and the City's GIS street segment ID's, we will create a one-to-one match for each pavement section in the GIS As new pavement inspections and edits are entered into the PMP the link that we have created will display the most current PMP data through the City's GIS resources Access to the web -based application will be secured through a username/password combination to be assigned to the City Bucknam will ensure that all past, current and future PMP-GIS data and their links to improvement plans are working and accurate We will provide the necessary training on the use of the PMS-GIS thematic data DEVELOP RECOMMENDED MASTER PLAN OF STREETS TASK 4.4: Preparation of Multi-yr Pavement CIP With the City desiring to update and develop a comprehensive ten-year Pavement CIP internally, our staff will review all pavement treatments that were previously recommended as well as current 2015 applications Through our experience in developing numerous pavement CIP reports on a yearly basis, we will support city staff through each essential phase of the development of the CIP Our teams ability (proven PMP CIP long-term projects/clients) to assist local agencies develop cost-effective PMP strategies in improve weighted PCI's and reduce deferred maintenance starts here These services will include ❖ Review and determination of maintenance best practices / strategies (stop gap, slurry/cape seal, High Density Mineral Bond (HDMB), overlay, ARHM, reconstruction, etc ❖ Review of grant applications and status ❖ Analysis of alternative pavement materials and applications for possible use by City crews in upcoming years — due to limited annual PMP preventive and rehabilitation funding ❖ Assistance with METRO (Proposition C) Pavement Compliance reporting We will assist the City by preparing the report in a format that uses the information found in the PCI reports in conjunction with the information and analyses performed by our team The report will include ❖ Current inventory and pavement conditions indices (PCI) shown in tabular and GIS layouts for all road classes and surface types (pavement condition report, priority listings) ❖ Assessment of current unit costs for materials and application of asphalt treatments as well as future costs over the ten-year program ❖ Projected Arterial / Residential -Alley, 10-yr annual repair/rehabilitation programs for street maintenance, for each street, for a defined CIP term (Pavement CIP report) that Scope of Work 0 demonstrates the greatest return on investment — Priority Listings indicating PCI's from worst to first ❖ Three options will be included in the CIP report, they typically include ■ #1— Model current "actual budget" funding against found 2015 conditions ■ #2 — Model a recommended report that proactively increases the City's weighted PCI and lowers backlog of maintenance City's annual slurry seal program that will cover yearly priority recommendations, neighborhood programs and annual estimated costs ❖ A detailed breakdown of deferred maintenance (backlog) which will allow the City to measure and understand its impact to current and future capital projects ❖ Final budgetary mapping will include recommended maintenance year, specific minor/major recommendations, PCI's ❖ Bucknam will support the City with preparation and presenting the PMS report and findings to upper management / elected officials — pro-bono TASK 4.5: Pavement Field & Software Training With software use being one of the key components to a successful PMP implementation, we will provide City staff with quality, certified training and the necessary skills needed to maintain the PMP Bucknam will provide City staff with all collected pavement/GIS data, as well as updated operation manuals for both field data collection and software use Based on the number of future users, our staff will deliver as many copies as needed by City staff to facilitate the program Peter Bucknam, who is certified in the use of MicroPAVER, will conduct comprehensive multi -day training sessions covering implementation, interfacing with the system, PMP methodologies, field survey practices, PCI calculations, budget needs analysis and editing/updating the database This is estimated to consist of a minimum of 8 hours of training Training typically involves two to three hour sessions held once a week for three weeks There is no minimum or maximum amount of people that can be trained under this methodology We can train one key individual or an entire classroom using a City training facility pending on your needs, the intent of this training is to empower and allow City staff to continue capabilities within the software provided allows the technician to accurately identify the required pavement distresses defined by the pavement software and the project (distresses are collected in-house) All pavement GIS data associated with each pavement section will be entered into the City's working software Survey vehicles are equipped with digital measuring instrumentation (DMI) that will be used to verify all pavement section lengths and widths Our vehicles can be equipped with road roughness rating equipment, strip mapping cameras and are set to record 360 degree street imaging This CONTRACT is made this 5th day of August, 2015, by and between the City of Palmdale, a municipal corporation (hereinafter referred to as "CITY"), and BUCKNAM INFRASTRUCTURE GROUP, INC., (hereinafter referred to as "ENGINEER") WHEREAS, ENGINEER represents that ENGINEER has the expertise and is qualified to perform the services described in this Contract. NOW THEREFORE, CITY and ENGINEER, in consideration of the mutual covenants hereinafter set forth, agree as follows 1 DESCRIPTION OF WORK 1 1 This is an indefinite quantity and indefinite delivery Ongoing Contract to provide professional services including pavement inventory and infrastructure management and evaluation, to the City of Palmdale For any project determined by CITY to be appropriate for this Ongoing Contract, CITY will issue a Project Proposal Request to ENGINEER, and upon agreement, the parties will execute an Authorization Agreement specifying the scope of work, cost, staffing, subcontractors, deliverables, type of pricing (fixed priced or time & materials) and completion schedule for that project. Although CITY anticipates that ENGINEER will be issued a substantial amount of work, the total cost of work issued to the ENGINEER by the City of Palmdale will not exceed Five Hundred Thousand Dollars ($500,000) for the entire term of the Contract. ENGINEER is not guaranteed any minimum amount of work nor any jobs at all. ENGINEER is aware that there is more than one Engineer who has been awarded an Ongoing Contract for this type of work. days Such notice shall set forth the basis for CITY's dissatisfaction and suggest corrective measures If, after thirty days, ENGINEER has failed to implement the corrective measures, CITY may elect to terminate this Contract or any Authorization Agreement, in whole or in part. 12 1 In the event CITY terminates this Contract or any Authorization Agreement, in whole or in part for cause, CITY may procure, upon such terms and in such manner, as it may deem appropriate, services similar to those terminated 122 ENGINEER shall provide all finished or unfinished documents, data, studies, software, drawings, maps, photographs, reports, etc, prepared by ENGINEER within fifteen (15) working days after notice of termination Upon such termination, ENGINEER shall be paid an amount equal to the value of the services provided and work performed as of the date of termination, taking into consideration the costs associated with hiring another consultant to complete the services. other documents delivered to City, and to authorized reimbursement expenses 12 3 The above is in addition to any other remedies available by law or equity to CITY 12 4 If, after notice of termination of the Contract under the provisions of this Section 12, it is determined, for any reason, that ENGINEER was not in default, or that the default was excusable, then the rights and obligations of the parties shall be the same as if the notice of termination had been issued pursuant to Section 11 13 DISPUTE RESOLUTION All claims, disputes and other matters in question between CITY and ENGINEER arising out of, or relating to this Contract or any Authorization Agreement, or the breach thereof shall, to the extent reasonably feasible, be resolved through good faith negotiations between the delegation, assignment or subcontract shall provide a description of the services covered, identification of the proposed assignee, delegee or subcontractor, and an explanation of why and how the same was selected, including the degree of competition involved Any proposed agreement with an assignee, delegee or subcontractor shall include the following A The amount involved, together with ENGINEER's analysis of such cost or price, and B A provision requiring that any subsequent modification or amendment shall be subject to the prior written consent of CITY C The requirement to hire only those persons authorized by federal law to work in the United States 162 Any assignment, delegation or subcontract shall be made in the name of ENGINEER and shall not bind or purport to bind CITY and shall not release ENGINEER from any obligations under this Contract including, but not limited to, the duty to properly supervise and coordinate the work of employees, assignees, delegees and subcontractors No such assignment, delegation or subcontract shall result in any increase in the amount of total compensation payable to ENGINEER under this Contract 17 NON-DISCRIMINATION AND EQUAL EMPLOYMENT corporation or government unit that would create a conflict of interest in the performance of its obligations pursuant to this Contract or which would cause ENGINEER to be "financial interested" (as provided in California Government Code Section 1090 et seq or 87100 et seq ) in any contract or decision made by CITY on any matter 19 2 ENGINEER shall not employ any City official or employee to perform any work required pursuant to this Contract 193 if ENGINEER is a registered professional engineer or licensed land surveyor and the scope of work requires ENGINEER's recommendation of the actual formula to spread the costs of an assessment district's improvements, then ENGINEER shall not participate in making that recommendation if the additional elements set forth in Government Code section 87100 1(c) apply Those additional elements are (1) ENGINEER has received income of $250 or more for professional services in connection with any parcel included in the benefit assessment district within 12 months prior to the creation of the district, and (2) the district includes other parcels in addition to those parcels for which the engineer received the income In the event a
