R E C I T A L S WHEREAS, the City Council of the City of Huntington_Bea.ch ' hLs appropriated funds for the purpose of advertising and call-• Ing attention to the natural advantages, r.csources, enterprises, adaptability for industrial sites of --he ClTv, and for 'he purpose of increasing trade and commerce, encouraging people to visit and settle in the City of Huntington Beach and for promoting the growth and welfare of the CITY by advertising the City of Hunt- ink= 4 n Beach; and The City Council of CITY is authorized tc engage the ser- vices of a professional parade float construction company to con- s'tI,uet, maintain and operate a parade float on behalf of CITY, and rroposals for parade float serv"L;es were solicited from six Southern California float building companies, two proposals were received, and BENT was selected on the basis of the best design; and BENT is located within the County of Los Angpl �s and has CWM:p 5/2/gfl knowledge, experie:zce, and facilities for promotion and advertis- ing work involving the construction of a float and entering said float in parades, cel:jbrations, displays, and shows held during the term of this Agreement throughout Orange County; and No official or empluyee of CITY has a financial interest in the subject matter of this Agreement contemplated within the, pro- visions of California Gcvernment Code §51090, 1092. NOW, THEREFORE.. in consideration of the promises he Fein con- tained, it is agreed by and between the+ parties hereto as follows: 1. TERM. The term of this Agreement shall, be for onp (1) year, commencing on the date first above written , 2. PARADES TO BE ENTERED. The rn:amber of parades to be entered is five (5) , as listed below; City of Orange May 17-18, 198C Garden Grove Strawberry May 24, 1;,0 C-,sta Mesa Fish Fry June 7, 1980 City of Hu tingtor. Beach July 4, a,98C Westminster Founders Day October 11, 980 CITY may substitute entry in any of the above listed parades for another parade upon thirty (30) days advabce notice in writing to BENT EFNT shall enter said float in additional parades upon thirty (30) days advance written notice by CITY for additional considera� Lion as specified in this agreement. a, 3. SERV-JES TO BE PROVIDED. BENT shall design, build, decorate and deliver, drive and remove float for the CITY i.n five (5) parades as specified by CITY. BENT will provide storage, deliver float to and from parades, furnish a licensed driver and insurance, and accept all responsibilities for said parade float. BENT shall complete the float and have it present at the line of march at the appointed time on the day of each of the five (5) parades and drive and operate f',oat in the parades. 4. DESIGN APPROVAL. CITY aid BENT TAI mutually agree on design for said parade float BENT will provide a scale —odel to CITY for approval of design and mode of construction not less than fifteen (15) days prior to entry in the first :parade. BENT reserves the right to substitute a float of egaal value should the original float be damaged, destroyed, or other- wise not usable ,or any parade. Changes can be male in lettering for each parade. The responsible party/parties within CITY shall notify BENT on proper lettering no less J;hu . thirty (30) days prior to the parade CITY may use other float designs for dif-- ferent parades dep�, wring upon availability of floats from BENT. 5. FLOAT RIDERS. CITY shall designate perso- s to ride on said float. BENT shall contract and coordinate participation of ride's. 3i j. f 4 All persons designated to ride on said float shall comply with rules and re;. ulations set forth by BENT. 6 COMPENSATION. As compensation for the services performed and to be performed by BENT pursuant to this Agreement, OSTY shall pay to BENT the sum of six thousand dollars ($6,000) in the following manners A. $2.,200 upon execution of contract by CITY B. $1,900 on July 10, 1980 C. $1,900 on November 1, 1980 Should CITY direct BENT to operate said float in any additional ,parades, pursuant to paragraph 7 of this Agreement, CITY shall p4xy to BENT as compensation for same the fcllowing; $700 for each additional daytime parade B. $800 for each additional nighttime parade (�.,om mencing after 6 p.m.)' The compensation to be paid upon completion of the additional parade requQ,,�i+;ed. 7. ADDITIONAL PARADES. DIT?i may, upon thirty (30) days prior written notice to BENS', Fire t BENT to enter and operate the subject float in additional parades during the 'ter„n of this Agreement, The com- pensation for same shall be as specified in paragraph 6 hereof. The operation of the subject float by BENT in any addi- tional parades shall be subject to all the terms and conditions contained in this Agreement. G 8. OWNERSHIP OF FLOAT, Ownership and all rights to possession of the subject float shall remain with BENT. DISCRIMINATION. BENT abrees that in the performance of the terms of this Agreement, it will not engage in, or permit its agents ._o engage in., discrimination in employment of ],ersons because of race, religious creed, color, national origin, ancestry, physi- cal handicap, -dical condition, marital status, or sex of such persons, exce, as provided in Section 1420. Violation of this provision may result in the imposition of penalties referred to in Division 2, Part 7, Chapter 1 of the California Labor Code. 10, INDEMNIFICATION, DEFENSE; BOLD HARMLESS. BENT hereby agrees to defend, indemnify and hold harm -- less CITY, its officers, agents and employees, from and against any and all liability, damages, costs, losses, claims and ex- penses, however caused, resulting directly or indirectly From or connected with BENTIS performance of this Agreement (including but not limited tc such liability, cost, damage, loss, claim or expense arising from the death of or injury to an agent or employee of BENT, subcontractor, or of CITY or damage to the property of BENT, subcontractor, or of CITY or of any agent or employee of BENT, subcontractor^ or CITY), except where such liability, damages, costs, losses, claims or expenses are caused Solely by the negligent or wrongful acts of CITY or any of its agents or employees including negligent omir ions or commissions of CITY, 5. its agents or employees, in connection wi'h the general super -- vision or direction of the work to be performed hereunder. 11. WORKERS' COMPENSATION. BENT shall comply with all of the provisions of the Workers' Compensation Insurance and Safety ^ct3 of the State o-V Cali'L'ornia, the applicable provisions of Division 4 and 5 of the California Labor Code and all amendments thereto; and all similar state or federal acts or laws applicable; and.shall indemnify, defend and hold harmless CITY from and against all claims demands, payments, suits, actions, proceedings and judgments of every nature and description, includi.ng attorneys' fees and costs, presented, brought or recovered against CITY, for or on ar.count of any lia- bility under any of said act,, which may be it red, by reason of any wore; to be performed by BENT under this Ag- cement . 12. INSURANCE. BENT agrees to furnish to CITE: and maintain in force "he term of this Agreement a general liability insurance policy Li •itiich CITY is _tamed as an additional. insured. The policy shall -e CITY, its officers and employees, while acting within the ,,:ope of their duties, againstall claims arising out of or in connection with services performed under this Agreement. The policy shall provide for not less than the Poll -)wing amounts. Combined single limit bodily injury and/or property damage of $1,000,000 per occurrence. Such policy of insurance shall speci- fically provide that any other insurance carried by (`.ITY which may be applicable shall be deemed excess and BENT'S insurance primary 6. JODI despite any conflicting provisions in BENT'S policy to the con- trary. 13. INDEPENDENT CONTRACTOR. It is further understood and agreed that BENT is, and shall be, acting; at all times as an independent contractor herein and not as an employee of CITY. BENT shall secure a- its expense, and be responsible for, any and all payment of income tax, social security, state disability insurance compensation, unemployment compensation alid other payroll deductions for BENT and, its offi- cers, agents and employees and all basiness licences, if any, in connection with the services to be performed hereunder. 14. CITY STAFF ASSISTANCE.`' CITY shall assign a ,staff coordinator to ,work directly with BENT in connection with the work of this Agreement. 15. TERMINATION. All work shall be done in a good and workmanlike manner and CITY reserves the right to terminat(s services hereunder at any time with or without cause, and whether or not all parades have been fully u-mpleted. Any t;ermioation hereof, and any special instructions hereunder from CITY shall, be made through CITY 'S Public Information Officer, and in writing, which may be delivered in person to BENT or mailed through the normal course of ma,.1 to its business address. Should CITY decide to terminate this Agree- ment :L`or any reason) B2,NT shall be entlt-t.ed to payment or. a. per parade completion basis in accordance with Vie rate schedule here k .:, for work completed prior to written notification. 7. 16. SUBCONTRACTORS. This Agreement is a personal service contract and the supervisory work hereunder shall not be delegated to any person or entity without the consent of CITY. 17 FAILURE TO COMPLETE PARADE. Failure of the subject float, for any reason other than official parade cancellation, to fully participate in and ° complete any parade entered pursuant to this Agreement, shall be deemed nonperformance by LENT as to that parade and shall be subject to one of the fo' ]owing; A. For one of the five parader specified in para- graph 2 hereof, a reduction in the total contract price of 20% or $1,200. B. For any additional parades requested ?pursuant to paragraph 7 hereof, the release of CITY'S obliga- tion to pa the amount specified in paragrapr 6 hereof for that particular parade. 18 LICENSES It shall b,:- the obligation of BENT to obtain all neces- sary permits or licenses necessary for the performance of this Agreement_. 19 ADDITIONAL, PROVISIONS BENT agrees that no regular employee of CITI shall be e-mployed by its firm during the time this Agreement is in effect. 20, NOTICES. Statement of Issue, Recommendation, Analysis, funding Source, Alternative Actions; 06 STATEMENT OF ISSUE: The Special Events Board wishes to contract for a parade float to represent the city in five parades, thus advertising the city and ensuring entry z -to the city parade of floats from other cities. RECOMMENDATION: Approve the contract with the C. E. Bent and Son, Inc. 4 ANALYSIS The attached contract was prepared by the Office of City Attorney at the request of the Special Events Board after the board had solicited bids from six firms engaged, in building of parade floats. Bent was sele ,ted on the basis of design. Two of the subject events have already occured while the contract was drawn and placed on council. agenda. Contract approval will permit payment for these events as well as ensuring all a safeguard for the city in upcoming parades. As this is the first time a contract has been drawn to protect the city as well as to be sure the servicesaredelivered his contract will also serve as a model for prc.,npt contract signing in the future. FUNDING SOURCES Account A-273 — Fourth of July Account, funds raised by public donation. Fundo are available. ALTERNATIVE ACTIONS; Do not approve the contract. VOAHERS' COMPENSATION. DENT shall comply with al.l of the provisions of the Workers' Compensation Trsurance and Safety Acts of the State of Califor�.ia, the applicable pi,,;>visions of Division 4 and 5 of the California Labor Code and all amendments thereto; and all similar state or federal act-5 or laws appl cabl%; and shall indemnify, defend and hold har-ilers CITY from and against all claims y demands, payments, suits, actions, proceedings and jue.meats of every nature and description, including attorneys' fees and cosys, presented, brought or recovered against CITY, for or on account of any lia- bility under any of satid acts which may be incurred by rea&aon of any work to be performed by BENT tinder this Agreement. 12. INSURANCE. BENT agrees to furnish to CITY' and maintu.in -M force for the term of this Agreement a general liability insurance policy in which CITY is named as an additional :]Ensured. The policy shall. insure CITY, its officers and employees, while acting within the scope of their duties, against all claims arising out of'or in connection with services performed under this Agreement. The policy shall provide for not less than the following amounts Combined single limit bodily injury and/or property damace of $1,000,006 per occurrence. INDEPENDENT CONTRACTOR,. It is further understood and agreed that BENT is, and shall be, acting at all times as an independent contractor herein and not as an employee of CITY. BENT shall secure at its expense, and be responsible for, any and all payment of income tax, social, security, state disability insurance compensation, unemployment compensation and other payroll deductions for BENT a'hd its offi- cers, agents and employees and: all 'business licenses, if any, in connection with the services to be performed hereunder. i4, CITE' STAFF ASSISTANCE. CITY shall assign a staff coordinator to work directly with BENT in connection with the work of thi Agreement 15. TERMINATION. All work shall be done in `� good 1 nd workmanlike manner and CITY reserves the right to terminate services, hereunder at any time with or without cause, and whether or not all parades have been fully completed. Any termination hereof, and any special Instructions hereunder from CITY shall be made through CITY'S Public Information and in writing, which m, ,f be deliv,� red In person to BENT or mailed through the normal course of mail to Its business address. Should CITY decide to terminate this Agree- ment for any reason, BENT shall be entitled to payment on a per parade completion basis in accordance with the rate schedule here- in, for work completed prior to written n tification. 16. SUBCONTRACTORS. 'I'his Agreement is a personal service contract and iche supery i,*o y work hereunder shall riot be delegated to any person or entity without the consent of CITY. 17. EAIT,BRE TO COMPLETE PARADE Failure of the subject float, for any reason other than off cir,l parade cancellations to fully participate in and Complete any parade entered pursuant to this Agreement, shah be deemed nonperformance by BENT as to that parade and ,hall be subject to one of the following: A. For one of the five parades specified in para- graph 2 hereof, a reduction in the total contract price of 20% or $1 , 20'0 B. For any additional, parades requested pursuant to paragraph 7 hereof", the release of CITE:' S obliga- tion to pay the amount specified in paragraph fi hereof for that particular ar parade 18. LICENSES, it shall be the obligation of BENT to obtain all neces- sary permits or licenses necessary for the performance of thy, Agreement.' 19. ADDITIONAL PROVISIONS. BENT agrees that no regular employee of CITY shall be employed tzy its firm during the time this Agreement is in effect. 20.. NOTICES.
