Now that the issues have been resolved, the City Council must decide whether to approve the agreement amendment with Cash & Associates for professional services in connection with final design engineering services for the Well #5 Improvements. Funding Source: Unappropriated Water Fund Balance. Recommended Action: Motion to: 1. Alternative Action(s): 1. Deny approval of the recommended action and direct staff to solicit proposals from other consultants for the desired professional services. 2. Deny approval of the recommended action and direct staff how to proceed. Analysis: An agreement with Cash & Associates was approved by the City Council on September 8, 1992 for professional services to prepare plans and specifications for improvements to Well #5 at 8651 Warner Avenue. The design was never finalized due to unresolved engineering issues. The City's maintenance crews would benefit from the improvements because, under the current conditions, regular maintenance must be performed under hazardous conditions due to cramped working conditions and poor access to the equipment. Nearby residents would benefit from the improvements because engine noise would be decreased. Since Cash &Associates was the original design consultant for the project, it is recommended that the professional services agreement with the firm be amended to include the following services: • Revise the previously prepared construction documents to reflect the changed conditions on the site since the original documents were prepared. • Process the construction documents for Building Department plan check and approval. • Prepare the construction specifications and bid documents. • Provide engineering assistance during the construction phase. The advantages to the City contracting with Cash & Associates for these services include: • Cash & Associates is uniquely qualified to perform these services, having acquired specific knowledge of the site because of their previous work on the project putting them way ahead of the learning curve compared to other firms who might be brought in at this point. • Cash & Associates was previously selected through a competitive selection process. • For liability reasons, it is unlikely that another firm would be willing to simply revise and update the work previously done by Cash & Associates, which would therefore result in a greater cost to the project. • There would be a time and cost savings by not having to go through a consultant selection process that could take in excess of three months. 0030122.01 -3- 03/03/98 3:03 PM *QUEST FOR COUNCIL ACTION MEETING DATE: 3/16/98 DEPARTMENT ID NUMBER: PW 98-021 Cash & Associates' insurance carrier can not provide coverage that meets the City's indemnification and Hold Harmless requirements of the City's contract. A request was submitted to the Insurance Settlement Committee for a waiver of our requirements, and on February 3, 1998 a waiver was granted. The following paragraph shows the revised wording approved by the Insurance Settlement Committee. The bold underlined words have been added to the original paragraph of our standard contract. CONSULTANT shall protect, defend, indemnify and hold harmless CITY, its officers, officials, employees, and agents from and against any and all liability, loss, damage, expenses, costs (including without limitation costs and fees of litigation of every nature) to the extent arising out of or in connection with the CONSULTANT'S negligent performance of this agreement or its failure to comply with any of its obligations contained in the agreement, except such loss or damage which was caused by the sole negligence or willful misconduct of the CITY. It is important that the City proceed as quickly as possible with the design and construction of this project because the Public Works Department is renting soundwalls at an approximate cost of$300 per month. The services of the CONSULTANT are to commence as soon as practical after the execution of this Agreement and all tasks specified in Exhibit"A"shall be completed no later that sixteen(16)weeks from the date of this Agreement. COMPENSATION In consideration of the performance of the services described herein,CITY agrees to pay CONSULTANT a fee not to exceed$114,206.00(One Hundred Fourteen Thousand Two Hundred Six Dollars) 5. EXTRA WORK In the event CITY requires additional services not included in Exhibit"A",or changes in the scope of services described in Exhibit"A."CONSULTANT will undertake such work after receiving written authorization from CITY. Additional compensation for such extra work shall be allowed only if the prior written approval of CITY is obtained. 6. METHOD OF PAYMENT A. CONSULTANT shall be entitled to monthly progress payments on the basis of the percentage of completion,toward the fixed fee set forth herein in accordance with the progress and payment schedules set forth in Exhibit"A". B. Delivery of work product: A copy of every technical memo and report prepared by CONSULTANT shall be submitted to the CITY to demonstrate progress toward completion of tasks. In the event CITY rejects or has comments on any such product,CITY shall identify specific requirements for satisfactory completion. Any such product which has not been formally accepted or rejected by CITY shall be deemed accepted. C. The CONSULTANT shall submit to the CITY an invoice for each progress payment due. Such invoice shall: 1) Reference this Agreement; 2) Describe the services performed 3) Show the total amount of the payment due; 4) Include a certification by a principal member of the CONSULTANT's firm that the work has been performed in accordance with the provisions of the Agreement;and 5) For all payments include an estimate of the percentage of work completed. Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is making satisfactory progress toward completion of tasks in accordance with this Agreement,CITY shall promptly approve the invoice, in which G;aggree:cashasso 2 3/6/98 � s event payment shall be made within thirty(30)days of receipt of the invoice by CITY. Such approval shall not be unreasonably withheld. If the CITY does not approve an invoice, CITY shall notify CONSULTANT in writing of the reasons for non-approval,within seven(7)calendar days of receipt of the invoice, and the schedule of performance set forth in Exhibit"A"shall be suspended until the parties agree that past performance by CONSULTANT is in,or has been brought into compliance,or until this Agreement is terminated as provided herein. D. Any billings for extra work or additional services authorized by CITY shall be invoice separately to the CITY. Such invoice shall contain all of the information required above, and in addition shall list the hours expended and hourly rate charged for such time. Such invoices shall be approved by CITY if the work performed is in accordance with the extra work or additional services requested,and if CITY is satisfied that the statement of hours worked and costs incurred is accurate. Such approval shall not be reasonably withheld. Any dispute between the parties concerning payment of such an invoice shall be treated as separate and apart from the ongoing performance of the remainder of this Agreement. 7. DISPOSITION OF PLANS,ESTIMATES AND OTHER DOCUMENTS CONSULTANT agrees that all materials prepared hereunder,including all original drawings, designs, reports,both field and office notices,calculations,maps and other documents, shall be turned over to CITY upon termination of this Agreement or upon PROJECT completion,whichever shall occur first. In the event this Agreement is terminated, said materials may be used by CITY in the completion of PROJECT or as it otherwise sees fit. Title to said materials shall pass to the CITY upon payment of fees determined to be earned by CONSULTANT to the point of termination or completion of the PROJECT,whichever is applicable. CONSULTANT shall be entitled to retain copies of all data prepared hereunder. 8. INDEMNIFICATION AND HOLD HARMLESS CONSULTANT shall protect,defend, indemnify and hold harmless CITY,its officers, officials, employees and agents from and against any and all liability,loss,damage, expenses,costs(including without limitation costs and fees of litigation of every nature)to the extent arising out of or in connection with the CONSULTANT's negligent performance of this agreement or its failure to comply with any of its obligations G;aggree:cashasso 3 3/30/98 • 0 contained in the agreement,except such loss or damage which was caused by the sole negligence or willful misconduct of the CITY. 9. WORKERS COMPENSATION INSURANCE CONSULTANT shall comply with all provisions of the Workers Compensation Insurance and Safety Acts of the State of California,the applicable provisions of Division 4 and 5 of the California Labor Code and all amendments thereto;and all similar state or federal acts or laws applicable;and shall indemnify, defend and hold harmless CITY from and against all claims,demands,payments, suits,actions,proceedings and judgments of every nature and description,including attorney fees and costs presented,brought or recovered against CITY,for or on account of any liability under any of said acts which may be incurred by reason of any work to be performed by CONSULTANT under this Agreement. 10. PROFESSIONAL LIABILITY INSURANCE CONSULTANT shall furnish a professional liability insurance policy covering the work performed by it hereunder. Said policy shall provide coverage for CONSULTANT's professional liability in an amount no less than$1,000,000 per occurrence and in the aggregate. A claims made policy shall be acceptable if the policy further provides that: A. The policy retroactive date coincides with or precedes the professional services contractor's start of work(including subsequent policies purchased as renewals or replacements)> B. Consultant will make every effort to maintain similar insurance during the required extended period of coverage following project completion,including the requirement of adding all additional insureds. C. If insurance is terminated for any reason, Consultant agrees to purchase an extended reporting provision of at least two(2)years to report claims arising from work performed in connection with this Agreement. CERTIFICATES OF INSURANCE Prior to commencing performance of the work hereunder,CONSULTANT shall furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverages as required by this Agreement;said certificates shall: 1. provide the name and policy number of each carrier and policy; 2. shall state that the policy is currently in force;and 3. shall promise that such policies shall not be suspended,voided or canceled by either party, reduced in coverage or in limits except after thirty(30)days prior written notice;however,ten days prior written notice in the event of cancellation for nonpayment of premium CONSULTANT shall maintain the foregoing insurance coverages in force until the work under this Agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverages shall not derogate from the provisions for indemnification of CITY by CONSULTANT under the Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of all said policies of insurance. CONSULTANT shall pay, in a prompt and timely manner,the premiums on all insurance hereinabove required. 12. INDEPENDENT CONTRACTOR CONSULTANT is,and shall be,acting at all times in the performance of this Agreement as an independent consultant. CONSULTANT shall secure at its expense,and be responsible for any and all payment of all taxes, social security,state disability insurance compensation,unemployment compensation and other payroll deductions for CONSULTANT and its officers,agents and employees and all business licenses,if any, in connection with the services to be performed hereunder. 13. TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONSULTANT's services hereunder at any time with or without cause,and whether or not PROJECT is fully complete. Any termination of this Agreement by CITY shall be made in writing,notice of which shall be delivered to CONSULTANT as provided herein. G;aggree:cashasso 5 3/6/98 14. ASSIGNMENT AND SUBCONTRACTORS This Agreement is a personal service contract and the supervisory work hereunder shall not be delegated by CONSULTANT to any person or entity without the consent of CITY. 15. COPYRIGHTS/PATENTS CITY shall own all rights to any patent or copyright work,item or material produced as a result of this Agreement. 16. CITY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement. No officer or employee of CITY shall have any financial interest in this Agreement in violation of California Government Code. 17. LEGAL SERVICES SUBCONTRACTING PROHIBITED CONSULTANT and CITY agree that CITY is not liable for payment of any subcontractor work involving legal services,and that such legal services are expressly outside the scope of services contemplated hereunder. If the CITY does not approve an invoice,CITY shall notify CONSULTANT in writing of the reasons for non-approval,within seven(7)calendar days of receipt of the invoice,and the schedule of performance set forth in Exhibit"A"shall be suspended until the parties agree that past performance by CONSULTANT is in,or has been brought into compliance,or until this Agreement is terminated as provided herein. D. Any billings for extra work or additional services authorized by CITY shall be invoice separately to the CITY. WORKERS COMPENSATION INSURANCE CONSULTANT shall comply with all provisions of the Workers Compensation Insurance and Safety Acts of the State of California,the applicable provisions of Division 4 and 5 of the California Labor Code and all amendments thereto;and all similar state or federal acts or laws applicable;and shall indemnify,defend and hold harmless CITY from and against all claims,demands,payments,suits,actions,proceedings and judgments of every nature and description, including attorney fees and costs presented,brought or recovered against CITY,for or on account of any liability under any of said acts which may be incurred by reason of any work to be performed by CONSULTANT under th greement. 10. PROFESSIONA IABILITY INSURANCE CONSULTANT shall ish a professional liability insurance icy covering the work performed by it hereunder. CERTIFICATES OF INSURANCE Prior to commencing performance of the work hereunder,CONSULTANT shall furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverages as required by this Agreement;said certificates shall: 1. provide the name and policy number of each carrier and policy; 2. shall state that the policy is currently in force;and 3. shall promise that such policies shall not be suspended,voided or canceled by either party, reduced in coverage or in limits except after thirty(30)days prior written notice;however,ten days prior written notice in the event of cancellation for nonpayment of premium CONSULTANT shall maintain the foregoing insurance coverages in force until the work under this Agreement is fully completed and accepted by CITY. CITY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement. No officer or employee of CITY shall have any financial interest in this Agreement in violation of California Government Code. 17. " WHEREAS, CITY desires to engage the services of a consultant to provide engineering design services to replace the pump housing enclosing Well No. 5 in the City of Huntington Beach; and Pursuant to documentation on file in the office of the City Clerk, the provisions of HBMC Chapter 3 . 03 relating to procurement of. professional service contracts has been complied with; and CONSULTANT has been selected to perform said services, NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows : 1. WORK STATEMENT CONSULTANT shall provide all services as described in OPTION 2 of CONSULTANT' S Proposal dated June 25, 1992 (hereinafter collectively referred to as Exhibit ."A") , which is attached hereto and incorporated into this Agreement by this reference. Said services shall sometimes hereinafter be referred to as "PROJECT. " CONSULTANT hereby designates Randy H. Mason, who shall represent it and be its sole contact and agent in all consultations with CITY during the performance of this Agreement . AJFk 8/92413 1 2 . CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to work directly with CONSULTANT in the performance of this Agreement. 3 . TIME OF PERFORMANCE Time is of the essence of this Agreement. The services of the CONSULTANT are to commence as soon as practicable after the execution of this Agreement and all tasks specified in Exhibit "A" shall be completed no later than four (4) months from the date of this Agreement. These times may be extended with the written permission of the CITY. The time for performance of the tasks - identified in Exhibit "A" are generally to be as shown in the Scope of Services on the Work Program/Project Schedule. This schedule may be amended to benefit the PROJECT if mutually ` agreed by the CITY and CONSULTANT. 4 . COMPENSATION In consideration .of the performance of the services described herein, CITY agrees to pay CONSULTANT a fee not to exceed Thirty Five Thousand, Five Hundred Fifty Dollars ($35, 550) . 5 . EXTRA WORK In the event CITY requires additional services not included in Exhibit "A, " or changes in the scope of services described in Exhibit "A, " CONSULTANT will undertake such work after receiving written authorization from CITY. CONSULTANT shall be entitled to progress payments toward the fixed fee set forth herein in accordance with the progress and payment schedules set forth in Exhibit A" . B. Delivery of work product : A copy of every technical memo and report prepared by CONSULTANT shall be submitted to the CITY to demonstrate progress toward completion of tasks . In the event CITY rejects or has comments on any such product, CITY shall 'b identify specific requirements for satisfactory completion. Any such product which has not been formally accepted or rejected by CITY shall be deemed accepted. C. The CONSULTANT shall submit to the CITY an invoice for each progress payment due. Such invoice shall : 1) Reference this Agreement; 2) Describe the services performed; 3) Show the total amount of the payment due; 4) Include a certification by a principal member of the CONSULTANT' S firm that the work has been performed in accordance with the provisions of this Agreement; and 5) For all payments include an estimate of the percentage of work completed. Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is making satisfactory progress toward completion of tasks in accordance with this Agreement, CITY shall promptly approve the invoice, in which event payment shall be made within thirty (30) days ' of receipt of the invoice by CITY. In the event this Agreement is terminated, said materials may be used by CITY in compliance of the PROJECT; however, CITY agrees to hold AJFk 8/92413 4 harmless, indemnify and defend CONTRACTOR against all damages, claims and losses, including defense costs, arising out of CITY' S re-use of CONTRACTOR' S plans and specifications, except in the completion of the PROJECT in the case of termination hereof, without CONTRACTOR' S prior written authorization. 8 . INDEMNIFICATION AND HOLD HARMLESS CONSULTANT hereby agrees to indemnify, defend, and hold and save harmless CITY, its officers and employees from any and all liability, including any claim of liability and any and all losses o'r costs arising out of the negligent performance of this agreement by CONSULTANT, its officers or employees. 9 . WORKERS' COMPENSATION CONSULTANT shall comply with all of the provisions of the Workers ' Compensation Insurance and Safety Acts of the State of California, the applicable provisions of the California Labor Code and all amendments thereto; and all similar state or federal acts or laws applicable; and shall indemnify, defend and hold harmless CITY from and against all claims, demands, payments, suits, actions, proceedings and judgments of every nature and description, including attorney' s fees and costs presented, brought or recovered against CITY, for or on account of any liability under any of said acts which may be incurred by reason of any work to be performed by CONSULTANT under this Agreement . INSURANCE In addition to the workers ' compensation insurance and CONSULTANT' S covenant to indemnify CITY, CONSULTANT shall obtain and furnish to CITY the following insurance policies covering the PROJECT: A. General Liability Insurance. A policy of general public liability insurance, including motor vehicle coverage. Said policy shall indemnify CONSULTANT, its officers, agents and employees, while acting within the scope of their 'duties, against any and all claims of arising out of or in connection with the PROJECT, and shall provide coverage in not f. less than the following amount: combined single limit bodily injury and property damage, including products/completed operations liability and blanket contractual liability, of $1, 000, 000 per occurrence. If coverage is provided under a form which includes a designated general aggregate limit, the aggregate limit must be no less than $1, 000, 000. Said policy shall name CITY, its officers, and employees as Additional Insureds, and shall specifically provide that any other insurance coverage which may be applicable to the PROJECT shall be deemed excess coverage and that CONSULTANT'S insurance shall be primary. B. Professional Liability Insurance. CONSULTANT shall acquire a professional liability insurance policy covering the work performed by it hereunder. Said policy shall provide coverage for CONSULTANT' S professional liability in an amount not less than $500,000 per claim and aggregate. A claims made policy shall be acceptable. CERTIFICATES OF INSURANCE: ADDITIONAL INSURED_ ENDORSEMENTS Prior to commencing performance of the work hereunder, CONSULTANT shall furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverages as required by this Agreement; said Certificates shall provide the name and policy number of each carrier and policy, and shall state that the policy is currently in force and shall promise to provide that such policies will not be cancelled without thirty (30) days prior written notice to CITY. CONSULTANT shall maintain the foregoing insurance coverages in force until the work under this Agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverages shall not derogate from the provisions for indemnification of CITY by CONSULTANT under this Agreement . CITY or its representative shall at all times have the right to demand the original or a copy of all said policies of insurance. CONSULTANT shall pay, in a prompt and timely manner, the premiums on all insurance hereinabove required. Except for Professional Liability, a separate copy of the additional insured endorsement to each of CONSULTANT' S insurance policies, naming the CITY, its officers and employees as Additional Insureds shall be provided to the City Attorney for approval prior to any payment hereunder. 12 . INDEPENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor . CONTRACTOR shall secure at its expense, and be responsible for any AJFk 8/92413 7 and all payments of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for CONSULTANT and its officers, agents and employees and all business licenses, if any, in connection with the services to be performed hereunder. 13 . TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONSULTANT' S services hereunder at any time with or without cause, and whether or not PROJECT is fully complete. Any termination of this Agreement by CITY shall be made in writing through the Director of Public Works, notice of which shall be delivered to CONSULTANT as ~' provided herein. 14 . ASSIGNMENT AND SUBCONTRACTING This Agreement is a personal service contract and the supervisory work hereunder shall not be delegated by CONSULTANT to any other person or entity without the consent of CITY. 15 . COPYRIGHTS/PATENTS CITY shall own all rights to any patent or copyright on any work, item or material produced as a result of this Agreement. 16 . CITY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement . Project elements are to include: 1. Demolition of the existing structure. 2. Design for a new, larger pump station building. ' 3. Utilization of existing engine mounting foundation, piping, engine controls and telemetering equipment for the new pump station building. 3. Separation of the well head and related equipment, within a new enclosure, from the 1 engine. 4. Provide a room for the chlorine tank storage with overhead hoist and trolley. 5. All power and lighting for buildings and site. ' 6. Ventilation system. 7. Provide for access and removal of all equipment, including the engine and pumps. 8. All existing foundations shall be raised to a sufficient height so as to provide acceptable access and elevate above flood control waters. ' 9. Provide an independent fluoride bottle enclosure with appropriate underground spill holding tank. ' 10. Mount the existing muffler on the exterior of the building. 1 In support of the City's Scope of Work as indicated above, Cash &Associates Engineers will provide the following: 1 1. Preliminary Basis of Design Report. 6. Construction cost estimates. 7. Project specifications. 8. Construction document submittals (25%, 50%, 90%, 100%). 9. Construction bid package preparation. ' 10. Plan check processing. Cash&Associates Engineers 2 Huntington Beach Well No.5 ' PROJECT APPROACH Cash & Associates Engineers has visited the existing Well No. 5 site. In addition, we have visited the ' existing Well No. 9 site as well as reviewed the Well No. 9 project construction drawings. Based on these site visits and our review,we have made a preliminary construction cost estimate for the Well No. 5 facility and have reached the conclusion that the scope of work requested relates to a design fee that appears out-of-proportion to the estimated construction cost for the proposed facility. Due to this conclusion, we have decided to propose on the design for the Well No. 5 facility in two ways: OPTION 1 As requested by the City of Huntington Beach"Request for Proposal"dated June 2, 1992, and; OPTION 2 As an abbreviated °fast-track° approach. It is our opinion that Option 2 is an ' appropriate method for such a small facility. Detailed breakdowns of these options are as follows: OPTION 1 To provide the consulting services requested in the City's Request for Proposal, Cash & Associates Engineers project team will: ' 1. Provide both a topographic site survey and a geotechnical report. 2. Meet with City of Huntington Beach, Department of Public Works - Water Division, ' personnel to determine maintenance, operations and project needs for each component of the Well No. 5 Pump Station. ' 3. Provide conceptual sketches for all enclosures based on information gathered from the coordination meetings with City personnel as well as applicable code requirements. ' 4. Prepare a site plan which will integrate the buildings to facilitate truck and maintenance access. 5. Prepare an economic analysis of the various building materials and systems available for ' construction of the Pump House, Chlorine and Fluoride enclosures. 6. Prepare a Preliminary Design Report. The Preliminary Design Report will incorporate ' Items 1 through 5 as well as appropriate schematic drawings and will compose the 25% submittal. 7. Upon approval of the 25% submittal by the City of Huntington Beach, Department of Public Works - Water Division, work will begin for the Construction Document Phase. Prepare appropriate structural and civil calculations, construction drawings, construction cost estimates and project specifications for the 50%, 90% and 100% submittals. i9. At the completion of each submittal, the City will review the submittal package, make written comments and meet with the consultant team to clarify any issues. 10. At the completion of the 90% submittal, the package will be submitted to the City of Huntington Beach for plan check processing. ' 11. Upon the completion of the plan check process and review of the final comments by the Water Division, 20 construction packages will be prepared for the bid process. ' 12. Per the City's Request for Proposal, the City of Huntington Beach will manage both the bid process as well as provide all construction administration. OPTION 2 To accomplish our proposed 'abbreviated fast-track' approach for the Well No. 5 project, the following ' is suggested: 1. A topographic survey will be provided by the City based on specific criteria requested by Cash & Associates Engineers. 2. Buildings for the Well No. 5 site will be designed using minimum Uniform Building Code (UBC) soils criteria allowables, thus eliminating the need for a soils report. ' 3. One to two workshop/meeting(s) will be held at the Cash&Associates Engineers' office, with a full compliment of the City's Operations and Maintenance staff, to discuss all pertinent design criteria and cost implications. The meeting(s) will establish and finalize building footprints, site location, and access criteria. Schematic plans and elevations for the buildings and site will be sketched and distributed to all attendees. 4. All attendees will be given two (2) weeks to re-evaluate and comment on the schematic plans and specifications. The consultant will be placed on °Hold° during this review period. ' 5. Once all comments are received, reviewed and incorporated, and/or otherwise addressed, Cash &Associates Engineers will initiate and complete final drawings. With ' the exception of the 50% design progress submittal, all other formalized pre-final submittals will not be prepared. 6. All electrical work will be handled in a performance specification format and will be design/build. 7. The City of Huntington Beach will make all reproductions for bid packages. 8. Scheduled or unscheduled °over-the-shoulder' reviews by the City of Huntington Beach, Department of Public Works -Water Division will be encouraged to assure the City that construction documents are proceeding as desired. Cash&Associates Engineers 4 Huntington Beach Well No. 5 ' Changes to the documents will be handled on an "on-occurrence" basis. If a City requested change contradicts previous direction, a change order will be initiated. Analysis: The Water Division must bring the present pump station up to modern day building code and standards. The building is a safety hazard as it is too small to accommodate the equipment that is housed within. The use of chlorine gas to disinfect the water supply is currently located on site but does not meet current City adopted Uniform Fire Code Standards. The Water Division staff does not have the necessary expertise to perform the design and engineering services needed for this project. Therefore, pursuant to Chapter 3 . 03 Professional Services of the Municipal Code, proposals were solicited from qualified firms. Proposals were received on June 26, 1992 . Consultant services are not to be confused with functions that have been privatized on a permanent basis such as tree trimming, equipment maintenance contracts, or forensic services. The purpose of requiring this information in every RCA is to provide the City Council and the public with a better understanding and justification as to why these tasks cannot and should not be done by existing city staff. Following are six criteria that shall be reviewed in every RCA requesting consultant services. 1) Clearly define the task to be done by a consultant and differentiate it from similar tasks normally performed by staff. 2 ) Describe why existing staff cannot perform the desired work without going outside the organization. 3) If there are other Council or city priorities which take precedence, explain what other tasks could be deferred to allow staff to perform the work that would otherwise be done by a consultant. 4 ) Describe in financial terms the cost/benefit to the city of using a consultant rather than having staff perform the task. 5) Completely describe the alternatives that staff would recommend to using an outside consultant to perform the task in question. 6) State any legal requirements that may require the use of a consultant since staff may not have the credentials to perform a certain function. Review all drawings and specifications for Huntington Beach Well No. 5 current site/building. B. " WHEREAS, CITY desires to engage the services of a consultant to provide engineering design services to replace the pump housing enclosing Well No. 5 in the City of Huntington Beach; and Pursuant to documentation on file in the office of the City Clerk, the provisions of HBMC Chapter 3 . 03 relating to procurement of. professional service contracts has been complied with; and CONSULTANT has been selected to perform said services, NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows : 1. WORK STATEMENT CONSULTANT shall provide all services as described in OPTION 2 of CONSULTANT' S Proposal dated June 25, 1992 (hereinafter collectively referred to as Exhibit . "A" ) , which is attached hereto and incorporated into this Agreement by this reference. Said services shall sometimes hereinafter be referred to as "PROJECT. " CONSULTANT hereby designates Randy H. CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to work directly with CONSULTANT in the performance of this Agreement . 3 . TIME OF PERFORMANCE Time is of the essence of this Agreement . The services of the CONSULTANT are to commence as soon as practicable after the execution of this Agreement and all tasks specified in Exhibit "A" shall be completed no later than four (4) months from the date of this Agreement . These times may be extended with the written permission of the CITY. The time for performance of the tasks identified in Exhibit "A" are generally to be as shown in the Scope of Services on the Work Program/Project Schedule. This schedule may be amended to benefit the PROJECT if mutually agreed by the CITY and CONSULTANT. 4 . COMPENSATION In consideration of the performance of the services described herein, CITY agrees to pay CONSULTANT a fee not to exceed Thirty Five Thousand, Five Hundred Fifty Dollars ($35, 550) . 5 . EXTRA WORK In the event CITY requires additional services not included in Exhibit "A, " or changes in the scope of services described in Exhibit "A, " CONSULTANT will undertake such work after receiving written authorization from CITY. Additional compensation for such extra work shall be allowed only if the prior written approval of CITY is obtained. AJFk 8/92413 2 6 . METHOD OF PAYMENT A. CONSULTANT shall be entitled to progress payments toward the fixed fee set forth herein in accordance with the progress and payment schedules set forth in Exhibit A" . B. Delivery of work product : A copy of every technical memo and report prepared by CONSULTANT shall be submitted to the CITY to demonstrate progress toward completion of tasks . In the event CITY rejects or has comments on any such product, CITY shall identify specific requirements for satisfactory completion. Any such product which has not been formally accepted or rejected by CITY shall be deemed accepted. C. The CONSULTANT shall submit to the CITY an invoice for each progress payment due. Such invoice shall : 1) Reference this Agreement; 2) Describe the services performed; 3) Show the total amount of the payment due; 4) Include a certification by a principal member of the CONSULTANT' S firm that the work has been performed in accordance with the provisions of this Agreement; and 5) For all payments include an estimate of the percentage of work completed. Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is making satisfactory progress toward completion of tasks in accordance with this Agreement, CITY shall promptly approve the invoice, in which event payment shall be made within thirty (30) days ' of receipt of the invoice by CITY. Such approval shall not be unreasonably withheld. If the CITY does not AJFk 8/92413 3 approve an invoice, CITY shall notify CONSULTANT in writing of the reasons for non-approval, within seven (7) calendar days of receipt of the invoice, and the schedule of performance set forth in Exhibit "A" shall be suspended until the parties agree that past performance by CONSULTANT is in, or has been brought into compliance, or until this Agreement is terminated as provided herein. D. Any billings for extra work or additional services authorized by the CITY shall be invoiced separately to the CITY. Such invoice shall contain all of the information required above, and in addition shall list the hours expended and hourly rate charged for such time. Such invoices shall be approved by CITY if the work performed is in accordance with the extra work or additional services requested, and if CITY is satisfied that the statement of hours worked and costs incurred is accurate. Such approval shall not be unreasonably withheld. Any dispute between the parties concerning payment of such an invoice shall be treated as separate and apart from the ongoing performance of the remainder of this Agreement . 7 . DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS CITY acknowledges that CONTRACTOR' S plans and specifications are instruments of professional service; nevertheless, CONTRACTOR agrees that all materials prepared hereunder, including all original drawings, designs, reports, both field and office notes, calculations, maps and other documents shall be turned over to CITY and shall become its property upon PROJECT completion or earlier termination of the Agreement . WORKERS' COMPENSATION CONSULTANT shall comply with all of the provisions of the Workers ' Compensation Insurance and Safety Acts of the State of California, the applicable provisions of the California Labor Code and all amendments thereto; and all similar state or federal acts or laws applicable; and shall indemnify, defend and hold harmless CITY from and against all claims, demands, payments, suits, actions, proceedings and judgments of every nature and description, including attorney' s fees and costs presented, brought or recovered against CITY, for or on account of any liability under any of said acts which may be incurred by reason of any work to be performed by CONSULTANT under this Agreement . CONSULTANT shall obtain and furnish evidence to CITY of maintenance of statutory workers ' compensation insurance and employers ' liability in an amount of not less than $100, 000 bodily injury by accident, each occurrence, $100, 000 bodily injury by disease, each employee, and $250, 000 bodily injury by disease, policy limit . INSURANCE In addition to the workers ' compensation insurance and CONSULTANT' S covenant to indemnify CITY, CONSULTANT shall obtain and furnish to CITY the following insurance policies covering the PROJECT: A. General Liability Insurance. A policy of general public liability insurance., including motor vehicle coverage. Said policy shall indemnify CONSULTANT, its officers, agents and employees, while acting within the scope of their duties, against any and all claims of arising out of or in connection with the PROJECT, and shall provide coverage in not less than the following amount : combined single limit bodily injury and property damage, including products/completed operations liability and blanket contractual liability, of $1, 000, 000 per occurrence. If coverage is provided under a form which includes a designated general aggregate limit, the aggregate limit must be no less than $1, 000, 000 . Said policy shall name CITY, its officers, and employees as Additional Insureds, and shall specifically provide that any other insurance coverage which may be applicable to the PROJECT shall be deemed excess coverage and that CONSULTANT' S insurance shall be primary. B. Professional Liability Insurance. CONSULTANT shall acquire a professional liability insurance policy covering the work performed by it hereunder. Said policy shall provide coverage for CONSULTANT' S professional liability in an amount not less than $500, 000 per claim and aggregate. A claims made policy shall be acceptable. AJFk 8/92413 6 11. CERTIFICATES OF INSURANCE; ADDITIONAL INSURED ENDORSEMENTS Prior to commencing performance of the work hereunder, CONSULTANT shall furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverages as required by this Agreement; said certificates shall provide the name and policy number of each carrier and policy, and shall state that the policy is currently in force and shall promise to provide that such policies will not be cancelled without thirty (30) days prior written notice to CITY. CONSULTANT shall maintain the foregoing insurance coverages in force until the work under this Agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverages shall not derogate from the provisions for indemnification of CITY by CONSULTANT under this Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of all said policies of insurance. CONSULTANT shall pay, in a prompt and timely manner, the premiums on all insurance hereinabove required. Except for Professional Liability, a separate copy of the additional insured endorsement to each of CONSULTANT' S insurance policies, naming the CITY, its officers and employees as Additional Insureds shall be provided to the City Attorney for approval prior to any payment hereunder. 12 . INDEPENDENT CONTRACTOR I CONSULTANT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor . CONTRACTOR shall secure at its expense, and be responsible for any AJFk 8/92413 7 and all payments of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for CONSULTANT and its officers, agents and employees and all business licenses, if any, in connection with the services to be performed hereunder . 13 . TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner . CITY may terminate CONSULTANT' S services hereunder at any time with or without cause, and whether or not PROJECT is fully complete. Any termination of this Agreement by CITY shall be made in writing through the Director of Public Works , notice of which shall be delivered to CONSULTANT as provided herein. 14 . ASSIGNMENT AND SUBCONTRACTING This Agreement is a personal service contract and the supervisory work hereunder shall not be delegated by CONSULTANT to any other person or entity without the consent of CITY. 15 . COPYRIGHTS/PATENTS CITY shall own all rights to any patent or copyright on any work, item or material produced as a result of this Agreement . 16 . CITY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement . No officer or employee of CITY shall have any financial interest in this Agreement in violation of the applicable provisions of the California Government Code. AJFk 8/92413 8 . • • 17 . NOTICES Any notices or special instructions required to be given in writing under this Agreement shall be given either by personal delivery to CONSULTANT' S agent (as designated in Section 1 hereinabove) or to CITY' S Director of Public Works, as the situation shall warrant, or by enclosing the same in a sealed envelope, postage prepaid, and depositing the same in the United States Postal Services , addressed as follows : TO CITY: TO CONSULTANT: Mr . IMMIGRATION CONSULTANT shall be responsible for full compliance with the immigration and naturalization laws of the United States and shall, in particular, comply with the provisions of the United States Code regarding employment verification. 19 . LEGAL SERVICES SUBCONTRACTING PROHIBITED CONSULTANT and CITY agree that CITY is not liable for payment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. CONSULTANT understands that pursuant to Huntington Beach City Charter S 309 , the City Attorney is the exclusive legal counsel for CITY; and CITY shall not be liable for payment of any legal services expenses incurred by CONSLUTANT. AJFk 8/92413 9 20 . ENTIRETY The foregoing, and Exhibit "A" attached hereto, set forth the entire Agreement between the parties .
