A G R E E M E N T
THIS AGREEMENT, made and entered into this
day of „�,y �, 197? by and between the CITY OF HUNTING -
TON BEACH, CALIFORNIA, a municipal corporation, hereinafter
referred to as CITY, and Cash & Jenkin Eigineers, a partnership
hereinafter referred to as CONSULTANT.
WITNESSETH;
The City Council of CITY is authorized to engage the
services of a professional engineer for the performance of
necessary engineering services for and on behalf of CI.PY: and
It is necessary and desirable that professional
engineering services be performed for CITY as more specifically
described in the Request for Proposal for Slater Storm Drain
Pump Station Buildings ► hereinafter referred
to as PROJECT. Said proposal is attached hereto, marked Exhibit
"A," and by this reference incorporated herein and made a part
hereof, ,
CONSULTANT shall have a high degree of specialized train-
ing and experience and shall have all necessary licenses therefor
to practice and perform the services herein contemplated; any`

CONSULTANT agrees to perform the engineering
services necessary for this project; and
CITY hereby employs CONSULTANT to perform the follow-
ing serviceE as required by PROJECT and CONSULTANT agrees to pro-
vide those services in accordance with recognized standards of
the engineering profession; and
No official or employee of CITY has a financial in-
terest in the subject matter of this agreement contemplated
within the provisions of California Government Code Section 1090
1092; and
CONSULTANT war�:ants' that. it shall perform t e h se rvices
herein contemplated in com lianc�., with the California laws re-

rated tominimumhours and wages (California Labor Code Section
13.71 et seq.), Occupational Health and Safety (29 U.S.C. 651 et
seq.r and the California Labor Code Section 6300 et seq.), and
fair employment practices (29 U.S.C. 201 et seq., and California
Labor Code Section 1.410 et seq.) to the extent same are applicable
here.;,; and
"Ibe parties hereto desire to set forth their rights,
duties and 1Iabi.lities in connection with the services to be per-
formed tinder this PROJECT,
1410W, THEREFORE, it :is agreed by CITY and CONSULTANT as
follows
SECTION 1. GENERAL DESCRIPTION OF WORK TO BE DONE:
(a) CONSULTANT shall provide all engineering services
as described in Exhibit "A" including but not limited to surveys,

investigations, consultations and advice, preparation of detailed
design, construction plans, special provisions, estimates of
Quantities .and cots, and any other miscellaneous; engineering
services reauired to complete the assignment as outlined in Exhibit
"7, .,'
i-1 (b) CONSULTANT shall attend .and assist in all coordi-
nation meetings.
(c) CONSULTANT shall designate a registered civil
engineer who shall represent it and be its sole contact and agent
in all-consultationQ with CITY during fulfillment of the terms of
this agreement.
SECTION 2. DISPOSITION OF PLANS, ESTIMATES AND OTHER
DOCUMENTS:
CONSULTANT agrees that all original drawings, reports,
both field and office notes, calculations, maps and other docu-
ments, shall be turned over to CITY upon completion of PROJECT.
SECTION 3. DISCRIMINATION:
CONSULTANT agrees that in the performance of the terms
of this agreement, it will not engage in, nor permit its agents
to engage in, discrimination in employment of persons because of
race, religious creed, color, national origin, ancestry, physi-
cal handicap, medical condition., marital, status, or sex of such
persons, except as provided in Section 1420 of, the California Labor
Code. Violation of this provision may result, -in the imposition of
penalties referred to in Division 2, Part 7, Chapter l of the
California Labor Code.
SECTION 4. INDEMNIFICATION, DEFENSE, MOLD HARMLESS:
CONSULTANT hereby agrees to defend, itdemnify and held
harmless
CITY, its officers, agents and employees/from and against any and.
all liability, damages, costs, losses, claims and expenses, -proxi-

madly caused or in connection with CONSULTANT'S negligent or
wrongful acts in the performance of this agreement (including
but not limited to such liability, cost, damage, loss, claim or
expense arising from the date or injury to an agent or employee
of CONSULTANT, his subcontractor, or of CITY or damage to the
property of CONSULTANT, his subcontractor, or CITY), except where
such liability, damages, costs, losses, claims or expenses are
caused solely by the negligent or wrongful acts of CITY or any of
its agents or employees including negligent omissions or commissions
of CITY, its agents or employees, in connection with the general
supervision or direction of the work to be performed hereunder.
SECTION 5. WORKERS' COMPENSATION:
CONSULTANT shall comply with all of the provisions

of the Workers Compensation Insurance and Safety.Acts of the
State of California, the applicable provisions of Divisio> 4
and 5 of the California Labor Code and all amendments thereto,
and all similar State or Federal acts or laws applicable; and
shall indemnify and hold harmless CITY from and against all
claims, demands, payments, suits, actions, proceedings and
judgments of every nature and description, including attorneey`'s
fees and costs, presented, brought or recovered against CITY,
for or on account of any liability for failure to ,obtain Workers'
Compensation Insurance for employees employed under this agreement.`
SECTION 6. INSURANCEe
CONSULTANT agrees tofurnishto CITY and maintain in
force until the completion of PROJECT a general liability in

surance policy in which CITY is named in additional insured.
The policy shall insure CITY, its officers and employees whale
acting within the scope of their duties for the acts or omis-
sions of CONSULTANT in connection with PROJECT. The policy shall
prowtide for not .less than the fallowing amountst Combined single
Limit bodily injury and/or property damage of $1,000,000 per
occu5:rence.. Such policy of insur�Zce shall specifically provide
that ant other insurance c #fi-w ied by CITY which may be applicable
shall be deemed excess and CONSULTANT'S insurance prima=y despite
any conflicting provisions in CONSULTANT'S policy to the contrary.
SECTION 7. INUEFENDFNT CONTRAC�2OR:
It in further understood and agreed that CONSULTANT
is, and shall be, acting at all times as an independent contrac-
tor herein and not as an employee of CITY. CONSULTANT shall
secure at its er;nense, and be responsible for any and all pay-
ment ,:of incom.. taw:, social security, state disability insurance
c oinpen ation, unemployment campensat ion any' ether payroll de-
ductiR._,� for CONSULTANT and its offic,,ersf agents and employees
and all business licensees, if any, in connection with the ser
'vices to be performed Y:sreunder.
SECTION 8. CITY STAFF ASSISTANCE:
CITY shall, assign a staff coordinator to work directly
:with CONSU'UTANIT in connection with the work of this agreement.

SECTION 11. TE.RMINATION OF CONTRACT:
All work shall be done in a good and workmanlike manner
by written notice
and CITY reserves the right to terminate services hereunder/at
any time with or without cause, and whetherornot project has been
fully completed. Any termination hereof, ane, and special in

Eng :er, and in writing, whichmaybe delivered in person to
CONSULTANT or mailed througl,,, the normal course of mail to its
now-establis'ned business address. In the event this agreement
is cancelled, all drawings, designs, specifications and appur
t�_+ant data may be used by CITY without additional cost to CITY.
Should CITY decide to terminate this agreement for any reason,
CONSULTANT shall. be entitled to payment, on an hourly basis in H
accordarce ti3t1h the rate schedule herein, for work completed
prior to written notification.
SECTION 12. SUBCONTRACTORS:
This agreement is a personal service contract and the
supervisory work hereunder shall not be delegated to any person
or entity without the consent of CITY.
SECTION ADDITIONAL PROVISIONS:

CONSULTANT agrees that no reguar mployee of CITY
shall be employed by its firm during the time that this agree-• '
ment if in effect.

Services; Slater. Storm Drain pump Station
Buildings; CC-495
Gentlemen:
The City of Huntington Beach is accepting proposals for the
furnishing of professional engineering services required to award
a contract for the construction of two buildings at the City`s
Slater storm drain pump station site. Your firm is invited to
submit a proposal.
one building will bouse the four existing pumping units and
ultimately an additional four units. The other building will house
the 9,=p puirp equipmer t. The existing two buildings will also have
to be removed. A fifth pumping unit, which has been ordered, will
be available for installation within the next few months. Sine
the existing pump station building is not sized to acconLTodate this
additional unit, the proposed structure must be constructed prior
to the p-amp irstailation . Attache;t is a site plan and a location
map of the project for your use.
The selection of a consultant for this project will be based
on the following
1. Familiarity and prior experience with this type of project.
2. Unique approaches with respect to construction materials and
methods and other suggetionu to expedite the project.
3.The ability of the consultant to, couple to the assignment and
be ready to adverta.se for bids by January 21, 1980.

with a brief ,resume of each, including recent projects they
have been associated with and in what capacity. Indicate
who would be the Project Engineer.

the scope of the work and also the firm's basic approach.

The scope of the work. to be pe formed by the consultant will
include but is not limited to the - llowing:
1.
Calculations to determine the adequacy of the existing pump
station floor, pier walls, forebayfloor, etc., with respect
to how the proposed buildings might affect them.
2.
A study to determine the most economical and environmentally
pleasing building materials. Since the pumping units are very
noisy, the buildings shall be constructed utilizing sound
resistant materials.
3.
All ?necessary field surveying for design and preparation of
plans. The City will provide the construction surveying
ofcer the project is awarded.
4.
A review of the various design alternatives including costs
for each.
5.
Preparation of all necessary calculations for review and
approval by the City,
5.,
Preparation of all plans, specifications, cost estimates and
other contract documer,vs n.ece;sary to advertise the project
for formal sealed bids. Plans shall include any changes re-
quired to the existing :,tructure necessitated by the proposed
construction. All plans shall be drawn on City furnished
linens with standard City title block. The specifications
shall be in accordance with the "City of Huntington Beach
Ordinance Code" and based on the "Uniform Building Code"
and the "Standard Specificati-)ns for Public works construc-
tion" (Greer, Book)

Process the necessary envirt.._nental documents.

Coordinate; and obtain the needed permits and approvals in-
cluding the Coastal Commission Pern►it. The consultant shall
represent the City at any proceedings involved with the pro-
cessitq of permits.

Analysis
At; the July 2, 1979,- City Council meeting authorization was given to solicit
proposal from consulting engineers to design the Slater Storm Drain Pump
Station buildings. Proposals were received from the following firms:

Alternative Actions

project. This would leave portions of the drainage district subject to

The cast of the professional engineering services will be financed from
City Drainage District 9 Funds.

Statement o Issue:
The pumping unit recently purchased, for the Slater_ Storm Drain Pump Station
will arrive for installation in the fall of this year. A building must be
designed and constructed iix order to house the pumping equipment. Due to the
current workload, the City's eng:,neering staff �-I,annot prepare the building
construction plans and specifications at this time.
Recommended Action:
Authorize a Request for Proposals (RFP) from consulting engineers for the
preparation of plans and specifications for the construction of the Slater
Storm. Drain Pump Station building.
Analysis:
On Nov. 6, 1978, the City Council awarded a contract for the purchase of an
additional pumping unit for the Slater Storm Drain Pump Station. The pumping
equipment is scheduled to be delivered in the fall; however, the temporary
building now being utilized at this site is not large enough to house the new
pumping unit. It is now necessary to design and construct a new pump building
to house present and future pumping facilities.
Due to the current workload the City's engineering staff cannot prepare the
building construction plans and specifications at this time; therefore,'it
is necessary to 'hire a consulting enginoer for the required design.
Alternatives:
Postpone the design of the project and the installation of the new pumping
unit. This would leave portions of the drainage district :subject to possible
flooding
Funding:
Dra—` n c— District No. 9 funds are now available for this project. The esti-
mated .. for engineering services is $25,000 and was budgeted in the
78-1`_� .pital Improvement budget. The estimated construction cost is
$250,04 and is proposed for the 179-180 Capital Improvement budget.
