DOLDER, ACTING ASSISTANT CITY ADMINISTRATOR/FIRE CHIEF SUBJECT: APPROVE CONTRACT FOR COBOL PR Statement of Issue, Funding Source, Recommended Action, Alternative Action(s), Analysis, Environmental Status, Attachment(s) Statement of Issue: Should the City contract for a COBOL programmer to help meet software changes necessary to correct Year 2000 conflicts? Funding Source: Salary and Benefit savings of $67,500 available from existing programmer position vacancy. Recommended Action: Motion to: 1. Authorize the Acting City Administrator to enter into a contract with Centric Resources, Inc. for supplying contract personnel to perform COBOL Programming on City software. 2. Authorize the transfer and expenditure of existing salary and benefit funds to a contract services account. Alternative Action(s): Do not contract for COBOL Programming services and instead permanently fill the existing programmer vacancy. Analysis: The City's current Business Systems software is written in COBOL and contains software code. that will conflict with the Year 2000 date change. Correcting Year 2000 software code conflicts is essential to maintain the integrity of the City's critical Business Systems which include Payroll, Accounting, Municipal Service Billings, Business Licenses, Community Development Permits, and Medical Claims. The Information Systems Division provides the City's computer programming needs for current Business Systems software through four staff programmers. A recent resignation of one programmer creates a staffing shortage that jeopardizes maintaining current Business System software and writing software code changes necessary to eliminate Year 2000 conflicts. F--- - 1-3 REQUEST FOR ACTION• MEETING DATE: December 15, 1997 DEPARTMENT ID NUMBER: FD 97-021 Staff considered two replacement options for filling the programmer vacancy: 1) replacing the existing programmer vacancy with a permanent position, and 2) replacing the existing programmer vacancy with a contract programmer for specific work tasks and time period. Option 2 is recommended since the existing mainframe Business Systems software will be replaced with commercially available Business System software products. The replacement programmer should be proficient in the new commercial program languages, rather than in COBOL. Since the future replacement software has not been selected, recruiting a permanent position at this time is difficult. However, delaying the hiring process until the new software is chosen impacts the Year 2000 time constraints. The best solution is to contract for an interim COBOL programmer which will allow the City to subsequently hire personnel with the knowledge, expertise and background necessary to implement and operate the replacement software technologies. Therefore, staff recommends that the City contract for a COBOL programmer to meet current critical programming needs, leaving flexibility for meeting future staffing demands for software technologies not yet selected or acquired. Centric Resources, Inc. is the recommended vendor due to their familiarity with our current computer systems. Environmental Status: Not applicable. WHEREAS, City desires to employ Contractor to perform information technology consulting; Contractor represents that it is ready, willing and able to provide the information technology consulting services to the City; NOW, THEREFORE, the parties hereto mutually agree as follows: SECTION 1. Employment. City hereby employs Contractor and Contractor hereby accepts such employment to perform information technology consulting. Contractor shall provide a COBOL programmer to work at the City. City shall provide the programmer work space, desk, incidental supplies, and provide computer system time and facilities at no cost to Contractor. SECTION 2. Fees. Contractor's consulting fee shall be $50.00 per hour or $75.00 per hour overtime for the responsible individual identified at Section 10. Said hourly rate can be increased to $65.00 and $97.50, respectively, subject to the approval of the Acting Assistant City Administrator/Fire Chief pursuant to Section 10. 1 SF/s: MAgree:Centric 12/5/97-#3 • • Contractor shall prepare a weekly statement which will set forth the nature of the services provided during the preceding period, the names and hours of each individual providing services, and the total number of hours and amounts of fees attributable to providing such services. City recognizes that Contractor has invested significant time and expense recruiting and training skilled personnel provided to City under this Agreement. Therefore, if City or any of its divisions, parents, subsidiaries, affiliates or successors -assignees employees, or otherwise directly or indirectly use the services of, any person assigned to perform services for City pursuant to this Agreement, on a full time, part time, or temporary basis, within six (6) month period following the completion or other termination of such person's assignment without prior written consent, City shall compensate Contractor at the following rate: One percent (1 %) per thousand of the sum of such person's initial annual salary plus any bonus to be paid to such person. Payments made or due to Contractor for services performed prior to the employee becoming so employed by City will not be applied to this fee. City agrees to give Centric Resources 30 days written notice of any such hire. City has the option to extend an offer of employment without the above liquidation charges following six (6) months of performance. SECTION 3. Reporting. In performing services under this Agreement, Contractor shall work under the direction and control of the Acting Assistant City Administrator/Fire Chief or his, designee SECTION 4. Termination. This Agreement may be terminated by the City at any time by giving written notice to Contractor with or without cause. In the event of termination, all finished and unfinished work and programming shall, at the option of the City, become its property and shall be delivered to it by Contractor. 2 S F/s: PCD: Agree: Centric 12/5/97-#3 u SECTION 5. Hold Harmless. Contractor shall protect, defend, indemnify and ave and hold harmless City, its officers, officials, employees and agents from and against any and all liability, loss, damage, expenses, costs (including without limitation costs and fees of litigation of every nature) arising out of or in connection with Contractor and its officers, agents and employees performance of this Agreement or its failure to comply with any of its obligations contained in this Agreement, except such loss or damage which was caused by the sole negligence or willful misconduct of the City. SECTION 6. Independent Contractor. Contractor is, and shall be, acting at all times in the performance of this Agreement as an independent contractor herein and not as an employee of City. Contractor shall secure at its expense and be responsible for any and all, payment of income tax, social security, state disability insurance compensation, unemployment compensation, Workers' Compensation; and payroll deductions for Contractor and its officers, agents and employees, and all business licenses, if any, in connection with the services to be performed hereunder. SECTION 7. Workers' Compensation. Contractor shall comply with all of the provisions of the Workers' Compensation Insurance and Safety Acts of the State of California, the applicable provisions of Division 4 and 5 of the California Labor Code and all amendments thereto; and all similar state or federal acts or laws applicable; and shall indemnify, defend and hold harmless City from and against all claims, demands, payments, suits, actions, proceedings and judgments of every nature and description, including attorneys' fees and costs presented, brought or recovered against City, for or on account of any liability under any of said acts which may be incurred by reason of any work to be performed by Contractor under this Agreement. 3 SF/s: PCD:Agree: Centric 12/5/9743 SECTION 8. Insurance. In addition to the workers compensation insurance and Contractor's covenant to indemnify City, Contractor shall obtain and furnish to City the following insurance policies covering the Project: A policy of general public liability insurance, including motor vehicle coverage. Said policy shall indemnify Contractor, its officers, agents and employees, while acting within the scope of their duties, against any and all claims of arising out of or in connection with the Project, and shall provide coverage in not less than the following amount: combined single limit bodily injury and property damage, including products/completed operations liability and blanket contractual liability; of $1,000,OOO per occurrence. If coverage is provided under a form which includes a designated general aggregate limit, the aggregate limit must be no less than $1,000,000. Said policy shall name City, its officers, and employees.as Additional Insureds, and shall specifically provide that any other insurance coverage which may be applicable to the Project shall be deemed excess coverage and that Contractor's insurance shall be primary. Under no circumstances shall this insurance contain a self -insured retention, or a "deductible" or any other similar form of limitation on the required coverage in excess of $10,000: 9. Certificates of Insurance. Prior to commencing performance of the work hereunder, Contractor shall furnish to City certificates of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverages as required by this Agreement; said certificates shall: 1. provide the name and policy number of each carrier and policy; 2. shall state that the policy is currently in force; and 4 SF/s: PCD: Agree: Centric 12/5/9743 • ►.J 3. shall promise that such policies shall not be suspended, voided or canceled by. either party, reduced in coverage or in limits except after thirty days prior written notice; however, ten days prior written notice in the event of cancellation for nonpayment of premium. Contractor shall maintain the foregoing insurance coverages in force until the work under this Agreement is fully completed and accepted by City. The requirement for carrying the foregoing insurance coverages shall not derogate from the provisions for indemnification of City by Contractor under the Agreement. City or its representative shall at all times have the right to demand the original or a copy of all said policies of insurance. Contractor shall pay, in a prompt and timely manner, the premiums on all insurance hereinabove required. SECTION 10. Responsible Person. Contractor hereby designates Robert Allen as the person primarily responsible for the services rendered hereunder. Primary responsibility for the work shall rest with Robert Allen and no work will be assigned to others within the firm without the written consent of the Acting Assistant City Administrator/Fire Chief. SECTION 11. Delegation. This agreement is a personal services agreement, and the services provided hereunder shall not be performed by or delegated to any person or entity other than CONTRACTOR without the express prior written approval of the Acting Assistant City Administrator/Fire Chief. 5 SF/s: PCD: Agree: Centric 12/5/97-#3 0 • SECTION 12. Modification. No waiver or modification of this Agreement or of any covenant, condition, or limitation herein contained shall be valid unless in writing and duly executed by the party to be charged therewith. 'SECTION 13. City Employees and Officials. Contractor shall not employ any City official or any regular City employee in the work performed pursuant to this Agreement. No officer or employee of City shall have any financial interest in this Agreement in violation of California Government Code Sections 1090, et seq. SECTION 14. Immigration. Contractor shall be responsible for full compliance with the immigration and naturalization laws of the United States and shall, in particular, comply with the provisions of 8 U.S.C. § 1324a regarding employment verification. SECTION 15. Nondiscrimination: Contractor agrees not to discriminate against any person or class of persons by reason of sex, age, race, color, creed, physical handicap, or national origin in employment practices and in the activities conducted pursuant to this agreement, in accordance with Government Code § 19702. SECTION 16. Notices. Any notices or special instructions required to be given in writing under this Agreement shall be given either by personal delivery to Contractor or to the Acting Assistant City Administrator/Fire .Chief as the situation shall warrant, or by enclosing the same in a sealed envelope, postage prepaid, and depositing the same in the United States Postal Services, addressed as follows: TO CITY: Michael P. Entire Agreement.
