SUBJECT: Execute Reimbursement Agreement with the City of Westminster for
Signal/Street Modification at Golden West Street and Bolsa Avenue
Statement of Issue, Funding Source, Recommended Action, Alternative Action(s), Analysis, Environmental Status, Attachment(s)
Statement of Issue: The City of Huntington Beach and the City of Westminster share the
intersection of Bolsa Avenue and Golden West Street. The City of Westminster received a
grant for the necessary construction and will reimburse the City of Huntington Beach for
purchasing the traffic signal equipment and appurtenances. The attached agreement must
be executed for the City of Huntington Beach to be reimbursed for the purchase of traffic
signal equipment and appurtenances.
Funding Source: Costs have been budgeted in the GMA — 6 fund.
Recommended Action: Motion to authorize the Mayor and City Clerk to execute the a
Shared Traffic Signal Construction Agreement by and Between the City Of Huntington Beach,
and the City of Westminster.
Alternative Action(s): Motion to not authorize the Mayor and City Clerk to execute the
Shared Traffic Signal Construction Agreement by and Between the City Of Huntington Beach
and the City of Westminster and to assume the estimated $50,000 cost of the traffic signal
equipment and appurtenances.

MEETING DATE: January 19, 1999

Analysis: The City of Huntington Beach and the City of Westminster share the intersection
of Bolsa Avenue and Golden West Street. This intersection needs street improvements and
traffic signal modifications. The street improvements will consist of adding additional travel
lanes and guide signs to allow easier access to the southbound San Diego Freeway. The
traffic signal modifications will consist of new signal poles/mastarms and rewire the signal
and adjacent streetlights. The City of Westminster received a grant for the necessary
construction and will be the contract manager.
At the City Council meeting of January 4, 1999, the Council approved the expenditure of
approximately $50,000 for traffic signal equipment and appurtenances. The attached
agreement must be executed by the Mayor and City Cleric for the City of Huntington Beach to
be reimbursed for this expenditure.

SHARED TRAFFIC SIGNAL CONSTRUCTION AGREEMENT
BY AND BETWEEN THE CITY OF HUNTINGTON BEACH
AND
THE CITY OF WESTMINSTER
THIS AGREEMENT, made and entered into this 19th day of January , 1999,
by and between the City of Westminster, a municipal corporation, hereinafter designated as
"WESTMINSTER," and the City of Huntington Beach, a municipal corporation, hereinafter
designated as "HUNTINGTON BEACH."
WHEREAS, WESTMINSTER and HUNTINGTON BEACH have a traffic signal and
channelization project at Bolsa Avenue and Goldenwest Street that is partially in areas under
jurisdiction of HUNTINGTON BEACH and partially in areas under jurisdiction of
WESTMINSTER; and
WESTMINSTER and HUNTINGTON BEACH desire to specify the procedure for
equitably distributing the construction costs for said project; and
The provision of Title I, Division 7, Chapter 5, Article 1, of the California Government
Code entitled "Joint Powers Agreement" authorize two or more public agencies to jointly
exercise any power common to the contracting parties,
NOW, THEREFORE, IT IS AGREED by the parties hereto as follows:
1. Entire Agreement
This Agreement shall supersede all previous agreements between the parties
hereto with respect to construction of the traffic signal at the intersection of Bolsa Avenue and
Goldenwest Street.

2. Statement of Work
Construction work will include all work as advertised and awarded in the Notice
Inviting Bids for Traffic Signal and Channelization Improvements at Goldemvest Street and
Bolsa Avenue which included HUNTINGTON BEACH Plans 6:IACAD1Bolsa118513SH 1-9.
Installation of additional facilities is not a construction function under the provisions of this
Agreement.
3. Allocation of Construction Costs
The costs for the traffic signal project shall be borne by the parties hereto. Such
cost shall be borne initially by the GMA approved funding in the amount of Two Hundred Fifty
thousand Dollars (S250,000.00) awarded to WESTMINSTER. All construction costs above and
beyond this amount shall be shared between WESTMINSTER and HUNTINGTON BEACH on
a fifty percent (50%) basis. Throughout construction of the project, WESTMINSTER shall be
responsible for maintenance of the traffic signal pursuant to existing Joint Powers Agreements.
4. Provision of Equil2ment
HUNTINGTON BEACH agrees to provide all items and appurtenances in a
timely manner as shown on the attached equipment list, hereinafter marked as Exhibit "A." All
assemblies shall be complete and include anchor bolts, washers, nuts, tendon bolts, hard hole
covers, and mounting hardware as needed.
5. Reimbursement of Materials Costs
WESTMINSTER agrees to reimburse the actual invoice cost of the Materials
supplied by HUNTINGTON BEACH. Said reimbursement shall be made within ninety (90)
days of receipt of invoices from HUNTINGTON BEACH, but not prior to delivery of Materials.
Reimbursement is currently estimated at $50,000.00. This amount shall be reduced by

HUNTINGTON BEACH'S share of any extra work costs encountered based on the percentages
stated in Section 3.
6. Mutual Indemnification and Release of Liability
It is mutually understood and agreed:
A. That neither HUNTINGTON BEACH nor any officer or employee thereof
shall be responsible for any damage or liability occurring by reason of anything done or omitted
to be done by WESTMINSTER under or in connection with any work, authority,. or jurisdiction
delegated to WESTMINSTER under this Agreement. It is also understood and agreed that,
pursuant to Government Code Section 895.4 WESTMINSTER shall fully indemnify and hold
HUNTINGTON BEACH harmless from any liability imposed for injury (as defined by
Government Code Section 810.8), including attorneys fees and costs, occurring by reason of
anything done or omitted to be done by WESTMINSTER under or in connection with any work,
authority, or jurisdiction delegated to WESTMINSTER under this Agreement.
B. That neither WESTMINSTER nor any officer or employee thereof shall
be responsible for any damage or liability occurring by reason of anything done or omitted to be
done by HUNTINGTON BEACH under or in connection with any work, authority, or
jurisdiction delegated to HUNTINGTON BEACH under this Agreement. It is also understood

7. No Liability for Non -Employee Compensation
A. WESTMINSTER shall not be liable for the direct payment of any salaries,
wages, or other compensation to any HUNTINGTON BEACH officer or employee, performing
any services hereunder for WESTMINSTER, nor for any injury or sickness arising out of his/her
employment, except as herein otherwise specified.
B. HUNTINGTON BEACH shall not be liable for the direct payment of any
salaries, wages, or other compensation to any WESTMINSTER officer or employee, performing
any services hereunder for HUNTINGTON BEACH, nor for any injury or sickness arising out of
his/her employment, except as herein otherwise specified.
Effective Date
This Agreement shall become effective on the date herein above written and shall
continue in full force and effect through June 30, 1999.
IN WITNESS WHEREOF, WESTMINSTER has caused this Contract Agreement to be
executed by is Mayor and attested by its Clerk, and HUNTINGTON BEACH has caused this
Contract Agreement to be executed by its Mayor and attested by its Clerk, all hereunto duly
authorized by the City Councils respectfully.
