FOR; PROFESSIONAL PLANNING SERVICES IN CONNECTION WITH ADVANCE AND CURRENT PLANNING PROJECTS y. Statement of Issue, Funding Source, Recommended Action, Alternative Action(s), Analysis, Environmental Status, Attachment(s) Statement of Issue: Transmitted for City Council's consideration is'a request to approve Amendment No. 1 to the existing professional services contract between the .City of Huntington Beach and Civic Solutions, Inc., in an amount not to exceed Sixty Thousand Dollars ($60,000.00). The Amendment amount of Sixty Thousand Dollars ($60,000.00) shall be added to the original contract sum of One Hundred Five Thousand Dollars ($105,000.00) for a new contract amount of One Hundred Sixty-five Thousand Dollars ($165,000.00). The amendment will augment the existing contract to include professional planning services for Advance and Current planning projects as defined by the City. Funding Source: The City will enter into Reimbursement Agreement Amendment No. 1 with Shea Homes, L.P. to help defray the cost of professional planning services associated with entitlement processing for the Parkside Estates project. Additional funding will be provided through the Planning Department Contractual Services Budget Account Number E AA PL 213 3 90 00. Recommended Action: Motion to: 1. "Approve and authorize the Mayor and -,City Clerk to execute Amendment No. 1 to the Professional Services Contract between the City of Huntington Beach and Civic Solutions, Inc., and authorize expenditures in an amount not to exceed Sixty Thousand Dollars ($60,000.00) for professional planning services associated"with Advance and Current Planning projects." Alternative Action(s): The City Council may take the following alternative action: 1. "Deny Amendment No. 1 to the Professional Services Contract between the City and Civic Solutions, Inc." 2. "Continue the item and direct staff accordingly." Analysis and Recommendation: The ability of the Planning Department to provide major project management and planning services continues to be hampered by the substantial increase in planning and development activity. This increase in activity is primarily due to the economy and the proposals of many large development projects submitted or proposed within this activity period, such as Shea Homes' Parkside Estates project as well as on -going Advance and Current projects. The Planning Department has been utilizing contract services and temporary employees to augment staff and satisfy the increase in demand for planning functions. The development community and applicants who submit projects to the City and pay application fees for said planning services expect reasonable service levels and processing times. The demand for these services is very high due to the high planning activity and the desires to process projects in a timely manner. The City's goal is to continue to provide reasonable service levels and processing times of developers' projects, such as Shea Homes' entitlement processing for its Parkside Estates project. However, to meet the anticipated service levels and project processing time, the City must rely on cost effective outside firms/individuals to -'augment our professional planning staff. Civic Solutions has the expertise and personnel to perform the City's requirement for the Parkside Estates' project entitlement processing and management of Advance and Current Planning projects. Staff recommends the City Council approve Amendment No. 1 to the Contract between the City and Civic Solutions, Inc., and authorize the Mayor and City Clerk to sign. Environmental Status: Projects over which public agencies exercise ministerial authority, such as this agreement contracting for professional consulting services, are categorically exempt from the California Environmental Quality Act pursuant to Section 15300.1. TO PROVIDE CONSULTANT SERVICES FOR SENIOR PROJECT MANAGEMENT SERVICES THIS AGREEMENT, is made and entered into this day of l lCTogt'�L , 1998, by and between the City of Huntington Beach, a municipal corporation of the State of California, hereinafter referred to as "CITY", and Civic Solutions, Inc., a California corporation, hereinafter referred to'as "CONSULTANT." . .. WHEREAS, CITY desires to engage the services of a consultant to provide consultant services for senior project management services for managing the review and processing of major projects within the City; and Pursuant to documentation on file in the office of the City Clerk, the provisions of HBMC Chapter 3.03 relating to procurement of professionalservice contracts have: been . complied with; and CONSULTANT has been selected to perform said services, NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows: 1. WORK STATEMENT CONSULTANT shall provide consultant services for senior project management services for managing the review and processing of major projects within the City.. In doing so,- CONSULTANT- shall provide all services as described in CITY's Request for Proposal ("RFP") and CONSULTANT's proposal dated July 6, 1998 (both of which are hereinafter referred to as Exhibit "A"), which are attached hereto and incorporated into this AGREEMENT by this reference. At a minimum, for each project these services shall include the following: 1 &agroJfl'seniod/8/18/98 1. • • Develop a project schedule and keep the project on track; • Identify the primary issues with the project; • Determine the.need and assignments for staff participation, including consultants, department representatives and additional personnel; • Maintain clear coordination between departments, divisions, any additional consultants, and the applicant; • Coordinate and/or schedule all meetings, -.take meeting notes; prepare agendas, and identify assignments and task responsibilities; • Ensure clarity in questions and responses in order that all parties know that the project status is based on the schedule, how the process is proceeding, and who is assigned what responsibilities; • Prepare or coordinate preparation of staff reports, correspondence, memos, and any . other written information regarding the project; • Track staff and/or consultant's time; .: Attend meetings; • Perform plan checking; • Follow the project from beginning to end, including preliminary design and analysis; final project proposal review and approval; construction, infrastructure, and inspection phase; final project sign offby the CITY; and required project monitoring; • Maintain all records and files. These services shall sometimes hereinafter be referred to as "SERVICES." CONSULTANT hereby designates Thomas G. Merrell, who shall represent it and be its sole contact agd•agent in all consultations with CITY'during the performance of this AGREEMENT. 2. CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to work directly with CONSULTANT in the performance of this AGREEMENT. 2 3. TIME OF PERFORMANCE Time is of the essence of this AGREEMENT. The services of CONSULTANT are to commence as soon as practicable after the execution of this AGREEMENT. CONSULTANT shall stop work on all tasks specified in Exhibit "A" twelve '(12) months from'. the date of this AGREEMENT. This twelve (12) month deadline may be extended with the written permission of CITY's Director of Community Development. This schedule may be amended if mutually agreed by CITY and CONSULTANT. 4. COMPENSATION In consideration of the performance of the services described herein, CITY agrees to pay CONSULTANT a fee of eighty-five dollars ($85) per hour, which total compensation shall not exceed eighty-five thousand dollars ($85,000), which figure may be increased by CITY's Director of Community Development based upon a time and materials basis.. _.In any event, this additional figure .. . may not exceed twenty thousand dollars ($20,000). CONSULTANT, however, shall not exceed:the $85,000 limit without prior written approval of CITY. 5. PRIORITIES . In the event there are any conflicts or inconsistency between this AGREEMENT, CITY's RFP, or CONSULTANT's proposal, the following order of precedence shall govern:. 1) AGREEMENT, 2) CONSULTANT's proposal, and 3) CITY's RFP. 6. ' EXTRA WORK In the event CITY requires additional services not included in Exhibit "A," or changes in the scope of services described in Exhibit "A," or desires CONSULTANT to continue working past the twelve (12) month deadline or $85,000 limit, CONSULTANT will undertake such work only after receiving written authorization from CITY. Additional compensation for such extra work shall be allowed only if the prior written approval of CITY is obtained. 3 i I • (7 7 - METHOD OF PAYMENT A. CONSULTANT shall be entitled to monthly payments. B. Delivery of work product: A copy of every technical memo and report prepared by CONSULTANT shall be submitted to CITY to demonstrate progress toward completion of tasks. In the event CITY rejects or has comments on any such product, CITY shall identify specific requirements for satisfactory -completion.. Any such product which has not been formally accepted or rejected by CITY shall be deemed accepted. C. CONSULTANT shall submit to CITY an invoice for each monthly payment due: Such invoice shall: 1) Reference this AGREEMENT; 2) Describe the services performed by CONSULTANT during the" previous month; 3) Show the total amount of the payment due for CONSULTANT's services performed during the previous month; 4) Include a certification by a principal member of the CONSULTANT's firm that the work has been performed in accordance with the provisions of this AGE; and 5) Show the total amount of monies paid to date by CITY to CONSULTANT. for. CONSULTANT's performance of services j under this AGREEMENT. Upon submission of any such invoice, if CITY is satisfied that CONSULTANT has provided services in accordance with this AGREEMENT and has done so: in a satisfactory manner and CITY is satisfied that the statement of hours worked and costs incurred is accurate and not over -billed, CITY shall promptly approve the invoice, in which 4 r.aVecrjJ7seaior2/8/l W99 event payment shall be made within thirty (30) days of receipt of the invoice by CITY. Such approval shall not be unreasonably withheld. If CITY does not approve an invoice, CITY shall notify CONSULTANT in writing of the reasons for non -approval, within seven (7) calendar days of receipt of the invoice, and CONSULTANT's work'under this AGREEMENT shall be. suspended until the parties agree that past performance by CONSULTANT is in, or has been brought into compliance, or until this AGREEMENT is terminated as provided herein. D. Any billings for extra work or additional services authorized by CITY shall be invoiced separately to CITY. Such invoice shall contain all of the information required "- above, and in addition shall list the hours expended and hourly rate charged for such time. Such invoices shall be approved by CITY if the work performed is in accordance with the extra work or additional services requested, and if CITY is satisfied that the statement of hours worked and costs incurred is accurate and not over -billed. Such approval shall not be unreasonably withheld. Any dispute between the parties concerning payment of such an invoice shall be treated as separate and apart from the ongoing performance of the remainder of this AGREEMENT. 8. DISPOSITION OF PLANS ESTEVIATES AND OTHER DOCUMENTS CONSULTANT agrees that all materials prepared hereunder, including all original drawings, designs, reports, both field and office notices, calculations, maps and other documents, shall be turned over to CITY upon termination of this AGREEMENT or upon completion of SERVICES, whichever shall occur first. In the event this AGREEMENT is terminated said materials may be used by CITY in the completion of SERVICES dir as it otherwise sees fit. Title to said materials shall pass to CITY upon payment of fees determined to be earned by CONSULTANT to the point of termination or completion of the SERVICES, whichever is applicable. HOLD HARMLESS CONSULTANT shall protect, defend, indemnify and save and hold harmless CITY, its officers, officials, employees and agents from and against any and allliability, loss, damage, expenses, costs (including, vithout.limitation, costs and fees of litigation of every nature) arising out of or in connection with CONSULTANT's performance of this AGREEMENT, or its failure to comply with any of its obligations contained in this AGREEMENT by CONSULTANT, its officers, agents or employees, except such loss or damage which was caused by the sole negligence or willful misconduct of CITY. 10. PROFESSIONAL LIABILITY INSURANCE - - CONSULTANT shall furnish a professional liability insurance policy covering the work performed by it hereunder. Said policy shall provide coverage for CONSULTANT's professional liability in an amount not less than $1,060,000 per occurrence and in the aggregate. A claims made policy shall be acceptable if the policy further provides that: 1. The policy retroactive date coincides with or precedes the professional services contractor's start of work (including subsequent policies purchased as renewals or replacements). 2. CONSULTANT will make every effort to maintain similar insurance during the required extended period of coverage following completion of SERVICES, including the requirement of adding. all additional insureds.. 3. CONSULTANT shall maintain the foregoing insurance'.coverages in force until the work under this AGREEMENT is fully completed and accepted by CITY. Analysis: The ability of the Planning Division to provide major project management and planning services continues to be hampered by the substantial increase in planning and development activity. This increase in activity is primarily due to the economy and the proposals of many large development projects submitted or proposed within this activity period. The Planning Division has been utilizing contract services and temporary employees to augment staff and satisfy the increase in demand for planning functions. The development community and applicants who submit projects to the City pay application fees for these planning services and expect reasonable service levels and processing times. The demand for these services is very high due to the high planning activity and the desires to process projects in a timely manner. In order to continue to deliver our services when the planning activity is high, we rely on cost effective outside firms/individuals to augment our professional planning staff. Staff reviewed four planning consultants proposals to temporarily assist us with our major project management workload; Civic Solutions, Inc., Mr. James R. Barnes, Mr. Bob Goldin, and Mr. Robert G. Fischer & Associates. At this time, staff is requesting approval to enter into a Professional Services Contract (Attachment No. 1) with Civic Solutions, Inc. to augment staff by providing major project management and planning services in order to keep pace with project demand and processing. Civic Solutions, Inc. is a reputable firm that specializes in providing contract planning services to municipalities. Civic Solutions, Inc. is staffed by experienced professionals who have an extensive background in public service. One staff member Mr. Barnes is a reputable individual who has over 23 years of planning experience and currently provides excellent planning services to the City of Huntington Beach and the development community. TO PROVIDE CONSULTANT SERVICES FOR SENIOR PROJECT MANAGEMENT SERVICES THIS AGREEMENT, is made and entered into this day of 1998, by and between the City of Huntington Beach, a municipal corporation of the State of California, hereinafter referred to as "CITY", and Civic Solutions, Inc., a California corporation, hereinafter referred to as "CONSULTANT." WHEREAS, CITY desires to engage the services of a consultant to provide consultant services for senior project management services for managing the review and processing of major projects within the City; and Pursuant to documentation on file in the office of the City Clerk, the provisions of HBMC Chapter 3.03 relating to procurement of professional service contracts have been complied with; and CONSULTANT has been selected to perform said services, NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows: WORK STATEMENT CONSULTANT shall provide consultant services for senior project management services for managing the review and processing of major projects within the City. In doing so, CONSULTANT shall provide all services as described in CITY's Request for Proposal ("RFP") and CONSULTANT's proposal dated July 6, 1998 (both of which are hereinafter referred to as Exhibit "A"), which are attached hereto and incorporated into this AGREEMENT by this reference. At a minimum, for each project these services shall include the following: g: age e/j f/s en ior2/8/ 18/9 8 • • Develop a project schedule and keep the project on track; • Identify the primary issues with the project; • Determine the need and assignments for staff participation, including consultants, department representatives and additional personnel; • Maintain clear coordination between departments, divisions, any additional consultants, and the applicant; • Coordinate and/or schedule all meetings, take meeting notes, prepare agendas, and identify assignments and task responsibilities; • Ensure clarity in questions and responses in order that all parties know that the project status is based on the schedule, how the process is proceeding, and who is assigned what responsibilities; • Prepare or coordinate preparation of staff reports, correspondence, memos, and any other written information regarding the project; • Track staff and/or consultant's time; • Attend meetings; • Perform plan checking; • Follow the project from beginning to end, including preliminary design and analysis; final project proposal review and approval; construction, infrastructure, and inspection phase; final project sign off by the CITY; and required project monitoring; • Maintain all records and files. These services shall sometimes hereinafter be referred to as "SERVICES." CONSULTANT hereby designates Thomas G. Merrell, who shall represent it and be its sole contact and agent in all consultations with CITY during the performance of this AGREEMENT. 2. CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to work directly with CONSULTANT in the performance of this AGREEMENT. 2 g: agreeJ flsenior2/8/18/98 3. TIME OF PERFORMANCE Time is of the essence of this AGREEMENT. The services of CONSULTANT are to commence as soon as practicable after the execution of this AGREEMENT. CONSULTANT shall stop work on all tasks specified in Exhibit "A" twelve (12) months from the date of this AGREEMENT. This twelve (12) month deadline may be extended with the written permission of CITY's Director of Community Development. This schedule may be amended if mutually agreed by CITY and CONSULTANT. 4. COMPENSATION In consideration of the performance of the services described herein, CITY agrees to pay CONSULTANT a fee of eighty-five dollars ($85) per hour, which total compensation shall not exceed eighty-five thousand dollars ($85,000), which figure may be increased by CITY's Director of Community Development based upon a time and materials basis. In any event, this additional figure may not exceed twenty thousand dollars ($20,000). CONSULTANT, however, shall not exceed the $85,000 limit without prior written approval of CITY. 5. PRIORITIES In the event there are any conflicts or inconsistency between this AGREEMENT, CITY's RFP, or CONSULTANT's proposal, the following order of precedence shall govern: 1) AGREEMENT, 2) CONSULTANT's proposal, and 3) CITY's RFP. 6. EXTRA WORK In the event CITY requires additional services not included in Exhibit "A," or changes in the scope of services described in Exhibit "A," or desires CONSULTANT to continue working past the twelve (12) month deadline or $85,000 limit, CONSULTANT will undertake such work only after receiving written authorization from CITY. Additional compensation for such extra work shall be allowed only if the prior written approval of CITY is obtained. 3 g:agree/jf/senior2/8/18/98 7 METHOD OF PAYMENT A. CONSULTANT shall be entitled to monthly payments. B. Delivery of work product: A copy of every technical memo and report prepared by CONSULTANT shall be submitted to CITY to demonstrate progress toward completion of tasks. In the event CITY rejects or has comments on any such product, CITY shall identify specific requirements for satisfactory completion. Any such product which has not been formally accepted or rejected by CITY shall be deemed accepted. C. CONSULTANT shall submit to CITY an invoice for each monthly payment due. Such invoice shall: 1) Reference this AGREEMENT; 2) Describe the services performed by CONSULTANT during the previous month; 3) Show the total amount of the payment due for CONSULTANT's services performed during the previous month; 4) Include a certification by a principal member of the CONSULTANT's firm that the work has been performed in accordance with the provisions of this AGREEMENT; and 5) Show the total amount of monies paid to date by CITY to CONSULTANT for CONSULTANT's performance of services under this AGREEMENT. Upon submission of any such invoice, if CITY is satisfied that CONSULTANT has provided services in accordance with this AGREEMENT and has done so in a satisfactory manner and CITY is satisfied that the statement of hours worked and costs incurred is accurate and not over -billed, CITY shall promptly approve the invoice, in which 4 g: agree/jflsenior2/8/18/98 • event payment shall be made within thirty (30) days of receipt of the invoice by CITY. Such approval shall not be unreasonably withheld. If CITY does not approve an invoice, CITY shall notify CONSULTANT in writing of the reasons for non -approval, within seven (7) calendar days of receipt of the invoice, and CONSULTANT's work under this AGREEMENT shall be suspended until the parties agree that past performance by CONSULTANT is in, or has been brought into compliance, or until this AGREEMENT is terminated as provided herein. D. Any billings for extra work or additional services authorized by CITY shall be invoiced separately to CITY. Such invoice shall contain all of the information required above, and in addition shall list the hours expended and hourly rate charged for such time. Such invoices shall be approved by CITY if the work performed is in accordance with the extra work or additional services requested, and if CITY is satisfied that the statement of hours worked and costs incurred is accurate and not over -billed. Such approval shall not be unreasonably withheld. Any dispute between the parties concerning payment of such an invoice shall be treated as separate and apart from the ongoing performance of the remainder of this AGREEMENT. 8. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS CONSULTANT agrees that all materials prepared hereunder, including all original drawings, designs, reports, both field and office notices, calculations, maps and other documents, shall be turned over to CITY upon termination of this AGREEMENT or upon completion of SERVICES, whichever shall occur first. In the event this AGREEMENT is terminated, said materials may be used by CITY in the completion of SERVICES or as it otherwise sees fit. Title to said materials shall pass to CITY upon payment of fees determined to be earned by CONSULTANT to the point of termination or completion of the SERVICES, whichever is applicable. HOLD HARMLESS CONSULTANT shall protect, defend, indemnify and save and hold harmless CITY, its officers, officials, employees and agents from and against any and all liability, loss, damage, expenses, costs (including, without limitation, costs and fees of litigation of every nature) arising out of or in connection with CONSULTANT's performance of this AGREEMENT, or its failure to comply with any of its obligations contained in this AGREEMENT by CONSULTANT, its officers, agents or employees, except such loss or damage which was caused by the sole negligence or willful misconduct of CITY. 10. PROFESSIONAL LIABILITY INSURANCE CONSULTANT shall furnish a professional liability insurance policy covering the work performed by it hereunder. Said policy shall provide coverage for CONSULTANT's professional liability in an amount not less than $1,000,000 per occurrence and in the aggregate. A claims made policy shall be acceptable if the policy further provides that: The policy retroactive date coincides with or precedes the professional services contractor's start of work (including subsequent policies purchased as renewals or replacements). 2. CONSULTANT will make every effort to maintain similar insurance during the required extended period of coverage following completion of SERVICES, including the requirement of adding all additional insureds. If insurance is terminated for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two (2) years to report claims arising from work performed in connection with this AGREEMENT. 6 g: agree/jFsenior2/8/18/98 0 • 4. The reporting of circumstances or incidents that might give rise to future claims. 11. CERTIFICATES OF INSURANCE Prior to commencing performance of the work hereunder, CONSULTANT shall furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverages as required by this AGREEMENT; said certificates shall: a. provide the name and policy number of each carrier and policy; b. shall state that the policy is currently in force; and C. shall promise that such policies shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty (30) days prior written notice, or ten (10) days prior written notice in the event of cancellation for nonpayment of premium. CONSULTANT shall maintain the foregoing insurance coverages in force until the work under this AGREEMENT is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverages shall not derogate from the provisions for indemnification of CITY by CONSULTANT under the AGREEMENT. CITY or its representative shall at all times have the right to demand the original or a copy of all said policies of insurance. CONSULTANT shall pay, in a prompt and timely manner, the premiums on all insurance hereinabove required. 12. INDEPENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of this AGREEMENT as an independent contractor. CONSULTANT shall secure at its expense, and be responsible for any and all payment of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for CONSULTANT 7 g:agree/jflsenior2/8/18/98 and its officers, agents and employees and all business licenses, if any, in connection with the services to be performed hereunder. 13. TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and whether or not SERVICES are fully completed. CONSULTANT may terminate its SERVICES hereunder at any time with or without cause, and whether or not SERVICES are fully completed, after providing CITY with thirty (30) days written notice. Any termination of this AGREEMENT by either party shall be made in writing, notice of which shall be delivered to the other party as provided herein. 14. ASSIGNMENT AND SUBCONTRACTING This AGREEMENT is a personal service contract and the supervisory work hereunder shall not be delegated by CONSULTANT to any other person or entity without the written consent of CITY. 15. COPYRIGHTS/PATENTS CITY shall own all rights to any patent or copyright on any work, item or material produced as a result of this AGREEMENT. 16. CITY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this AGREEMENT.
