Statement of Issue The Economic Development Department has completed the RFP
process and proposes to retain the services of CivlcStone Inc for administration of the City s
Housing Rehabilitation Loan Program Staff recommends approval of the three-year
management contract with ClvlcStone Inc (Attachment #1) in the annual amount of
$140 000
Funding Source Community Development Block Grant (CDBG) funds are budgeted and
available in Fund 868 account 80301 51000 and 80301 69450 in an annual amount not to

Analysis Through the Housing Rehabilitation Loan Program the City provides loans to low
and moderate -income homeowners and owners of rental property where low-income families
live The objective of this program is to provide low-cost financing to households who would
otherwise have difficulty paying for necessary health and safety -related housing repairs
These loans are typically funded through the federal Community Development Block Grant
(CDBG) program

Additionally program administration costs are generally funded through the CDBG program
The current annual amount granted for the Housing Rehabilitation Loan Program is
consistent with prior years funding and is expected to remain consistent for the next three
years
The Economic Development Department has recently reassessed and realigned certain
responsibilities among staff members and has determined that contracting the administrative
function of the Housing Rehabilitation Loan Program to CivicStone Inc would provide the
Economic Development Department with greater flexibility to provide this service to the
community Under the proposed management scenario CivicStone Inc will administer the
following key functions of the City s program marketing customer service application
processing eligibility underwriting construction scope of work preparation contractor bid
solicitation construction inspection contractor payment processing and loan payoff
processing The City s existing loan servicing consultant Westar Loan Servicing will
continue to collect ongoing incremental payments from borrowers in collaboration with
CivicStone Inc
Staff recommends approval of the proposed contract with CivicStone Inc for administration
of the Housing Rehabilitation Loan Program for the next three years

HUNTINGTON BEACH AND CIVICSTONE INC FOR ADMINISTRA I ION
OF I HE HOUSING REHABILITATION LOAN PROGRAM
THIS AGREEMENT ("Agreement") is made and entered into by and between the City of
Huntington Beach a municipal corporation of the State of California hereinafter referred to as
CI rY and CIVICSTONE INC a California corporation hereinafter referred to as
"CONSULTANI'
WHEREAS CITY desires to engage the services of a consultant to administer the City of
Huntington Beach Housing Rehabilitation Loan Program and
Pursuant to documentation on file in the office of the City Clerk the proN isions of the
Huntington Beach Municipal Code Chapter 3 03 relating to procurement of professional service
contracts have been complied with and
CONSUL I ANT has been selected to perform these ser,, tees
NOW THEREFORE it is agreed by CI FY and CONSULTAN I as follows
1 SCOPE OF SFRVICES
CONSULTANT shall provide all services as described in Exhibit "A," which is
attached hereto and incorporated into this Agreement by this reference Fhtse ser`iccs shall
sometimes hereinafter be referred to as the PROJECT
CONSULTANT hereby designates Adam B Ehason who shall iepresent it and be
its sole contact and agent in all consultations with CITY during the performance of this
Agreement
2 CITY STAFF ASSISTANCE
Cl I Y Shall assign a staff coordinator to work directly with CONSULTANT in the
performance of this Agreement

3 TERM TIME OF PERFORMANCE
Time is of the essence of this Agreement The services of CONSULTANT are to
commence as soon as practicable after the execution of this Agreement by CITY (the
"Commencement Date") This Agreement shall expire three (3) years from the Commencement
Date unless extended or sooner terminated as provided herein All tasks specified in Exhibit
"A" shall be completed no later than three (3) years from the Commencement Date The time
for performance of the tasks identified in Exhibit "A" are generally to be shown in Exhibit
"A " This schedule may be amended to benefit the PROJECT if mutually agreed to to writing
by CITY and CONSULTANT
4 COMPENSATION
In consideration of the performance of the services described herein CITY agrees
to pay CONSULTANT on a time and materials basis at the rates specified to Exhibit "B,"
which is attached hereto and incorporated by reference into this Agreement a fee including all
costs and expenses not to exceed One Hundred Forty Thousand Dollars ($140 000 00) per year
for each year of the Agreement
S EXTRA WORK
In the event CITY requires additional services not included to Exhibit "A" or
changes in the scope of services described in Exhibit "A," CONSULTANT will undertake such
work only after receiving written authorization from CITY Additional compensation for such
extra work shall be allowed only if the prior written approval of CITY is obtained
6 METHOD OF PAYMENT
CONSULTANT shall be paid pursuant to the terms of Exhibit "B "

7 DISPOSITION OF PI ANS, ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that title to all materials prepared hereunder including
without limitation all original drawings designs, reports both field and office notices
calculations computer code language data or programs maps memoranda letters and other
documents shall belong to CITY and CONSUL PANT shall turn these materials over to CITY
upon expiration or termination of this Agreement or upon PROILCT completion, whiLhLver
shall occur fit st These materials may be used by CITY as it sees fit
S HOLD HARMLESS
CONSULTANT herebN agrees to protect, defend indemnify and hold harmless
CITY its officers elected or appointed officials employees agents and volunteers from and
against any and all claims damages losses expenses judgments demands and defense costs
(including without limitation costs and ftes of litigation of every nature or liability of any kind
or nature) arising out of or in connection with CONSUI TAN I's (or CONSULTANT's
subcontractors if any) negligent performance, of this Agreement or its failure to comply with any
of its obligations contained in this Agreement by CONSULTANT its officers agents or
employees except Such loss or damage which was caused by the sole negligence or willful
misconduct of CITY CONSULTANT will conduct all defense at its sole cost and expense and
CITY shall approve selection of C ONSULTAN F s counsel 1 his indemnity shall apply to all
claims and liability regardless of whether any insurance policies are applicable the policy
limits do not act as limitation upon the amount of indemnification to be provided by
CONSUI TAN [

9 PROFLSSIONAL LIABILITY INSURANCE
CONSULIANT shall obtain and furnish to CITY a professional liability
insurance policy covering the work performed by it hereunder This policy shall provide
coverage for CONSULTANT s professional liability in an amount not less than One Million
Dollars ($1 000 000 00) per occurrence and in the aggregate The above mentioned insur ince
shall not contain a self -insured retention dc,ductible" or any other similar form of limitation on
the required coverage except with the exprEss written consent of CITY A claims -made policy
shall be acceptable if the policy further provides that
A The policy retroactive date coincides with or precedes the initiation of the
scope of work (including subsirquent policies purchased as renc,wals or
replacEmEnts)
B CONSULTANT shall notify CITY of circumstances or incidents that
might give rise to future claims
CONSULTANT will make ever} effort to maintain similar insurance during the
required extended period of coverage following PROJECT completion If insurance, is
terminated for any reason CONSULFAN F agrees to purchase an extended reporting provision
of at least two (2) vears to report claims arising from work performed in connection with this
Agreement
10 CER I IFICA FE OF INSURANCE
Prior to commencing performance of the work hereunder CONSUI TAN1 shall
furnish to CITY a certific ite of insurance subjLCt to approval of the City Attorney evidencing the
foregoing insurance coverage as required by this Agreement the certificate shall
A provide the name and policy number of each carrier and policy

B state that the policy is currently in force and
C promise that such policy shall not be suspended voided or canceled by
either partv reduced in coverage or in limits except after thirty (30) days
prior written notice however ten (10) days prior written notice in the
event of cancellation for nonpayment of premium
CONSULTANT shall maintain the foregoing insurance coverage in force until the
,Aork under this Agreement is fully completed and accepted b) CITY
The requirement for carrying the foregoing insurance coverage shall not derogate
from CONSULTANT s defense hold harmless and indirmnification obligations as set forth in
this Agreement CITY or its representative shall at all times have the right to demand the
original or a copy of the policy of insurance CONSULTANT shall pav in a prompt and timely
manner the premiums on the insurance heremabove required
11 INDEPENDENT CON RAC I OR
CONSULTANT is and shall be acting at all times in the performance of this
Agreement as an independent contractor herein and not as an employee of CITY
CONSUL FAN f shall secure at its own cost and expense, and be responsible for any and all
payment of all taxes social security state disability insurance compensation unemployment
compensation and other payroll deductions for CONSUL FAN F and its officers agents and
emplo}ecs and all business licenses it any in connection with the PROJECT and/or the sc,rvicc.s

12 1 LRMINATION OF AGREEMENT
All work required hereunder shall be performed in a good and workmanlike
manner CITY m ty terminate CONSULTANT s services hcrcundcr at anytime with or without

cause, and whether or not the PROJECT is fully complete Any termination of this Agreement
by CITY shall be made in writing, notice of which shall be delivered to CONSUL PANT as
provided herein In the event of termination, all finished and unfinished documents exhibits
report and evidence shall at the option of CITY, become its property and shall be promptly
delivered to it by CONSULTANT
13 ASSIGNMENT AND DELLGA PION
This Agreement is a personal service contract and the work hereunder shall not be
assigned delegated or subcontracted by CONSULTANT to anv other person or entity without
thy, prior express written wrisent of CITY If an assignment delegation or subcontract is
approved all approved assignees delegates and subconsultants must satisfy the insurance
requirements as set Forth in Sections 9 and 10 hercinabove
14 COPYRIGHTS/PATFNTS
CITY shall own all rights to any patent or copyright on and work item or material

15 CITY EMPLOYEES AND OFFICIALS
CONSULTANT shall employ no C1 I Y official nor any regular CITY employee
in the work performed pursuant to this Agreement No officer or employee of CITY shall have
any financial interest in this Agreement in `iolation of the applicable provisions of the California
Government Code
16 NOTICES
Any notices certificates or other communication-, hereunder shall be given either
by personal delivery to CONSULTANT s agent (as designated in Section 1 hLremabove) or to
CITY as the situation shall warrant or by enclosing the same in a sealed envelope postage

prepaid and depositing the same in the United States Postal Service to the addresses specified

17 CONSLNT
When CITY s consent/approval is required under this Agreement its
consent/approval for one transa(Ajon or event shall not be deemed to be a consent/approval to
any subsequent occurrence of the same or any other transaction or event
18 MODIFICATION
No waiver or modification of an) language, in this Agreement shall be valid
unless in writing and duly Executed by both parties

20 INTERPRETATION OF THIS AGREEMENT
The language of all parts of this Agreement shall in all cases be construed as a
whole according to its fair meaning and not strictly for or against any of the parties If any
provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be
unenforceable void illegal or invalid such holding shall not invalidate or affect the remaining
covenants and provisions of this Agreement No covenant or provision shall be deemed
dependent upon any other unless so expressly provided here As used in this Agreement the
masculine or neuter gender and singular or plural number shall be deemed to include the other
whenever the context so indicates or requires Nothing contained herein shall be construed so as
to require the commission of any act contrary to law and wherever there is any conflict between
any provision contained herein and any present or future statute law ordinance or regulation
contrary to which the parties have no right to contract then the latter shall prevail and the
provision of this Agreement which is hereby affected shall be curtailed and limited only to the
extent necessary to bring it within thy, requirements of the law
21 RESERVED
22 IMMIGRATION
CONSULTANT shall be responsible for full compliance with the immigration
and naturalization laws of the United States and shall in particular, comply with the provisions
of the Unalcd Skit(-. Code regarding employment verification

23 LEGAL SERVICES SUBCONTRAC PING PROHIBITED
CONSULTAN f and CITY agree that C11 Y is not liable for payment of any
subcontractor work involving legal services and that such legal services are expressly outside
the scope of services contemplated hereunder CONSULTAN I understands that pursuant to
Huntington Beach Cay Charter Section 309 the Citv Attorney is the exclusive legal counsel for
CITY and CITY shall not be liablf, for payment of any legal services expenses incurred by
CONSUI TANT
24 A C I ORNEY S FUES
In the event suit is brought by either party to construe interpret and/or entorce the
te-rms and/or provisions of this Agreement or to secure the performance hereof each party shall
bear its own attornev s fees such that the prevailing party shall not be entitled to recover its
attorneys fc.c.s from thf, nonprevai ling party
25 SURVIVAI
Terms and conditions of this Agreement which by their sense and context survive
the expiration or termination of this Agreement shall so survive
26 GOVLRNING LAW

Agreement and the attached exhibits contain the entire agreement between the parties
respecting the subject matter of this Agreement and supersede all prior understandings and
agreements whether oral or in writing between the parties respecting the subject matter hereof

have prepared a response to the RFP based upon CivicStone s philosophy that we
should be paid for the work completed on a performance basis To have a consultant
administer this program on an hourly basis is like opening the City's checkbook to how
much this process may cost To have a consultant be paid on a per loan basis is really
not fair if there are a lot of inquiries that don't translate into loans or applicants that
cancel at some point in the process Instead, a phased system of progress payments
seems to be fair to both the City of Huntington Beach and the approved consultant

timing and budgeted fee schedule in the table below I found this table format to be easy to

It is the understanding of CivicStone that the City of Huntington Beach desires to have their
deferred loan portfolio managed by an outside company It is our understanding that this work
involves working with applicants and their assignees to clear any debt obligations with the City
That work includes preparing the Demand Letter coordinating the signatures for reconveyance
and verifying there is clear title If the City prefers to work with a separate company for this
service or to continue to do this work by themselves it would acceptable to CivicStone
For these services, CivicStone will charge a fee of $285 per loan
NOTINCLUDED
This fee schedule and proposal does not include services for rental rehabilitation projects
CivicStone can bill these projects on an hourly basis or prepare a separate proposal similar to
the above phased schedule at a later date when more information about that process is
provided
This fee schedule and proposal does not include any services to market and outreach the
program into the community
This fee schedule and proposal does not include services for any loan servicing on the City s
amortized loan program We anticipate that will remain the responsibility of an outside company
that CivicStone will work closely with
All other work outside of the phased Scope of Work will be billed on an hourly basis
I anticipate it will be necessary to have my Project Manager Construction Specialist and myself
meet with staff to review the existing program and provide a smooth transition into a new

contract This training time is not part of the work stated above and will be billed on an
hourly basis
If for any reason the City of Huntington Beach requests additional time outside the Scope of
Services outlined above CivicStone will bill on an hourly basis plus mileage and expenses
The billing rates are as follows
Adam Eliason Principal s billing rate is $130 per hour
Celina Lopez Protect Manager's billing rate is $85 per hour
Hany Jacoub Construction Specialists billing rate is $85 per hour
Paid on Performance
The CivicStone Fee Schedule is divided into Phases which provides advantages to both the
City of Huntington Beach and CivicStone CivicStone will only bill the City for the actual work
completed by Phase Consequently, if an applicant proceeds to the Phase labeled Contractor
Selection and decides not to continue on the Program CivicStone will only bill the City of
Huntington Beach to that part of the applicants progress This potentially offers a significant
savings to the City of Huntington Beach because CivicStone s philosophy has always been
paid on performance We are confident in our abilities to properly manage the Rehabilitation
Loan Program and are certain our paid on performance" philosophy will prove to our mutual
benefit
Scope of Repairs/Improvements.
The Scope of Repairs document used by the general contractors to bid projects plays an
integral role in the success of the entire program If the Scope of Repairs document is unclear
and left to interpretation everyone is unhappy The homeowner is unhappy because they didn t
get what they thought they should The general contractor is unhappy because the homeowner
won t release payments and complains all the time The consultant is unhappy because they
are always playing referee between the homeowner and the general contractor and the City is
unhappy because everyone is complaining
The CivicStone Scope of Repairs document is thorough and addresses key areas that are
common misinterpretation traps The CivicStone Scope of Repair document includes

CAPABILITY AND EXPERIENCE
Adam Eliason President of CivicStone Inc has worked and been taught housing construction
his entire life His father a roofing contractor taught him the values of hard work as well as the
intricacies of roofing Mr Eliason went on to study Architecture (earning his AA degree) and
worked in several Architectural firms before becoming a project manager in a residential
development company
Mr Eliason received his BA degree in Finance/Real Estate and Law and worked for the City of
San Bernardino in their Redevelopment Department To finalize his expertise in housing and
public programs he earned his Masters Degree in Public Administration Mr Eliason is more
than qualified to administer a housing rehabilitation program His education and life experience
in the field only adds stability to his experience in this area
Mr Eliason is currently under contract with a variety of cities in Riverside, San Bernardino Los
Angeles and Orange Counties as an Affordable Housing Consultant Civiestone designed and
administers the Owner -Occupied Housing Rehabilitation Program in Seal Beach and San
Jacinto and is currently administenng the City of Buena Parks program as well Mr Eliason

HOME IMPROVEMENT LOAN
In order to determine if you are income qualified to participate on the Seal Beach Home
Improvement Program you must provide the Gross Income of all persons living in your home
Gross income shall mean the anticipated income of a person or family for the twelve month
period following the date of determination of income Income shall consist of the following
All payments from all sources received by the family head AND each additional member of the
family household who is NOT a minor shall be included in the annual income of a family Income
shall include but not be limited to
1) $ The gross amount before any payroll deductions of wages and salaries
overtime pay commissions fees tips and bonuses
2) $ The net income from operation of a business or profession or from rental
or real or personal property (for this purpose expenditures for business
expansion or amortization of capital indebtedness shall not be deducted
to determine the net income from a business)
3) $ interest and dividends
4) $ The full amount of periodic payments received from social security
annuities insurance policies retirement funds pensions disability or
death benefits and other similar types of periodic receipts

Payments in lieu of earnings such as unemployment and disability

Public Assistance If the public assistance payment includes an amount
specifically designated for shelter and utilities which is subject to
adjustment by the public assistance agency in accordance with the

(A) The amount of the allowance or grant exclusive of the amount
specifically designated for shelter and utilities plus
(8) The maximum amount which the public assistance agency could in

fire
6) Relocation payments made pursuant to federal state or local relocation law
7) Foster child care payments
8) The value of coupon allotments for the purchase of food pursuant to the Food Stamp Act of
1964 which is in excess of the amount actually charged the eligible household
9) Payments received pursuant to participation in the following volunteer programs under the
