Statement of Issue: The City of Huntington Beach has contracted with the Community
Services Program for Juvenile Diversion and Gang Prevention and Intervention Programs
since 1992. For Fiscal Year 2000/2001, the Police Department budgeted for and was
granted approval by Council to continue utilizing the services of CSP for these purposes.
The latest amendments to the contracts have expired. Approval of the attached
amendments to the contracts will renew these agreements and allow payment to CSP for
service already rendered and all future services throughout this fiscal year.
Funding _Source: Expenses are budgeted in General Fund accounts under General
Investigations #10070203 for $77,336 and Patrol #10070201 for $41,757.
_Recommended Action:
1. Approve and authorize the Mayor and City Clerk to execute Amendment Number 2 to
the contract between the City of Huntington Beach and Community Services Program, Inc.
for implementation and management of the Juvenile Diversion Program for the amount of
$77,336.
2. Approve and authorize the Mayor and City Clerk to execute Amendment Number 2 to
the contract between the City of Huntington Beach and Community Services Program, Inc.

Alternative Action(s):
1. Do not approve and authorize the Mayor and City Clerk to execute the amendment to
the contract between the City of Huntington Beach and Community Services Program, Inc.
for the Juvenile Diversion Program and the Gang Prevention and Intervention Program and
direct staff accordingly.
Analysis: Since 1992 the police department has contracted with Community Services
Program to provide Juvenile Diversion and Gang Intervention and Prevention services. The
Juvenile Diversion component focuses on counseling incorrigible youths. These youths may
also have serious family, emotional, school or negative peer influence issues. CSP
counselors receive their referrals via the police department. The Gang Intervention and
Prevention component focuses on gang prevention and intervention services for at -risk youth
and their families. This component also provides after school recreational activities and
tutoring services. The combined efforts of these services have had a very positive effect on
the youth of our community to stay on track and away from the penal system.

AMENDMENT NO. 2 TO
AGREEMENT BETWEEN THE CITY OF HUNTINGTON BEACH AND
COMMC.-NITY SERVICE PROGRAMS, INC. (CSP) FOR
IMPLEMENTATION AND MANAGEMENT OF THE
JUVENILE DIVERSION PROGRAM
This Agreement is made and entered into this 4th day of
.Tune , 2001, by and between the CITY OF HUNTINGTON
BEACH, a municipal corporation, hereinafter referred to as "CITY." and COMYiUNITY
SERVICE PROGRAMS, INC., hereinafter referred to as `CSP")
WHEREAS, CITY and CSP are parties to that certain contract dated May 30, 1999,
for implementation and management of the juvenile diversion program in the City of
Huntington Beach. and
Since the execution of the original contract. CITY has requested and desires to
request additional work from CSP and CSP has agreed to perform such work: and
CITY and CSP wish to amend the original contract to reflect the extra work to be
performed by CSP and the additional compensation to be paid in consideration thereof by
CITY to CSP,
NOW, THEREFORE, it is agreed by and between CITY" and CSP as follows:
1. ADDITIONAL WORK
CSP shall provide CITY such additional services as necessary in connection
with implementation and management of the juvenile diversion program, as more particularly
described in the attached Exhibit A which is incorporated herein by this reference.
2. ADDITIONAL COMPENSATION
In consideration of the additional services described in Section 1 above_
CITY agrees to pay CSP a total amount not exceed Seventy -Seven Thousand, Three Hundred
Thirty Six Dollars (S77,336.00) without further amendment hereto. The parties further agree

Scope of Work by Consultant
CSP Juvenile Diversion Program — Huntington Beach Police Department
The CSP Juvenile Diversion Program in Huntington Beach will provide short-term diversion and earl%
intervention services to youth age 18 and under who are exhibiting pre -delinquent, delingaerit. emotional.
behavioral, or school-rclated problem behaviors. CSP will also serve youth that are victims of abuse and sexual
assault. Families are included in CSP's effarts to help prevent future law enforcement or justice system
involvement. Referrals will be primarily received from the Huntington Beach Police Department, local schxv?ls
and the community. CSP's Juvenile diversion program provide cost effective comprehensive Services to the
youth and families who are referred. CSP's comprehensive approach includes individual, family and group
counseling, anger management groups, drug, alcohol and tobacco education groups, victim restitution.
community service hours, legal awareness workshops, crisis intervention :and resource and referral linkage.
These service efforts promote early intervention in the process of problem developrnent and Yrov:de
information and resources to youths and families at risk. CSP has 28 rears of experience providing j uveni ie
diversion services in Orange County and has been providing diversion services for the city of Huntington Beach
for over 20 years. CSP will continue to serve the community of Huntington Beach under the auspices of the
Huntington Beach Police Department, providing the above indicated diversion service components for the entire
contract period beginning October 1, 2000 through June 30, 2001.
The Individual, Family and Group Counseling component helps to identify reasons for problem behavior.
giving the minor and the family positive tools to help solve problems and promote coping :kids. •T}ne
Community Restitution program, encompassing both the volunteer work hours and monetary reimbursement to
victims of cr-me teaches the youths consequences for inappropriate actions. Community restitution is a direct
and meaningful response that promotes youth responsibility and makes thetas aware of victim rights. The Legal
Awareness Workshop educates the youths on juvenile laws and the juvenile justice system. The program
promotes responsible decision making and positive life skills. The Drug Alcoholaobacco Education group
offers the youth valuable information about the negative erects of chemical abuse. The reality of today's
overburdened juvenile justice system is that for many of these youths and their families diversion sen•ices are
the only tangible consequence and resource. CSP's comprehensive service efforts provide a valuable resource
against juvenile crime that benefits the entire community. The ?rogram Director, a licensee clinical
psychologist, provides program oversight, clinical and administrative supervision for program staff, training.
active case management and crisis intervention support.
Referral Process
The referral source will send all client referrals, documenting reason for referral and assigned components, to
the CSP Diversion office located in the Huntington Beach Police Department_ C'SP'.s Diversion Counselors
(1 05 FTE; Master's level) will provide individual, family and or group counseling, drug:'alcoho::tobacco
education groups, anger management groups, resource/referral linkage and crisis intervention services. The
bilingual Diversion Specialist (.90 FTE; Bachelor's leve. with minimum 2 years experience) tivill p„oviror
victim restitution, community service hours and legal awareness education workshops CSP provides a
streamlined and organized referral process and limits paperwork for the Police Department personnel. In-
service training will be provided at patrol, gang unit and narcotics unit briefings in order to make patrol deputies
and detectives aware of the services provided by CSP.

The Diversion Counselors will work at least Iwo evenings until 9 p.m. To accommodate the needs of working
parents. Services will be offered at the Huntington Beach Police Department Upon referral the counselor w;il
contact the family by phone as soon as passible to schedule ar assessment intervie-u; The assessment
determines the needs of the youth and family, the appropriate intervention and resources. At the end of the
intake assessment, the counselor reviews the relevant issues, problems. and needs with —he family and a `uture
appointment is scheduled if indicated.
Treatmeng Plan and Counseling Services
Given the short-term nature of diversion services (generally 12 weeks), establishing realistic and appropriate
treatment goals is critical. Up to six months of counseling will tic available to juveniles and parents if required.
Formulation of a treatment plan follows a systematic procedure based on spccifing clear and concrete goals
that are developed with the family. Intervention procedures are initiated and their effectiveness is assessed
based on whether or not the targeted goals are achieved. The counselors work closely with the school system
and any other community resources when appropriate to ensure the long-term success cf the youths.
Temporary Placement/Resource and Referral Linkage
Counselors, as part of the treatment plan, may refer the family to outside resources. ;Medical or psychiatric
intervention, a Big Brother,/Big Sister program, a Youth Shelter. nr a self-help support group may be suggested.
Each CSP staff person is familiar with other agencies, programs and referral sources throughout Orange
County. Resource materials regarding referrals are also available in CSP offices.
TerminadonXase Update
Discharge planning and termination depend upon the level of accomplishment of she specified goals and current
client needs. The termination process may involve referral to anot' er r rograrn able to meet the long -tern; :reeds
of the ;.liens or family. Case updates are forwarded to the referral source monthly and upon termination. The
intake assessment, including goals and treatment plant, on -going progress notes and rerrnisiation summary track
the management of the: case through temination. Both clinical and administrative supervision are provided to
ensure appropriate service delivery and termination process.
II) COMMUNITY RESTITUTION PROGRAM
The Diversion Specialists will work at least two evenings per week to accommodate the heeds 4working
parents. Services will be provided at the Huntington Beach Police Department. Upon receiving the referral. t'rtc
Diversion Specialist will contact the minor and his,'her family to schedule an appointment for the intake
assessment. Relevant information will be gathered as well- area of residence, the minors interests, School
hours and whether or not the mirror works or is involved in extra -curricular activities. This information is
important for determining a placement site for community service hours, as well as setting a payment schedule
for victim restitution, if deeded. In a victim restitution case t! a Diversion Specialist phones the victim to assess
his/her needs and gather the information necessary to verify the validity of the claim. Three estimates are
required for damage valued over $500.00. The Diversion Specialist caur refer clients and t•ittirrts to CSP's
Dispute Resolution Program if both parties prefer a direct "facie -to -face" contact to discuss restitution
reimbursement.

Community Service Sites
The Diversion Specialist places youths to complete work hours at a community based non- prof, t organization. as
a way for the youth to make restitution to the community. A good match is important to make the-ninor'S
involvement in the program a positive experience. Typically utilized sites include schools. libraries. parks.
churches and neighborhood centers in the Huntington Beach community. Site development and community
relations are important pieces of the Diversion Specialists' job duties. Community sites are recruited througl"
many different avenues. During recntitment the CSP staff present the program to the prospective site staff
When recruited, the site stag{ is then trained in procedures such as supervising juveniles; completing tittle cards
and the importance of communicating problems or concerns relating to the Juveniles' volunteer work. The
Diversion Specialist will also make on -site inspections to ensure proper procedure and to answer any questions
and address any problems that may arise. Sites are utilized by need, by ability to supervisc the juvenile
volunteers and by the ability to provide them with service hours and a good learning experience. The Site
Supervisor conferring with the Diversion Specialist defines the type of work the i verile volunteer is to
complete. In addition, the Site Supervisor and Diversion Specialist agree upon decisions regarding the amount
of hours worked per day/week. Youths are covered by CSP's Worker's Compensation insurance while
performing their volunteer service.
Case Monitoring
Following the intake assessment, the Diversion Specialist is in frequent contact. usually- weekly, with the
juvenile and parent(s) to ascertain that the juvenile is fulfilling his/her community restitution obligation. The
Diversion Specialist regularly checks the progress of the contract fulfillment and consequently is able to attend
to any problems that may develop in the course of completing the assignment. Time sheets are maintained and
signed by the Site Supervisor to monitor completed community service hours. if money is involved, the
Diversion Specialist handles payments from the client. When the iuveni:e makes payments, the youth is given a
receipt. The Diversion Specialist submits the payment Ltd receipt to CSP's Accounting Office where it is
deposited into the Restitution bank account. A CSP check is fonv-arded to the victim in order to protect the
juvenile's confidentiality as required by law. Written documentation regarding case progress is forwarded to
the referral source monthly and when the restitution contract has been completed.
Ill) LEGAL A WARENESS ED UCA TION WORKSHOP
The Diversion Specialist will also coordinate and conduct the Legal Education Workshops- Upon receiving
the referral, the Diversion Specialist will conduct a phone or in -person intake assessment. The legal awareness
program agenda, date, time and location of the class will be shared and the importance of family participation
will be stressed. Workshops are a single three-hour session_ During the three-hour class the Diversion
Specialist will introduce a broad -based curriculum. Each workshop can be designed to +•feet the needs of the
participants. The curriculum includes: group discussion regarding the minor's offense and the family response,
impact of Crime on victims, legal awareness education regarding juvenile laws, sealing of records, structure of
the juvenile justice system, educational videos, police jail tours, slides of juvenile hall, exercises on choices and
decision snaking and consequences of delinquent acts. The parents receive specific information regarding
effective parenting skills, adolescent development and communication guidelines. Written documentatior.
regarding client completion will be forwarded to the referral source upon termination.

11 DRUGIALCOHOLITMCCO EDUCATION GROUPS
Groups of 6-10 young people meet for three two-hour sessions led by CSP diversion .ou.tselors. The groups
help the youths increase awareness of the reasons for and the consequences of drug and alcohol use, aid in
recognition of dangerous behavior patterns and provide resources for young people to loam effective pro'alem-
solving skills. prior to participating in die group the CSP Diversion Counselor meets with the youth and kris: )ter
parents in an assessment session. The DrVAlcohol groups are especially effective in promoting self-
awareness through peer group discussions and values clarification exercises. If needed a follow-up session %xith
the family is scheduled to assess the needs for further services and provide referrals as apprcprlafe.
p) .4 VGER :V NAGEMENT GROUPS
Due to an increase in referrals in Huntington Beach for aggression -related problems (e.g., assault and battery
of%rises, school fights, making threats at school, bullying behaviors) the Anger Management program was
developed. Groups of 6-10 young people meet for three two-hour sessions led by CSP diversion counselors.
The getups help the youths increase awareness of the triggers of their anger and the ccnsequc rice= of their
unhealthy expressions of anger which aids in recognition of dangerous behavior patterns and provides resources
for young people to learn effective communication skills, problem -solving and conflict resolution skills. Prior
to ?anticipating in the group the CSP Diversion Counselor meets with the youth and his/her parents :n as
assessment session. The Anger Management groups are especially effective in promoting sel:-awareness
through peer group discussions and communication and conflict resolution exercises. If needed a fallow -up
session with the family is scheduled to assess the needs for further sen•ices and provide referrals as appropriate.
VII) CRISIS INTER VEVTION SERVICES
At times, staff is required to assess and manage a crisis situation. Diversion counselors. trained both in the
assessment and intervention techniques of crisis counseling, are available to CSP clients 24 hours a day cvery
day of the week via CSP's 24-hour Heipline operated through the CSP Yout Shelter. The Clinical Supervisors
and the management team (which included a licensed clinical psychologist and a licensed clinica social
worker) are also available 24 hours a day as backup for crisis.
VII) REPORTING
CSP will provide quarterly reports to the Police Department reflecting referral data, client demographic data and
community outreach activities. Additionally, the Program staff and the Program Director will maet ever4 6
weeks with the supervising unit Sergeant to discuss the .program activities, refe:Tais and ongoing identification
of community needs and program resources-

In al effort to promote a proactive preventative approach in addressing at -risk youth concerns.
the City of Huntington Beach is proposing a partnership with the CSP Gang Prevention
Program. The focus of the CSP Gang Prevention Program is the strengthening of the family
unit, which in turn is the foundation of the community. Strong families and comrnunitV
mobilization are the keys to securing a safe and nurturing environment in which to live. parents
and families have the Ieast to fear even from violence prone teens. Thus, given the appropriate
tools, concerned parents can regain control of their family and exert a positive influezlce again
potential gang involvement and violence The core of CSP's prevention and intervention
services ss direct service to high -risk youth ages I0-18. Services are lnt11 around a recogni"on
that youth engage in acting out behavior due to a breakdown in the cffectivcness of traditional

In order to implement this proposal CSP will provide one full-time, 40 hours -a -weal: Garg
Prevention Specialist with a B.A. degree in Psychology, Sociology or Criminal Justice Cane
Prevention Specialist has a minimum of one to two year's gang -related ccunseling experierice
working with at -risk youth and their families. This static' member will be bilingual. The Carp
Prevention Specialist will be responsible for submitting monthly statistics. The Pragrair.
Director for the Gang Prevention Program will be responsible for producing monthly reparts of
activities. This program is intended to enable the community to minimize or avoid the pr ablems
of many Orange County cities by proactively addressing issues associated with youth at risk of
gang involvement.
As an intervention component of the Huntington Beach p. ogram, CSP will implement the
following services:
Gant: Prevelatiopantervention Services
The CSP Gang Prevention Specialist will provide prevention/intervention services which
include:
Group counseling covering such issues as decision making, drug and alcohol abL:se self-
control, self esteem, communication skills, conflict resolution and future planning_
Performance Measures: eight group counseling sessions. Target Population Being
Served: forty-eight, local youths.
Individual and family counseling for at -risk and gang affiliated youth. An assessment
and treatment plan will be developed by Youth Outreach Specialist and reviewed with
the program Clinical Supervisor. Progress of the individual will be charted on a weekly
basis to ensure goals of treatment are being met. Performance Measure: twenty local
youths. Target Population: twenty local affiliated and/or high risk youths.
Referral to drug/alcohol abuse treatment programs, medical facilities, long-term
psychological counseling program as needed and job training programs. Pcrformar:ce
Measures handled on a case basis with twenty-five referrals to drug/alcohol treatment
programs estimated. 'target Population Served: twenty-five local teens.

at high risk for gang involvement. The purpose of this program is to provide youth With.

activities based on input. A combination of on -site and off -site activities will be planned
and offered to program participants. Activities might include field trips to museums or
theme parks, sports and summer camp. Performance Measure: eight enrichment
activities. Target Population Being Served: thirty-two Huntington Beach at -risk or gang -
involved youth.

CSP Gang Prevention Specialist will work with youth in the community in the
identification of community projects. Possible projects include park clean-up activities,
school and community improvement activities. Once a list of possible projects has been
identified, the youth will plan and implement their community projects. Performance
Measure: two community group projects. Target Population Being Ser-,cd- sixteen
Huntington Beach at -risk or gang -involved youth.

CSP Gang Prevention Specialist will work with members of city government to provide a
Government Day for Huntington Beach youth. Volunteers will provide an overview of
city government and the various career opportunities within city government. The
volunteer mentors will be asked to expose the youth to as many aspects of the careers as
possible so as to maximize their teaming and understanding of different job and career
opportunities. Performance Measures: conduct one career mentor day for high -risk and
gang -involved youth with adult business/community mentors. Target Population Beira;
Served: ten Huntington Beach youth and five adult mentors.

opportunities to strengthen family and community bonds. The goal of these activities is
to model appropriate family interaction and reward parent involvement. Performance

Statement of Issue: Should Council approve two contract amendments with Community
Services Program, Inc. (CSP) to provide Juvenile Diversion and Gang Counseling services?
For Fiscal Year 1999/2000, the Police Department budgeted for and was granted approval by
Council to continue utilizing the services of CSP for these purposes. The latest contracts
have expired. Approval of the attached contract amendments will renew this agreement and
allow payment to CSP for service already rendered and all future services throughout this
fiscal year.
Funding Source: Expenses are budgeted in General Fund Accounts E-AA-PD-329-3-90-00
and E-AA-PD-332-3-90-00.
Recommended Action:
1. Approve and authorize the Mayor and City Clerk to execute Amendment 1 between the

Analysis: For several years the police department has contracted with Community Services
Program to provide Juvenile Diversion and Gang Counseling services. The Juvenile
Diversion component focuses on counseling incorrigible youths. These youths may also
have serious family, emotional, school or negative peer influence issues. CSP Counselors
receive their referrals via the police department. The Gang Counseling component focuses
on gang prevention and intervention services for at -risk youth and their families. This
component also provides after school recreational activities and tutoring services. The
combined efforts of these services have had a very positive effect on the youth of our
community to stay on track and away from the penal system.

AGREEMENT BETWEEN THE CITY OF HUNTINGTON BEACH AND
COMMUNITY SERVICE PROGRAMS, INC. (CSP) FOR
IMPLEMENTATION AND MANAGEMENT OF THE
JUVENILE DIVERSION PROGRAM
This Agreement is made and entered into this 17th day of
April , 2000, by and between the CITY OF HUNTINGTON
BEACH, a municipal corporation, hereinafter referred to as "CITY," and COMMUNITY
SERVICE PROGRAMS, INC., hereinafter referred to as "CSP").
WHEREAS, CITY and CSP are parties to that certain contract dated May 30,
1999, for implementation and management of the juvenile diversion program in the City
of Huntington Beach, and
Since the execution of the original contract, CITY has requested and desires to
request additional work from CSP and CSP has agreed to perform such work; and
CITY and CSP wish to amend the original contract to reflect the extra work to be
performed by CSP and the additional compensation to be paid in consideration thereof by
CITY to CSP,
NOW, THEREFORE, it is agreed by and between CITY and CSP as follows:
1. ADDITIONAL WORK
CSP shall provide CITY such additional services as necessary in
connection with implementation and management of the juvenile diversion program.
2. ADDITIONAL COMPENSATION
In consideration of the additional services described in Section I above,
CITY agrees to pay CSP a total amount not exceed Seventy-five Thousand, Eight
Hundred Sixty-three Dollars ($75,863.00) without further amendment hereto. The parties

Statement of Issue: Should Council approve two contracts with Community Services
Program, Inc. (CSP) to provide Juvenile Diversion and Gang Counseling services. For
Fiscal Year 1998/99, the Police Department budgeted for, and was granted approval by
Council to continue utilizing the services of CSP for these purposes. The latest contracts
have expired. Approval of the attached contracts will renew this agreement and allow
payment to CSP for service already rendered and all future services throughout this fiscal
year.
Expenses budgeted in General Fund Accounts E-AA-PD-329-3-90-00
and E-AA-PD-332-3-90-00.
Recommended Action: Approve attached contracts to renew agreement between the City

Analysis: For several years, the police department has contracted with Community
Services Program to provide Juvenile Diversion and Gang Counseling services. The
Juvenile Diversion component focuses on counseling incorrigible youths, or those with
serious family, emotional, peer influence, or school problems who are referred to CSP by the
police department. The Gang component focuses on gang prevention and intervention
services targeting at -risk youth and their families. It also includes after school recreational
activities and tutoring. Both components have been very effective in helping the youths in
our community and provide an alternative solution to the penal system,

PROFESSIONAL SERVICES CONTRACT BETWEEN THE
CITY OF HUNTINGTON BEACH AND COMMUNITY SERVICE
PROGRAMS, INC. (CSP) FOR IMPLEMENTATION AND MANAGEMENT
OF THE JUVENILE DIVERSION PROGRAM
THIS AGREEMENT, made and entered into thisl9y day of /%/#Y 1999,
by and between the City of Huntington Beach, a municipal corporation of the State of California,
hereinafter referred to as "CITY," and COMMUNITY SERVICE PROGRAMS, INC., a California
corporation, hereinafter referred to as "CONSULTANT."
WHEREAS, CITY desires to engage a consultant for the implementation and
management of a Juvenile Diversion Program in the City of Huntington Beach; and
Pursuant to documentation on file in the office of the City Clerk, the provisions of HBMC
Chapter 3.03 relating to procurement of professional service contracts has been complied with;
and
CONSULTANT has been selected to perform said services,
NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows:
WORK STATEMENT
CONSULTANT shall provide all services as described in the Request for
Proposal, and CONSULTANT's proposal dated October 1, 1997 (hereinafter referred to as
Exhibit "A" ), which is attached hereto and incorporated into this Agreement by this reference.
Said services shall sometimes hereinafter be referred to as "PROJECT."
CONSULTANT hereby designates Margot R. Carlson, who shall represent it and be its
sole contact and agent in all consultations with CITY during the performance of this Agreement.
2. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly with CONSULTANT in the
performance of this Agreement.

3. TIME OF PERFORMANCE
Time is of the essence of this Agreement. The services of the CONSULTANT
are to commence as soon as practicable after the execution of this Agreement and all tasks
specified in Exhibit "A" shall be completed no later than twelve (12) months from the date of
this Agreement. These times may be extended with the written permission of the CITY. The
time for performance of the tasks identified in Exhibit "A" are generally to be shown in the
Scope of Services on the Work Program/Project Schedule. This schedule may be amended to
benefit the PROJECT if mutually agreed by the CITY and CONSULTANT.
4. COMPENSATION
In consideration of the performance of the services described herein, CITY
agrees to pay CONSULTANT a fee not to exceed Seventy -Three Thousand Six Hundred Fifty -
Three Dollars ($73,653).
5. EXTRA WORK
In the event CITY requires additional services not included in Exhibit "A," or
changes in the scope of services described in Exhibit "A," CONSULTANT will undertake such
work after receiving written authorization from CITY. Additional compensation for such extra
work shall be allowed only if the prior written approval of CITY is obtained.
6. METHOD OF PAYMENT
A. CONSULTANT shall be entitled to progress payments toward the fixed
fee set forth herein in accordance with the progress and payment schedules set forth in
Exhibit "A."
B. Delivery of work product: A copy of every technical memo and report
prepared by CONSULTANT shall be submitted to the CITY to demonstrate progress toward
completion of tasks. In the event CITY rejects or has comments on any such product, CITY
shall identify specific requirements for satisfactory completion. Any such product which has not
been formally accepted or rejected by CITY shall be deemed accepted.

C. The CONSULTANT shall submit to the CITY an invoice for each progress
payment due. Such invoice shall:

CONSULTANT's firm that the work has been performed in accordance with the
provisions of this Agreement; and

Upon submission of any such invoice, if CITY is satisfied that
CONSULTANT is making satisfactory progress toward completion of tasks in accordance with
this Agreement, CITY shall promptly approve the invoice, in which event payment shall be
made within thirty (30) days of receipt of the invoice by CITY. Such approval shall not be
unreasonably withheld. If the CITY does not approve an invoice, CITY shall notify
CONSULTANT in writing of the reasons for non -approval, within seven (7) calendar days of
receipt of the invoice, and the schedule of performance set forth in Exhibit "A" shall be
suspended until the parties agree that past performance by CONSULTANT is in, or has been
brought into compliance, or until this Agreement is terminated as provided herein.
D. Any billings for extra work or additional services authorized by CITY shall
be invoiced separately to the CITY. Such invoice shall contain all of the information required
above, and in addition shall list the hours expended and hourly rate charged for such time.
Such invoices shall be approved by CITY if the work performed is in accordance with the extra
work or additional services requested, and if CITY is satisfied that the statement of hours
worked and costs incurred is accurate. Such approval shall not be unreasonably withheld. Any

dispute between the parties concerning payment of such an invoice shall be treated as
separate and apart from the ongoing performance of the remainder of this Agreement.
7. DISPOSITION OF PLANS ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that all materials prepared hereunder, including all
original drawings, designs, reports, both field and office notices, calculations, maps and other
documents, shall be turned over to CITY upon termination of this Agreement or upon
PROJECT completion, whichever shall occur first. In the event this Agreement is terminated,
said materials may be used by CITY in the completion of PROJECT or as it otherwise sees fit.
Title to said materials shall pass to the CITY upon payment of fees determined to be earned by
CONSULTANT to the point of termination or completion of the PROJECT, whichever is
applicable. CONSULTANT shall be entitled to retain copies of all data prepared hereunder.
8. INDEMNIFICATION AND HOLD HARMLESS
CONSULTANT shall protect, defend, indemnify and hold harmless CITY, its officers,
officials, employees and agents from and against any and all liability, loss, damage, expenses,
costs (including without limitation costs and fees of litigation of every nature) arising out of or in
connection with the performance of this agreement or its failure to comply with any of its
obligations contained in the agreement, except such loss or damage which was caused by the
sole negligence or willful misconduct of the CITY.
9. WORKERS COMPENSATION
CONSULTANT shall comply with all of the provisions of the Workers
Compensation Insurance and Safety Acts of the State of California, the applicable provisions of
Division 4 and 5 of the California Labor Code and all amendments thereto; and all similar state
or federal acts or laws applicable; and shall indemnify, defend and hold harmless CITY from
and against all claims, demands, payments, suits, actions, proceedings and judgments of every
nature and description, including attorney fees and costs presented, brought or recovered

against CITY, for or on account of any liability under any of said acts which may be incurred by
reason of any work to be performed by CONSULTANT under this Agreement.
10. PROFESSIONAL LIABILITY INSURANCE
CONSULTANT shall furnish a professional liability insurance policy covering the
work performed by it hereunder. Said policy shall provide coverage for CONSULTANT's
professional liability in an amount not less than $1,000,000 per occurrence and in the
aggregate. A claims made policy shall be acceptable if the policy further provides that.
A. The policy retroactive date coincides with or precedes the professional services
contractor's start of work (including subsequent policies purchased as renewals
or replacements).
B. Consultant will make every effort to maintain similar insurance during the
required extended period of coverage following project completion, including the
requirement of adding all additional insureds.
C. If insurance is terminated for any reason, Consultant agrees to purchase an
extended reporting provision of at least two (2) years to report claims arising
from work performed in connection with this Agreement.
D. The reporting of circumstances or incidents that might give rise to future claims.
11. CERTIFICATES OF INSURANCE.
Prior to commencing performance of the work hereunder, Consultant shall
furnish to City certificates of insurance subject to approval of the City Attorney evidencing the
foregoing insurance coverages as required by this Agreement; said certificates shall;
A. provide the name and policy number of each carrier and policy;
B. shall state that the policy is currently in force; and
C. shall promise that such policies shall not be suspended, voided or canceled by
either party, reduced in coverage or in limits except after thirty days prior written

notice; however, ten days prior written notice in the event of cancellation for
nonpayment of premium.
Consultant shall maintain the foregoing insurance coverages in force until the
work under this Agreement is fully completed and accepted by City.
The requirement for carrying the foregoing insurance coverages shall not
derogate from the provisions for indemnification of City by Consultant under the Agreement.
City or its representative shall at all times have the right to demand the original or a copy of all
said policies of insurance. Consultant shall pay, in a prompt and timely manner, the premiums
on all insurance hereinabove required.
12. INDEPENDENT CONTRACTOR
CONSULTANT is, and shall be, acting at all times in the performance of this
Agreement as an independent contractor. CONSULTANT shall secure at its expense, and be
responsible for any and all payment of all taxes, social security, state disability insurance
compensation, unemployment compensation and other payroll deductions for CONSULTANT
and its officers, agents and employees and all business licenses, if any, in connection with the
services to be performed hereunder.
13. TERMINATION OF AGREEMENT
All work required hereunder shall be performed in a good and workmanlike
manner. CITY may terminate CONSULTANT's services hereunder at any time with or without
cause, and whether or not PROJECT is fully complete. Any termination of this Agreement by
CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided
herein.
14. ASSIGNMENT AND SUBCONTRACTING
This Agreement is a personal service contract and the supervisory work
hereunder shall not be delegated by CONSULTANT to any other person or entity without the
consent of CITY.

15. COPYRIGHTS/PATENTS
CITY shall own all rights to any patent or copyright on any work, item or material
produced as a result of this Agreement.
16. CITY EMPLOYEES AND OFFICIALS
CONSULTANT shall employ no CITY official nor any regular CITY employee in
the work performed pursuant to this Agreement. No officer or employee of CITY shall have any
financial interest in this Agreement in violation of the applicable provisions of the Califomia
Government Code.
17. NOTICES
Any notice or special instructions required to be given in writing under this
Agreement shall be given either by personal delivery to CONSULTANT's agent (as designated
in Section 1 hereinabove) or to CITY's Police Chief as the situation shall warrant, or by
enclosing the same in a sealed envelope, postage prepaid, and depositing the same in the
United States Postal Service, addressed as follows:

18. IMMIGRATION

CONSULTANT shall be responsible for full compliance with the immigration and
naturalization laws of the United States and shall, in particular, comply with the provisions of the
United States Code regarding employment verification.
19. LEGAL SERVICES SUBCONTRACTING PROHIBITED
CONSULTANT and CITY agree that CITY is not liable for payment of any
subcontractor work involving legal services, and that such legal services are expressly outside
the scope of services contemplated hereunder. CONSULTANT understands that pursuant to

Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for
CITY; and CITY shall not be liable for payment of any legal services expenses incurred by
CONSULTANT.
20. ATTORNEY'S FEES
In the event suit is brought by either party to enforce the terms and provisions of
this agreement or to secure the performance hereof, each party shall bear its own attorney's
fees.
21. ENTIRETY
The foregoing, and Exhibit "A" attached hereto, set forth the entire Agreement
between the parties.

EXHIBIT "A"
CONTRACTOR shall provide to CITY the following law
enforcement enhancement sec -vices and professic-nal services:
A. The services shall be provided for:
1) incorrigible youths;
2) youths with serious family, emotLonal, peer
influence, or school problems;
3) youths who do not qualify for se:evice under the
County Program for Welfare & Ins-:itutions Code 601
and 6 02 :
4) As caseloads permit and law enforcement priorities
dictate:
a) victims of child abuse;
b) victims of molestation; and
c) victims of rape.
B. CONTRACTOR shall provide personnel capable of
competently implementing services and shall assure continuous
,in-service training necessary to accomplish these tasks.
C. CONTRACTOR shall provide a variety of services to
youths referenced in Section A. Following the initial problem
assessment, short term, individual, group, and/or family
counseling will.be offered to all clients as appropriate. In
addition,, certain clients will be referred to the Restitution
Program for victim repayment and/or community service hours
and to the Legal Awareness Workshop (L.A.W.) where they
will receive remedial services as needed. There will be other
clients who will be temporarily placed at the ;ONTRACTOR Youth
Shelter or referred to other appropriate shelter programs are
determined by individual needs.
D. COWTRACTOR shall, collect and remit to Huntington Beach
Police Department data that accurately monitors the performance
of the services sat forth by this Agreement.
