Approve Amendment No. 1 to the Agreement Between the City of Huntington Beach and Concept Marine and Associates for Construction Management Services and authorize the Mayor and City Clerk to execute same. 2. Authorize an exemption to Section 3,03.120 of the Huntington Beach Municipal Code to allow extension of a professional services contract beyond the term of three years. Alternative Action(s): None. Analysis: On November 6, 2000, the City Council approved the professional services contract, for on -call construction management services, with Concept Marine and Associates. This contract will expire on November 30, 2003. Concept Marine is currently assigned to the Central Park Sports Complex and South Beach, Phase II projects. Work at the Central Park Sports Complex will end in December 2003 and South Beach, Phase II will end in September 2004. The amendment will allow Concept Marine to continue with the construction management of both these projects for another year. No additional funds will be required as a result of this contract time extension. In general, the selected consultant shall perform construction management services, including constructibility review, bid analysis, materials testing and special deputy inspection services on an "on -call" basis for various projects assigned by the City. The selected consultant will be responsible to provide administrative management and related services as required to coordinate the work of the General Contractor with the activities and responsibilities of the City's Public Works Department, Building Department, Fire Department and Design Consultant Team to complete the project in accordance with the City's objectives for cost, time and quality. A City proposal review team met and prepared evaluations of each proposal on the basis of understanding the request for services, qualifications and individual team member experience with emphasis in public works capital improvement. Concept Marine Associates ranked number one in experience and qualifications with an experienced staff of professionals intimately familiar with City design and construction practice and procedure. The identified team members have successfully completed past projects for the City, including the highly successful Huntington Beach Pier and Pier Plaza Projects, both completed on -time and under budget. Usual and customary fees for professional construction management range between seven and twelve percent of the general construction costs. FOR CONSTRUCTION MANAGEMENT SERVICES THIS AGREEMENT, made and entered into this 20th day of November 2000, by and between the City of Huntington Beach, a municipal corporation of the State of California, hereinafter referred to as "CITY," and CONCEPT MARINE ASSOCIATES, INC. a California corporation, hereinafter referred to as "CONSULTANT." WHEREAS, CITY desires to engage the services of a consultant to provide "as needed" construction management services; and Pursuant to documentation on file in the office of the City Clerk, the provisions of HBMC Chapter 3.03 relating to procurement of professional service contracts has been complied with; and CONSULTANT has been selected to perform said services, NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows: 1. SCOPE OF SERVICES CONSULTANT shall provide all services as described in the Request for Proposal ("RFP"), and CONSULTANT's Proposal dated August 17, 2000 (both of which are hereinafter referred to as Exhibit "A"), which are attached hereto and incorporated into this Agreement by this reference. These services shall sometimes hereinafter he referred to as the "PROJECT." 2. DESIGNATED CONTACTS CITY shall assign a staff coordinator to work directly with CONSULTANT in the performance of this Agreement. 00agree/manage services/]0/17/00 3. TIME OF PERFORMANCE CONSULTANT will perform services as expeditiously as is consistent with professional skill and care and the orderly process of this PROJECT. The services of the CONSULTANT are to commence as soon as practicable after the execution of this Agreement and all tasks specified in Section 1 shall be completed no later than one (1) year from the date of this Agreement. These times may be extended with the written permission of the CITY but in no event shall the entire term of the Agreement exceed 3 years. The time for performance of the tasks identified in Section 1 are generally to be shown in the Scope of Services on the Work Program/Proj ect Schedule. This schedule may be amended to benefit the PROJECT if mutually agreed by the CITY and CONSULTANT. 4, COMPENSATION In consideration of the performance of the services described herein, CITY agrees to pay CONSULTANT a total fee not to exceed One Million Dollars (S1,000,000) during each one year period of this Agreement, with the total amount not to exceed Three Million Dollars ($3,000,000). 5. ADDITIONAL SERVICES In the event CITY requires additional services not included in Section 1, or changes in the scope of services described in Section 1, CONSULTANT will undertake such services after receiving written authorization from CITY. Additional compensation for such services shall be allowed only if the prior written approval of CITY is obtained. 6 METHOD OF PAYMENT A. CONSULTANT shall be entitled to progress payments toward the fixed fee set forth herein in accordance with the progress and payment schedules set forth in Section 1 00agree/manage services/10/09/00 2 B. Delivery of Instruments of Service: A copy of every technical memo and report prepared by CONSULTANT shall be submitted to the CITY to demonstrate progress toward completion of tasks. In the event CITY rejects or has comments on any such services, CITY shall identify specific requirements for satisfactory completion. Any such services which have not been formally accepted or rejected by CITY shall be deemed accepted. C. The CONSULTANT shall submit to the CITY an invoice for each progress payment due. Such invoice shall: 1) Reference this Agreement; 2) Describe the services performed; 3) Show the total amount of the payment due; 4) Include a certification by a principal member of the CONSULTANT's firm that the services have has been performed in accordance with the provisions of this Agreement; and completed. 5) For all payments include an estimate of the percentage of services Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is making satisfactory progress toward completion of tasks in accordance with this Agreement, CITY shall promptly approve the invoice, in which event payment shall be made within thirty (30) days of receipt of the invoice by CITY. Such approval shall not be unreasonably withheld. If the CITY does not approve an invoice, CITY shall notify CONSULTANT in writing of the reasons for nonapproval, within seven (7) calendar days of receipt of the invoice, and the schedule of performance set forth in Exhibit "A" shall be 00agree/manage services/10/09/00 3 • • suspended until the parties agree that past performance by CONSULTANT is in, or has been brought into compliance, or until this Agreement is terminated as provided herein. D. Any billings for additional services authorized by CITY shall be invoiced separately to the CITY. Such invoice shall contain all of the information required above, and in addition shall list the hours expended and hourly rate charged for such time. Such invoices shall be approved by CITY if the services performed are in accordance with the additional services requested, and if CITY is satisfied that the statement of hours worked and costs incurred is accurate. Such approval shall not be unreasonably withheld. Any dispute between the parties concerning payment of such an invoice shall be treated as separate and apart from the ongoing performance of the remainder of this Agreement. 7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS CONSULTANT agrees that all materials prepared hereunder, including all original drawings, designs, reports, both field and office notices, calculations, maps, memoranda, letters and other documents, shall be turned over to CITY upon termination of this Agreement or upon PROJECT completion, whichever shall occur first. In the event this Agreement is terminated, said materials may be used by CITY in the completion of PROJECT or as it otherwise sees fit. Title to said materials shall pass to the CITY upon payment of fees determined to be earned by CONSULTANT to the point of termination or completion of the PROJECT, whichever is applicable. CONSULTANT shall be entitled to retain copies of all data prepared hereunder. 8. HOLD HARMLESS CONSULTANT shall protect, defend, indemnify and save hold harmless CITY, its officers, officials, employees, and agents from and against any and all liability, loss, damage, 00agree/manage services/10/09/00 4 • • expenses, costs (including without limitation, costs and fees of litigation of every nature) arising out of or in connection with CONSULTANT's performance of this Agreement or its failure to comply with any of its obligations contained in this Agreement by CONSULTANT, its officers, agents or employees except such loss or damage which was caused by the sole negligence or willful misconduct of CITY. CITY shall be reimbursed by CONSULTANT for all costs and attorney's fees incurred by CITY in enforcing this obligation. 9. WORKERS' COMPENSATION INSURANCE Pursuant to California Labor Code Section 1861, CONSULTANT acknowledges awareness of.Section 3700 et seq. of said Code, which requires every employer to be insured against liability for workers' compensation; CONSULTANT covenants that it will comply with such provisions prior to commencing performance of the services hereunder; and shall indemnify, defend and hold harmless CITY from and against all claims, demands, payments, suit, actions, proceedings, and judgments of every nature and description, including attorneys fees and costs presented, brought or recovered against the CITY, for or on account of any liability under any of said acts which may be incurred by reason of any services to be performed by CONSULTANT under this Agreement. CONSULTANT shall maintain workers' compensation insurance in an amount of not less than One Hundred Thousand Dollars ($100,000) bodily injury by accident, each occurrence, One Hundred Thousand Dollars ($100,000) bodily injury by disease, each employee, Two Hundred Fifty Thousand Dollars ($250,000) bodily injury by disease, policy limit. CONSULTANT shall require all subcontractors or subconsultants to provide such workers' compensation insurance for all of the subcontractors' or subconsultants' employees. CONSULTANT shall furnish to CITY a certificate of waiver of subrogation under the terms of 00agrce/manage services/10/09/00 • L` the workers' compensation insurance and CONSULTANT shall similarly require all subcontractors or subconsultants to waive subrogation. 10. GENERAL LIABILITY INSURANCE In addition to the workers' compensation insurance and CONSULTANT'S covenant to indemnify CITY, CONSULTANT shall obtain and furnish to CITY, a policy of general public liability insurance, including motor vehicle coverage covering the PROJECT. The policy shall indemnify CONSULTANT, its officers, agents and employees, while acting within the scope of their duties, against any and all claims arising out of or in connection with the PROJECT, and shall provide coverage in not less than the following amount: combined single limit bodily injury and property damage, including products/completed operations liability and blanket contractual liability, of $1,000,000 per occurrence. If coverage is provided under a form which includes a designated general aggregate limit, the aggregate limit must be no less than S1,000,000 for this PROJECT. The policy shall name CITY, its agents, its officers, employees and volunteers as Additional Insureds, and shall specifically provide that any other insurance coverage which may be applicable to the PROJECT shall be deemed excess coverage and that CONSULTANT's insurance shall be primary. Under no circumstances shall the above -mentioned insurance contain a self - insured retention, or a "deductible" or any other similar form of limitation on the required coverage. 11. PROFESSIONAL LIABILITY INSURANCE CONSULTANT shall furnish a professional liability insurance policy covering the services performed by it hereunder. Said policy shall provide coverage for CONSULTANT's 00agree/manage services/10109/00 6 professional liability in an amount not less than $1,000,000 per occurrence and in the aggregate. A claims -made policy shall be acceptable if the policy further provides that: A. The policy retroactive date coincides with or precedes the initiation of the scope of services (including subsequent policies purchased as renewals or replacements). B. CONSULTANT will make every effort to maintain similar insurance during the required extended period of coverage following project completion, including the requirement of adding all additional insureds. C. If insurance is terminated. for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two (2) years to report claims arising from services performed in connection with this Agreement. D. The reporting of circumstances or incidents that might give rise to future claims. 12. CERTIFICATES OF INSURANCE Prior to commencing performance of the services hereunder, CONSULTANT shall furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverages as required by this Agreement; the certificates shall: A. provide the name and policy number of each carrier and policy; B. shall state that the policy is currently in force; and C. shall state that such policies shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty (30) days' 00agree/manage services/] 0/09/00 7 prior written notice; however, ten (10) days' prior written notice in the event of cancellation for nonpayment of premium. CONSULTANT shall maintain the foregoing insurance coverages in force until the services under this Agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverages shall not derogate from the provisions for indemnification of CITY by CONSULTANT under the Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of all said policies of insurance. CONSULTANT shall pay, in a prompt and timely manner, the premiums on all insurance hereinabove required. 13. INDEPENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor herein and not as an employee of the CITY. CONSULTANT shall secure at its expense, and be responsible for any and all payment of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for CONSULTANT and its officers, agents and employees and all business licenses, if any, in connection with the services to be performed hereunder. 14. TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and whether or not PROJECT is fully complete. Any termination of this Agreement by CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided herein. In the event of termination, all finished and unfinished documents, exhibits, 00agree/manage services/10/09/00 8 report, and evidence shall, at the option of the CITY, become its property and shall be delivered to it by CONSULTANT. 15. ASSIGNMENT AND SUBCONTRACTING This Agreement is a personal service contract and the supervisory services hereunder shall not be delegated by CONSULTANT to any other person or entity without the express written consent of CITY. lb. COPYRIGHTS/PATENTS CITY shall own all rights to any patent or copyright on any work, item or material produced as a result of this Agreement. 17. CITY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement. No officer or employee of CITY shall have any financial interest in this Agreement in violation of the applicable provisions of the California Government Code. 18. CAPTIONS Captions of the sections of this Agreement are for convenience and reference only, and the words contained therein shall in no way be held to explain, modify, amplify or aid in the interpretation, construction or meaning of the provisions of this Agreement 21 SECTION HEADINGS. The titles, captions, section, paragraph, subject headings and descriptive phrases at the beginning of the various sections in this Agreement are merely descriptive and are included solely for convenience of reference only and are not representative of maters included or excluded from such provisions, and do not interpret, define, limit or describe, or construe the intent of the parties or affect the construction or interpretation of any provision of this Agreement. 22. INTERPRETATION OF THIS AGREEMENT The language of all parts of this Agreement shall in all cases be construed as a whole, according to its fair meaning, and not strictly for or against any of the parties. If any provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be unenforceable, void, illegal or invalid or affect the remaining covenants and provisions of this Agreement. No covenant or provision shall be deemed dependent upon any other unless so expressly provided here. As used in this Agreement, the masculine or neuter gender and singular or plural number shall be deemed to include the other whenever the context so indicates or requires. Nothing contained herein shall be construed so as to require the commission of any act 00agree/manage services!10/09/00 10 contrary to law, and wherever there is any conflict between any provision contained herein and any present or future statute, law, ordinance or regulation contrary to which the parties have no right to contract, then the latter shall prevail, and the provision of this Agreement which is hereby affected shall be curtailed and limited only to the extent necessary to bring it within the requirements of the law. 23. DUPLICATE ORIGINAL The original of this Agreement and one or more copies hereto have been prepared and signed in counterparts as duplicate originals, each of which so executed shall, irrespective of the date of its execution and delivery, be deemed an original. Each of the parties hereto shall retain an originally signed copy hereof Each duplicate original shall be deemed an original instrument as against any party who has signed it. 24. IMMIGRATION CONSULTANT shall be responsible for full compliance with the immigration and naturalization laws of the United States and shall, in particular, comply with the provisions of the United States Code regarding employment verification. 25. LEGAL SERVICES SUBCONTRACTING PROHIBITED CONSULTANT and CITY agree that CITY is not liable for payment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. CONSULTANT understands that pursuant to Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for CITY; and CITY shall not be liable for payment of any legal services expenses incurred by CONSULTANT. 00agree/manage services/10/09/00 11 26. ATTORNEY'S FEES In the event suit is brought by either party to enforce the terms and provisions of this Agreement or to secure the performance hereof, each party shall bear its own attorney's fees. 27. ENTIRETY The Agreement contains the entire agreement between the parties respecting the subject matter of this Agreement and supercedes all prior understanding and agreements whether oral or in writing. The foregoing sets forth the entire Agreement between the parties. SCHEDULE OF EVENTS July 19, 2000 Issuance of Request for Proposals August 18, 2000 Proposals due at City Hall by 4:00 P.M. PROJECT DESCRIPTION The Engineering Division is responsible for the implementation of the City's annual capital improvement program. The Division, from time to time, has the need to retain the services of ❑ consulting construction management firm to supplement City engineering staff to provide contract administration, scheduling, utility construction coordination, special deputy inspection, materials testing and overall construction project management for various kinds of approved capital projects. The City is desirous of contracting with a construction management firm to be available to perform services on an "on -call" basis when supplemental resources are needed. The City will issue Task Orders for each project based upon a scope of services, work schedule, and fee proposal submitted to the City for its review and approval. IV. SCOPE OF WORK In general, the consultant shall perform construction management services, including constructibility review, bid analysis, materials testing, and special deputy inspection services on an "on -call" basis for various projects assigned by the City. The special deputy inspector shall be licensed accordingly and posses all applicable International Conference of Building Officials (ICBO) certifications required by the work. The scope of work for any one project may involve all phases of project construction and may include but not be limited to the following: 1. Pre -construction Phase Provide constructibifty review of the plans and specifications including construction management requirements in the General Conditions, maintainability and detail issues. . Assist the City in review of the bids presented. Perform a background investigation of the apparent low bidder's listed references and licenses. Review all General Contractor's submittal of contract, bonds and insurance for completeness and recommend approval. Coordinate and conduct pre -construction conference. Issue Notice of Award and Notice to Proceed. 2. Construction Phase The Construction Manager (CM) is to provide administrative, management and related services as required to coordinate the work of the General Contractor with the activities and responsibilities of the City's Public Works Department, Building Department, Fire Department, and Design Consultant Team, to complete the project in accordance with the City's objectives for cost, time and quality. Coordinate and conduct weekly or bi-weekly progress meetings with City staff and Contractor to discuss such matters as procedures, progress problems and scheduling. Establishment of quality control standards based upon industry practices. Review General Contractor's construction schedule on a monthly basis and advise the City as to any change that may cause delays or problems with completions of the project and recommend corrective action. Recommend courses of action to the City when the requirements of the contract are not being fulfilled and the non -performing party will not take satisfactory corrective action. Implement City direction. Recommend changes made necessary or desirable as a result of situations incurred during the actual construction. Review all contractor requests for changes and submit recommendations to the City. Provide resident inspection services to insure compliance with code, plans, specifications and quality control. Provide daily logs containing records of weather, contractor's work on site, number of workers, work accomplishments, problems encountered and other similar relevant data as the City may require. Coordinate all project inspection, including City Building Department and provide all necessary special deputy Inspection. Provide and coordinate all materials and soils testing required. Review and approve all General Contractor's request for payment. Review and process Stop Notices & Releases of Stop Notices through City. Consult with the City and Project Design Team regarding contractor. requests for interpretations (RFI's) regarding the meaning of the plans and specifications and assist in the resolution of such issues. Receive and log all shop drawings, product data, samples and other contractor submittals prior to transmission to the design consultant. Coordinate with the design consultant procedures for expediting the processing and approval of shop drawings, product data, sample and other submittals. Develop Project Punch List with Design Team and contractor. 3. Project Close Out Secure required waivers, marterial guarantees, and affidavits required by the work. Deliver all keys, manuals, record drawings and maintenance stocks to the City. Coordinate all punch list work to completion, including the coordination of required inspection. Coordinate the issuance of Certificate of Occupancy, when applicable. Furnish certified payrolls for both the General Contractor and Construction Manager pursuant to the State Department of Industrial Relations. When Operating Engineers classifications of Building Construction Inspector and Soils Field Technicians are used on public works projects, the applicable prevailing wage referenced in the General Prevailing Determinations for Operating Engineers must be paid. Therefore, prevailing wage shall be paid to all classifications under the Operating Engineers umbrella. V. PROPOSAL REQUIREMENTS Although no specific format is required by the City, this section is intended to provide guidelines to the consultant regarding features which the City will look for and expect to be included in the proposal. I. Content & Format The City requests that proposals submitted be organized and presented in a neat and logical format and be relevant to these services. Consultant's proposals shall be clear, accurate, and comprehensive. Excessive or irrelevant material will not be favorably received. Proposals shall contain no more than 10 typed pages using a 10 point minimum font size, including transmittal/offer letter and resumes of key people, but excluding Index/Table of Contents, tables, charts, and graphic exhibits. The purpose of these restrictions is to minimize the costs of proposal preparation and to ensure that the response to the RFP is fully relevant to the project. The proposal should include the following: • Transmittal/offer letter. • Page numbering. Index/Table of Contents. • Approach. • Team Organization including an organization diagram. • Statement of Qualifications including descriptions of similar projects by key staff to be assigned during the term of the contract. • Brief resumes of key staff. • Schedule of Hourly Rates. Approach A description of the firm's approach and work program for a typical street/highway improvement project shall be included in this section. It should explain the technical approach, methodology, and specific tasks and activities that will be performed to address the specific issues and work items. 3. Team Organization The purpose of this section is to describe the organization of the project team including subconsultants and key staff. A project manager and an alternate proiect manager shall be named who shall be the prime contact and be responsible for coordinating all activities with the City. An organization diagram shall be submitted showing all key team members and illustrating the relationship between the City, the project manager, key staff, and subconsultants. There also should be a brief description of the role and responsibilities of all key staff and subconsultants identified in the team organization. 4. Statement of Qualifications The information provided in this section should describe the qualifications of the firm and key staff in performing projects within the past five years that are similar in scope and size to demonstrate competence to perform these services. The projects listed should be those that the key staff named for this project were responsible for performing services. information shall include: + Names of key staff that participated on named projects and their specific responsibilities. The client's name, contact person, addresses, and telephone numbers. • A brief description of type and extent of services provided. • Completion dates (estimated, if not yet completed). Total costs of the projects. There should be included in the section brief resumes of key personnel who will provide these services demonstrating their qualifications and experience. Resumes should highlight education, experience, licenses, relevant experience, and specific responsibilities for services described. 5. Schedule of Hourly Rates The firm's schedule of hourly rates shall be included with the proposal. Price escalations during the contract term shall be approved in negotiations prior to a contract. 6. Statement of Offer & Signature The Proposal shall contain a statement that the proposals are a firm offer for a 60-day period and signed by an individual authorized to act on behalf of the firm. V1. GENERAL REQUIREMENTS 1. Insurance Requirements The consultant shall furnish with the proposal proof of the following minimum insurance coverage. These minimum levels of coverage are required to be maintained for the duration of the project: A. General Liability Coverage - $1,000,000 per occurrence for bodily injury and property damage. if Commercial General Liability Insurance or other form with a general limit is used, either the general aggregate limit shall apply separately to this project/location or the general aggregate limit shall be twice the required occurrence limit. B. Professional Liability Coverage - $1,000,000 per occurrence (note: A "claims made" policy is acceptable). C. Worker's Compensation Coverage: State statutory limits. Deductibles, Self -Insurance Retentions, or Similar Forms of Coverage Limitations or Modifications, must be declared to and approved by the City of Huntington Beach. A sample certificate is included as Attachment B. The consultant is encouraged to contact its insurance carriers during the proposal stage to ensure that the insurance requirements can be met if selected for negotiation of a contract agreement. Standard Form of Agreement The consultant will enter into an agreement with the City based upon the contents of the RFP and the consultant's proposal. The City's standard form of agreement is included as Attachment A. The consultant shall carefully review the agreement, especially with regard to the indemnity and insurance provisions, and include with the proposal a description of any exceptions requested to the standard contract. If there are no exceptions, a statement to that effect shall be included in the proposal. 3. Disclaimer This RFP does not commit the City to award a contract, or to pay any costs incurred in the preparation of the proposal. The City reserves the right to extend the due date for the proposal, to accept or reject any or all proposals received as a result of this request, to negotiate with any qualified consultant, or to cancel this RFP in part or in its entirety. The City may require the selected consultant to participate in negotiations and to submit such technical, fee, or other revisions of their proposals as may result from negotiations. 4. Assigned Representatives The City will assign a responsible representative to administer the contract, and to assist the consultant in obtaining information. The consultant also shall assign a responsible representative (project manager) and an alternate, who shall be identified in the proposal. The consultant's representative will remain in responsible charge of the consultant's duties from the notice -to -proceed through project completion. If the consultant's primary representative should be unable to continue with the project, then the alternate representative Identified in the proposal shall become the project manager. The City's representative shall first approve any substitution of representatives or subconsultants identified in the proposal in writing. The City reserves the right to review and approve/disapprove all key staff and subconsultant substitution or removal, and may consider such changes not approved to be a breach of contract. CONSULTANT EVALUATION & SELECTION PROCESS The City's consultant evaluation and selection process is based upon Qualifications Based Selection (QBS) for professional services. The following criteria will be used in evaluating the proposals using a point value system (100 points) based upon the weighting indicated below. 1. Approach and work plan for a typical street/highway project. (25 points) 2. Qualifications and experience of the project manager and other key individuals. (40 points) 3. Results of reference checks. (15 points) Reference checks will only be conducted for a short list of firms or the top rated firm. 4. Clarity of proposal. (10 points) 5. Compliance with proposal requirements including the 10 page limitation. (10 points) The City may elect to interview a short list of qualified firms or to interview only the top rated firm based upon the proposals submitted for the project. The City staff will negotiate a contract with the best qualified firm for the desired consulting services. Should the City staff be unable to negotiate a satisfactory contract with the firm considered to be the most qualified, negotiations with that firm shall be formally terminated. Negotiations will then be undertaken with the next most qualified firm. Failing accord with the second most qualified firm, the City staff will terminate negotiations and continue the negotiation process with the next most qualified firms in order of their evaluation ranking until an agreement is reached and a firm is selected and an agreement is executed. We have had an on -call contract with the County of Los Angeles from 1988 to the present as the Harbor Engineer, and have recently been awarded an on -call contract for design and planning support with the Los Angeles District of the U.S. Army Corps of Engineers. We are prepared to provide the City of Huntington Beach with the highest degree of professionalism and expertise in the industry and offer the following example of our approach to managing a typical street/highway project as evidence of our capabilities. J 1 Pre -bid Concept Marine will perform a constructibility review of the construction documents, providing detailed comments on both the plans and specifications. Should the nature of the project include equipment or facility upgrades associated with the improvements, we will meet with the City and verify that the new services are adequate for the intended purpose and recommend alternatives that may be more cost effective or offer better maintenance alternatives. Concept Marine will also offer specific comments to be included in the general conditions that address schedule control, document and cost control requirements. Our review will include the proposed Best Management Practice (BMP's) inclusions, Storm Water Pollution Prevention (SWPP) Plan requirements and other jurisdictional agency guidelines. We are aware that the vast majority of the street/highway improvements within the public right- of-way are planned and designed under CaRrans and/or Green Book specifications, and our review will verify continuity of these requirements with the entire scope of work. Should the scope of the work mandate severe traffic disruptions and/or inconvenience to the public, we will recommend that a hot line be set up to address specific concerns from the public. Bidding After the bid documents have been approved by the City and released for bidding, Concept Marine will chair a pre -bid meeting with all interested parties in attendance, and will follow up 0 U with a laid campaign to ensure responsiveness and enlist a wide range of potential contractors. We will issue any changes to the construction documents in, the form of addenda and assist the engineer or architect to respond in a timely manner. After the bids have been received, we will participate in bid reviews and analysis. The references submitted by the apparent low bidder will be verified for accuracy and ability to complete the scope of work. Concept Marine will also check all insurance and bond documents for conformance with the contract requirements. We will meet with the City, review the information gathered, and recommend the appropriate selection to perform the work. After the City awards the contract, we will issue the Notice to Proceed (NTP). Mobilization Prior to the start of the project, we will organize and conduct a preconstruction meeting to review the scope of the work, general conditions and significant milestones, with the contractor and with the appropriate agencies in attendance. We recommend that the City project man- ager, our field inspector, and representatives of all relevant utilities attend the meeting. Con- cept Marine will introduce the project protocol during the meeting and review the communica- tion procedures to be employed for the length of the project. Specific permit and scheduling requirements, submittal procedures, payment processing and inspection stipulations will be discussed with the contractor to ensure compliance with the contract requirements. Working hours, noise levels, and other restrictions will also be addressed. Our inspection request form will be reviewed and submitted to the contractor for his use during the course of the work. Traffic regulatory requirements, staging areas, construction access, fencing and street cleaning will also be reviewed during this meeting. Specific agency regulations and guidelines along with the necessary construction notification signage will be discussed with each agency repre- sentative in attendance. All of the attendees will be provided copies of the meeting minutes for the record. During the interim period between the preconstruction meeting and the start of the work, Concept Marine will mobilize its inspection team and meet individually with each inspector to review their scope of work and the communication and inspection protocol for the project. This important step in coordination will help prevent confusion related to inspection jurisdiction during the construction period. Major utility interruptions or renovations will also be reviewed with the City and governing agency to identify key milestones for service outages and/or rollover. Also during this period, we will monitor installation of relevant information signage and traffic detour notifications. Videotaping of existing improvements that are to remain undis- turbed will be performed with the contractor in attendance. A copy of the tape will be for- warded to the City for their records and future use to confirm that the items noted have been restored as required. Construction Management activities during the construction phase are critical to the overall success of the project. We have categorized the key elements into three primary tasks: coordination, project controls, and quality assurance. Brief textual descriptions of these tasks follow. Coordination: Concept Marine will be responsible for the coordination of activities between the various firms and agencies under contract with the City, including the general contractor, A/E firms, utilities, and local inspection jurisdictions. We will maintain a log of all inspections performed and track outstanding correction items. Concept Marine will conduct weekly on -site construction meetings, following a predetermined format that includes public and site safety issues. Minutes will be prepared and distributed to attendees and designated City representatives. Contract Administration: It will be Concept Marine's role to administer the construction con- tract with regard to cost, schedule and general performance of the construction contractor. This includes preparation of change orders as required, review and approval of progress payment requests, review of the construction schedule, and the general business of contract administra- tion. Concept Marine will initiate and/or respond io formal documentation, make distribution, moni- tor, and log items into our document control system. This will maintain a clear record of con- tract execution and modification that will aid in dispute and claims negotiation and resolution, should the need arise. We will monitor the contractor's work closely to identify changed conditions or changed quanti- ties, provide engineering interpretations when appropriate, and prepare concise, accurate, supporting documentation, including field memos and photographs of details. Quality Assurance: Concept Marine will perform independent inspection of the work being executed by the construction contractor and ensure that the final product is in substantial con- formance with the plans and specifications. Approved submittals for product mix designs and other material applications will be referenced throughout the duration of the work. Contractor surveys and layout will be monitored, along with Best Management Practices in effect for the project. Code compliance inspection will be performed by either the Deputy Inspector, and/or building official having jurisdiction over the specific work. As -built documents will be reviewed on a monthly basis and submitted to the engineer for final approval Our site manager will communicate directly with the City contract administrator and the general contractor, assuring that all vital information is formally transmitted and recorded. Project Close -Out Concept Marine will coordinate a final walk-through of the project and assist in developing a punch -list of items to be corrected by the contractor prior to final acceptance of the work. We will assist in scheduling training classes for equipment operation and maintenance. Operation and maintenance manuals, keys and warranties will be transmitted to the appropriate agency for their records. Final cost reports, key project documentation, and a copy of work progress photographs will be forwarded to the City in a bound folder for reference. In addition to being technically well versed, Mr. Schmucker's communication and coordination skills are exception- ally strong. Mr. Schmucker will be the primary contact with the City and its Project Manager. He will also oversee all Concept Marine and subconsultant staff assigned to him. Mr. Schmucker will be assisted by the Principal -in -Charge, Gordon Fulton. Mr. Fulton's responsibility will be to ensure that the Senior Construction Manager has the resources available to enable him to fully respond to the City's assignments. Mr. Schmucker will be assisted by a team of construction managers, project engineers, and inspectors. Mr. Warren Mills, who will serve as an alternate to Mr. Schmucker, will be available for civil and structural assignments. Mr. Mills is a Senior Construction Manager in his own right, and capable of overseeing large projects without supervision. He has worked for Concept Marine for 14 years. Mr. William Fix, AIA, will also be available to serve as a Senior Construction Manager. While Mr. Fix is highly experienced with architectural projects, he is also very familiar with civil and structural work. Mr. Fix has worked for Concept Marine for 8 years.
