Statement of Issue:
Prior to procee{ling with design/bond sales for the proposed dcantaan parking structure
a profornia describing the project, it's cost and rott:ntial for bond payback should be
prepared.

Approve the contract for professional services with Conrad Associates. Authorize
the expendi.:ure of $17, 000 for the professional services in prepar�_tion of the
pr_oforr:a.
Analysis:
On April 7, 1986, the City Council authorized di�stribut-ion of requests for proposal for
a firm to design and build the first parking structure. In interviewing ing consultants
to perform this work, it became apparent that a well-defined per onra.nce specification
for a design/build c ntraet would be difficult to prepare and award prior to ,he
September 1, 1986 deadline for bond sales. Instead staff is recacrnendirg at the
project be separated into at least three phases.
Phase I
Preparation of a profonna which would include a feasibility study, preliminary plans,
construction cost esUirates and bond reTireamt strategy. The time to Clete this
phase of the work should he about 30 days depending largeby on the city's ability
to make decisions about basic• -'--sign parameters.
Phase II
Preparatic, of construction plans and specifications incluLi.ng detailed cost estimates.
Architeccural-enderii- and models as r( uired by the city would also b4 prepared during
this phase. This phase of the project will take; three to six wnths plus whatever time
,:he City Ccuncil/Rede-.,elgpnmt Agency/Planning Cca mission need to approve a specific
design. The cost of this phas- of the project should be about n of the cost of the
structure.
Phase III
Award of a construction contract for the parking garage. Rule of thumb, costs for the
structure begin at $5,000 per parking spate and increase as the site constraints and
architectural features -became mare complex. Consarut:tion time will probable be about
12 months and cost of construction will_prchably be near $10 ra.11ion for a 1200 space
parking structure.

Staff feels that the most gualified firm to perform the Phase I study is
Conre4 Associates. Their reputation is excellent and much of heir work
on parking structures has been local and is fans liar to us.
Alternative Action:
1. Direct staff to prey -e a dasign/build performance specification and
Proceed with the project concurrent with the preparation of a proforma.

A loan of unappropriated general fund balance to the Redevelopment Agency under

ENGINEERING SERVICES AGREEMENT BETWEEN
THE CITY OF HUNTINGTON BEACH AND
CONRAD BUILDING SYSTEMS, INC..
FOR DOWNTOWN PARKING STRUCTURE PROFORMA
THIS AGREEMENT, made tni entered into this 1,5 day
of 1986, by and between the CITY OF
HUNTINGTON BEACH, a municipal corporation of the State of
California, hereinafter referred to as "CITY," and CONRAD
BUILDING SYSTEMS, INC., a California corporation doing business
as CONRAD ASSOCIATES, hereinafter referred to as "CONTRACTOR."
WHEREAS, CITY desires to engage the services of an eng� -�r-
ing consultant to prepare a proforma, inclu6ing a feasibili
study, preliminary plans, and construction cost estimates for
the proposed downtown parking structure "PROJECT" in the City of
Huntington Beach; and
CONTRACTOR has been selected to perform said services,
NOW, THEREFORE, it is agreed by CITY and CONTRACTOR as
follows:
1. WORK STATEMENT
CONTRACTOR shall provide all engineering services as
described in the Proposal dated April 18, 1986 (hereinafter
referred to as Exhibit "A"), which is attached hereto and
incorporated into this Agreement by this reference.
CONTRACTOR hereby designates J. RENARD BCLLIER, who
shall represent it and be its sole contact and agent in all
ccrsul:tat:ons with CITY dc.ring the performance of this Agreement.
2. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly

With CONTRACTOR in the prosecution of this Agreement.
3. TIME OF PERFORMANCE
Time is of the essence or this Agreement. The services
of thu CONTRACTOR are to commence as soon as practicable after
the execution of this Agreement and all flasks specified in
Exhibit "A" shah be completed no later than eight (8) weeks
from the date of this Agreement. These time:; may be extended
with the written permission of the CITY.
4 COMPENSATION
In consideration of the performance of the engineering
;services described in Section l above, CITY agrees to pay
CONTRACTOR a fee of Seventeen -thousand Dollars (W ,000.00)_.
5. EXTRA WORK
7n the event of authorization, in writing by the CITY,
of changes from the work described in Exhibit "A", or for other
writtenpermission authorizing additional work not contemplated
herein, adiitional compensation shall be 711owed for such Extra
Work, so long as the prior written approval of CITY is obtained.
6. MZTHOD OF PAY14ENT
A. MNTRACTOR shall be entitled to progress payments
toward the fixed, fee set forth in Section 4 herein in accordance
with the progress cast? payment schedules set forth in Exhibit A"
B. Delivery of work product: A copy of every techni-
cal memo and report prepared by CONTRACTOR shall be submitted to
the CITY to demonstrate progress toward comp',.tion of tasks. In
the event CITY rejects or has comments on any such product, CITY
shall identify specific requirements for satisfactory comple-
tion. Any such product which has not been formally accepted or
rejected by CITY Ghal:l be deemed accepted.
C. The CONTRACTOR shall submit to the CITY an invoice
for each progress payment due. Such invoice shall:
l) Reference this Atgreeme-.t;
(2)
2 ) Describe the !services performed;
3) Show the total amount of the payment due;
4) Estimate the percentage of services
represented by the invoice;
5) Include a certification by a principal member
of the CONTRACTOR'S firm that the work has
been performed in accordance with the Provi-
sions of. this Agreement; and
6) Estimate the tot7-1 percentage of all services
completed as of the date the invoice is
submitted.
Upon submission of an,, such invoice, if CITY is
satisfied that CONTRACTOR is makin•, satisfactory progress toward
completion of tasks in accordance with this Agreement, CITY
shall promptly approve the invoi�:e, in which event payment shall
be made within thirty (30) days" of receipt of the invoice by
CITY. Such approval shall not be unreasonably withheld. If the
CITY does not approve an invoice, CITY shall notify CONTRACTOR
in writing of the reasons for non -approval, within seven (7)
calendar dava of receipt of the invoice, and the schedule of
performance set forth in Exhibit "A" shall be suspended until
the parties agree that past performance by CONTRACTOR is in, or
has been brought into compliance, or until this Agreement is
terminated pursuant to Section 12 hereof.
D. Any 'dings for extra work or additional
services authorized by the CITY shall be invoiced r.eparately to
the CITY. Such invoice shall contain all of the information
required udder paragraph iC, and in addition shall list the
..ours expended ax.d hourly rate charged for such time. Such
invoices shall be appra e3 by CITY if the work performed is in
accordance with the extra. wori, or additional services requested,
and if CITY is satisfied that the statement of hours worked and
costs incurred is accurate. Such approval shall not be unrea-
sonably withheld. Any dispute betweeii the parties concerning
payment of such an invoice shall be treated as separate and
apart from the ongoing performance of the remainder of this
Agreement.
7. DISPOSITION OFF PLANS, ESTIMATES AND OTHER DOCUMENTS
CITY acknowledges that CONTRACTOR'S plans and
specifications are instzuments of professional service
nevertheless CONTRACTOR agrees that all materials prepared
hereunder, including all original drawings, designs, reports,
both field and office notes, calculations, maps and other
documents shall be turned over to CITY and shall become its
property upon Pt?OJECT completion or ;earlier termination of this
Agreement. In the event this Agreem(-it is terminated, said
materials may be used by CITY in completion of the PROJECT
howaver, CITE agrees to hold harmless, indemnify and. defend
CONTRACTOR against all damages, claims and losses, including
defense costs, prising out of CITY'S re -use of CONTRACTOR'S
plans and specifications, except in the completion of the
PROJECT in the case of termination hereof, without CONTRACTOR'S
prior written authorization.
a. INDEMNIFICATION, DEFENSE, HOLD HARMLESS
CONTRMCTOR hereby agrees to defend, ind snify and hold
harmless CITY, its officers and employees from aid age.inst any
and all liability, damages, costs, losses, claims and expenses,
however caused, arising from CONTRACTOR'S negligence or willful
miscozzduct in the performance of this Agreement. Any concurrent
negligence or willful misconduct of CITY, its officers and
employees shall in no way diminish. CONTRACTOR'S obligations
hereunder.
9. WORKERS' COMPENSATION
CONTRACTOR shall comply witli'all of the provisions of
the Work,;-' Compensation Insurance and Safety Acta of the State
of California., the applicable provisions of Division 4 and.5 c_
the California Labor Code and all amendrzents thereto; and all

similar state er- federal acts or laws applicable; and shall
indemnify, defend and hold harmless CITY from and against all
claims, demands, payments, suits, actions, proceedings and
judgments of every nature and description, including attorney's
fees and costs presented, brought or recovered against CITY, for
or can account of any liability under any of said acts which may
be incurred by reason of any work to be performed by CONTRACTOR
under this Agreement_
10. INSURANCE
In addition to the workers' Compensation Insurance and
CONTRACTOR'S covenant to indemnify CITY, CGNTRACTOR shall obtain
and furnish to CITY the following insurance policies:
A. General Liability Insurance. A policy of general
public liability insurance, including motor vehicle
coverage. Said policy shall indemnify CONTRACTOR, its
officers, agents and employees, while acting within the
scope of their duties, against any and all claims of
arising out of oz i;r connection with the performance of
this agreement, and shall provide coverage in not less
than the following amount: combined s.a.ngle limit
bodily injury or property damage of $500,000 per
occurrence. Said policy shall name CITY, its officers
and employees as Additional Insureds, and shall
specifically provide that any other insurance: coverage
which may be applicable shall be deemed excess coverage
and that CONTRACTOR'S insurance shall be primary.
B. Professional Liability Insurance. CONTRACTOR shall
acquire a professional 'liability insurance policy
covering the work performed by it hereunder. Said
policy shall provide coverage for CONTRACTOR'S errors
and omissions in an amount of not less than .t500,000
pkz occurence- and shall include coverage for
contractual liability.
Certificates of Insurance for said policies shall be

apr,roved in writing by the, City Attorney prior to the commence-
ment of any work hereunder. Prior to commencement of work
hereunder, CONTRACTOR shall provide CITY its written
::,ertification that it has no claim currently pending under said
policies. All Certificates of Insurance (and the policies of
insurance or endorsements thereof) shall provide thr,'_ any such
Certificates and policies shall not be cancelled or reduced in
coverage or limits other than by payments of claims without
thirty (30) days' prior written notice to CITY. CONTRACTOR
shall notify CITY immediately if and when any of said policies
is reduced in coverage or limits due to payment of a claim by
its insurance carrier.
11. INDEPENDENT CONTRACTOR
CONTRACTOR is, and shall be, acting at all times in the
performance of this Agreerrent as an independent contractor.
CONTRACTOR shall secure at its expense, and be responsible for
any and all payments of all taxes, social security, state
disability insurance compensation, unemployment compensation and
other payroll deductions for CONTRACTOR and its officers, agents,
an-1 employees and all business licenses, if any, in connection
with the services to be performed hereunder.
12.. TERMINATION OF AGREEMENT
All work required hereunder shall be performed in
accordance with the standards of the profession for similar
professionals performing services in this area at this time.
CITY may terminate CONTRACTOR'S services hereunder at any time
with or without cause, and whether or not this Agreement has
been fully performed. Any termination of this Agreement by CITY
shall be made in writing through the City Engineer, notice of
which shall bf delivered to CONTRACTOR as provided in Section 16
herein.
13 ASSIGNMENT ANI} r8MC'.ONTRACTING
This Agreement is a personal service contract and the
supervisory work hereunder shall not be deregated by CONTRACTOR
to any other person or entity without the consent of CITY.

14. COPY V PATENTS

any item or m tcrial INroduced as a result of this Agreement, as
set forth in 41 CPR 1--9.I.
15. CITY EMPLOYEES AND OFFICIALS
CONTRACTOR shall employ no CITY officit•1 nor any
regular CITY employee in the work performed pursuant to this
Agreement. No officer or employee of CITY shall have any
financial intereFt in this agreement in violation of California
Government Code Sections 1090 et seq.
lb. NOTICES
Any .notices or special. instructions required to be
given in writing under this :Agreement shall be given ei-her by
personal delivery to CONTRACTOR'S agent (as designated in
Section 1 hereinabove) or to CITY'S Director of Public Works, as
the situation shall warrant, or by enclosing the same in a
sealed envelope,postage prepaid, and depositing the same in the
United States Postal Services, addressed as follows:

17. ENTIRETY

forth the entire Agreement between the parties.

As we discussed in our meeting last Wednesday, I am submitting a
proposal to provide professional parking consulting services for
your proposed 1,000 stall parking and retail project at the east
corner of Main Street and Walnut Avenue. Our services will be
performed in two phases.
Phase I - Functional Design Analysis
1) The preparation and analysis of alternative layout solu-
tions based on various flow systems for this project.
These alternative solutions will include ground level
retail area along Main Street and. Walnut Avenue. These
studies will be drawn at 1"-50'.
Zj An evaluation of the various schemes, in4luding an area
and space summary for each, will be provided outlining
the advantages, disadvantages and relative cost estimates
of each with specific recommendations.
3) Prepare an estimate of operating revenue based on the
selected optimum scheme.
Phase II - Preliminary Design Phase
1) Prepare a detailed set of 1J16th scale plans, elevations,
section and de' -ails of the approved functional design
scheme. Jhe aesthetic design will, be consistant with the
established theme of the proposed adjacent developments.

2) Review security considerations and make recommendations
for netralizing potential security problems.
3) Review cost estimate.
During the preparation of both phases, I will be available to
meet and work with you and/or other city staff to help and
coordinate the completion of tasks within the time deadlines
we . iscussed.
Our compensation for these services shall be as follows;
Phase I $5,000
Phase II $12,000
Payments shall be :grade at the completion of each phase. Any
additional or extra work due to a change of the project shall be
compensated on an hourly basis of 3.0 times the direct personnel
expense rate.
Enclosed are lists showing our projects, references from recent
projects and some project addresses. I will also forward some
photographs when the reprints are completed.
