AGREEMENT BETWEEN THE CITY OF HUNTINGTON BEACH AND
CONSTRUCTION MANAGEMENT AND INSPECTION ENGINEERING
TO PROVIDE INSPECTION AND QUALITY CONTROL FOR THE
WATER WAREHOUSE PROJECT - PHASE II
Jane._THIS AGREEMENT, made and entered into this /`1-4 day
of Jane._ , 1991, by and between the CITY OF HUNTINGTON BEACH, a
municipal corporation of the State of California, hereinafter
referred to as "CITY, " and CONSTRUCTION MANAGEMENT AND INSPECTION
ENGINEERING, a sole proprietor, hereinafter referred to as
"CONTRACTOR. "
WHEREAS, CITY desires to engage the services of a
construction inspection and materials testing contractor to inspect
the Water Warehouse Project as to its construction and feasibility
and to advise the City thereon; and
CONTRACTOR has been selected to perform said services,
NOW, THEREFORE, it is agreed by CITY and CONTRACTOR as
follows :
1. WORK STATEMENT
CONTRACTOR shall provide all inspection and quality control
during the entire construction of the project and all of the tasks
stated in the request for proposal dated May 7, 1991, and
CONTRACTOR' S proposal dated May 20, 1991, hereinafter collectively
referred to as Exhibit "A, " attached hereto and made a part hereof .
2 . CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly with
CONTRACTOR in the performance of this Agreement .

3 . TIME OF PERFORMANCE
The services of the CONTRACTOR are to commence as soon as
practicable after the execution of this Agreement and each task
specified in the draft enforceable agreement between Clayton
Engineering and City of Huntington Beach shall be reviewed within
three (3) weeks at submittal to contractor.
4 . COMPENSATION
CONTRACTOR shall be paid for work performed at the hourly
rates contained in Exhibit "A. " The total compensation under this
agreement shall not exceed Seventy-One Thousand, Nine Hundred
Seventy and 60/100 DOLLARS ($71, 970 . 60) .
5 . EXTRA WORK
In the event of authorization, in writing by the CITY, for
other written permission authorizing additional work not
contemplated herein, additional compensation shall be allowed for
such Extra Work, so long as the prior written approval of CITY is
obtained.
6 . METHOD OF PAYMENT
A. Delivery of work product: A copy of every
technical memo and report prepared by CONTRACTOR shall be submitted
to the CITY to demonstrate progress toward completion of tasks . In
the event CITY rejects or has comments on any such product, CITY
shall identify specific requirements for satisfactory completion.
Any such product which has not been formally accepted or rejected by
CITY shall be deemed accepted.
B. The CONTRACTOR shall submit to the CITY an
invoice for each progress payment due. Such invoice shall :
1) Reference this Agreement;
2
2) Describe the services performed;
3) Show the total amount of the payment due;
4) Include a certification by a responsible
professional member of the CONTRACTOR' S
firm that the work has been performed in
accordance with the provisions of this
Agreement; and
5) For all payments include an estimate of the
percentage of work completed.
Upon submission of any such invoice, if CITY is satisfied
that CONTRACTOR is making satisfactory progress toward completion of
tasks in accordance with this Agreement, CITY shall promptly approve
the invoice, in which event payment shall be made within thirty (30)
days ' of receipt of the invoice by CITY. Such approval shall not be
unreasonably withheld. If the CITY does not approve an invoice,
CITY shall notify CONTRACTOR in writing of the reasons for
non-approval, within seven (7) calendar days of receipt of the
invoice.
C. Any billings for extra work or additional
services authorized by the CITY shall be invoiced separately to the
CITY. Such invoice shall contain all of the information required
under paragraph 6C, and in addition shall list the hours expended
and hourly rate charged for such time. Such invoices shall be
approved by CITY if the work performed is in accordance with the
extra work or additional services requested, and if CITY is
satisfied that the statement of hours worked and costs incurred is

accurate. Such approval shall not be unreasonably withheld. Any
dispute between the parties concerning payment of such an invoice
shall be treated as separate and apart from the ongoing performance
of the remainder of this Agreement.
7. DISPOSITION OF PLANS, ESTIMATES AND. OTHER DOCUMENTS
CONTRACTOR agrees that all materials prepared hereunder,
including all original drawings, designs, reports, both field and
office notes, calculations, maps and other documents, shall be
turned over to CITY upon termination of this Agreement or upon
PROJECT completion, whichever shall occur first. In the event this
Agreement is terminated, said materials may be used by CITY in the
completion of PROJECT. Title to said materials shall pass to the
CITY upon payment of fees determined to be earned by CONTRACTOR to
the point of termination or completion of the PROJECT, whichever is
applicable. CONTRACTOR shall be entitled to retain copies of all
data prepared hereunder.
8 . INDEMNIFICATION, DEFENSE, HOLD HARMLESS
CONTRACTOR hereby agrees to protect, defend, indemnify and
hold and save harmless CITY, its officers, and employees against any
and all liability, claims, judgments, costs and demands, however
caused, including those resulting from death or injury to
CONTRACTOR' S employees amd damage to CONTRACTOR' S property, arising
directly or indirectly out of the obligations or operations herein
undertaken by CONTRACTOR, including those arising from the passive
concurrent negligence of CITY, but save and except those which arise
out of the active concurrent negligence, sole negligence, or the

sole willful misconduct of CITY. CONTRACTOR will conduct all
defense at its sole cost and expense. CITY shall be reimbursed by
CONTRACTOR for all costs or attorney' s fees incurred by CITY in
enforcing this obligation.
9 . WORKERS' COMPENSATION
CONTRACTOR shall comply with all of the provisions of the
Workers ' Compensation Insurance and Safety Acts of the State of
California, the applicable provisions of Division 4 and 5 of the
California Labor Code and all amendments thereto; and all similar
state or federal acts or laws applicable; and shall indemnify,
defend and hold harmless CITY from and against all claims, demands,
payments, suits, actions, proceedings and judgments of every nature
and description., including attorney' s fees and costs presented,
brought or recovered against CITY, for or on account of any
liability under any of said acts which may be incurred by reason of
any work to be performed by CONTRACTOR under this Agreement.
CONTRACTOR shall obtain and furnish evidence to CITY of
maintenance of statutory workers ' compensation insurance and
employers ' liability in an amount of not less than $500, 000 bodily
injury by accident, each accident, $500, 000 bodily injury by
disease, each employee, and $1, 000, 000 bodily injury by disease,
policy limit.
10 . INSURANCE
In addition to the workers ' compensation insurance and
CONTRACTOR' S covenant to indemnify CITY, CONTRACTOR shall obtain and
furnish to CITY the following insurance policies covering the
PROJECT:

A. General Liability Insurance.
A policy of general public liability insurance,
including motor vehicle coverage. Said policy shall
indemnify CONTRACTOR, its officers, agents and
employees, while acting within the scope of their
duties, against any and all claims of arising out of or
in connection with the PROJECT, and shall provide
coverage in not less than the following amount:
combined single limit bodily injury and property
damage, including products/completed operations
liability and blanket contractual liability, of
$1, 000, 000 per occurrence. If coverage is provided
under a form which includes a designated general
aggregate limit, the aggregate limit must be no less
than twice the occurrence limit. Said policy shall
name CITY, its officers, and employees as Additional
Insureds, and shall specifically provide that any other
insurance coverage which may be applicable to the
PROJECT shall be deemed excess coverage and that
CONTRACTOR' S insurance shall be primary.

Certificates of Insurance for said policies shall be approved
in writing by the City Attorney prior to the commencement of any
work hereunder . All Certificates of Insurance (and the policies of
insurance or endorsements thereof) shall provide that any such
Certificates and policies shall not be cancelled or modified without
thirty (30) days ' prior written notice to CITY. CONTRACTOR shall
notify CITY immediately if and when any of said policies is reduced
in coverage or limits due to payment of a claim by its insurance
carrier.
11. INDEPENDENT CONTRACTOR
CONTRACTOR is, and shall be, acting at all times in the
performance of this Agreement as an independent contractor.
CONTRACTOR shall secure at its expense, and be responsible for any
and all payments of all taxes, social security, state disability
insurance compensation, unemployment compensation and other payroll
deductions for CONTRACTOR and its officers, agents and employees and
all business licenses, if any, in connection with the services to be
performed hereunder.
12 . TERMINATION OF AGREEMENT
All work required hereunder shall be performed in a good and
workmanlike manner. CITY may terminate CONTRACTOR' S services
hereunder at any time with or without cause, and whether or not
PROJECT is fully complete. Any termination of this Agreement by
CITY shall be made in writing through the City Engineer, notice of
which shall be delivered to CONTRACTOR as provided in Section 16
herein.

13 . ASSIGNMENT AND SUBCONTRACTING
This Agreement is a personal service contract and the
supervisory work hereunder shall not be delegated by CONTRACTOR to
any other person or entity without the consent of CITY.
14 . COPYRIGHTS/PATENTS
CONTRACTOR shall not apply for a patent or copyright on any
item or material produced as a result of this Agreement, as set
forth in 41 CFR 1-9 . 1.
15 . CITY EMPLOYEES AND OFFICIALS
CONTRACTOR shall employ no CITY official nor any regular CITY
employee in the work performed pursuant to this Agreement. No
officer or employee of CITY shall have any financial interest in
this Agreement in violation of California Government Code Sections
1090 et seq.
16 . NOTICES
Any notices or special instructions required to be given in
writing under this Agreement shall be given either by personal
delivery to CONTRACTOR' S agent (as designated in Section 1
hereinabove) or to CITY' S Director of Public Works, as the situation
shall warrant, or by enclosing the same in a sealed envelope,
postage prepaid, and depositing the same in the United States Postal
Services, addressed as follows :

17 . ENTIRETY The foregoing, and Exhibit "A" attached
hereto, set forth the entire Agreement between the parties .

Statement of Issue:
Proposals were requested from qualified construction inspection
firms to provide the inspection and quality control for Phase II
of the Water Warehouse and Yard Improvement project, CC-719 .
Recommendations:
1 . Approve the selection of Construction Management and
Inspection Engineering to provide the inspection and quality
control for Phase II of the Water Warehouse and Yard
Improvement project, CC-719 .
2 . Authorize the Mayor and City Clerk to execute the attached
Consultant Agreement with Construction Management and
Inspection Engineering for a fee not to exceed $71 , 970 . 60 .
3 . Establish a budget of $78, 970 . 60 . This includes the
$71 , 970 . 60 in Consultant Contract costs and $7, 000 in
miscellaneous costs for additional services requested by the
City, i .e. , sieve analysis, core tests, and specific
gravity tests to verify questionable materials furnished by
the construction contractor.
Analysis:
The Water Division needs the services of a consulting
construction inspection firm to provide the inspection, quality
control and construction coordination for Phase II of the Water
Warehouse and Yard Improvement project. The Public Works
Engineering Division would normally be called upon to provide
these services, but cannot devote enough man hours at this time
to provide the proper inspection and quality control this project
requires. The use of an outside inspection firm is consistent
with past practices such as the Lake Street Fire Station and the
Water Operation Headquarters.

Therefore, pursuant to Chapter 3 . 03 "Professional Services" of
the Municipal Code, proposals were solicited from qualified
inspection firms. Proposals were received on May 23, 1991 .
Staff has reviewed each of the four proposals received and
recommends the selection of Construction Management and
Inspection Engineering.
The $7, 000 amount for miscellaneous costs requested above (No. 3)
will be used to pay for testing services normally employed during
the inspection of a typical contract of this type. These
services are specialized and will be necessary regardless of
whether inspection is performed by City forces or by a
consultant.
Funding Source:
Sufficient encumbered funds are available in Account No. E-EW-PW-
921-6-31-00 .
Alternative Action:
Deny request and direct staff on how to proceed.

SUBJECT: Request for Proposal: Construction Management and
Inspection Services for the Water Warehouse,
Phase II Project CC-719
Gentlemen:
The City of Huntington Beach, Department of Public Works, is
requesting proposals from qualified construction management and
inspection firms to provide the continuous inspection and quality
control for the Water Warehouse Phase II Project.
The Scope of Work for which proposals are being solicited include
the following tasks :
I . INSPECTION/OUALITY CONTROL:
A. Provide the inspection and quality control for all
disciplines during the entire construction of the
project.
B. Maintain daily and monthly summary logs of work performed
by the contractor.
C. Coordination with the City' s Project Engineer and the
Design Engineer (Consultant) on the following activities :
1 . Review of construction schedules submitted by the
contractor.
2. Review of shop drawings, product data and samples .
3 . Review all test results and concrete mix designs .
4. Review of all progress payments .
All of these activities will be approved by the Design Engineer,
Cash and Associates.

D. Coordination of all testing required by the
specifications for the project. Independent
laboratories, contracted by the City, will perform the
tests.
E. Coordination with the Public Works and Building
Departments; Electrical, Mechanical, Plumbing and
Structural Divisions; Inspection Sections.
Proposals for this project must be submitted to my attention by
May 16, 1991 , with the following notation "Water Warehouse
Inspection Phase II, CC-719" on the envelope. Each-proposal should
include the following information:
A. A list of similar projects.
B. A Statement of Understanding of the Scope of Work.
C. A list of personnel, including the assigned Field
Inspector.
D. A detail listing of your services for each task
identified.
E . Your fees based on an hourly rate. A maximum
Not-to-exceed fee should also be specified.
Submit Item No. E in a separate, sealed, attached envelope with the
notation "Fees. "
II. GENERAL REQUIREMENTS:
A. Consultant shall furnish proof of the following insurance
requirements with the proposal.

occurrence. (Note: If provided coverage is under
a form which includes a designated general
aggregate limit, the aggregate limit must be no
less than $1 , 000, 000. )

INTRODUCTION
C.I.A., Construction Inspection and Administration, is a project management and inspection firm with
the capability to handle both the technical and the administrative aspects for its projects.
On the administrative side, C.I.A. is further capable of coordinating, monitoring and scheduling
construction activities, reporting on progress, preparing progress payment authority, and maintaining all
project documentation.
C.I.A. principals, engineers and qualified inspectors have an aggregate experience of over 150 years in
structural and civil engineering, construction management and inspection services. During this period,
C.I.A. has provided leadership, direction and professional expertise on a variety of heavy construction
and public works projects totaling tens of millions of dollars.
C.I.A. Engineering Consultants offers an unique concept in inspection, engineering and consulting
services. By assembling project teams specifically tailored to individual projects, C.I.A. Engineering
is able to provide high quality and experienced personnel at moderate cost. This is accomplished
without the level of overhead normally required to support the quality of personnel which we have
available.
Your project will receive detailed attention from experienced professionals, professionals who have
managed similar projects in the past, who are familiar with contracting law and practice, bidding
procedures, project management, and assembly of contract plans and specifications, and are familiar
with UBC and Title 23 provisions governing building construction. .
Our personnel are experienced in public works projects, and familiar with working in urban areas.
Traffic control, minimum inconvenience to residents and businesses, and safety measures are
considered during design and specification preparation, and rigorously enforced during construction
by our experienced inspectors. This ensures that the project is constructed with the least possible
disruption of normal neighborhood or business district routine.
Design and project management costs are a minor fraction of any project budget, yet adequate design,
comprehensive specifications, and thorough inspection controls and anticipation of construction problems
can result in substantial savings and avoidance of construction claims.
C.I.A. Engineering will provide all inspection services necessary to the scope of the project
construction. Regardless of the scope of work provided by C.I.A., our concern with cost savings
