HomeMy WebLinkAboutCOUNTY OF ORANGE - 1960-08-10tl y.w i AGREEMENT FOR SALE AND PURCHASE OF LAKE AVENUE AND OCEAN AVENUE TRUNK SE14ERS This agreement made and entered into on the tenth day of August, 1960, by and between the City of Hunting -ton Beach, California, a municipal corporation, hereafter sometimes called Seller, and County Sanitation District No. 11 of Orange County, California, a duly organized and existing public agency in the County of Orange, State of California, hereafter sometimes called Buyer.. WITNESSETH that, whereas the Seller is the ovmer of certain trunk sewers generally described as Lake Avenue and Ocean Avenue Trunk Sewers which may properly be �...ade Ca part of the trunk sewer system of tiie Buyer; and Whereas Seller, desires to and is willing to sell said trunk sewers to Buyer; and Whereas Buyer is willin3 to purchase said trunk sewers and thereafter to use and maintain them as a part of the trunk sewer system of Buyer NOU THEREFORE the parties hereto do hereby covenant, promise and agree as follows: 1. SALE Seller promises and agrees to sell to Buyer and Buyer agrees to buy from Seller for the uses and purposes aforesaid those certain trunk sewers and easements appurtenant thereto known as Lake Avenue Trunk and Ocean Aveniie Trunk, which i5aid trunk sewers are shown on a map marked Exhibit A and attached hereto an6 made a part hereof to- gether %-.ith -he appurtenant easements, the "legal description o.► whach is set forth in Exhibit B attached hereto and made a part hereof. 2. OWNERSHIP Seller does hereby warrant, agree and promise to deliver full title and ov:nership to the aforesaid sewerage facilities and property described in Exhibits A and B attached hereta, free and clear of all encumbrances, adverse r.;laims and liens of any and all nature vhether 1 0 recorded or not or otheraiise. Seller covenants and agrees to hold Buyer and its successor or assigns safe and harmless from any adverse claims against or claim of interest or ownership in the property conveyed. 3. PURCHASE PRICE Purchase price for which the Seller agrees to sell the above mentioned sewerage facilities and property and the price which the .Buyer hereby agrees to pay .for the same is the sum of OYE HUNDRED FIFTEEN THOUSAND ONE HUNDRED FORTY-FIVE DOLLARS ($115,145.00) payable as follows, to-V�it: in cash in five equal annual installments, first installment to be made on September 1, 1960) and annually thereafter until the purchase price is }paid in full. The unpaid purchase price shall not besr interest_ 4. CONDITIO14 OF PROPERTY Seller hereby warrants to Buyer that said sewerage facilities are in satisfactory working condition and Buyer is willing to accept the same in their present condition subject to the above warranty, 5. POSSESSIOi Buyer shall be entitled to possession of the subject sevierage facilities on and after September 1, 1960, and Buyer agrees to maintain and operate the facilities after that data. 6. TITLE Title to the sewerage facilities described in Exhibits A and B shall remain in Seller until all of the purchase price hereinabove set forth and provided for shall have been paid to seller. Upon payment of final amount due, Seller shall make and deliver a good and sufficient grant deed conveyin- the real property described in Exhibit D to Buyer and shall further provide Bu,�er with a good valid bill of sale for the propertydescribed in ExhiLit A.
