Statement of Issue:
The Director of Economic Development recently resigned. The department faces several
major tasks and the services of a consultant are sought to augment staff.
Fundinq Source:
The unused portion of the vacant Economic Development Director's position salary. No new
appropriations are required as a result of this action.

Analysis
On January 3, 1995, the Director of Economic Development submitted her resignation to the
City Administrator/Executive Director.
To assist remaining staff, the proposed consultant will assist in the preparation of (1) The
Economic Development Strategy, (2) The city's overall Long -Range Econmic Development
Opportunities and Constraints Study, and (3) An Edinger Corridor Development Plan. Further,
the proposed consultant may be asked to work with other city departments including
Community Development, City Attorney, City Clerk, and Public Works. It is conceivable that
the consultant will make presentations to the City Council and its committees, the Planning
Commission and community groups; and perform other related tasks necessary to support
these activities.
Staff distributed eleven Requests for Qualifications on December 30, 1994, and six firms
responded prior to the deadline of January 20, 1995. A review team composed of
representatives of Administration and Economic Development reviewed all proposals and
conducted interviews with all applicants on Thursday, January 26, 1995. References of top
candidates were contacted, and based upon this process, staff is recommending Cunningham
and Associates to the Agency for its consideration. The mayor interviewed the consultant
and Mr. Cunningham met with the Council's Economic Development Committee.
The consultant will be paid at its stated hourly rate plus expenses and travel costs over a
period not to exceed one year as stated in the attached contract.

THIS AGREEMENT is made and entered into this loth day of
February . 195 by and between the REDEVELOPMENT AGENCY OF THE CITY
OF HUNTINGTON BEACH, referred to as "AGENCY", and CUNNINGHAM &
ASSOCIATIONS, a sole proprietorship, hereinafter referred to as "CONTRACTOR."
WHEREAS, AGENCY desires to engage the services of CONTRACTOR to provide
professional services to the Redevelopment Agency of the City of Huntington Beach to augment
the Department of Economic Development; and
CONTRACTOR has been selected to perform said services,
NOW, THEREFORE, it is agreed by AGENCY and CONTRACTOR as follows:
1. WORK STATEMENT
CONTRACTOR shall provide all services as described in the Request for
Qualifications dated January 6, 1995, (hereinafter referred to as Exhibit "A"), which is attached
hereto and incorporated into this Agreement by this reference.

• Preparation of the Economic Development Strategy.
• Preparation of the city's Long -Range Opportunities and Constraints Study
• Preparation of an Edinger Corridor Development Plan.
• All related duties and staff support as assigned by Assistant City Administrator
CONTRACTOR hereby designates Henry G. Cunningham, who shall
represent it and be its sole contact and agent in all consultations with AGENCY during the
performance of this Agreement.

2. AGENCY STAFF ASSISTANCE
AGENCY shall assign a staff coordinator to work directly Aith CONTRACTOR
in the performance of this Agreement.
3. TIME OF PERFORMANCE
Time of the essence of this Agreement. The services of the CONTRACTOR are
to commence as soon as practicable after the execution of this Agreement, and all tasks specified
in Exhibit "A" shall be completed no later than one year from the date of this Agreement. These
times may be extended with the written permission of the AGENCY.
4. CUMPENSATION
In consideration of the performance of the services described herein, AGENCY
agrees to pay CONTRACTOR a consulting fee of Ore Hundred Dollars ($100.00) per hour. In
the event AGENCY does not waive the professional liability insurance, the hourly fee shall be
One Hundred Ten Dollars ($110.00) per hour.
In addition, CONTRACTOR shall be reimbursed for actual expenses for any
required business travel outside the City.
5. METHOD OF PAYMENT
CONTRACTOR shall submit to the AGENCY an invoice for services each month
for the amount due. Such invoice shall:
1) Reference this Agreement;
2) Describe the services performed, itemizing the hours spent;
3) Show the total amount of the payment due; and
4) Include a certification by a principal member of the
CONTRACTOR`S firm that the work has been performed in accordance %ith the provisions of
this Agreement.

Upon submission of any such invoice, if AGENCY is satisfied that the work has
been satisfactorily performed, AGENCY shall promptly approve the invoice, in which event
payment shall be made within thirty (30) days' of receipt of the invoice by AGENCY. Such
approval shall not be unreasonably withheld. If the AGENCY does not approve an invoice, it
shall notify CONTRACTOR in writing of the reasons for non -approval within seven (7) calendar
days of receipt of the invoice.
b. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS
CONTRACTOR agrees that all materials prepared hereunder, including all original
drawings, designs, reports, both field and office notes, calculations, maps and other documents,
shall be turned over to AGENCY upon termination of this Agreement. CONTRACTOR shall be
entitled to retain copies of all data prepared hereunder.
7. INDEMNIFICATION, DEFENSE, [TOLD HARMLESS
CONTRACTOR hereby agrees to protect, defend, indemnify and hold and save
harmless AGENCY, The City of Huntington Beach, their officers and employees, against any and
all liability, claims, judgments, costs and demands, however caused, including those resulting from
death or in}ury to CONTRACTOR's employees and damage to CONTRACTOR's property,
arising directly or indirectly out of the obligations or operations herein undertaken by
CONTRACTOR, including; those arising from the passive concurrent negligence of AGENCY
and -'or CITY, but save and except those which arise out of the active concurrent negligence, sole
negligence, or the sole willful misconduct of AGENCY or CITY. CONTRACTOR titiill conduct
all defense at its sole cost and expense. AGENCY shall be reimbursed by CONTRACTOR for all
costs or attorney fees incurred by AGENCY and CITY in enforcing this obligation.
8. WORKERS' COMPENSATION
CONTRACTOR shall comply with all of the provisions of the Workers'
Compensation Insurance and Safety Acts of the State of California, the applicable provisions of
the California Labor Code and all amendments thereto; and all similar state or federal acts or laws
applicable; and shall indemnify, defend and hold harmless AGENCY and CITY from and against

and CITY, for or on account of any liability under any of said acts which may be incurred by
reason of any work to be performed by CONTRACTOR under this Agreement.
CONTRACTOR shall obtain and furnish evidence to AGENCY and CITY of
maintenance of statutory workers' compensation insurance and employers' liability in an amount of
not less than $100,000 bodily injury by disease, each employee, and $250,000 bodily injury by
disease, policy limit.
9. INSURANCE
In addition to the workers' compensation insurance and CONTRACTOR'S
covenant to indemnify AGENCY and CITY, CONTRACTOR shall obtain and furnish to
AGENCY and CITY the following insurance policies covering the PROJECT:
>< General Liabilityy nsurance. A policy of general public liability insurance,
including motor vehicle coverage. Said policy shall indemnify AGENCY and CITY, their
officers, agents and employees, while acting within the scope of their duties, against any and all
claims arising out of or in connection with this Agreement, and shall provide coverage in not less
than the following amount: combined single limit bodily injury and property damage, including
products, completed operations liability and blanket contractual liability, of $1,000,000 per
occurrence. If coverage is provided under a form which includes a designated general aggregate
limit, the aggregate limit must be no less than $1,000,000. Said policy shall name AGENCY and
CITY, their officers, and employees as Additional Insureds, and shall specifically provide that any
other insurance coverage which may be applicable shall be deemed excess coverage, and that
CONTRACTOR'S insurance shall be primary.

10. CERTIFICATES OF INSURANCE
Prior to commencing performance of the work hereunder, CONTRACTOR shall
furnish to AGENCY and CITY certificates of insurance subject to approval of the City Attorney
evidencing the foregoing insurance coverages as required by this Agreement; said certificates shall
provide the name and policy number of each carrier and policy, and shall state that the policy is
currently in force and shall promise to provide that such policies will not be canceled or modified
without thirty (30) days prior written notice to AGENCY and CITY. CONTRACTOR shall
maintain the foregoing insurance coverages in force until the work under this Agreement is fully
completed.
The requirement for carrying the foregoing insurance coverages shall not derogate
from the provisions for indemnification of AGENCY and CITY by CONTRACTOR under this
Agreement. AGENCY and CITY, or their representative shall at all times have the right to
demand the original or a copy of all said policies of insurance. CONTRACTOR shall pay, in a
prompt and timely manner, the premiums on all insurance herein above required.
11. INDEPENDENT CONTRACTOR
CONTRACTOR is, and shall be, acting at all times in the performance of this
Agreement as an independent contractor. CONTRACTOR shall secure at its expense, and be
responsible for any and all payments of all taxes, social security, state disability insurance
compensation, unemployment compensation and other payroll deductions for CONTRACTOR
and its officers, agents and employees and all business licenses, if any, in connection with the
services to be performed hereunder.
12. TERIMINATION OF AGREEMENT
All work required hereunder shall be performed in a good and workmanlike
manner. AGENCY may terminate CONTRACTOR'S services hereunder at any time with or
without cause by %%Titten notice.

13. ASSIGNMENT AND SUBCONTRACTING
This Agreement is a personal service contract and the supervisory work hereunder
shall not be delegated by CONTRACTOR to any other person or entity without the consent of
AGENCY.
14. COPYRIGHTS/PATENTS
AGENCY shall own all rights to any patent or copyright on any work, item or
material produced as a result of this Agreement.
15. CITY Ei<1PLOYEES AND OFFICIALS
CONTRACTOR shall not employ any AGENCY or CITY official or any regular
AGENCY or CITY employee in the work performed pursuant to this Agreement. No officer or
employee of AGENCY or CITY shall have any financial interest in this Agreement in violation of
the applicable provisions of the California Government Code.
16. NOTICES
Any notices or special instructions required to be given in writing under this
Agreement shall be given either by personal delivery to CONTRACTOR or to AGENCY's
Executive Director, as the situation shall warrant, or by enclosing the same in a sealed envelope,
postage prepaid, and depositing the same in the United States Postal Services, addressed as
follows:

I7. I\IMIGPLkTION
CONTRACTOR shall be responsible for full compliance with the immigration and
naturalization laws of the United States and shall, in particular, comply with the proNisions of the
United States Code regarding employment verification.
18. LEGAL SERVICES SUBCONTRACTING PROHIBITED
CONTRACTOR and AGENCY agree that AGENCY is not liable for payment of
any subcontractor work involving legal services, and that such legal services are expressly outside
the scope of services contemplated hereunder. CONTMACTOR understands that pursuant to
Huntington Beach City Charter § 309, the City Attorney is the exclusive legal counsel for CITY
and AGENCY; and neither AGENCY nor CITY shall be liable for payment of any legal services
expenses incurred by CONTRACTOR.

IMODUCTION - •
The Department of Economic Development is seeking the assistance of a
professional individual or consulting firm to augment the existing department
staff. The selected proponent will provide services an site as needed to
assist in a broad variety of activities. Proponents may, or may not, be
Interviewed. References will be contacted for the top ranking proponents.

The Department of Economic Development Is responsible for the planning
and implementation of the city's five redevelopment project areas,
redevelopment related housing projects, the Community Development Block
Grant entitlement of approximately $1.6 Million and the city economic
development program that concentrates on assistance to existing businesses
while attracting new ones that fit the community's profile.
The department is divided into three divisions (see enclosed chart) with
twelve permanent fult time positions authorized.
The selected proponent will act as surrogate staff for a period of six months
to one year. Work will be principally performed at the department's offices
in the Civic Center. Activities will include, but not be limited to,
negotiations with third parties on redevelopment projects, assistance in the
preparation of an economic development strategy, liaison with other city
departments including community development, city attorney, city clerk,
and public works and any research necessary to support these activities. it
may also he necessary to make presentations to the city council and its
committees, the planning commission and community groups (a detailed
scope of work currently under way, the Redevelopment Agency Biennial
Report and CDBG Annual Report are enclosed).

CQMPENSATIQN
Your statement should identify the person that will actually perform the
work and a summary of his/her's pertinent experience. Compensation will
be provided for the actual number of hours worked. You should Include
your hourly rates?, administrative, travel and overhead rates. -
Compensation will be paid monthly after submission of an invoice approved
by the department. Services will be secured by a contract a draft of which
will be provided to the recommended proponent for review. The contract
will require approval by the City Council.

The city maintains strict standards for workers' compensation, liability and
automobile insurance tthese standards are enclosed?. if you can not provide
Insurance as required you should so state and request a waiver of the
requirements In your response. Waivers can only be granted by the City
Council and if you are the recommended proponent, a request will
accompany your contract to the City Council.
You should submit at least three references we may contact for whom you
have performed similar services including the name of a contact person,
address and phone number for each. References will be contacted for top
ranking proponents.
THE QITY.
The City of Huntington Beach was Incorporated in 1909. Its current
population is about 190,000 persons and it includes a land area of twenty-
nine square miles. Officially "SURF CITY, USA" the city was key in
establishing surfing in the US and is home to several international
competitions and a surf museum. It is the site of the biggest Fourth of July
parade in the nation along with a host of other annual events coordinated by
the Conference and Visitors Bureau. The city maintains over SO parks,
including the 200 acre Central Park which is the site of the city's 117,000
square foot Central Library. The Municipal Art Center will open in early
1995 providing cultural and educational opportunities in the visual arts.
While primarily a residential community, the city enjoys a diverse mix of
industrial and retail activities and leading employers include McDonnell -
Douglas, CAMBRO, Goldenwest College, Huntington Beach Mall and Simple
Green.
A (Vote on County Bankruptcy: While the City of Huntington Beach was a
contributor to the Orange County Investment Pool, substantial reserves
were placed elsewhere. At this time the city's cash flow Is adequate to
meet its vendor and payroll obligations and resources will be available for
payment of this contract if approved by the City Council.

City Council resolution 6277 requires a current Certificate of Workers' Compensation insurance
and General Liability insurance before you can get a permit to do work on city property or
before you can provide contractual services to the city. CHECKLIST:
1. All certificates must contain a mandatory 30 day cancellation notice.
Be sure that the words "endeavor to" and "but failure to mail such notice shall impose no
obligation or liability of any kind upon the company, its agents or representatives" have been
removed or lined -out if they appear on the certificate.

2. Hnimum California statutory requirements for Workers' Compensation
are $250,000 bodily injury by disease, policy limit; and $100,000 bodily injury each employee for
accident or disease per occurrence. If you have no employees, you must sign a Declaration of
Non -employer Status form available from the city. In lieu of a certificate of insurance, a
certificate of Consent to Self -insure issued by the California Director of Industrial Relations is
also acceptable.
General Lability
3. At least 11,000.000 combined single limit coverage is required.
4. insurance must be `Per occurrence." `Claims made" is only acceptable for
professional or pollution liability insurance.
The City of Huntington Beach must be named as certificate holder.
6. The certificate must name the City of Huntington Reach, its agents,
officers. and employees as additional insured. The wording must be exact.
7. The additional insured endorsement must be a SEPARATE
ATTACHMENT to the certificate and must include the policy number.
S ecial Classes of Permit Applicants or Service Contractors
Professional Service Contractors (.e. consultants), your certificate will be rejected unless: the
certificate provides a minimum of $500,000 Professional Liability Insurance. The a5ditionally
insured endorsement is not required but you still must provide proof of Workers' Compensation
insurance or sign a Declaration of n-employer Status.
For trucking companies regulated by the Public Utilities Commission (PUC), you must provide
proof of Workers' Compensation Insurance and General Liability Insurance. The General Liability
Insurance requirements are $600,000 combined single fin -it or $250,000 bodily injuries or death of
one person and $500,000 protection against total liability for bodily injuries or death of more than
one person from any one accident. This is subject to the same $250,000 limitation for each person
and $100,000 protection for accidental damage or destruction of property other than property
being transported. The City of Huntington Beach must be named as Certificate Holder but do not
need to be named as additional insured.
1. Only send one copy, duplicates are double work for everybody.
2. Developers' certificates of General Liability should not identify individual tract numbers in the
remarks section of the certificate.
