A. THE GOOD/SERVICE REQUESTED IS RESTRICTED TO ONE SUPPLIER FOR THE REASONS STATED BELOW: Why is the acquisition restricted to this goods/services/supplier? (Explain why the acquisition cannot be competitively bid.) 1) In the past we have not been able to find a contractor that provided a similar used oil collection and disposal service requiring only minimal staff involvment and convienience for Huntington Beach residents. Past bids from other used oil collection companies require establishment of a fixed drop-off location, which would require spending funds to equip and staff a permenant facility. Additional staff time would be required to manage the facility, advertise its availability, maintain the facility in accordance with hazardous waste regulations, associated paperwork, and to submit periodic regulatory reports on the facility and its activities. Curbside Inc's residential used collection service allows us to eliminate the fixed facility and its associated management issues, as they operate a mobile 'milk -run' type service that provide convenient collection at residents' homes, transport the used oil back to their facility, and have it removed and properly disposed. They also do monthly advertising (bulk rate), supply us with monthly reports of their activities within Huntington Beach, including residential collection locations, amounts of oil collected, and disposal receipts. 2) Due to State budget constraints, the Used Oil Grant program's funding level has been severely cut from $50,000/year to $27,000/year (by 48%) and we are not sure if the grant program will survive beyond 2013(the three year suggested life of this contract as listed on the cover page). The flexibility of Curbide Inc's service will allow us to modify services from year to year depending on funding levels, or even end the contact service should the grant fund program be terminated. 2. Provide the background of events leading to this acquisition. Since 1995 we have been applying for, and receiving, a block grant from the California Integrated Waste Management Board (CIWMB) to run a household used oil collection program to collect small quantities of used oil from residents. The intent of the program is to provide residents that change their own vehicles' oil a convenient (and free) method to dispose of the oil rather than into the trash, into storm drains, or onto open ground. The program requires that we establish a collection service, advertise its availability, and the CIWMB looks favorably on the "door-to-door" collection service program that Curbside Inc. has supplied us for the past 10 years. (in the initial years of the program there was a different collection service, but they went out of business). We have had no problems with Curbside Inc's service in the years we have been suing it, and we have been able to modify the service when needed to account for funding irregularities or changes in regualtory procedures for used oil collection and disposal. Describe the uniqueness of the acquisition (why was the good/service/supplier chosen?). As described above in item #1, Curbside, Inc. provides a unique door-to-door collection service that does not require us to spend funds and staff time on a permenant used oil drop-off facility, does not require us to obtain regulatory permits to operate the facility, does not require us to maintain records of the facility's operation. Curbside Inc. performs the used oil collection through a "milk -run" service at each residents doorstep, transports the used oil to a disposal facilty, supplies us with all records fo the collections and disposal, and completed the regualtory papaerwork for us. As stated above in item #2, the grant program may end in 2013, and utilizing Curbside Inc's residential service will allow us to terminate the service with no residual costs at that time. 4. What are the consequences of not purchasing the goods/services or contracting with the proposed supplier? 1) Higher expenses associated with establishing and maintaining a used oil drop-off location for residents, reducing funds avaiable for actual used oil disposal services. 2) Inconvienience to residents as they will be required to transport their own used oil to a permenant site, at a specific day/time, which could make illegal used oil disposal more likely. 3) Inconvienience on City staff due to the time needed to staff and maintain a permentant collection facility. 4) Imposition on staff time to manage the facility and its operations, including regulatory requirements for maintaining a hazardous waste collection facility, documenting daily activities at the facility, and submitting periodic reports concerning facility activities. What market research was conducted to substantiate no competition, including evaluation of other items considered? (Provide a narrative of your efforts to identify other similar or appropriate goods/services, including a summary of how the department concluded that such alternatives are either inappropriate or unavailable. The names and addresses of suppliers contacted and the reasons for not considering them must be included OR an explanation of why the survey or effort to identify other goods/services was not performed.) Past research has not found a vendor supplying a similar service eliminating the need to invest in a permenant collection facility, expend staff time to staff an operate the facility, and to maintain the facility accoridng to regulatory requriements for hazardous waste regulations. B. PRICE ANALYSIS 1. How was the price offered determined to be fair and reasonable? (Explain what the basis was for comparison and include cost analyses as applicable.) The price being charged by Curbside Inc. per residential collection ($70/ per collection) will not change from the previous contract. Describe any cost savings realized or costs avoided by acquiring the goods/services from this supplier. One time cost (10 year life): Collection tank for used oil: $2,333 for a 300 gal Above Ground Tank with spill containment. Spill Kit/Clean-up Kit $500 for a Kit with spill pads/ absorbent, diking material. Total One Time Costs: $2,833 Recurring yearly costs: City Staff time at collection site: $10,500 City Staff Time for regulatory paperwork: $2,160 Equipment for staff manning the facility $1,500 Total Recurring Costs: $14,160 6 hrs/week at $30/hr , 50 weeks per year. 6 hours/month at $30/hr, 12 months per year. (two persons, overalls, gloves, glasses, other PPE Not included is the liability for spilled oil clean-up (since City is self -insured), nor the cost of used oil disposal through a contractor (grant funded), consideration for the facilities location or off -hours staffing, nor costs to dispose of any items above should the program be terminated in 2013. This Agreement is made this First day of _April_, 2010, by and between the City of Huntington Beach, a municipal corporation ("CITY"), and Curbside, Inc., a California Corporation (Contractor"). RECITALS 1. This Agreement is entered into pursuant to Huntington Beach City Council authorization on , 2010. 2. CITY desires to utilize the services of CONTRACTOR to administer the State of California Used Oil Recycling Block Grant Program, in connection with providing all City residents with a Door -to -Door Used Oil and Filter Collection Program in the City of Huntington Beach. In addition CONTRACTOR will provide a Citywide battery recycling program. 3. CONTRACTOR is qualified by virtue of experience, training, education, and expertise to accomplish services. AGREEMENT THE PARTIES MUTUALLY AGREE AS FOLLOWS: 1. Term of Agreement. This Agreement shall begin upon execution and shall continue until June 30, 2013, unless extended. 2. Services To Be Performed. The services to be performed by CONTRACTOR shall consist of administration of the State of California Used Oil Recycling Block Grant Program and a Citywide battery recycling program. 3. Compensation. CONTRACTOR shall be compensated as follows: 3.1 Amount. Total compensation for the Used Oil Collection Program shall not exceed the actual California Used Oil Recycling Block Grant funds for all open cycles. Battery Recycling program funds will not be compensated with California Used Oil Recycling Block Grant funds. 3.2 Method of Payment. CONTRACTOR shall submit to the City on a monthly basis, an itemized invoice for compensation of all collections performed. Contractor will expect to receive payment within a reasonable time thereafter and in any event, in the normal course of business, within thirty (30) days after receipt of invoice. 3.3 Record of Expenses. CONTRACTOR shall keep complete and accurate record of payroll costs, travel, and incidental expenses. These records will be made available at reasonable times to CITY. 3.4 Termination. CITY and CONTRACTOR shall have the right to terminate this Agreement, without cause, by giving thirty (30) days written notice of termination. If the project is terminated by CITY, then the provisions of paragraph 3 would apply to that portion of the work completed. Insurance Requirements 4.1 Commencement of Work. CONTRACTOR shall not commence work under this Agreement until it has obtained all insurance required and this insurance has been approved by CITY. All insurance required by this Agreement shall contain a Statement of Obligation on the part of the carrier to notify CITY of any material change, cancellation, or termination at least thirty (30) days in advance. 4.2 Workers' Compensation Insurance. During the duration of this Agreement, CONTRACTOR and all subcontractors shall maintain Workers' Compensation Insurance if applicable. 4.3 Insurance Amounts. CONTRACTOR shall maintain the following insurance for the duration of this Agreement. Comprehensive general liability, automobile liability, environmental, and pollution legal liability, in amounts of at least $1,000,000.00 per occurrence; Endorsements for the policies shall designate CITY as an additional insured. CONTRACTOR shall provide to CITY proof of insurance in the form of both certificates of insurance and endorsement forms, as approved by the office of the City Attorney. 5. Non -Liability of Officials and Employees of the CITY. No official or employee of CITY shall be personally liable to CONTRACTOR in the event of default or breach of CITY, or for any amount which may become to due CONTRACTOR. 6. Non -Discrimination. CONTRACTOR covenants there shall be no discrimination against any person or group due to race, color, creed, religion, sex, marital status, age, handicap, national origin, or ancestry, in any activity pursuant to this Agreement. 7. Independent Contractor. It is agreed to that CONTRACTOR shall act and be an independent contractor and not an agent or employee of CITY, and shall obtain no rights to any benefits which accrue to CITY'S employees. 8. Compliance with Law. CONTRACTOR shall comply with all applicable laws, ordinances, codes, and regulations of the federal, state and local governments. 9. Disclosure of Documents. All documents or other information developed or received by CONTRACTOR are confidential and shall not be disclosed without authorization'by CITY, unless disclosure is required by law. 10. Ownership of Work Product. All documents or other information developed or received by CONTRACTOR shall be the property of CITY. CONTRACTOR shall provide CITY with copies of these items upon demand or upon termination of this Agreement. 11. Conflict of Interest and Reporting. CONTRACTOR shall at all times avoid conflict of interest or appearance of conflict of interest in performance of this Agreement. 12. Notices. All notices shall be personally delivered or mailed to the below listed addresses or to such other addresses as may be designated by written notice. These addresses shall be used for delivery of service of process. CONTRACTOR'S Proposal. This Agreement shall include CONTRACTOR'S proposal (exhibit "A") or bid, which shall be incorporated herein. In the event of any inconsistency between the terms of the proposal and this Agreement, this Agreement shall govern. 14. Licenses, Permits and Fees. At its sole expense, CONTRACTOR shall obtain a Huntington Beach Business License, all permits and licenses as may be required by this Agreement. 15. Familiarity with Work. By executing this Agreement, CONTRACTOR warrants that: (1) it has investigated the work to be performed; (2) it has investigated the site of the work and is aware of all conditions there; and (3) it understands the facilities, difficulties, and restrictions of the work under this Agreement. Should CONTRACTOR discover any latent or unknown conditions materially differing from those inherent in the work or as represented by CITY, it shall immediately inform CITY of this and shall not proceed, except at CONTRACTOR'S risk, until written instructions are received from CITY. 16. Time of Essence. Time is of the essence in the performance of this Agreement. 17. Limitations upon Subcontracting and Assignment. The experience, knowledge, capability, and reputation of CONTRACTOR, its principles and employees were a substantial inducement for CITY to enter into this Agreement. CONTRACTOR shall not contract with any other entity to perform the services required without written approval of the CITY. This Agreement may not be assigned voluntarily or by operation of law, without the prior written approval of CITY. If CONTRACTOR is permitted to subcontract any part of this Agreement, CONTRACTOR shall be responsible to CITY for the acts and omissions of its subcontractor as is for persons directly employed. Nothing contained in this Agreement shall create any contractual relationship between any subcontractor and CITY. All persons engaged in the work will be considered employees of CONTRACTOR. CITY will deal directly with and will make all payments to CONTRACTOR. 18 Authority to Execute. The persons executing this Agreement on behalf of the parties warrant that they are duly authorized to execute this Agreement and that by executing this Agreement, the parties are formally bound. 19. Indemnification. CONTRACTOR agrees to protect, defend, and hold harmless CITY and its elective or appointive boards, officers, agents, and employees from any and all claims, of any person, or damages of any nature, including attorney's fees, for injury or death of any person, or damage to property, or interference with use of property, arising out of, or in any way connected with performance of the Agreement by CONTRACTOR, CONTRACTOR'S agents, officers, employees, subcontractors, or independent contractors hired by CONTRACTOR. The only exception to CONTRACTOR'S responsibility to protect, defend, and hold harmless CITY, is due to the sole negligence of CITY, or any of its elective or appointive boards, officers, agents or employees. 20. Modification. This Agreement constitutes the entire agreement between the parties and supersedes any previous agreements, oral or written. This Agreement may be modified only by subsequent mutual written agreement executed by CITY and CONTRACTOR. 21. Waiver. All waivers of the provisions of this Agreement must be in writing by the appropriate authorities of the CITY and CONTRACTOR. 22. California Law. This Agreement shall be construed in accordance with the laws of the State of California. Any action commenced about this Agreement shall be filed in the central branch of the Orange County Superior Court. 23. Interpretation. This Agreement shall be interpreted as though prepared by both parties. 24. Preservation of Agreement. Should any provision of this Agreement be found invalid or unenforceable, the decision shall affect only the provision interpreted, and all remaining provisions shall remain enforceable. Abbreviations, and Definitions General Information The California Integrated Waste Management Board administers a program to provide opportunities for the recycling of used oil. As part of this program, the Board issues block grants to help local governments establish or enhance permanent, sustainable used oil recycling programs. Eligibility Eligible applicants are limited to local governments, which are defined in statute as "any chartered or general law city, chartered or general law county, or any city and county." The applicant's local used oil collection program must include used oil and used oil filter collection opportunities and a public education element. Examples of the types of projects that would be eligible include: continuation of a current project; the establishment of used oil and used oil filter collection opportunities; establishment or expansion of a curbside collection program; purchase of used oil and used oil filter collection equipment and supplies; and development and distribution of public and/or school education materials. Funding The block grant is non-competitive and provides funds to establish and maintain used oil and filter collection programs. The grants are calculated per capita using the Department of Finance's population statistics. However, small jurisdictions are guaranteed a minimum award of $5,000 for cities and $10,000 for counties. Jurisdictions may also apply regionally and pool their funds.
