Statement of Issue: The Public Works Department requires professional corrosion
engineering services on an as needed basis to support staff for the design and construction
of capital projects.
Funding Source: Funds are available within budgeted water capital improvement
projects. Additional City Council authorization will be requested for unbudgeted projects, if
necessary.
Recommended Action: Motion to:
1. Approve and authorize the Mayor and City Clerk to execute Amendment No.1 to
the Maintenance and Professional Service Contracts for DeC Consultants Inc. for
as -needed Corrosion Engineering Service Contracts.
2. Approve and authorize the Mayor and City Clerk to execute Amendment No.1 to
the Maintenance and Professional Service Contracts for M.J. Schiff & Associates

Analysis: The City's potable water Capital Improvement Program is approximately $11
million in FY 2005/06. Projects include the installation of new water mains, and corrosion
control on more than 13 miles of the City's transmission mains. The design and
maintenance of corrosion control facilities for these projects is assigned to either of the two
firms specializing in corrosion engineering.
In April 2005, the City retained the services of two Corrosion Engineering firms, DeC
Consultants Inc., and M. J. Schiff and Associates Inc. The original contracts were for three
(3) year durations and for amounts not to exceed $90,000 each. In the first year of these
contracts the City has utilized approximately 45% of the value of the contracts. Amending
these contracts to amounts not to exceed $250,000 each will insure adequate funds are
available through the contract term. The contract term is not changed by the amendments.
Project assignments are rotated between the two consultants. Proposals were requested
and submitted in compliance with Chapter 3.03 of the Huntington Beach Municipal Code.
Funding sources will be capital project accounts, using the approved project budgets.

AMENDMENT NO. 1 TO MAINTENANCE AND PROFESSIONAL SERVICES
CONTRACT BETWEEN THE CITY OF HUNTINGTON BEACH AND
DeC CONSULTANTS, INC. FOR AS -NEEDED CORROSION
ENGINEERING AND MAINTENANCE SERVICES
THIS AMENDMENT is made and entered into by and between the City of Huntington
Beach, a municipal corporation of the State of California, hereinafter referred to as "CITY," and
DeC CONSULTANTS, INC., a California corporation, hereinafter referred to as
"CONSULTANT."
WHEREAS, CITY and CONSULTANT are parties to that certain agreement, dated
March 15, 2005, entitled "Maintenance and Professional Services Contract Between the City of
Huntington Beach and DeC Consultants, Inc. for As -Needed Corrosion Engineering And
Maintenance Services" which agreement shall hereinafter be referred to as the "Original
Agreement," and
CITY and CONSULTANT wish to amend the Original Agreement to reflect additional
compensation to be paid to CONSULTANT, .
NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows:

Section 4 of the Original Agreement, entitled "Compensation," is hereby amended to read
as follows:
In consideration of the performance of the services described herein, CITY agrees
to pay CONSULTANT on a time and materials basis at the rates specified in Exhibit "B," ( the
Fee Schedule) which is attached hereto and incorporated by reference into this Agreement, a fee,
including all costs and expenses, not to exceed Two Hundred Fifty Thousand Dollars
($250,000.00).
2. REAFFIRMATION
Except as specifically modified herein, all other terms and conditions of the
Original Agreement shall remain in full force and effect.

DeC Consultants, Inc. (DeC) is pleased to submit this proposal for professional corrosion
engineering services. DeC is a corrosion engineering consulting firm that focuses on the Water
Industry. Our proposal team has extensive experience with all of the listed tasks. We look
forward to providing our services to the City of Huntington Beach.
Please note that three subconsultants are included on our proposal team. These are Mr. Steve
Agor of Tetra Tech, Inc., Mr. Mark Schilling and Mr. Barry Barman of CSI Inc. As a qualified
civil engineer, Mr. Agor is needed to design and sign -off on supporting installations such as
retaining walls, street excavations and repair, electrical conduits, foundation slabs, etc. DeC
can provide specifications and inspection services for pipeline coating but for other specialty
coatings we prefer to retain the services of experts. Mr. Schilling can prepare specifications for
any coatings you may need and Mr. Barman can provide inspection services. Both of these men
have extensive experience in the coating field.
Attached. is our proposal for your review. I believe it to be complete and fully responsive.

INTRODUCTION
DeC Consultants, Inc. (DeC) is a corrosion consulting firm that has served the water and wastewater
Industry for 16 years. The tasks described in the scope of work are all part of Dees primary
services, with the exception of specifying specialty coating systems and the inspection of other than
pipeline coatings. DeC can provide these services, however, through two very qualified
subconsultants. They are Mr. Mark Schilling, a nationally known coating expert with 26 years of
experience and Mr. Bart' Barman, principal of Coating Specialist and Inspection Services (CSI
Services), who will provide specialty coating inspection. In addition, we have civil engineering support
through Tetra Tech, Inc. We have worked with Mr. Steve Agor, RE of Tetra Tech on many projects
over the past 12 years. Mr. Agor will assist us where civil engineering design services and
professional registration are needed to supplement corrosion protection design. Accordingly, if
selected for this contract, DeC can provide all of the corrosion engineering services described in the
City of ,Huntington Beach RFP.
EKECUTIVE SUMMARY
DeC provides corrosion engineering and related services. Our focus for 16 years has been on the
water and wastewater industries. Our experience includes all major water industry and wastewater
treatment equipment. DeC has completed numerous pipeline corrosivity studies, corrosion status
assessments and corrosion control designs. We are experts in cathodic protection (CP) design, in the
development and implementation of corrosion control programs and in the management of corrosion
data for water transmission and distribution systems.
We are thoroughly familiar with all phases of design\bid\build projects (DBB) and have participated in
several design\build (DB) projects. Although procedures for DB projects are not well standardized, our
ultimate objectives are to provide the design\construction team with concise and complete direction
regarding the owner's corrosion protection requirements and to see that they are installed properly.
For conventional DBB projects, DeC has provided complete corrosion engineering services on
numerous occasions including the tasks described in the Proposed Project Approach below.
Delis staff includes registered professional corrosion engineers, trained and NACE qualified field
engineers and technicians, a professional CAD drafter and competent office staff. With the combined
resources of our subconsultants, DeC has the expertise and capacity to provide all of the City's
corrosion engineering needs.
Creative, efficient and cost effective cathodic protection system are best developed when there are
no conflicts with the sales and inventory of cathodic protection products. DeC has no such conflicts;
however, we offer limited repair services for corrosion monitoring systems. Assessment of corrosion
status is made difficult when information is limited by damaged or missing test stations. Since many
of our clients do not have the time to do these repairs, we created DeC's Water Industry Services
(WIS) division. This optional service may be useful if monitoring facilities are in need of repair.
Through 16 years of experience, we have developed an effective quality control program. Our
system of written objectives, signature reviews and checks and re -checks ensures that we have
considered our client's stated objectives, all reasonable solutions, and that we produce very high
quality engineering documents.
PROPOSED PROJECT APPROACH
Several individual work items or tasks will be defined and authorized through the course of this
project. The appropriate technical approach will depend on the type of task (i.e., corrosivity
evaluation, failure analysis, corrosion protection status evaluation, CP design, or preparation of
standards, training aids or manuals) and the specific requirements for each work item.
Pipeline Design Projects
For a typical pipeline corrosion assessment and corrosion protection design project, DeC would
employ the following general methodology that has been successful for many similar projects.
Preliminary Design
• Determine project requirements. Review client inquiries and reference documents and
consult directly with the client in order to truly understand the problem and the specific
goals of the client. This is the most important step.
• Prepare a detailed scope and fee estimate to accomplish the client goals.
• Develop a work plan that might include research of historical data, interviews with
knowledgeable personnel, field inspection or testing, laboratory corrosivity analysis and
design. This plan can be influenced by other on -going or future planned projects in the
vicinity either by the client or by others.
• Prepare a schedule of tasks and deliverables for client approval.
• Conduct field tests, determine to the extent possible all factors that may influence the
corrosion of the project facilities (pipeline).
• Evaluate test results and other factors of influence and conduct a design analysis with
internal QC reviews as described in DeC's standard procedures.
• Evaluate supplementary project construction requirements such as: potholing;
geotechnical testing; design of trench support, retaining walls and equipment slabs; traffic
control; environmental issues; and permitting requirements.
• Prepare a corrosivity report, preliminary design report or basis of design report as directed
by the client and as defined in the agreed scope. Specific recommendations to address
client goals would be included.
Design Mare
• Review and consider client comments and review preliminary design recommendations.
Modify as necessary to include new information.
• Coordinate with Tetra Tech to address all civil, mechanical or electrical design
requirements and to obtain permits from regulating agencies.
• Proceed to the preparation of design documents, typically design drawings, specifications,
cost estimate and supporting bid documents in accordance with client requirements and
provided front-end documents. Submit first draft for client check and review.
• Consider client comments, resolve all identified issues, edit and improve design
documents as needed and submit pre -final documents.

• Review client comments, revise as needed and submit final documents. This task may
include preparing and providing approved documents to interested bidders.
Rid Assistance
• Conduct a pre -bid conference or job walk.
• Preparation of list of questions and answers from pre -bid conference. Distribute Q&A
summary to all attendees.
• Prepare addenda as necessary.
• Response to bidder inquiries.
• Review contractor bids. Assist the client as needed to select the optimum contractor for
the job.
Construction Support Rarvices
• Conduct a pre -construction conference or kick-off meeting and prepare written minutes
including all issues discussed that may affect scope, fees, schedule or performance.
• Respond to written contractor inquires.
• Review and comment on shop drawing submittals. Document, record and distribute
copies of all submittals to client.
• Conduct field meetings and inspections as necessary or as described in the project
specifications.
• Review contractor invoices and percentage of completion for client.
• Provide testing, activation and final system checkout services. Prepare field memos and
deficiency punch lists as needed.
• Re -inspect installations and re -activate systems as required.
• Resolve all punch list items to full compliance with contract documents.
• Prepare final system .performance reports including recommendation of acceptance of
contractors work.
• Provide client with all necessary operations and maintenance information. The preparation
of system 0&M manuals maybe included.
Coating Specifications and Inspection
It is anticipated that the City may build new facilities other than pipelines, such as steel
reservoirs, pump stations or other equipment that may require specialty coatings or full time
coating inspection. A similar beginning -to -end approach, as described above would be used for
these projects. Coating services, other than for pipeline coatings, would be provided by our
subconsultants identified above. Mr. Schilling is familiar with state-of-the-art coating products,
application methods and performance requirements. He has prepared many specifications and
his experience will ensure high quality materials and application as well as minimize change
orders. Through CSI Services, DeC can provide qualified inspectors for these projects. As you
know, full time inspection by qualified inspectors is a critical part of a reservoir corrosion
protection system. CSI can also provide periodic tank coating inspections services.
Corrosion Training and Standards
It is important to have clear standards for corrosion control and monitoring installations on pipelines
and other facilities to ensure the consistency of new installations on all City facilities. It is not known
if the City has such standards at this time. if reviews and\or modifications of existing standards are
needed, or new standards need to be developed, DeC can provide this service. We have prepared
similar standard documents, including drawings, specifications and O&M manuals. The approach for

this service would be to fully evaluate the City's needs as well as their customs and successful
practices. With this information, good engineering practice standards would be developed.
Additionally, both Mr. DeCado and Mr. Geving can provide training seminars for City personnel on
various water industry corrosion control topics.
PROJECT ORGANIZATION AND FEY PERSONNE-
DeC's staff is competent, efficient and works very well together. All of Deas people will provide
important contributions to the success of the City of Huntington Beach, As -Needed Corrosion
Engineering Project. Full resumes of key DeC personnel are attached as Appendix "A." The
organization of our proposed project team is straightforward and is charted in Appendix "B." Brief
backgrounds of each of the key DeC project team members listed on the chart are given below.
Principal-in-Chara _ - Mr. Eugene A. DeCado, RE will be the principal -in -charge. Mr. DeCarlo has 32
years of corrosion engineering and project management experience, including managing water district
corrosion control programs at the Otay WD, Sweetwater Authority and Moulton Niguel WD. For the
last 22 years (including 16 as principal of DeC Consultants Inc.), he has focused on water and
wastewater industry corrosion issues. Career experience includes: corrosion research, laboratory
and field corrosion studies, liaison for international cooperative corrosion program, expert witness
investigation and testimony, and project manager and principal corrosion engineer for many CP
design projects.
Project Manager — The Project Manager and person directly in charge of the implementation and
scheduling of the day -today work will be Mr. Randy Geving, RE Randy is DeC's Engineering
Manager. He holds a BSMetE (metallurgical engineering) degree from California State Polytechnic
University at San Luis Obispo and is a registered professional corrosion engineer in California. He has
been with DeC for over four years and has accomplished a number of major water industry tasks.
Mr. Geving will be the direct contact for the City's project engineer. He will be in charge of preparing
scope and fee estimates, maintaining project direction and budget and assigning and scheduling tasks.
Randy and Mr. DeCado will also provide QC review for all corrosion control design documents.
Prior to joining DeC, Randy was a metallurgical\corrosion engineer for Unocal. He worked for the Brea
Research Division for seven years with responsibilities that included cathodic protection design and
troubleshooting, failure analysis, metallurgical examinations and materials selection. While at the Brea
Research Center, Mr. Geving provided consulting and testing services for Unocal's offshore,
manufacturing, geothermal and chemical divisions. Randy was assigned to the Unocal Pipeline
Division for two years where he worked on cathodic protection, pipeline integrity and non-destructive
testing projects. His final three years was with the Unocal\Tosco Los Angeles Refinery.
Randy currently manages the Otay Water District Corrosion Control Program which will conclude at
the end of October. He also has been responsible for all of our inspection and failure analysis projects
as well as several water district CP design projects. His projects include CP troubleshooting for
several pipelines and reservoirs, corrosion control design for pipelines, reservoirs and pump stations
and material selection reviews. Randy was also the project corrosion engineer for the Orange County
Ground Water Recovery Project.
n _Sian gin rs — Assisting Mr. Geving will be Mr. Robert Perks and Mr. Sean Tencheck. Mr. Perks
will provide design assistance and direct most of the field testing tasks. Rob holds a MS degree in
Ocean Engineering from Florida Atlantic University. He studied under Dr. William Hartt, a prominent
corrosion researcher, and did his thesis on various aspects of corrosion initiation of reinforcement in

concrete. Rob is DeC's project manager for the Olivenhain Municipal Water District (OMWD)
Corrosion Control Program. Rob has been instrumental in organizing data from over 30 steel pipelines,
24 rectifiers and 750 test stations within OMWD. Rob has also completed several CP projects.
Mr. Terchek is DeC's newest engineer. Sean comes to us from Columbia Gas Company where he
was a project engineer for several gas development projects. He worked with Columbia's corrosion
division where he became familiar with gas industry cathodic protection methods and corrosion
monitoring systems. Sean also conducted integrity assessment studies for Columbia in which assets
were evaluated on the basis of their production, corrosion status, risk of failure and consequences of
failure. This assessment was used to prioritize the company's maintenance resources.
CAr) nrafter — Mr. George Medina will provide vital assistance. Mr. Medina performs several
functions at DeC. He is our AutoCAD design drafter, our Mapinfo programmer and primary operator
and our computer network administrator. Mr. Medina is an expert with AutoCAD 2002.
erect Administratinn — Project administrative assistance, such as scheduling, cost tracking,
preparation of status reports, invoicing and administrative functions would be the responsibility of Ms.
Sally Stewart who is DeC's business manager. Sally's experience with technical project
management is a major benefit to DeC's overall operations. Her talents will be an important factor in
the smooth implementation of this work.
CoatingSubconsultants — Mr. Steve Agor of Tetra Tech, Inc. will provide any necessary civil,
mechanical or electrical engineering design or support that is required to install corrosion protection
facilities. Mr. Agor, who is familiar with Orange County permitting processes, will also assist DeC in
obtaining any necessary permits.
Specialty coating specification preparation, if needed, will be done by Mr. Mark Schilling. Mark is an
independent consultant with whom DeC has worked on several occasions. He was a senior staff
engineer for Exxon/Mobil and for KTA-Tator Consultants. He was also a research chemist for Unocal
Corporation, Science and Technology Division.
Coating inspection tasks would be accomplished by CSI Services, Inc. as a subconsultant to DeC.
Coordination of inspection work would be done by Mr. Barry Barman. Mr. Barman .is certified as a
coating specialist and has provided both project management and coating inspection for over 250
water storage tank coating projects. CSI has inspectors that are fully qualified by SSPC and NACE

engineering consultants to water industry clients. We have worked for most of the major civil
engineering firms in Southern California. Some of these clients are identified in the specific

is becoming more important as the nations infrastructure ages. DeC has assisted several clients

Pipeline Data Managemant and Data CHIP-rtion — DeC has two special programs that may be of
use to the City. These are the Corrosion Data Management System (CDMS) and the Corrosion Data

insurance — DeC carries general liability, workers' compensation and professional liability policies in
the amounts indicated in the RFP. If selected, insurance certificates will be provided.

year 2005. Reimbursables are billed at cost plus 10%. Subconsultant fees would be billed at the

business relationship (other than consulting) with City of Huntington Beach personnel.
Additionally, DeC has no conflicts with inventoried cathodic protection products. We do not sell
or install CP systems. DeC does, however, provide a corrosion test station repair services. We
do not believe that this is a conflict.
Fees for Individual Tasks — DeC anticipates that each and every task performed by DeC will be
defined by a detailed scope and not -to -exceed fee which have been proposed by DeC and approved
by the City.

to producing high quality consulting services and engineering reports and documents. One indication
that our QA program is working is by our strong reputation and by the fact that a large percentage of

DeC has specific procedures and requirements for quality and completeness review of all documents
generated. All reports, drawings and specifications are reviewed by two people in addition to the
author. This includes a technical review and an editorial\format review. Frequent edits and re -plots
are a common practice and are required until all documents are as error -free as possible. Final reports
and drawings require signature approval by the designated QC reviewer. All reports and proposals are
reviewed by the principal.
Proposal Validity Parind — This proposal of professional services is valid for a period of 60 days.

was attached to the RFP has been reviewed. We find the contract to be acceptable for the most part
but take exception and would request reconsideration of the following paragraphs.
Paragraph 7 — DeC agrees that materials prepared for the City as part of this project belong to
the City. However, we do not feel that these materials should be used for anything except the
specific project for which they are intended. If the City chooses to apply these materials to other
projects, we would expect that DeC would be released from all liability for their re -use.- Paragraph 7
should be modified to include this release.
Paragraph 9 (final paragraph) — DeC fully intends to maintain professional liability insurance
for as long we are in business. Furthermore we intend to be in business for a very longtime. We will
make every effort to maintain similar insurance beyond two years after all City of Huntington Beach
projects are complete if, for any reason, this period extends beyond the date that DeC Consultants

MAINTENANCE AND PROFESSIONAL SERVICES CONTRACT
BETWEEN THE CITY OF HUNTINGTON BEACH AND
DeC CONSULTANTS, INC. FOR AS -NEEDED CORROSION
ENGINEERING AND MAINTENANCE SERVICES
THIS AGREEMENT ("Agreement") is made and entered into by and between the City of
Huntington Beach,. a municipal corporation of the State of California, hereinafter referred to as
"CITY," and DeC CONSULTANTS, INC., a California corporation, hereinafter referred to as
"CONSULTANT."
WHEREAS, CITY desires to engage the services of a consultant to provide as -needed
corrosion engineering services as well as limited adjunct maintenance and repair services; and
Pursuant to documentation on file in the office of the City Clerk, the provisions of the
Huntington Beach Municipal Code and City Charter relating to procurement of professional
service contracts have been complied with; and
CONSULTANT has been selected to perform these services,
NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows:
SCOPE OF SERVICES
Determine corrosion engineering project requirements. Review client inquiries
and reference documents and consult directly with CITY as to the development
and implementation of a corrosion control program and the management of
corrosion data for CITY water transmission and distribution systems.
Prepare a detailed scope and fee estimate to accomplish CITY goals.
Develop a work plan that might include research of historical data, interviews
with knowledgeable personnel, field inspection or testing, laboratory corrosivity
analysis and design. This plan can be influenced by other on -going or future
planned projects in the vicinity either by CITY or others.
Prepare a schedule of tasks and deliverables for CITY approval.
Conduct field tests, determine to the extent possible all factors that may influence
the corrosion of the project facilities (pipeline).

Evaluate test results and other factors of influence and conduct a design analysis
with internal QC review as described in CONSULTANT's standard procedures.
Evaluate supplementary project construction requirements such as. potholing;
geotechnical testing; design of trench support, retaining walls and equipment
slabs; traffic control; environmental issues; and permitting requirements.
Prepare a corrosivity report, preliminary design report or basis of design report as
directed by CITY and as defined in the agreed work plan. Specific
recommendations to address CITY's goals would be included.
Make any necessary repairs, maintenance or adjustments in the field so as to
enable adequate testing or other activity.
Because some maintenance or repair work will be performed on CITY property,
CONSULTANT will provide insurance coverage for this component and the
project as set forth in Paragraph 10 below.
Implement a cathodic protection monitoring program and train CITY staff to
monitor and to use best management practices.
CONSULTANT hereby designates Eugene A. DeCarlo, who shall represent it and
be its sole contact and agent in all consultations with CITY during the performance of this
Agreement.
2. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly with CONSULTANT in the
performance of this Agreement.
3. TERM; TIME OF PERFORMANCE
The services of CONSULTANT are to commence as soon as directed by the
Director of Public Works or his designee after the execution of this Agreement by CITY. This
Agreement shall automatically terminate three (3) years from the execution date, unless extended
or sooner terminated as provided herein. If directed by the CITY, all tasks specified in the Scope
of Services shall be completed no later than three (3) years from the Commencement Date, The

time for performance of the tasks identified in the Scope of Services are at the direction of the
Director of Public Works or his designee. This schedule may be amended to benefit the
PROJECT if mutually agreed to in writing by CITY and CONSULTANT.
4. COMPENSATION
In consideration of the performance of the services described herein, CITY agrees
to pay CONSULTANT on a time and materials basis at the rates specified in Exhibit "A," ( the
Fee Schedule) which is attached hereto and incorporated by reference into this Agreement, a fee,
including all costs and expenses, not to exceed Ninety Thousand Dollars ($90,000.00).
5. EXTRA WORK
In the event CITY requires additional services not included in the Scope of
Services or changes in the scope of services described in the Scope of Services CONSULTANT
will undertake such work only after receiving written authorization from CITY. Additional
compensation for such extra work shall be allowed only if the prior written approval of CITY is
obtained.
6. METHOD OF PAYMENT
CONSULTANT shall be paid pursuant to the following:
CONSULTANT shall submit to CITY an invoice for each monthly progress
payment due. Such invoice shall:
A) Reference this Agreement;
B) Describe the services performed;
C) Show the total amount of the payment due;
D) Include a certification by a principal member of CONSULTANT's firm
that the work has been performed in accordance with the provisions of this
Agreement; and
E) For all payments include an estimate of the percentage of work completed.
Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is
making satisfactory progress toward completion of tasks in accordance with this Agreement,

CITY shall approve the invoice, in which event payment shall be made within thirty (30) days of
receipt of the invoice by CITY. Such approval shall not be unreasonably withheld. If CITY
does not approve an invoice, CITY shall notify CONSULTANT in writing of the reasons for
non -approval and performance may at the option of CITY be .suspended until the parties agree
that past performance by CONSULTANT is in, or has been brought into compliance, or until this
Agreement has expired or is terminated as provided herein.
7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that title to all materials prepared hereunder, including,
without limitation, all original drawings, designs, reports, both field and office notices,
calculations, computer code, language, data or programs, maps, memoranda, letters and other
documents, shall belong to CITY, and CONSULTANT shall turn these materials over to CITY
upon expiration or termination of this Agreement or upon PROJECT completion, whichever
shall occur first. These materials may be used by CITY as it sees fit.
S. DIFFERING SITE CONDITIONS
A. Notice: The CONSULTANT shall promptly, and before any
conditions are disturbed, notify the Director of Public Works ("DPW") in writing of:
(1) Subsurface or latent physical conditions at the job site differing
materially from those indicated in this Agreement or other CITY documents; or
(2) Unknown physical conditions at the job site, of an unusual nature,
differing materially from those ordinarily encountered and generally recognized as inherent to
work of the character to be performed under this Agreement. The DPW shall promptly
investigate the conditions and if it finds that such conditions do materially so differ and cause an
increase or decrease in the time required for performance of any part of the work under this

Agreement, whether or not changed as a result of such conditions, an equitable adjustment shall
be made and the Agreement modified in writing accordingly.
B. Time Extension: No claim of.the CONSULTANT under this Section
shall be allowed unless the CONSULTANT has given the notice required hereunder, provided,
however, the time prescribed therefor may be extended by CITY.
9. SAFETY PRACTICES
CONSULTANT shall comply fully with all laws, orders, citations, rules,
regulations, standards and statutes, with respect to occupational health and safety, the handling
and storage of hazardous materials, accident prevention, safety equipment and construction
practices. CONSULTANT shall conduct inspections to determine that safe working conditions
and equipment exist and accepts sole responsibility for providing a safe place to work for its
employees and for employees of its subcontractors and suppliers of material and equipment, if
any, for adequacy of and required use of all safety equipment and for full compliance with the
aforesaid laws, orders, citations, rules, regulations, standards and statutes.
10. HOLD HARMLESS
CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless
CITY, its officers, elected or appointed officials, employees, agents and volunteers from and
against any and all claims, damages, losses, expenses, demands and defense costs (including,
without limitation, costs and fees of litigation of every nature or liability of any kind or nature)
arising out of or in connection with CONSULTANT's performance of this Agreement or its
failure to comply with any of its obligations contained in this Agreement by CONSULTANT, its
officers, agents or employees except such loss or damage which was caused by the sole
negligence or willful misconduct of CITY. CONSULTANT will conduct all defense at its sole

cost and expense, and CITY shall approve selection of CONSULTANT's counsel. This
indemnity shall apply to all claims and liability regardless of whether any insurance policies are
applicable. The policy limits do not act as a limitation upon the amount of indemnification to be
provided by CONSULTANT.
11. PROFESSIONAL LIABILITY INSURANCE
CONSULTANT shall furnish a professional liability insurance policy covering
the work performed by it hereunder. This policy shall provide coverage for CONSULTANT's
professional liability in an amount not less than One Million Dollars (SI,000,000) per occurrence
and in the aggregate. The above -mentioned insurance shall not contain a self -insured retention,
"deductible" or any other similar form of limitation on the required coverage except as provided
by the insurance waiver on file with this Agreement. A claims -made policy shall be acceptable
if the policy further provides that:
A. The policy retroactive date coincides with or precedes the initiation of the
scope of work (including subsequent policies purchased as renewals or
replacements).
B. CONSULTANT shall notify CITY of circumstances or incidents that
might give rise to future claims.
CONSULTANT will make every effort to maintain similar insurance during the
required extended period of coverage following PROJECT completion. If insurance is
terminated for any reason, CONSULTANT agrees to purchase an extended reporting provision
of at least two (2) years to report claims arising from work performed in connection with this
Agreement.

12. WORKERS' COMPENSATION INSURANCE
Pursuant to California Labor Code section 1861, CONSULTANT acknowledges
awareness of section 3700 et seq. of said Code, which requires every employer to be insured
against liability for workers' compensation; CONSULTANT covenants that it will comply with
such provisions prior to commencing performance of the work hereunder.
CONSULTANT shall maintain workers' compensation insurance in an amount of
not less than One Hundred Thousand Dollars ($100,000) bodily injury by accident, each
occurrence, One Hundred Thousand Dollars ($100,000) bodily injury by disease, each employee,
Two Hundred Fifty Thousand Dollars ($250,000) bodily injury by disease, policy limit.
CONSULTANT shall require all subcontractors to provide such workers'
compensation insurance for all of the subcontractors' employees. CONSULTANT shall furnish
to CITY a certificate of waiver of subrogation under the terms of the workers' compensation
insurance and CONSULTANT shall similarly require all subcontractors to waive subrogation.
13. INSURANCE
In addition to the workers' compensation insurance and CONSULTANT's
covenant to indemnify CITY, CONSULTANT shall obtain and furnish to CITY, a policy of
general public liability insurance, including motor vehicle coverage covering the PROJECT.
Said policy shall indemnify CONSULTANT, its officers, agents and employees, while acting
within the scope of their duties, against any and all claims of arising out of or in connection with
the PROJECT, and shall provide coverage in not less than the following amount: combined
single limit bodily injury and property damage, including products/completed operations liability
and blanket contractual liability, of $1,000,000 per occurrence. If coverage is provided under a
form which includes a designated general aggregate limit, the aggregate limit must be no less

than $1,000,000. Said policy shall name CITY, its officers, and employees as Additional
Insureds, and shall specifically provide that any other insurance coverage which may be
applicable to the PROJECT shall be deemed excess coverage and that CONSULTANT's
insurance shall be primary.
Under no circumstances shall said above -mentioned insurance contain a self -insured
retention, or a "deductible" or any other similar form of limitation on the required coverage.
14. CERTIFICATES OF INSURANCE; ADDITIONAL INSURED
ENDORSEMENTS
Prior to commencing performance of the work hereunder, CONSULTANT shall
furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the
foregoing insurance coverages as required by this Agreement; said certificates shall:
1. provide the name and policy number of each carrier and policy;
2. shall state that the policy is currently in force;
3. shall promise to provide that such policies will not be canceled or
modified without thirty (30) days' prior written notice of CITY; and
4. shall state as follows: "The above -detailed coverage is not subject to any
deductible or self -insured retention, or any other form of similar -type
limitation. "
CONSULTANT shall maintain the foregoing insurance coverages in force while
working under this Agreement.
The requirement for carrying the foregoing insurance coverages shall not derogate
from the provisions for indemnification of CITY by CONSULTANT under the Agreement.
CITY or its representative shall at all times have the right to demand the original or a copy of all

said policies of insurance. CONSULTANT shall pay, in a prompt and timely manner, the
premiums on all insurance hereinabove required.
A separate copy of the additional insured endorsement to each of
CONSULTANT's insurance policies, naming the CITY, its officers and employees as Additional
Insureds shall be provided to the City Attorney for approval prior to any payment hereunder.
15. CERTIFICATE OF INSURANCE
Prior to commencing performance of the work hereunder, CONSULTANT shall
furnish to CITY a certificate of insurance subject to approval of the City Attorney evidencing the
foregoing insurance coverage as required by this Agreement; the certificate shall.
A. provide the name and policy number of each carrier and policy;
B. state that the policy is currently in force; and
C. promise that such policy shall not be suspended, voided or canceled by
either party, reduced in coverage or in limits except after thirty (30) days'
prior written notice; however, ten (10) days' prior written notice in the
event of cancellation for nonpayment of premium.
CONSULTANT shall maintain the foregoing insurance coverage in force until the
work under this Agreement is fully completed and accepted by CITY.
The requirement for carrying the foregoing insurance coverage shall not derogate
from the provisions for indemnification of CITY by CONSULTANT under the Agreement.
CITY or its representative shall at all times have the right to demand the original or a copy of the
policy of insurance. CONSULTANT shall pay, in a prompt and timely manner, the premiums on

16. INDEPENDENT CONSULTANT
CONSULTANT is, and shall be, acting at all times in the performance of this
Agreement as an independent contractor herein and not as an employee of CITY.
CONSULTANT shall secure at its own cost and expense, and be responsible for any and all
payment of all taxes, social security, state disability insurance compensation, unemployment
compensation and other payroll deductions for CONSULTANT and its officers, agents and
employees and all business licenses, if any, in connection with the PROJECT and/or the services
to be performed hereunder.
17. TERMINATION OF AGREEMENT
All work required hereunder shall be performed in a good and workmanlike
manner. CITY may terminate CONSULTANT's services hereunder at any time with or without
cause, and whether or not the PROJECT is fully complete. Any termination of this Agreement
by CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as
provided herein. In the event of termination, all finished and unfinished documents, exhibits,
report, and evidence shall, at the option of CITY, become its property and shall be promptly
delivered to it by CONSULTANT.
18. ASSIGNMENT AND DELEGATION
This Agreement is a personal service contract and the work hereunder shall not be
assigned, delegated or subcontracted by CONSULTANT to any other person or entity without
the prior express written consent of CITY. If an assignment, delegation or subcontract is
approved, all approved assignees, delegates and subconsultants must satisfy the insurance
requirements as set forth in Sections 9 and 10.

19. COPYRIGHTS/PATENTS
CITY shall own all rights to any patent or copyright on any work, item or material
produced as a result of this Agreement.
20. CITY EMPLOYEES AND OFFICIALS
CONSULTANT shall employ no CITY official nor any regular CITY employee
in the work performed pursuant to this Agreement. No officer or employee of CITY shall have
any financial interest in this Agreement in violation of the applicable provisions of the California
Government Code.
21. NOTICES
Any notices, certificates, or other communications hereunder shall be given either
by personal delivery to CONSULTANT's agent (as designated in Section I hereinabove) or to
CITY as the situation shall warrant, or by enclosing the same in a scaled envelope, postage
prepaid, and depositing the same in the United States Postal Service, to the addresses specified
below; provided that CITY and CONSULTANT, by notice given hereunder, may designate
different addresses to which subsequent notices, certificates or other communications will be
sent:

22. CONSENT
When CITY's consent/approval is required under this Agreement, its
consent/approval for one transaction or event shall not be deemed to be a consent/approval to
any subsequent occurrence of the same or any other transaction or event.
23. MODIFICATION
No waiver or modification of any language in this Agreement shall be valid
unless in writing and duly executed by both parties.
24. SECTION HEADINGS
The titles, captions, section, paragraph and subject headings, and descriptive
phrases at the beginning of the various sections in this Agreement are merely descriptive and are
included solely for convenience of reference only and are not representative of matters included
or excluded from such provisions, and do not interpret, define, limit or describe, or construe the
intent of the parties or affect the construction or interpretation of any provision of this
Agreement.
25. INTERPRETATION OF THIS AGREEMENT
The language of all parts of this Agreement shall in all cases be construed as a
whole, according to its fair meaning, and not strictly for or against any of the parties. If any
provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be
unenforceable, void, illegal or invalid, such holding shall not invalidate or affect the remaining
covenants and provisions of this Agreement. No covenant or provision shall be deemed
dependent upon any other unless so expressly provided here. As used in this Agreement, the
masculine or neuter gender and singular or plural number shall be deemed to include the other
whenever the context so indicates or requires. Nothing contained herein shall be construed so as

to require the commission of any act contrary to law, and wherever there is any conflict between
any provision contained herein and any present or future statute, law, ordinance or regulation
contrary to which the parties have no right to contract, then the latter shall prevail, and the
provision of this Agreement which is hereby affected shall be curtailed and limited only to the
extent necessary to bring it within the requirements of the law.
26. DUPLICATE ORIGINAL
The original of this Agreement and one or more copies hereto may be prepared
and signed in counterparts as duplicate originals, each of which so executed shall, irrespective of
the date of its execution and delivery, be deemed an original. Each duplicate original shall be
deemed an original instrument as against any party who has signed it.
27. IMMIGRATION
CONSULTANT shall be responsible for full compliance with the immigration
and naturalization laws of the United States and shall, in particular, comply with the provisions
of the United States Code regarding employment verification.
28. LEGAL SERVICES SUBCONTRACTING PROHIBITED
CONSULTANT and CITY agree that CITY is not liable for payment of any
subcontractor work involving legal services, and that such legal services are expressly outside
the scope of services contemplated hereunder. CONSULTANT understands that pursuant to
Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for
CITY; and CITY shall not be liable for payment of any legal services expenses incurred by
CONSULTANT.

29. ATTORNEY' S FEES
In the event suit is brought by either party to construe, interpret and/or enforce the
terms and/or provisions of this Agreement or to secure the performance hereof, each party shall
bear its own attorney's fees, such that prevailing party shall not be entitled to recover its
attorney's fees from the nonprevailing party.
30. SURVIVAL
Terms and conditions of this Agreement, which by their sense and context survive
the expiration or termination of this Agreement shall so survive.
31. GOVERNING LAW
This Agreement shall be governed and construed in accordance with the laws of
the State of California.
32. ENTIRETY
The parties acknowledge and agree that they are entering into this Agreement
freely and voluntarily following extensive arm's length negotiation, and that each has had the
opportunity to consult with legal counsel prior to executing this Agreement. The parties also
acknowledge and agree that no representations, inducements, promises, agreements or
warranties, oral or otherwise, have been made by that party or anyone acting on that party's
behalf, which are not embodied in this Agreement, and that that party has not executed this
Agreement in reliance on any representation, inducement, promise, agreement, warranty, fact or
circumstance not expressly set forth in this Agreement. This Agreement, and the attached
exhibits, contain the entire agreement between the parties respecting the subject matter of this
Agreement, and supersedes all prior understandings and agreements whether oral or in writing
between the parties respecting the subject matter hereof.

Industry. Our proposal team has extensive experience with all of the listed tasks. We look

Please note that three subconsultants are included on our proposal team. These are Mr. Steve
Agor of Tetra Tech, Inc., Mr. Mark Schilling and Mr. Barry Barman of CSI Inc. As a qualified
civil engineer, Mr. Agor is needed to design and sign -off on supporting installations such as
retaining walls, street excavations and repair, electrical conduits, foundation slabs, etc. DeC
can provide specifications and inspection services for pipeline coating but for other specialty
coatings we prefer to retain the services of experts. Mr. Schilling can prepare specifications for
any coatings you may need and Mr. Barman can provide inspection services. Both of these men
have extensive experience in the coating field.

INTRODUCTION
DeC Consultants, Inc. (DeC) is a corrosion consulting firm that has served the water and wastewater
Industry for 16 years. The tasks described in the scope of work are all part of DeGs primary
services, with the exception of specifying specialty coating systems and the inspection of other than
pipeline coatings. DeC can provide these services, however, through two very qualified
subconsultants. They are Mr. Mark Schilling, a nationally known coating expert with 26 years of
experience and Mr. Bart' Barman, principal of Coating Specialist and Inspection Services (CSI
Services), who will provide specialty coating inspection. In addition, we have civil engineering support
through Tetra Tech, Inc. We have worked with Mr. Steve Agor, P.E of Tetra Tech on many projects
over the past 12 years. Mr. Agor will assist us where civil engineering design services and
professional registration are needed to supplement corrosion protection design. Accordingly, if
selected for this contract, DeC can provide all of the corrosion engineering services described in the
City of Huntington Beach RFR
EXECUTIVE SUMMARY
DeC provides corrosion engineering and related services. Our focus for 16 years has been on the
water and wastewater industries. Our experience includes all major water industry and wastewater
treatment equipment. DeC has completed numerous pipeline corrosivity studies, corrosion status
assessments and corrosion control designs. We are experts in cathodic protection (CP) design, in the
development and implementation of corrosion control programs and in the management of corrosion
data for water transmission and distribution systems.
We are thoroughly familiar with all phases of designlbidlbuild projects (DBB) and have participated in
several designlbuild (DB) projects. Although procedures for DB projects are not well standardized, our
ultimate objectives are to provide the designlconstruction team with concise and complete direction
regarding the owners corrosion protection requirements and to see that they are installed properly.
For conventional DBB projects, DeC has provided complete corrosion engineering services on
numerous occasions including the tasks described in the Proposed Project Approach below.
DeC's staff includes registered professional corrosion engineers, trained and NACE qualified field
engineers and technicians, a professional CAD drafter and competent office staff. With the combined
resources of our subconsultants, DeC has the expertise and capacity to provide all of the CAty's
corrosion engineering needs.
Creative, efficient and cost effective cathodic protection system are best developed when there are
no conflicts with the sales and inventory of cathodic protection products. DeC has no such conflicts;
however, we offer limited repair services for corrosion monitoring systems. Assessment of corrosion
status is made difficult when information is limited by damaged or missing test stations. Since many
of our clients do not have the time to do these repairs, we created DeC's Water Industry Services
(WIS) division. This optional service may be useful if monitoring facilities are in need of repair.

Through 16 years of experience, we have developed an effective quality control program. Our
system of written objectives, signature reviews and checks and re -checks ensures that we have
considered our client's stated objectives, all reasonable solutions, and that we produce very high
quality engineering documents.
PROPOSED PROJECT APPROACH
Several individual work items or tasks will be defined and authorized through the course of this
project. The appropriate technical approach will depend on the type of task (i.e., corrosivity
evaluation, failure analysis, corrosion protection status evaluation, CP design, or preparation of
standards, training aids or manuals) and the specific requirements for each work item.
Pipeline Design Projects
For a typical pipeline corrosion assessment and corrosion protection design project, DeC would
employ the following general methodology that has been successful for many similar projects.
Preliminary. Design
• Determine project requirements. Review client inquiries and reference documents and
consult directly with the client in order to truly understand the problem and the specific
goals of the client. This is the most important step.
• Prepare a detailed scope and fee estimate to accomplish the client goals.
• Develop a work plan that might include research of historical data, interviews with
knowledgeable personnel, field inspection or testing, laboratory corrosivity analysis and
design. This plan can be influenced by other on -going or future planned projects in the
vicinity either by the client or by others.
• Prepare a schedule of tasks and deliverables for client approval.
• Conduct field tests, determine to the extent possible all factors that may influence the
corrosion of the project facilities (pipeline).
• Evaluate test results and other factors of influence and conduct a design analysis with
internal QC reviews as described in DeC's standard procedures.
• Evaluate supplementary project construction requirements such as: potholing;
geotechnical testing; design of trench support, retaining walls and equipment slabs; traffic
control; environmental issues; and permitting requirements.
• Prepare a corrosivity report, preliminary design report or basis of design report as directed
by the client and as defined in the agreed scope. Specific recommendations to address
client goals would be included.

Coating Specifications and Inspection
It is anticipated that the City may build new facilities other than pipelines, such as steel
reservoirs, pump stations or other equipment that may require specialty coatings or full time
coating inspection. A similar beginning -to -end approach, as described above would be used for
these projects. Coating services, other than for pipeline coatings, would be provided by our
subconsultants identified above. Mr_ Schilling is familiar with state-of-the-art coating products,
application methods and performance requirements. He has prepared many specifications and
his experience will ensure high quality materials and application as well as minimize change
orders. Through CSI Services, DeC can provide qualified inspectors for these projects. As you
know, full time inspection by qualified inspectors is a critical part of a reservoir corrosion
protection system. CSI can also provide periodic tank coating inspections services.
Corrosion Training and Standards
It is important to have clear standards for corrosion control and monitoring installations on pipelines
and other facilities to ensure the consistency of new installations on all City facilities. It is not known
if the City has such standards at this time. If reviews andlor modifications of existing standards are
needed, or new standards need to be developed, DeC can provide this service. We have prepared
similar standard documents, including drawings, specifications and O&M manuals. The approach for

this service would be to fully evaluate the City's needs as well as their customs and successful
practices. With this information, good engineering practice standards would be developed.
Additionally, both Mr. DeCado and Mr. Geving can provide training seminars for City personnel on
various water industry corrosion control topics.
PROJECT ORGANIZATION AND KEY PERSONNEL
DeC's staff is competent, efficient and works very well together. All of DeC's people will provide
important contributions to the success of the City of Huntington Beach, As -Needed Corrosion
Engineering Project. Full resumes of key DeC personnel are attached as Appendix "A." The
organization of our proposed project team is straightforward and is charted in Appendix "B." Brief
backgrounds of each of the key DeC project team members listed on the chart are given below.
P1jnr:iTaf-In=C.har_Q - Mr. Eugene A. DeCado, RE will be the principal -in -charge. Mr. DeCarlo has 32
years of corrosion engineering and project management experience, including managing water district
corrosion control programs at the Otay WD, Sweetwater Authority and Moulton Niguel WD. For the
last 22 years (including 16 as principal of DeC Consultants Inc.), he has focused on water and
wastewater industry corrosion issues. Career experience includes: corrosion research, laboratory
and field corrosion studies, liaison for international cooperative corrosion program, expert witness
investigation and testimony, and project manager and principal corrosion engineer for many CP
design projects.
Project Ma—� — The Project Manager and person directly in charge of the implementation and
scheduling of the day -today work will be Mr. Randy Geving, P.E Randy is DeC's Engineering
Manager. He holds a BSMetE (metallurgical engineering) degree from California State Polytechnic
University at San Luis Obispo and is a registered professional corrosion engineer in California. He has
been with DeC for over four years and has accomplished a number of major water industry tasks.
Mr. Geving will be the direct contact for the City's project engineer. He will be in charge of preparing
scope and fee estimates, maintaining project direction and budget and assigning and scheduling tasks.
Randy and Mr. DeCarlo will also provide QC review for all corrosion control design documents.
Prior to joining DeC, Randy was a metal lurgicahcorrosion engineer for Unocal. He worked for the Brea
Research Division for seven years with responsibilities that included cathodic protection design and
troubleshooting, failure analysis, metallurgical examinations and materials selection. While at the Brea
Research Center, Mr. Geving provided consulting and testing services for Unocal's offshore,
manufacturing, geothermal and chemical divisions. Randy was assigned to the Unocal Pipeline
Division for two years where he worked on cathodic protection, pipeline integrity and non-destructive
testing projects. His final three years was with the Unocal\Tosco Los Angeles Refinery.
Randy currently manages the Otay Water District Corrosion Control Program which will conclude at
the end of October. He also has been responsible for all of our inspection and failure analysis projects
as well as several water district CP design projects. His projects include CP troubleshooting for
several pipelines and reservoirs, corrosion control design for pipelines, reservoirs and pump stations
and material selection reviews. Randy was also the project corrosion engineer for the Orange County
Ground Water Recovery Project.
Design Engineers — Assisting Mr. Geving will be Mr. Robert Perks and Mr. Sean Tercheck. Mr. Perks
will provide design assistance and direct most of the field testing tasks. Rob holds a MS degree in
Ocean Engineering from Florida Atlantic University. He studied under Dr. William Hartt, a prominent
corrosion researcher, and did his thesis on various aspects of corrosion initiation of reinforcement in

concrete. Rob is DeC's project manager for the Olivenhain Municipal Water District (OMWD)
Corrosion Control Program. Rob has been instrumental in organizing data from over 30 steel pipelines,
24 rectifiers and 750 test stations within OMWD. Rob has also completed several CP projects.
Mr. Terchek is DeC's newest engineer. Sean comes to us from Columbia Gas Company where he
was a project engineer for several gas development projects. He worked with Columbia's corrosion
division where he became familiar with gas industry cathodic protection methods and corrosion
monitoring systems. Sean also conducted integrity assessment studies for Columbia in which assets
were evaluated on the basis of their production, corrosion status, risk of failure and consequences of
failure. This assessment was used to prioritize the company's maintenance resources.
Can Drafter — Mr. George Medina will provide vital assistance. Mr. Medina performs several
functions at DeC. He is our AutoCAD design drafter, our Mapinfo programmer and primary operator
and our computer network administrator. Mr. Medina is an expert with AutoCAD 2002.
Project Arlministratinn — Project administrative assistance, such as scheduling, cost tracking,
preparation of status reports, invoicing and administrative functions would be the responsibility of Ms.
Sally Stewart who is DeC's business manager. Sally's experience with technical project
management is a major benefit to DeC's overall operations. Her talents will be an important factor in
the smooth implementation of this work.
Mr. Steve Agor of Tetra Tech, Inc. will provide any necessary civil,
mechanical or electrical engineering design or support that is required to install corrosion protection
facilities. Mr. Agor, who is familiar with Orange County permitting processes, will also assist DeC in
obtaining any necessary permits_
Specialty coating specification preparation, if needed, will be done by Mr. Made Schilling. Mark is an
independent consultant with whom DeC has worked on several occasions. He was a senior staff
engineer for Exxon/Mobil and for KTA-Tator Consultants. He was also a research chemist for Unocal
Corporation, Science and Technology Division.
Coating inspection tasks would be accomplished by CSI Services, Inc. as a subconsultant to DeC.
Coordination of inspection work would be done by Mr. Bang Barman. Mr. Barman is certified as a
coating specialist and has provided both project management and coating inspection for over 250
water storage tank coating projects. CSI has inspectors that are fully qualified by SSPC and NACE

In addition to providing provided professional services to over 400 clients, Dec has completed
over 600 projects on pipelines, storage tanks, treatment plants, pump stations and concrete
structures of various sizes. These projects include over 1,000 miles of pipelines, 17 major

tasks completed as part of this work will be pipeline related. DeC has participated numerous
pipeline projects. These projects have included alignment corrosivity studies, CP system testing
and evaluation, CP design and data management. Our key pipeline projects are described below
under "Similar Projects." A partial list of DeC's pipeline projects is attached as Appendix "C."
DeC's pipeline projects have been done directly for pipeline owners as well as for prime civil
engineering consultants to water industry clients. We have worked for most of the major civil
engineering firms in Southern California. Some of these clients are identified in the specific
project experience presented below and in Appendix " D."
Oneli.ne_Inspection, Monitoring and Integrity Assessment — The integrity assessment of pipelines
is becoming more important as the nations infrastructure ages. DeC has assisted several clients
in the inspection and evaluation of the condition and remaining life of pipelines and has helped
prepare prioritized cost estimates for the allocation of maintenance and capital budget resources.
Rpeline Data Management and Data Collection — DeC has two special programs that may be of
use to the City. These are the Corrosion Data Management System (CDMS) and the Corrosion Data
Collection (CDS) service. These programs are available to assist the City with corrosion data
management and collection. Additional information would be provided on the CDMS if requested.

years with technical committees and symposia in national, regional and local branches of NACE
International, formally the National Association of Corrosion Engineers. DeC's principal is also a

Commitment -- DeC Consultants, Inc. has the knowledge, ability and resources to provide the
corrosion engineering services outlined in the RFP. The City has the commitment of DeC's principal
and president, Mr. EA. DeCarlo, P.E, to provide the mutually agreed upon services in a timely,
professional and efficient manner.
Insurance — DeC carries general liability, workers' compensation and professional liability policies in
the amounts indicated in the RFR If selected, insurance certificates will be provided.
Hourly Filling Rates — Appendix "I_ is the billing rate schedule for all DeC staff categories for the
year 2005. Reimbursables are billed at cost plus 10%. Subconsultant fees would be billed at the
rates indicated in Appendix Ewhich reflects DeC's actual cost plus 5%.
CnnflnCtS of Interest — None of DeC's employees of subeonsultants are related to or have any
business relationship (other than consulting) with City of Huntington Beach personnel.
Additionally, DeC has no conflicts with inventoried cathodic protection products. We do not sell
or install CP systems. DeC does, however, provide a corrosion test station repair services. We
do not believe that this is a conflict.
Fear, for Individual Tacks — DeC anticipates that each and every task performed by DeC will be
defined by a detailed scope and not -to -exceed fee which have been proposed by DeC and approved
by the City.
Quality Assurance Program — Quality assurance is a very important issue to DeC. We are committed
to producing high quality consulting services and engineering reports and documents. One indication
that our QA program is working is by our strong reputation and by the fact that a large percentage of
our work is repeat business. DeC is very proud of our reputation and of the clients that we serve.

DeC has specific procedures and requirements for quality and completeness review of all documents
generated. All reports, drawings and specifications are reviewed by two people in addition to the
author. This includes a technical review and an editodallformat review. Frequent edits and re -plots
are a common practice and are required until all documents are as error -free as possible. Final reports
and drawings require signature approval by the designated QC reviewer. All reports and proposals are
reviewed by the principal.
Proposal Validity Period -- This proposal of professional services is valid for a period of 60 days.
City of Huntington Rearh Standard Form of Agreement — The Sample Contract (for Design) which
was attached to the RFP has been reviewed. We find the contract to be acceptable for the most part
but take exception and would request reconsideration of the following paragraphs.
Paragraph 7 — DeC agrees that materials prepared for the City as part of this project belong to
the City. However, we do not feel that these materials should be used for anything except the
specific project for which they are intended. If the City chooses to apply these materials to other
projects, we would expect that DeC would be released from all liability for their re -use. Paragraph 7
should be modified to include this release_
Paragraph 9 (final paragraph) — DeC fully intends to maintain professional liability insurance
for as long we are in business. Furthermore we intend to be in business for a very long time. We will
make every effort to maintain similar insurance beyond two years after all City of Huntington Beach
projects are complete if, for any reason, this period extends beyond the date that DeC Consultants
Inc. closes business with the condition that this insurance is available for a reasonable cost.

Orange County Water and Sanitation District Ground Water Replenishment Program -
Principal Investigator a detailed pipe materials investigation. Conducted a detailed review of
piping material, including alloys and linings, suitable for handling large volumes of RO
permeate. The selection of pipe materials capable of resisting deterioration is high purity water
is critical to the success of this project.
Metropolitan Transit Development Board — Design engineer for the stray current monitoring
and mitigation system for the East Mission Valley LRT, San Diego State University Tunnel
segment. The analysis included an evaluation of conventional stray current mitigation methods
used on overpasses for both NATM and cut and cover tunnel segments. A unique approach
involving the determination of the tunnel's stray current activity signature was developed.
City of San Diego, Point Loma Waste WTP — Project lead in inspection of 84-inch north
effluent connection to the Point Loma outfall pipeline. The inspection consisted of both a visual
and ultrasonic thickness assessment of the pipeline internal surfaces. The general integrity of the
pipeline internal lining and above -grade shotcrete coating was also assessed.
Metropolitan Transit Development Board — Consultant to Washington Infrastructure to
observe and evaluate the stray mitigation system testing on the East Mission Valley LRT.
Testing includes the La Mesa and Grantville conventional reaches as well as the SDSU Tunnel
segment.
Otay Water District — Project engineer responsible for defining and
cathodic protection program. Project includes reviewing and evaluating.
control facilities for both piping and reservoirs, as well as defining futur

leaks within the District. Developed a retrofit action plan to minimize the number of future leaks on

Olivenhain Water District/Santa Fe Irrigation District — Designed corrosion control systems

Sea World San Diego — Project corrosion engineer for the development of the Journey to
Atiantis attraction. Project included a complete review of materials used in the constantly wet

manatees pool at SeaWorld. Potential profile identified the extent of the rebar that was
actively corroding beyond that which was obvious from spalling and rust bleed.
• Corrosion testing experience: soil resistivity, pipeline potential survey, cathodic protection
evaluation, pipeline continuity testing (Linear Resistance Method); cathodic current
requirement testing; and evaluations of stray current interference using field data logger.
• Helix Water District — Conducted stray current interference survey of a main HWD
transmission main that paralleled the San Diego Trolley. Data was captured and
downloaded with a data logger and evaluated for stray current influence from Trolley
movements.
• Corrosion Restoration Technologies Work Experience --design and installation of a thermal
sprayed zinc cathodic protection system for corrosion damaged condominium balconies
including establishing continuity, system installation, start up and testing.
• Florida Atlantic University Experience —development of threshold chloride to hydroxyl
valves for improvement of concrete mixes to be used in coastal structures; participated in
corrosion assessment of coastal bridges and structures.
• Conducted numerous Wenner 4-pin resistivity surveys for the assessment of the corrosivity
of pipeline alignments and for other buried structures.
• Provided detailed assessment of tank corrosion for structural analysis purposes; testing
analysis included an ultrasonic thickness survey of the tank's shell and an analysis using

Schedule, but only with respect to liability arising out of
"your work" for that insured by or for you.

applies:
SECTION IV. 5.Other Insurance is replaced by the
following:
5, Other Insurance,
The insurance afforded by this Coverage Part is
primary insurance and we will not seek contribution
from any valid and collectible "other insurance"
available to the insured unless the
valid and collectible "other insurance" is provided by
a person or organization who is not shown in the
schedule. Then we will share with that valid and
collectible 'other insurance" by the method described
below.
If all of the valid and collectible "other insurance"
permits contribution by equal shares, we will follow
this method also. Under this approach, each insurer
contributes equal amounts until it has paid its
applicable limit of insurance or none of the loss
remains, whichever comes first,
if any of the valid and collectible "other insurance"
does not permit contribution by equal shares, we will
contribute by limits. Under this method, each
Insurer's share is based on the ratio of its applicable
limit of insurance to the total applicable limits of
insurance of all insurers.
