STATEMENT OF ISSUE:
fffii Cgliforgia Bepartment of Transportation is requesting a service agree-
ment with the City to test and certify controllers for the ongaing' H*E,S.
traffic signal projects.
RECOMMENDATION:
Approve the attach,id service agreemvr,-�� .2ror testing and certification of
controllers as part of original plans aril specifications.
ANALYSISs
The Mty Council has previcusly approved 'Che Eels.�:tion of a consultant to
desicjn plans and specifications for the modification of existing traffic
signals at said Intersections. The design includes the upgrading of
Coldenwest and Warner frora two phases to eight phases which incJudes
protected left -turn chases. The design for Brookliurs-tC. and Adamu Includes
dual left -turn lanes arid ovarhead left -turn indications.
In addition, the City Council previously approved the plans and specifica-
tions for this project. The City Council has also approved the Public
Works Department to advertise for bids. The City has received approval
on this project from the California Departxent of Transportation, since
CalTrans administers all Federal funds used for highway purposes.

THIS AGREEM3NTt made and entered into on this 23rd day of
$@lot '!lr 1982, by and between the CITY OF HUNTINGTON BEACHp
a body politic and a municipal corporation of the State of
California, hereinafter referred to as "LOCAL AGENCY", and the
STATE OF CALIFORNIA, acting by and through the Department of
Tranoportation, hereinafter referred to as ASTATEr.
WtTNESSETII:
WHEREAS, LOCAL AGENCY contemplates improvement at the inter-
section of Warner Avenue at Golden West street and Adains Avenue at
Brookhurst street; modifying traffic signals and channelizatiOn,
hereinafter referred to as PROTFCT"; and
WHEREAS, LOCAL AGENCY has requested and STATE is wfiling to
furnish engineering services for said PROJECT provided all cost5
incurred by STATE on behalf of LOCAL AGENCY are borne at the
expense of LOCAL AGENCY; and
WHEREAS, LOCAL JAGENCI and STATE desire to specify herein the
conditions nndc�r which STATE services are to b2 providcd for and
financed.

NOW, THEREFORE, in considezation of the covenants and
conditions herein contained, the parties hereto agree to as
follows:
SECTION T
STATE AGREES:
1. To perform the following engineering services as
authorized by Section 131 of the Streets and Highways Code;
provide materials testing service, including sour-!e inspection
for the constnuction phase of PROJECT.
2. Prior to commencement of engineering work by STATE
personnelp to establish a special account to accumulate all
related expenses and charges for ail wr�rk performed an behalf
of LOCAL AGENCY pursuant to this Agreement.
3. The funding for work to be performed under this
agreement is as followE:

with the services provided pursixant to this Agreement.
SBCTIOM II
LOCAL AGENCY AGRIM:
1. To do all work necessary for the successful completion
of the PROJBCT except for that work which STATE has agreed to
perform in Section I of this Agreement or by separate agreement#
2. To depocit with STATE# in advance and within 14 days of
receipt of billing thereforp the amauaL of $910.00 which figure
represents the total estimated cost less anticipated Federal
Reimbursement of engineering services to be performed by STATE on
behalf of LOCAL AGENCY pursuant to V".Ls Agreement.
3. apon completien by STATE of all engineering services
performed on behalf of LOCAL AGENCI ind upon receipt of a detailed
statement and billing therefor, to reimburse STATE promptly, any
amount ove.- and above funds deposited by LOCAL AGENCY as defined
bereinabove, required to complete LOCAL INGENCY's cost pursuan't to
this Agreement. Ac--,ual cost*. to LOCAL AGENCY for work performed by
STATE cn behalf of LOCAL AGENCY as defined hereinabove in Section I
Article (4) will be determined upon completion of all such work and,
final acc(junting of all related charges, and shall be a sum of the
following:
a. Salary costs computed in accordeuice with STATE's
standard accounting procedures.

b. Travel and*per them expenses including charges for the
use by such employees of STATE vehicles, if required,
in accordance with rates set up by the State Board of
Control RulLs under Title 2, Section 706.
c. Functional indirect and administrative overhead costs
computed i�.- accordance with STP.TE'S Accounting Manual
Chapter A, Table 6-2.
d. Less any Federal Reimbursement paid directly to �,TATB
for engineering services provided pursuant to this
agreement.
SECTION III
IT IS MUTUALLY UNOERSTOOD AND AGREED:
1. That, LOCAL AGENCY may, at any time, or for any reason,
terminate STATE'S services inunediately and shall notify STATE in
writing of such termination.
2. That LOCAL AGENCY will indeninify and save STATE, its
officers, agents and employees harmless from any and all liability
for injuries to rersons or damage to property caused or esulti4q in
any nianner fi:csm %"--he performance of any se-rvices by I.Or-AL AGENr-"A'
personnel within the scope of this Agreement.
3. That STATE will indemnify and sa,rp LOCAL AGEN�Y, its
officers, agent---- and employees harmless from any and all liability
for injuries to persons or damage to property caused or resulting in
any maniter from the perforinance of any services by STATL personnel
within the scope of this Agreament:

4. That should any portion of the PROjECT be f-inanced with
Foderal Funds or Gas Tax 'Vunds, all applicable procedures and
policies relating to the us-i of such funds shall apply, notwith-
standing other provisions of this Agreement.
IN WIT14ESS WHEREOF, the parties hereto have c;auned this
Agreeldent to be executed by their reopective officern, duly
authorized, the provisions of which Agreement are effective as
of the day, month and y,--ar first hereinabove written.
