HOPKINS, PE, DIRECTOR OF PUBLIC WORK SUBJECT: Approve Amendment No. 1 to an Agreement Between DLT&V Engineering Systems &'iControls, Inc. and the City for SCADA System Upgrades Statement of Issue, Funding Source, Recommended Action, Alternative Action(s), Analysis, Environmental Status, Attachment(s) Statement -of Issue: The FY 2007/08 professional services list provides $210,000 for design, project management, inspection, and testing for the Sewer Fund Telemetry. A contract for similar work related to the water system was awarded in April 2008. The proposed amendment increases the contract amount to cover the scope of services for the sewer system work. Funding Source: The FY 2007/08 budget provides $27,815 in Sewer Service Fund CIP account 51189003.82600 (Telemetry — Sewer Improvements). Recommended Action: Motion to: 1. Approve and authorize the Mayor and City Clerk to execute Amendment No. 1 to Agreement between the City of Huntington Beach and DLT&V Systems Engineering. Alternative Action(s): 1. Do not approve the amendment and instruct staff on how to proceed. REQUEST FOR CITY COUNCIL ACTION MEETING DATE: 9/15/2008 DEPARTMENT ID NUMBER: PW 08-67 Analysis: A Supervisory Control and Data Acquisition (SCADA) system is employed by the Public Works Utilities Division to remotely monitor and control water production, sewer lift station and flood control station facilities. In July 2007, DLT&V was awarded a contract to perform upgrade work on the City's Sewer SCADA system. Work under that contract was completed in March 2008. In April of 2008, DLT&V was again selected utilizing the City's professional services process to perform similar upgrade work on the water system SCADA. This work is underway. Both the water and sewer SCADA systems are being upgraded in stages. As part of the planned upgrades, a pilot project for the sewer system SCADA was included in the original professional services submittal for FY 2007/08. The pilot project will provide engineering, programming and integration for the Wastewater SCADA system that is associated with the upgrade to a new sewer lift station controller. This will include the development of new Human -Machine Interface (HMI), graphic windows to visually monitor the controller, confirm communications and alarming, and configure the historical database. Strategic Plan Goal: C-2 - Provide quality public services with the highest professional standards to meet community expectations and needs, assuring that the city is sufficiently staffed and equipped overall. THIS AMENDMENT is made and entered into by and between the CITY OF HUNTINGTON BEACH, a California municipal corporation, hereinafter referred to as "City," and DLT & V SYSTEMS ENGINEERING, INC., an Arizona corporation hereinafter referred to as "Consultant." 2.f WHEREAS, City and Consultant are parties to that certain agreement, dated April 1;�,, 2008, entitled "Professional Services Contract Between the City of Huntington Beach and DLT & V Systems Engineering, Inc. for Water Utility SCADA System Upgrade," which agreement shall hereinafter be referred to as the "Original Agreement," and City and Consultant wish to amend the Original Agreement to set forth additional work to be performed by Consultant and additional compensation to be paid to Consultant by City, NOW, THEREFORE, it is agreed by City and Consultant as follows: 1. Responsibilities of Others 1.0 The CITY shall provide DLT&V one (1) MultiTrode and necessary hardware to establish commmunications to the RTU. The RTU will be returned upon completion of the Factory Acceptance Test (FAT) or upon client request. 2.0 The CITY shall furnish an 1/0 listing and control description of the MultiTrode. Exclusions and Exceptions 1.0 DLT&V will not obtain any permits. 2.0 Should a condition exist, at no fault of DLT&V, that interrupts or prevents DLT&V from providing contracted services, DLT&V may cease work until the condition(s) are remedied. At the client's request, DLT&V may provide assistance to remedy the delaying condition(s), charged on a time and materials basis. 3.0 Excessive work interruption(s) by others that delay the provision of contracted services by DLT&V may result in additional service charges billed on a time and materials basis. Billing Rates and Payment Terms 1.0 Please refer to the attached Proposal Worksheet(s) for our hourly rates, expenses, and labor -hour breakdown. Any additional services requested by CLIENT that are not included herein will be charged at our Standard Hourly Rates as shown on the attached Proposal Worksheet(s). This proposal will be valid for the next ninety (90) days. We will bill you on a monthly basis for these services. Payment terms are Net 30 days. If you have any questions, please contact us at your earliest convenience. 2.0 The hourly rates quoted in this proposal will be valid through December 31, 2009. The hourly rates will increase approximately 5% for each year this proposal is in effect and under contract. Terms and Conditions DLT&V Systems Engineering, Inc. shall perform the services outlined in this agreement for the stated fee arrangement. Access To Site: Unless otherwise stated, DLT&V Systems Engineering, Inc. will have access to the site for activities necessary for the performance ofthe services. DLT&V Systems Engineering, Inc. will take precautions to minimize damage due to these activities, but has not included in the fee the cost of restoration of any resulting damage. Dispute Resolution: Any claims or disputes made during design, construction or post -construction between the Client and DLT&V Systems Engineering, Inc. shall be submitted to non -binding mediation. Client and DLT&V Systems Engineering, Inc. agree to include a similar mediation agreement with all contractors, subcontractors, sub -consultants, suppliers and fabricators, thereby providing for mediation as the primary method for dispute resolution between all parties. . Billings/Payments: Invoices for DLT&V Systems Engineering, Inc. services shall be submitted, at DLT&V Systems Engineering, Inc.'s option, either upon completion of such services or on a monthly basis. Invoices shall be payable within 30 days after the invoice date. If the invoice is not paid within 30 days, DLT&V Systems Engineering, Inc. may, without waiving any claim or right against the Client, and without liability whatsoever to the Client, terminate the performance of the service. Late Payments: Accounts unpaid 60 days after the invoice date may be subject to a monthly service charge of 1.5% (or the legal rate) on the then unpaid balance. In the event any portion, or all of an account remains unpaid 90 days after billing, the Client shall pay all costs of collection, including reasonable attorney's fees. Indemnification: The Client shall, to the fullest extent permitted by law, indemnify and hold harmless DLT&V Systems Engineering, Inc., its officers, directors, employees, agents and subconsultants from and against all damage, liability and cost, including reasonable attorney's fees and defense costs, arising out of, or in any way connected with the performance by any of the parties above named of the services under this agreement, excepting only those damages, liabilities or costs attributable to the sole negligence or willful misconduct of DLT&V Systems Engineering, Inc. Certifications: Guarantees and Warranties: DLT&V Systems Engineering, Inc. shall not be required to execute any document that would result in its certifying, guaranteeing or warranting the existence of conditions whose existence DLT&V Systems Engineering, Inc. cannot ascertain. Limitation of Liability: In recognition of the relative risks, rewards and benefits of the project to both the Client and DLT&V Systems Engineering, Inc., the risks have been allocated such that the Client agrees that, to the fullest extent permitted by law, DLT&V Systems Engineering, Inc.'s total liability to the Client for any and all injuries, claims, losses, expenses, damages or claim expenses arising out of this agreement from any cause or causes, shall not exceed our fee. Such causes include, but are not limited to, DLT&V Systems Engineering, Inc.'s negligence, errors, omissions, strict liability, breach of contract or breach or warranty. Termination of Services: This agreement may be terminated by the Client or DLT&V Systems Engineering, Inc. should the other fail to perform its obligations hereunder. In the event of termination, the Client shall pay DLT&V Systems Engineering, Inc. for all services rendered to the date of termination, all reimbursable expenses, and reimbursable termination expenses. Ownership of Instruments of Service: All reports, plans, specifications, computer files, field data, notes and other documents and instruments prepared by DLT&V Systems Engineering, Inc. as instruments of service shall remain the property of DLT&V Systems Engineering, Inc. DLT&V Systems Engineering, Inc. shall retain all common law, statutory and other reserved rights, including copyright thereto. Software Development: In no event will DLT&V Systems Engineering, Inc. be responsible or liable for indirect or consequential damages resulting from the use or misuse of the programs written, debugged, or serviced by DLT&V Systems Engineering, Inc. for programmable logic controllers, operator interface terminals, human -machine interface application software, or other programmable devices. The Client or End User agrees that DLT&V Systems Engineering, Inc. shall be held harmless from any claims, obligations, or liabilities including but not limited to special, indirect or consequential damages arising out of or in connection with the use or performance of the software. Record Documents: Upon the Client's request and upon completion of the Work, the DLT&V Systems Engineering, Inc. shall compile for and deliver to the Client a reproducible set of Record Documents based upon the marked -up record drawings, addenda, change orders and other data famished by the Contractor. These Record Documents will show significant changes made during construction. REQUEST FOR CITY COUNCIL ACTION MEETING DATE: 4/21/08 DEPARTMENT ID NUMBER: PW 08-22 Analysis: A Supervisory Control and Data Acquisition (SCADA) system is employed by the Public Works Utilities Division in order to remotely monitor and control water production, sewer lift station and flood control station facilities. Most importantly, the SCADA system provides alarms in the event of security system activation or equipment failure. Beginning in 1999, the Utilities (Water) Division began the task of upgrading the water and flood control SCADA systems to a spread spectrum radio and PC based platform. By 2000, the system was installed and operational. It has been far more reliable than the old system, which was run via telephone lines. In 2005, the position of SCADA Coordinator was created and in 2006, a Technician position was reclassified, so two full-time staff positions are now dedicated to operating and maintaining the SCADA system. In addition, Water Production stand-by personnel are able to monitor water production and flood control facilities and respond to alarms 24-hours a day, seven days a week. This project will upgrade the current water SCADA system that runs on a single computer workstation to a system that is deployed over a computer server network. This will provide a more robust system built with the next generation of the software already in use. Most importantly it offers higher security with full redundancy. A Request for Proposals (RFP) for the project was developed and distributed. Using a qualification -based selection process, staff selected DLT&V Engineering & Controls, Inc. of Irvine. The bid for the services is $294,265 which is more than $25,000 and more than 25% than the original budgeted amount and, therefore, City Council approval is required to revise the professional services list. Sufficient funds are available in the account for the full amount. HOLD HARMLESS CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless CITY, its officers, elected or appointed officials, employees, agents and volunteers from and against any and all claims, damages, losses, expenses, judgments, demands and defense costs (including, without limitation, costs and fees of litigation of every nature or liability of any kind or nature) arising out of or in connection with CONSULTANT's (or CONSULTANT's subcontractors, if any) negligent performance of this Agreement or its failure to comply with any of its obligations contained in this Agreement by CONSULTANT, its officers, agents or employees except such loss or damage which was caused by the sole negligence or willful misconduct of CITY. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as limitation upon the amount of indemnification to be provided by CONSULTANT. 9. PROFESSIONAL LIABILITY INSURANCE CONSULTANT shall obtain and furnish to CITY a professional liability insurance policy covering the work performed by it hereunder. This policy shall provide coverage for CONSULTANT's professional liability in an amount not less than One Million Dollars ($1,000,000.00) per occurrence and in the aggregate. The above - mentioned insurance shall not contain a self -insured retention, "deductible" or any other similar form of limitation on the required coverage except with the express written consent of CITY. A claims -made policy shall be acceptable if the policy further provides that: A. The policy retroactive date coincides with or precedes the initiation of the scope of work (including subsequent policies purchased as renewals or replacements). B. CONSULTANT shall notify CITY of circumstances or incidents that might give rise to future claims. CONSULTANT will make every effort to maintain similar insurance during the required extended period of coverage following PROJECT completion. If insurance is terminated for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two (2) years to report claims arising from work performed in connection with this Agreement. 4 08-1445/19692 10. CERTIFICATE OF INSURANCE Prior to commencing performance of the work hereunder, CONSULTANT shall furnish to CITY a certificate of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverage as required by this Agreement; the certificate shall: A. provide the name and policy number of each carrier and policy; B. state that the policy is currently in force; and C. promise that such policy shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty (30) days' prior written notice; however, ten (10) days' prior written notice in the event of cancellation for nonpayment of premium. CONSULTANT shall maintain the foregoing insurance coverage in force until the work under this Agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverage shall not derogate from CONSULTANT's defense, hold harmless and indemnification obligations as set forth in this Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of the policy of insurance. CONSULTANT shall pay, in a prompt and timely manner, the premiums on the insurance hereinabove required. 11. INDEPENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor herein and not as an employee of CITY. CONSULTANT shall secure at its own cost and expense, and be responsible for any and all payment of all taxes, social security, state disability insurance compensation, 5 08-1445/19692 unemployment compensation and other payroll deductions for CONSULTANT and its officers, agents and employees and all business licenses, if any, in connection with the PROJECT and/or the services to be performed hereunder. 12. TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and whether or not the PROJECT is fully complete. Any termination of this Agreement by CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided herein. In the event of termination, all finished and unfinished documents, exhibits, report, and evidence shall, at the option of CITY, become its property and shall be promptly delivered to it by CONSULTANT. 13. ASSIGNMENT AND DELEGATION This Agreement is a personal service contract and the work hereunder shall not be assigned, delegated or subcontracted by CONSULTANT to any other person or entity without the prior express written consent of CITY. If an assignment, delegation or subcontract is approved, all approved assignees, delegates and subconsultants must satisfy the insurance requirements as set forth in Sections 9 and 10 hereinabove. 14. COPYRIGHTS/PATENTS CITY shall own all rights to any patent or copyright on any work, item or material produced as a result of this Agreement. 15. CITY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement. SECTION HEADINGS The titles, captions, section, paragraph and subject headings, and descriptive phrases at the beginning of the various sections in this Agreement are merely descriptive and are included solely for convenience of reference only and are not representative of matters included or excluded from such provisions, and do not interpret, define, limit or describe, or construe the intent of the parties or affect the construction or interpretation of any provision of this Agreement. 20. INTERPRETATION OF THIS AGREEMENT The language of all parts of this Agreement shall in all cases be construed as a whole, according to its fair meaning, and not strictly for or against any of the parties. If any provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be unenforceable, void, illegal or invalid, such holding shall not invalidate or affect the remaining covenants and provisions of this Agreement. No covenant or provision shall be deemed dependent upon any other unless so expressly provided here. As used in this Agreement, the masculine or neuter gender and singular or plural number shall be deemed to include the other whenever the context so indicates or requires. Nothing contained herein shall be construed so as to require the commission of any act contrary to law, and wherever there is any conflict between any provision contained herein and any present or future statute, law, ordinance or regulation contrary to which the parties have no right to contract, then the latter shall prevail, and the provision of this Agreement which is hereby affected shall be curtailed and limited only to the extent necessary to bring it within the requirements of the law. 08-1445/19692 21. DUPLICATE ORIGINAL The original of this Agreement and one or more copies hereto have been prepared and signed in counterparts as duplicate originals, each of which so executed shall, irrespective of the date of its execution and delivery, be deemed an original. Each duplicate original shall be deemed an original instrument as against any party who has signed it. 22. IMMIGRATION CONSULTANT shall be responsible for full compliance with the immigration and naturalization laws of the United States and shall, in particular, comply with the provisions of the United States Code regarding employment verification. 23. LEGAL SERVICES SUBCONTRACTING PROHIBITED CONSULTANT and CITY agree that CITY is not liable for payment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. CONSULTANT understands that pursuant to Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for CITY; and CITY shall not be liable for payment of any legal services expenses incurred by CONSULTANT. 24. ATTORNEY'S FEES In the event suit is brought by either party to construe, interpret and/or enforce the teens and/or provisions of this Agreement or to secure the perfonnance hereof, each party shall bear its own attorney's fees, such that the prevailing party shall not be entitled to recover its attorney's fees from the nonprevailing party. GOVERNING LAW This Agreement shall be governed and construed in accordance with the laws of the State of California. 27. ENTIRETY The parties acknowledge and agree that they are entering into this Agreement freely and voluntarily following extensive arm's length negotiation, and that each has had the opportunity to consult with legal counsel prior to executing this Agreement. The parties also acknowledge and agree that no representations, inducements, promises, agreements or warranties, oral or otherwise, have been made by that party or anyone acting on that party's behalf, which are not embodied in this Agreement, and that that party has not executed this Agreement in reliance on any representation, inducement, promise, agreement, warranty, fact or circumstance not expressly set forth in this Agreement. SCOPE OF SERVICES DLT&V Systems Engineering's approach for the City of Huntington Beach Water Utility SCADA System Upgrade is based on the following objectives: ❖ To deliver a functioning and capable water SCADA system that meets all Huntington Beach project requirements. ❖ To design an architecture of object -based SCADA infrastructure that is easy to maintain and can accommodate RTU change -outs in the future (e.g., Murphy RTUs). ❖ To develop a system that leverages our work done on the Wastewater SCADA upgrade project. ❖ To establish a relationship with the City of Huntington Beach and on -going support so that the system maintains peak performance for years to come. We have identified 74 tasks to implement the SCADA upgrade over a period of 18 months. Workshops are intended to be productive with measurable results and scheduled to . minimize burden on City Staff. DLT&V will coordinate all workshops and follow-up with summaries and action items. The first workshop is a Needs -Based Assessment to identify requirements of the project and align team members on common goals. Since the Water SCADA system includes Control functionality, we will need a good understanding of operations. The Design portion for this project is therefore measurably longer compared with the Wastewater SCADA upgrade. DLT&V has invested a significant amount. of engineering in ArchestrATM Templates. These "base objects" will enable us to rapidly build an Infrastructure and accurately model your wells, reservoirs, pumps stations and flow control stations. Based on an object -oriented approach, these objects will become a component library for the City to leverage for future projects. Our proposal includes the development of .16 ArchestrATM objects to represent your wells, pump stations, reservoirs, as well'as communication and redundancy objects. Objects will be designed, reviewed and tested under a detailed Functional Specification as DLT&V has done for the Wastewater project. The existing HMI application (version 8.0) will be upgraded to Wonderware IAS® 3.0. Historical data will be imported into the new Industrial SQL Server TM so that you can trend and report data prior to the new SCADA installation. Once the architecture is approved, DLT&V will build the SCADA system and assemble a pilot at the Irvine Office. Factory Acceptance Testing and initial operator training will be performed at the Irvine Office. Feedback is integral to our Quality Management Plan and provides opportunity for operators to "kick the tires" and achieve early acceptance. Included in this proposal is greater management of historical data: 1. Ability to over -ride field values as you do now, but whose logic is fully encapsulated into the object rather than on a tag -by -tag basis. 2. Ability to correct historical values in the Industrial SQL.Server0 database. The existing SCADA approach to "field over -ride" consists of three tags to represent a single device value. This results in about 10,000 total tags in the system, with only 30% actual 1/0. Once logic and HMI screens are verified and passed QA (FAT #1), servers and workstations will be locked -down using IPSec per ISA SP99, US Department of Homeland Security and NISCC 2005 - Firewall Deployment for SCADA and Process Control Networks. The system will then be tested again. This regression testing (FAT #2) is essential so that communications and components that often break due to the higher security are identified and resolved prior to implementation. DLT&V will plan the switchover to minimize downtime. Contingencies will be developed in the event of difficulty. We have accounted time in the schedule to verify each field point (about 3,200) in the system from RTU to HMI. This will provide an opportunity to double check existing 1/0 settings that may have been over -looked until now. DLT&V will deliver an Operations and Maintenance manual so that City staff can train new operators and troubleshoot the system. The SCADA network Visio® drawing will be expanded to include As -Built wiring and field RTUs. Our intent is to keep the two reporting systems (WP and WW) separate, but still have the same look and feel. The system leverages the latest Microsoft® ASP.NET, AJAX, web services and charting components for highly rich reporting styles. Charges for time during travel are normally not reimbursable and will only be paid if such time is actually used in performing services for CITY or as otherwise arranged with CITY. 2. CONSULTANT shall be entitled to a full payment toward the fixed fee set forth herein in accordance with the following: See attached fee proposal 3. Delivery of work product: A copy of every memorandum, letter, report, calculation, and other documentation prepared by CONSULTANT shall be submitted to CITY to demonstrate progress toward completion of tasks. In the event CITY rejects or has comments on any such product, CITY shall identify specific requirements for satisfactory completion. 4. CONSULTANT shall submit to CITY an invoice for each progress payment due. Such invoice shall: 1) Reference this Agreement; 2) Describe the services performed; 3) Show the total amount of the payment due; 4) Include a certification by a principal member of CONSULTANT's firm that the work has been performed in accordance with the provisions of this Agreement; and 5) For all payments include an estimate of the percentage of work completed. . Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is making satisfactory progress toward completion of tasks in accordance with this Agreement, CITY shall approve the invoice, in which event payment shall be made within thirty (30) days of receipt of the invoice by CITY. Such approval shall not be unreasonably withheld. If CITY does not approve an invoice, CITY shall notify CONSULTANT in writing of the reasons for non -approval and the schedule of performance set forth in Exhibit "A" may at the option of CITY be suspended until the parties agree that past performance by CONSULTANT is in, or has been brought into compliance, or until this Agreement has expired or is terminated as provided herein. 5. Any billings for extra work or additional services authorized in advance and in writing by CITY shall be invoiced separately to CITY. Such invoice shall contain all of the, information required above, and in addition shall list the hours expended and hourly.rate charged for such time. Such invoices shall be approved by CITY if the work performed is in accordance with the extra work or additional services requested, and if CITY is satisfied that the statement of hours worked and costs incurred is accurate.
