WITNESSETH Whereas the City of Huntington Beach engaged Brinkerhoff and Associates to provide certain services for Oak View, Lake View and Sun View Parks; and Whereas, it now becomes necessary to amend said Contract for Services; now Therefore, it is hereby agreed as follows: 1. That Hope View Neighborhood Park shall be an additional design project having an estimated construction cost of $42,500. 2. All other provisions of said contract shall remain in full force and effect. DON P. 13OiVFA City ttorn ^° City of Hr intington Beach, a Municipal Corporation, By awvq C Mayor Brinkerhoff and Associates F11 ORIVP'L COPY for Rio MD 1 CONTRACT FOR V CLERK 2 ARCHITECTURAL 'SERVICES 3 4 THIS AGREEMENT by and between the CITY.OF HUNTINGTON 5 BEACH, a municipal corporation of the State of California, herein.- 6 after called CITY, and DONALD BRINKERHOFF ASSOCIATES, hereinafter 7 called LANDSCAPE ARCHITECT, 8 W I T N L S S E T H 9 WHEREAS, CITY proposes to construct 0ak View" Lake View 10 and Sun View Parks; and 11 ARCHITECT is a landscape architectural firm, the princi 12 pal members of which are fuly regif3tered under the laws of the 13 State of California; and 14 The Director of Public Works is the rep-esentative of 15 CITY,, 16 NOW, THEREFORE, IT IS MUTUALLY AGRE,;.-_, between the 17 parties hereto that; 18 1. ARCHITECT shall prepare and furnish to CITY com- 19 plete and ready for use, all necessary studies, sketches, sche- 20 matics,, estimates, working drawings, and specifications,; shall 21 check shop drawings, catalog cuts, material lists as submitted by 22 the construction contractor; shall furnish consultation and 23 advice as requested by CITY during construction, Including super- 24 visicn and evaluation of specified tests as further defined here 25 in (but not including the day-to-day supervision of the construc- 26 tion work) and ;shall furnish all other architectural and engi 27 neering services, as specified hereinafter and required for Oak 28 View, Lake View and Sun View Parks having an estimated combined 29 construction cost of One Hundred Thirty-seven Dollars 30 ($137,000.00) and :fiore specifically set forth in Exhibit "A" en- 31 tit'ed "Scope of Work to be Accomplished,1P attached hereto, and 32 made a part hereof. ARCHITECT agrees to design facilities which 1. 1 11can be constructed within the amount hereinabove set forth. 2 The project design shall conform to all applicable city code 3 requirements. ARCHITECT shall :also conform to the technical 4 instructions as issued by the Director of PuLli.c Works, 5 If, after receipt of competitive bids, it is found that 6 construItion contract cannot be awarded within the aforementioned 7 lestimated construction cost, ARCHITECT will, as a part of this 3 Agreement arid, at no additional cost to CITY, perform such re- 9 design, re -estimating, and other services as may, in the opinion ],0 of the Director of Public Works, be required to produce a usable 11 facility within the estii;:a_ted construction cost. In connection 12 with the foregoing, ARCHITECT shall be obligated to perform such 13 additional services at no increase in contract p,%ize only when 14 CITY has received competitive bids ,iithin six (C) months from the 15 date of final approval of plans and specifications. 16 2. All drawings, designs, specifications, and other 17 incidental architectural and engineering work or materials 18 furnished hereunder shall be and remain the property of CITY, and 19 may be used by CITY as it may require, without any additional 20 cost to CITY. 21 3. ARCHITECT shall, if necessary, visit the site and 22 shall hold such conferences with representatives of CITY and take 23 such other action as may be necessary to obtain the data upon j 24 which to develop thv design showing the contemplated project in 4 25 accordance with the followings 25 (a) Schematic'DesUn:_Phase: The schematic design 27 phase shall include conferences with CITY departments concerned 28 an(., preparation of schematic sketches based upon the CITY'S pro- 29 gram for the function and scope of the project. It will include 30 a scope estimate of costs This phase shall be submitted to the 31 Director of public � .`ks for signature approval within thirty (30) 32 calendar days from the date of approval of this agreement by CITY �e M. j1 .A s , 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 29 30 31 32 and ARCHITECT (b) Design Development Phase: Upon approval of the schematic design phase, the ARCHITECT shall complete the design development phase to include the development of design, site plans, elevations and other drawings with outline specifications cover- ing the project, and including structural ,mechanical, and elec- trical systems and equipment, as are necessary to integrate the design, explain the project fully, and enable a preliminary estimate of construction cost. This phase shall be submitted {,o the Director of Public Wt Ks for signature approval within sixty I(60) days after approval of the schematic design. ARCIITECT shall change the design development >.ans for the project to the extent necessary to meet the requirements of the Director of Public Works. After approval by signature of the Director, the ARCHITECT shall submit design development plans to the Director. (c) ' The Construction Docurdents Phase: After ap- ,proval of the design development phase plans and estimates, ARCHITECT shall proceed with the preparation of complete working 'drawings and specifications as required by the Director of Public Works for the construction of said project. An original and five copies of the working drawings, specifications, and estimates shall be delivered to the Director of Public Works within ninety (00) calendar days after approval of the design development phase. After working drawings and specifications have been approved by CITY, as indicated by the signature thereon of the Director, ARCHITECT shall submit sets of prints of the approved working drawings and sets of the approved specifications as may be re- quired by the Director. 4. Such tracings as are delivered shall 2 be signed by the Director as an indication of approval thereof ,3 and shall become; and remain the property of CITY. 4 °1 5. ARCHITECT shall perform and provide architectural, 5 irrigation, engineering and other pertinent services in con 6 nection with the studies, designs and the preparation of drawings 7 and specifications, but said services shall not, unless otherwise 8 stipulated, include borings, soil tests, topographic surveys, 9 test piles and pits, or supervision of construction work executed 10 from the drawings and specifications, provided, however, that 11 ARCHITECT shall furnish upon request and without additional com- 12 pensation, such amplifications and explanations and attend such 13 conferences as may, in the opinion of the Director of Public Works 14 be necessary to clarify the intent of the drawings and specifi- 15 cations and shall afford the benefit of his advice on questions 16 that may arise in connection with the construction of the project. 17 6. ARCHITECT shall without additional fee correct or 18 revise the drawings and specifications if the Director of Public 19 Works finds that such revision is necessary to correct errors or 20 defi,iencies for which ARCHITECT is responsible. 21 7. All services to be rendered hereunder shall be sub- 22 ect to the direction and ap proval pproval of the Director of Public 23 Works. Approval by said Director of drawings, designs, specifi- 23 cations and other incidental_ architectural and engineering work 25 or materials furnished hereunder shah. not in any way relieve 26 ARCHITECT of responsibility for the technical, adequacy of the 27 work. 28 8. The cost to CITY for the aforementioned axchitec - 29 tural and engineering services shall not exceed the followings 30 (a) For architectural and engineering services, 31 the fee ahall be at the hourly rate to a maximum of eight per- 32 cent (8%) of app.,.jved construction budget. 4. The cost for the work, including the fees and re.- imbursement items will be billed by ARCHITECT to CITY monthly at the hourly rates set forth in Exhibit "A," entitled "Scope of Work to be Accomplished," and to the extent that the reim- bursable items are incurred, said bills to be submitted to the Director of Public Works for his approval before payment may be made by City Finance Director. Such bills will be payable upon receipt and approval, provided that payment of the basic fee shall not exeed the following percentages of the total at the following stages of work: 'Design: (a) Schematic Design Phase 15% (b) Design Development Phase 35% (c) Construction Document Phase 80% (d) Upon award of construction con- tract or not more than 180 days after (c), whichever occurs first 90% (e) Upon completion of construction, 100% 10. ARCHITECT will keep accurate accounting records of time 'ancl expenditures, which records will be available for inspection by CITY at reasonable times. 11. The following items of work, when requested by CITY will be billed at cost. Included are blueprint expenses, soil tests, consulta:it engineering other tan irrigation engiw nee.-ing, surveying, artists renderings, obtaining or paying for permits or other out of pocket expenses. 12. CITY may, at any time,, by written order of the Director of Public Works, make any changes in the services to be performed hereunder. Any claim for adjustment under this Article must be made in writing to the Director of Public Works with in thirty (30) days from the date the change is ordered.; provided, nowe.ver, said Director, if he determines the facts justify suel's action, may receive and con- sider and adjust any such claim ELsserted at any time prior to the date of final settlement of the contract. 13. Wi.irever herein the artji.on of the Director of Public Works is required, a representative of said Director, (designated in writing, may act on his behalf. 14. CITY 'ray cancel this Agreement upon written notice to ARCHITECT and shall thereafter be liable for fees and costs accrued to date of the receipt of notice by ARCHITECT but not to exceed the maximum set forth in paragraph 9 hereinabove, and for no other fees or costs. "General. Furni,', complete preliminary and final design and contract documents, including plans and specifications for subject projects. The work shall include but not be limited to the following: A. Land use study that will consider design criteria park theme and character. B. Spatial relatioships and grouped activity areas. C. Accass, circulation, parking and pedestrian systems. D. Operational planning to accommodate ease of main- tenance. E. Provision of all consulting services, including irrigation engineering, irrigation and topography incorporation. II . C'os't' Limi't'at'icns . Design the parks and ancillary structures to the following cost limitations: A. Oak View Park - $66,752 excluding play equipn�nt B. Lake View Park - $35,000 excluding play equipment C. S*-n. The Oak View project shall conform to the United States Departmenr, of Housing and Urban Development, Open Space Land Program, Title VII, Housing Act of 1961 as amended, Project No. OSC-•398, more specifi- cally described in 08 130 of the project a.pplic- atioY..
