Approval of the attached resolution and sale agreement with the Hamilton heirs" is necessary ;
to enable the City to acquire the 2.5 acre parcel within Phase III area of Huntington
Central Park.

ANALYSIS:
In April 1977, an appraisal of the subject property was secured by Locke Land Associates of
Long Beach which reflected a fair market value of $72,500. On September 6, 1977, the City
Cou�Yci7 approved Resolution #4517 for application of grant fund" under the Roberti-Z'Berg
Urban" Open Space and Recreation Program (SB 174) along with Negative Declaration, n77-124.
In June 1978, the City s original.grant request of $54,375 was amended to $81,257 of 'a
total estimated project cost'`from $72,500 to $108,343. In duly 1978, the State Department 5
of Parks and R:icreation approved the project agreement,

AGREE MENT FOR SALE OF REAL PROPERTY
THIS AGRELFNENT made and entered into this G3 E-^ day of

-RA MILTON, ET AL, the owners of the real property interest cor-eyed
hereby, hereinafter called "GRANTOR".
WIT. NESSETH
MREAS, on February 22, 1977, CITY did declare and find
tbat, it is in the public interest to acquire certain seal property F
interests for -public" park purpopes, by condemnation if necessary,
including the subji- t property herein; and
CITY has retained the servicea of MICHAEL P. LOCKE, A.S.A.
SRA,, as appraiser to establish the fair market value of said real
property; and. .
GRANTOR intends to convey all of the property interests.

agreement,
NOW, THEREFORE, the parties hereto mutually covenant and

1. GROTOR agrees to sell and CITY agrees to purchase the'
subject property on the south side of Taylor Drive;, 66n feet'

3. GRANTOR agrees anal warrants that the signatures
affixed hereto and on the Grant Deed are those of all the owners of
subject property, and that title conveyed to CITY shall be `a good
and marketable title, 'free and clear of all liens., encumbrances,
defects, or burdens, except:
a. Conditions, covenants, and restrictions of

record; and
b. Recorded easements and rights of way.
4, The subject o' Yex°ty shall not be sold by Ci 'Y, or r
otherwise transferred in any; manner whatsoever, including but not,
limited to a long-term lease in excess of twenty (20) years or a
land sale contract, without givirxg the right of first refusal to
:GRANTOR to repurchase said property for the sum of S"VENTY-FIVE`
THOUSAND DOLLARS ($75,000.00)`.
It is the understanding of the parties hereto that this
property is being acquired by CITY for a public park I.i the event
this property is -iot used for a public park within two (2) years from
the date of purchase, or the specfic use terminates for any reason r
w hat'-oever, GRANTOR has the sole and exclusive tight to purchase said
property from CITY for the sum of SEVENTY-FIVE THOUSAND DOLLARS
($75 000.00) .
5. Closing shall be handled by any reliable escrow company ,
or by such escrow established through FIRST ;AMERICAN 'TITLE COMPANY,
or by such other arrangements as mutually agreed upon by the parties
hereto. {
6. Title as herein required shall be evidenced by a
Standard California Land Title Association Policy of Title Insurance "
Coverage issued by FIRST AMERICAN ':TITLE INSURANCE CO�WFf. .Such policy
c shall be effective as of the date of closing, and; shal, be in the
amount of the 'purchase price herein, and insure CITY for the interest,
conveyed by said Grant Deed and this Agreement.

8. CITY shall bear all of the. following costs : recording
fees, escrow fees, notarial fees, documevtary and transfer Zees, if
any, 'title insurance fees, mortgage reconveyance :fees, and costs of
drawing said documents. GRANTOR shall bear all costs, if- any, to
convey marketable title to CITY. All taxes and assessments: due as of:
the date of closing, but nct'then delinquent', shall be pro-rated as of
the date of closing, and MANTOR bears those prior thereto, and. CITY
bears those thereafter. Delinquencies shall be the ;ole ,responsibility
of GRANTOR.
9. Each party warrants that the persons signing herein have
the power :and authority to bind said party, and does so bind said party,
its heirs, assigns, personal represertativcc or other, successors in
interest. The` singula- shall include the plural, and the masculine
the feminine, and vice-versa, as used herein.
10. Time is of the essence La this Agreement and each party
shall execute all documents necessary to effectuate the intent 14ex�iri.
