Recommended Action: MOTION TO: Approve Amendment No. 1 to Agreement to Provide Staffing Services to the City of Huntington Beach from Employment Systems, Inc. and authorize the Mayor and City Clerk to execute the agreement. �3 FD 03 003 ESI Contract MMRS -2- 31512003 3:46 PM RE•EST FOR COUNCIL ACTIOP MEETING DATE: March 17, 2003 Alternative Action(s): DEPARTMENT ID NUMBER: FD 03-003 Deny the execution of the agreement to lease personnel from ESI and hire a permanent employee to provide administration and management of the City's Weapons of Mass Destruction Metropolitan Medical Response System program (MMRS). Analysis: On September 4, 2001, the City Council approved entering into an eighteen (18) month contract with DHHS for $400,000 to develop a MMRS program (Attachment 3). The requirements of the program were to provide a comprehensive plan, specialized equipment, and training needed to manage WMD incidents within the City and County. The contract specified that DHHS would pay the City as the eleven (11) deliverables specified in the contract were met. The City had from September 2001 to March 2003 to achieve the deliverables and receive the full $400,000 in funding. To develop the WMD plan the City entered into an agreement with ESI to lease personnel to provide administration and management of the program under direction of the Fire Department Emergency Services Office. At this time all program deliverables have been met and the $400,000 in funding has been received and deposited into the appropriate City account. The final program requirements include the development of a comprehensive response capability for WMD incidents, purchase of specialized equipment and pharmaceuticals, and training for all City personnel. On January 7, 2002, the City Council approved extending the existing DHHS contract from the original eighteen (18) month period (September 2001 to March 2003) to thirty-nine (39) months (September 2001 to December 2004) (Attachment 4). This allows for completion of the above program requirements. An additional $200,000 in funding was offered by DHHS to complete these elements of the program. The amendment to the contract also required the City to complete a continuation and sustainment template for the plan and ensure operational readiness of the MMRS. Now that the original contract deliverables have been completed, the next step is to proceed with completion of the amended contract deliverables and finalization of the City's ability to respond to WMD incidents. ESI personnel have performed very well in the administration, management, and implementation of the MMRS program. At this time it is requested that the ESI Agreement be extended to ensure the continuity of the program and completion of contractual obligations with DHHS. Environmental Status: None. THIS AMENDMENT is made and entered into the /i day of . 2003, by and between the CITY OF HUNTINGTON BEACH, a California municipal corporation, hereinafter referred to as "City," and EMPLOYMENT SYSTEMS, INC., a California corporation, hereinafter referred to as "ESI." WHEREAS, Cite and ESI are parties to that certain agreement, dated September 4, 2001, entitled "Employment Systems, Inc. Agreement To Provide Staffing Services To The City Of Huntington Beach." which agreement shall hereinafter be referred to as the "Original Agreement." and City and ESI wish to amend the Original Agreement to allow ESI to provide additional staffing services to City, and for City to provide additional compensation to ESI for such staffing services. This rate is based on current ESI costs and is subject to change when costs change due to factors which are beyond the control of ESI (such as insurance, payroll tax, etc.). Any adjustments made will be commensurate with increased costs to ESL and must be pre -approved in writing by CITY. The total amount of fees paid to ESI under this Agreement shall not exceed the amount of funding provided therefor and received by CITY from the United States Department of Health and Human Services. This program will provide a comprehensive plan, specialized equipment and training needed to manage weapons of mass destruction incidents within the City and County. Funding Source: The U.S. Department of Health and Human Services is offering the City of Huntington Beach $400,000 in funding for administration of the program, equipment purchases and medical supplies to manage weapons of mass destruction incidents. No general fund expenditures or matching funds are required. Recommended Action: MOTION TO: 1) Approve and authorize the Fire Chief/Information Systems Director to execute the United , States Department of Health and Human Services eighteen -month contract for $400,000, for Development of a Metropolitan Medical Response System (MMRS); 2) Approve and authorize the Mayor and City Cleric to execute an eighteen -month Employment Systems, Inc. (ESI) agreement for $100,000 to provide qualified staffing resources for the management and supplemental staffing for the project. 3) Approve a change to the standard indemnification language in Article 5 of the Employment Systems, Inc. Analysis:- In 1997, after numerous hearings on the increased threat of terrorist incidents on U.S. soil, the United States Congress passed legislation providing funding to enhance the capability of federal, state, and local emergency responders in incidents involving nuclear, biological, and chemical terrorism. The 120 most populated U.S. cities were offered funding to enhance their ability to respond to and manage such emergencies, referred to as Weapons of Mass Destruction (WMD) incidents. At this time, the U.S. Department of Health and Human Services (DHHS) is offering $400,000 in funding for the City of Huntington Beach to develop a Metropolitan Medical Response System (MMRS) Program. The MMRS system will enhance the City's capability to respond to and manage Weapons of Mass Destruction incidents. The funding resources and project deliverables will also supplement the Orange County Operational Area's ability through the existing mutual aid system. The MMRS Program will provide equipment and training to address areas such as: command; identification of weapon materials (chemical, biological, etc.); safe extrication of victims from a contaminated zone; decontamination of victims; triage and primary care; antidote administration; movement of patients; surveillance and early identification of biological attacks; providing proper care in the field and in hospitals; appropriate decontamination and disposition of the deceased; on -site recovery, decontamination and clean-up; protection of the environment; safety measures for emergency responders; and appropriate response by mental health workers for employees, victims, their families, and the community. In order to qualify for the $400,000 funding, the City of Huntington Beach must enter into a contract with the DHHS (Attachment 1). DHHS will pay the City as the eleven (11) deliverables specified in the contract are met. The City will have eighteen (18) months to achieve the deliverables and receive the full $400,000 funding. The Fire Department's Office Of Emergency Services has been working closely with the County of Orange and the cities of Anaheim and Santa Ana (the other two qualifying agencies in Orange County) in the development of a MMRS Program for Orange County. At this time, the first five (5) of the eleven (11) deliverables have been completed by the County and the cities of Anaheim, Huntington Beach, and Santa Ana. The DHHS contract provides all necessary costs for administration and management of the program. Contract funding will be available after October 1, 2001. To provide management of this program, the Fire Department will assign an existing Fire Captain to a forty -hour week for three (3) to six (6) months for a total DHHS funded cost of fifty thousand dollars ($50,000). In addition, qualified staffing resources will also be obtained during the eighteen (18) months through an Employment Systems, Inc. The approved Certificates of Insurance for Liabilities and Workers' Compensation are attached to the ESI Agreement. The ESI Agreement contains an indemnification provision (Article 5), which does not comply with the City's indemnification requirements. Essentially, under the indemnification provision, ESI agrees to indemnify the City for payroll, employee health benefits, and workers' compensation related issues, and the City agrees to indemnify ESI for all claims arising out of the services performed by ESI employees working under this Agreement. Due to the unique nature of this Agreement (wherein ESI leases its employees to the City and the City supervises and directs their activities), the fact that the Agreement's indemnification provision does not comply with the City's indemnification requirement does not pose any serious concern to the City staff. ESI has provided excellent service to the City, under the parties' previous agreements, with no problems of any kind: and the parties enjoy an excellent mutual working relationship. Therefore, due to the technical nature of this project, staff is recommending this sole source contract. The City's Police and Marine Safety Departments will join the Fire Department in the planning and training efforts required as part of the development of the MMRS Program. The funding will also provide for the purchase of personal protective equipment for public safety personnel, local hospitals, and antidotes for impacted and threatened victims. Specific equipment resources will be determined and purchased through the contract funding. Additional contract opportunities may exist after the completion of the proposed eighteen (18) month MMRS Contract, subject to federal funding and City of Huntington Beach performance. In the event of termination by CITY, ESI shall be paid for all services performed prior to the effective date of termination. 2.3 Specification of Services and Approval of Compensation. CITY may, by notice to ESI, accept, modify, or reject or terminate with or without cause the services and/or rate of compensation of any and all Employees leased to CITY in accordance with this Agreement. In the event of termination of services and/or rejection of the rate of compensation of any Employee leased to CITY, the lease made by this Agreement shall terminate as to such Employee, effective upon receipt by ESI of notice thereof. For purposes of business and financial accounting between the parties, this Agreement shall be deemed several as to each Employee and shall be deemed prorated on a daily or other periodic basis necessary to give effect to the manifest intentions of the contracting parties. 01agree/Employment Systens.1jmffin18/23/01 2 2.4 Employer Duties of ESL ESI shall (1) pay all wages and other remuneration to its Employees who are subject to this Agreement; (2) notify CITY of the current Payroll prior to each Pay Period; (3) prepare and file all Payroll tax returns and reports; (4) pay all amounts due and owing pursuant to the payroll tax returns and reports which are prepared and filed; (5) prepare, file, and furnish to Employees applicable Employee Tax Forms; and (6) prepare and file, with a copy to CITY, applicable Employer Tax Forms. In the event of termination of any Employee as provided by Paragraph 2.3, ESI shall provide placement assistance to that Employee by listing that Employee at no charge to the Employee in ESI's job listing service. 2.5 Duties of CITY. CITY shall (1) provide the workplace for all Employees subject to this Agreement; (2) maintain the workplace in strict accordance with applicable health and working standards and specifications; (3) comply with all safety engineering and governmental health and safety rules, regulations, directives, orders or similar requirements; (4) provide all required safety equipment; (5) for Employees located in California, take all actions necessary to establish and implement an injury and illness prevention program as required by the Occupational Injury Program Act, also known as Senate Bill 198, and codified at California Labor Code §6401.7; (6) post or provide employee notices required by law; and (7) notify ESI immediately of all Employee illnesses, accidents, injuries, and absences. 2.6 Workers' Compensation, Health, and Other Benefits. ESI maintains workers' compensation and employers' liability insurance of a form and in an amount as required by State law. ESI also shall provide various health and other benefits to Employees under a cafeteria plan which permits each Employee to choose the type of benefits he or she will receive. 2.7 General Liability Insurance. In addition to the workers' compensation insurance and employers' liability and ESI's covenant to indemnify CITY, ESI shall obtain and furnish to !CITY, a policy of general public liability insurance, including motor vehicle coverage covering the Agreement. The policy shall indemnify ESI, its officers, agents and employees, while acting within the scope of their duties, against any and all claims arising out of or in connection with the Agreement, and shall provide coverage in not less than the following amount: combined single limit bodily injury and property damage, including products/completed operations liability and blanket contractual liability, of One Million Dollars (S1,000,000.00) per occurrence. If coverage is provided under a form which includes a designated general aggregate limit, the aggregate limit must be no less than One Million Dollars ($1,000,000.00) for this Agreement. The policy shall name CITY, its agents, its officers, employees and volunteers as Additional Insureds, and shall specifically provide that any other insurance coverage which may be applicable to the Agreement shall be deemed excess coverage and that ESI's insurance shall be primary. Under no circumstances shall the above -mentioned insurance contain a self -insured retention, or a "deductible" or any other similar form of limitation on the required coverage. 2.8 Certificates of Insurance. Prior to commencing performance of the work hereunder, ESI shall furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverages as required by this Agreement; the certificates shall: 01 agree; Employment Systens� jmf/jn/8/23/01 3 C: .7 A. provide the name and policy number of each carrier and policy; B. shall state that the policy is currently in force; and C. shall promise that such policies shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty (30) days' prior written notice. ESI shall maintain the foregoing insurance coverages in force until the work under this Agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverages shall not derogate from the provisions for indemnification of CITY by ESI under the Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of all said policies of insurance. ESI shall pay, in a prompt and timely manner, the premiums on all insurance heremabove required. 2.9 Disposition of Plans, Estimates and Other Documents. ESI agrees that all materials prepared hereunder, including all original drawings, designs, reports, both field and office notices, calculations, computer code, language, data or programs, maps, memoranda, letters and other documents, shall belong to CITY, and shall be turned over to CITY upon termination of each ESI employee, or upon termination of this Agreement, whichever shall occur first. In the event this Agreement is terminated, said materials may be used by CITY as it sees fit. ARTICLE 3 COMPENSATION 3.1 Fee. CITY agrees to pay the hourly rates established in Exhibit "A." This rate is based on current ESI costs and is subject to change when costs change due to factors which are beyond the control of ESI (such as insurance, payroll tax, etc.). Any adjustments made will be commensurate with increased costs to ESI, and must be pre -approved in writing by CITY. The total amount of fees paid to ESI under this Agreement shall not exceed One Hundred Thousand Dollars ($100,000.00). 3.2 Payment Address. CITY may request ESI to perform additional services not covered by this Agreement, such as recruiting services, and ESI shall perform such additional services and will be paid for such additional services when they are mutually agreed to and made part of this Agreement by written amendment of the parties. ARTICLE 4 SUPERVISION OF EmmoiEES CITY shall supervise the daily activities of Employees. Employees shall discharge government responsibilities and perform in accordance with the ordinances, resolutions, rules, regulations, and procedures adopted by CITY. ESI shall have no control over such government responsibilities and such ordinances, resolutions, rules, regulations, and procedures. ARTICLE 5 INDENINIFICATION ESI shall indemnify, defend, and hold harmless CITY for the purposes of all required payroll deductions and withholdings, legally required workers' compensation insurance, and health benefits of the Employees. However, inasmuch as the CITY shall supervise the daily activities of the Employees, and inasmuch as the Employees will discharge government responsibilities and perform in accordance with the ordinances, resolutions, rules, regulations, and procedures adopted by CITY (I) ESI and its Employees shall be entitled to all protection and immunities of government employees, including without limitation, those provided in California Government Code, Title 1, Division 3.6, Claims and Actions against Public Entities and Public Employees; and (2) CITY does release and agree to indemnify, defend and hold harmless the Employees, ESI, and ESI's agents, personnel, directors, and officers from, any and all actions, claims, damages or injuries to persons or property, penalties, obligations or liabilities arising out of or related to the services performed under this Agreement. CITY shall have the right to audit and inspect ESI records and accounts covering costs under this Agreement for a period of two (2) years after termination of the Agreement. 6.5 City Employees and Officials. ESI shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement. No officer or employee of CITY shall have any financial interest in this Agreement in violation of the applicable provisions of the California Government Code. 6.6 Notices. The titles used in this Agreement are for general reference only and are not part of the Agreement. 6.9 Interpretation of this Agreement. The language of all parts of this Agreement shall in all cases be construed as a whole, according to its fair meaning, and not strictly for or against any of the parties. If any provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be unenforceable, void, illegal or invalid, such holding shall not invalidate or affect the remaining covenants and provisions of Agreement. No covenant or provision shall be deemed dependent upon any other unless so expressly provided here. As used in this Agreement, the masculine or neuter gender and singular or plural number shall be deemed to include the other whenever the context so indicates or requires. Nothing contained herein shall be construed so as to require the commission of any act contrary to law, and wherever there is any conflict between any provision contained herein and any present or future statute, law, ordinance or regulation contrary to which the parties have no right to contract, then the latter shall prevail, and the provision of this Agreement which is hereby affected shall be curtailed and limited only to the extent necessary to bring it within the requirements of the law. 6.10 Duplicate Ori inal. The original of this Agreement and one or more copies hereto have been prepared and signed in counterparts as duplicate originals, each of which so executed shall, irrespective of the date of its execution and delivery, be deemed an original. Each of the parties hereto shall retain an originally signed copy hereof. Each duplicate original shall be deemed an original instrument as against any party who has signed it. 6.11 Immigration. ESI shall be responsible for full compliance with the immigration and naturalization laws of the United States and shall, in particular, comply with the provisions of the United States Code regarding employment verification. 6.12 Attorne y's Fees. In the event suit is brought by either party to enforce the terms and/or provisions of this Agreement or to secure the performance hereof, each party shall bear its own attorney's fees. 6.13 Governing Law and Venue. This Agreement shall be governed by the laws of the State of California and any and all actions initiated under or as a result of this Agreement shall be brought solely and exclusively in a court of competent jurisdiction in the County of Orange, State of California and no other court. 6.14 Extent of Agreement. This Agreement represents the entire and integrated Agreement between CITY and ESI and supersedes all prior negotiations, representations or agreements, either written or oral respecting the subject matter hereof. At this time, the City of Huntington Beach does not have the equipment and comprehensive training required to respond to weapons of mass destruction emergencies. Analysis: In 1997, after numerous hearings on the increased threat of terrorist incidents on U.S. soil, the United States Congress passed legislation providing funding to enhance the capability of federal, state, and local emergency responders in incidents involving nuclear, biological, and chemical terrorism. The 120 most populated U.S. cities were offered funding to enhance their ability to respond to and manage such emergencies, referred to as Weapons of Mass. Destruction (WMD) incidents. At this time, the U.S. Department of Health and Human Services (DHHS) is offering $400,000 in funding for the City of Huntington Beach to develop a Metropolitan Medical Response System (MMRS) Program. The MMRS system will enhance the City's capability to respond to and manage Weapons of Mass Destruction incidents. The funding resources and project deliverables will also supplement the Orange County Operational Area's ability through the existing mutual aid system. The MMRS Program will provide equipment and training to address areas such as: command; identification of weapon materials (chemical, biological, etc.); safe extrication of victims from a contaminated zone; decontamination of victims; triage and primary care; antidote administration; movement of patients; surveillance and early identification of biological attacks; providing proper care in the field and in' hospitals; appropriate decontamination and disposition of the deceased; on -site recovery, decontamination and clean-up; protection of the environment; safety measures for emergency responders; and appropriate response by mental health workers for employees, victims, their families, and the community. In order to qualify for the $400,000 funding, the City of Huntington Beach must enter into a contract with the DHHS (Attachment 1). DHHS will pay the City as the eleven (11) deliverables specified in the contract are met. The City will have eighteen (18) months to achieve the deliverables and receive the full $400,000 funding. The Fire Department's Office Of Emergency Services has been working closely with the County of Orange and the cities of Anaheim and Santa Ana (the other two qualifying agencies in Orange County) in the development of a MMRS Program for Orange County. At this time, the first five (5) of the eleven (11) deliverables have been completed by the County and the cities of Anaheim, Huntington Beach, and Santa Ana. The DHHS contract provides all necessary costs for administration and management of the program. Contract funding will be available after October 1, 2001. To provide management of this program, the Fire Department will assign an existing Fire Captain to a forty -hour week for three (3) to six (6) months for a total DHHS funded cost of fifty thousand dollars ($50,000). In addition, qualified staffing resources will also be obtained during the eighteen (18) months through an Employment Systems, Inc.
