PROFESSIONAL SERVICES CONTRACT-26
PART I
ENVIRONMENTAL IMPACT PROFILES, hereinafter cal
Contractc-, hereby agrees to perform the following services
in accord4 ce with all pertinent guidelines set forth by the
State of Ca ;.fornia in the Public Resources Code Sections
21100-21107 !attorney General Reports, any pertinent guidelines
adopted by the local agency and the Guidelines for Environ-
mental Impact Reports as provided by the Resources Agency of
the State of California:
1. Provide a detailed statement of the environmental
impact of the proposed 120-unit planned development,
located south of Edinger and west of Trinidad Lane
and extending south to the westerly extension of the
channel presently under construction, hereinafter
called the proposed action (TT 5483)
2. Provide a detailed statement of any adverse environ-
mental effects which cannot be avoided if the proposal
is implemented.
3. Provide a detailed statement as to mitigation measures
proposed to minimize the impact.
4. Provide alternatives to the proposed action.
5. Provide a detailed 'statement of the relationship be-
tween local short-term uses of man's environment and
the maintenance and enhancement of long-term produc-
tivity.
b. Provide a detailed statement of any irrev,.-sible en-
vironmental changes which would be involvea in the
proposed action sh old it be implemented.
7. Provide a detailed statement of the growth -inducing
impact of the proposed action.
8. Provide -a detailed statement of the boundaries of the
area which may be significantly affected by the pro-
posed action,
9. Provide an indemnification policy in an amount suffi-
cient to protect the local agency from .any and all
claims which the agency may sustain or incur as a result
of the negligence of the Contractor, or Conti ctor'S
agents.
10. Provide a draft report for review by said Agency on or
before August 13, 1973, in 25 copies. The format in-
dicated in the Contractor's proposal shall be utilized.

11.
Substantive areas to be covered in the report include,
but are not limited to, the following: water quality
in the lagoon, water quality in the channels, debris
control in the lagoon, debris control in the channels,
facilities for _sanitary discharge from boats, storm
water disposal facilities, surface drainage problems,
air quality, noise generation, traffic analysis (auto-
mobile and boat), subsidence and liquefaction potentials,
sewage and solid waste disposal facilities (and other
public services), educational facilities (and other
community services), open space concerns, and biol,gi-
cal concerns (aquatic and terrestrial organisms).

Appear at two meetings of the Environmental Review Boai,d,
a Planning Commission meeting, and possibly a City .
Council meeting.

Provide representaty ,s who will appear with, and on
behalf of the Agency, whenever requested by Agency, at
meetings required relative to the Environmental Reports
reviews and/or hearings until and to 45 days after sub-
mittal of the formal EIR, or until said formal EIR is
approved by Agency, whichever occurs first.
14.
Provide a final EIR within two weeks of the Environmental
Review Board's public hearing. Such final EIR will be
in 25 copies and will include:
a. Written comments received on the draft EIR and min-
utes from the public hearing.
b. Responses to pertinent comments and communications
and reconciliation of problem areas, insofar as
possible.
c. Revisions to the Draft EIR, if _required.
PART II
The
City of Huntington Beach, heretofore and hereinafter
called the
Agency, in consideration of the foregoing services,
hereby ,agrees
to the following:
1.
To provide Contractox with copies of all environmental
studies and reports onducted to date, including the
environ.iiental impac'L statemccnts provided by any devel-
opers of the proposed action,
2.
To provide all existing data pertinent to the 'completion
of the final draft of the environmental impact report.

3. To seek cooperation from the Agency's developer in
providingaccess to the real: property which is the
subject matter of the proposed action and all infor-
mation or documents, studies; and/or reports pertaining
to the proposed development and to the completion of
the final draft of the environments_ impact report.
4. To provide a fixed fee to Environmental ?mpact profiles
for their professional services in the sum of not
more than $6,000.00 for the tasks outlined in Part I
Said fee includes administrative costs and shall be
paid to Environmental Impact: Profiles as follows:
a. 25% of fee forthwith as a retainer
b. 35% upon determination by the Secretary of the En-
vironmental Review Board that the draft EIR is of
sufficient quality to be sent out for review
c. 15% upon submission of the final EIR
d. 25% when the final EIR is accepted by the City.
PART III
The Contractor and Agency agree `.;o the further terms and
conditions set fort} in this Part 1a.i:
1. The Contractor shall keep all information and data re-
lating to or connected with the contract documents and
the work confidential in all respects, and shall not,
without prior written consent of the Agency, transmit
the information to third persons.
2. Contractor shall start work on the proposed action as
soon as notified in writing by Agency to do so
3. Agency may extend the time of completion and/or any of
the due dates specified herein upon written notice to
the Contractor. Without such written notice, no ex-
tension of time is valid.
4. In the event an action be brought for recovery of moneys'
due or to become due under this contract or by reason
of any breach of any covenant herein contained, the pre-
vailing party shall be entitled to all of the costs in
connection therewith, but not attorney'_s fees
S. Contractor warrants the accuracy of statements made in
their reports, that their report% shali be based upon

data believed to be accurate and correct and shall be
prepared in a professional and expertise manner.
6. Termination: Agency may terminate this contract upon
written notice to the Contractor.. Upon termination,
Contractor shall be entitled to be compensated in pro-
portion to the services performed to date of termina-
tion as per Part II, #5 herein. Upon: request,
Contractor shall make available and turn over to Agency's
possession all work done to date of termination relating
to the project herein.
7. For Agency, administration of this contract shall be
by the secretary of the Environmental Review Board or
his duly appointed .and authorized -representatives. All
notices from Contractor required herein must be written
and directed to said secretary or representative and
those from Agency must be by said secretary or his
representative to Contractor, to bind Agency.
