HomeMy WebLinkAboutENVISTA - 1974-01-18PROFESSIONAL Sj-RVICES CONTRACT PART I Envista, a California corporation_ hereinafter called the Contra tor, hereby agrees to prepare an Environmental Impact Report in accordance with'all, guidelines set forth by the State of California in the Public Resources Code Sections 2110-21107, Attorney General Reports, any pertinent guidelines adopted by the local agency and the Guidelines for Environmental Impact Reports as provided by the Resources Agency of the St.xte of California A. Provide a detailed statement :on the description of the project in conformance with 1S141 (Sections a, b, and c) of the guidelines. B. Provide a detailed statement setting forth a thorough description of the environmental setting of the proposed project, including an environmental description of the vicinity from both local and regional perspectives. C. Provide a detailed statement of the environmental impact of the Colony by the Sea in Huntington beach. Such report shall include: 1. A detailed statement of any adverse environmental effects which cannot be avoided if the proposal is implemented 2. A detailed statement as to mitigation mFa.sures proposed to minimize the impact. 3. Alternatives to the proposed action. 4. A detailed statement of the relationship between local short- term uses of man's environment and the maintenance and enhancement of long-term productivity. 5. A detailed statement of any irreversible environmental changes which would be involved in the proposed action should it be implemented. 6. A detailed statement of growth. -inducing impact of the proposed action. 7. A detailed statement of the boundaries of the a ,a which may be significantly affected by the proposed act..on. 8. All items included in Exhibit A, which is hereby made a part of this contract. 9. Any other information or data which may be required by the Environmental Review Board, in accordance with section 9721.1(e) of the Huntington Beach Ordinance Code, D. Provide copies and consultations 1. Provide a, draft EIR in 50 copies for <c--view by said Agency within six (6) weeks of the signing of this contrast. 2. Provide a final EIR within. two (2) weeks of the Environmental Review Board's public hearing. Such final. BIR will Lin 50 copies and will include; a. Written comments ,received on the draft EIR and comments from the public hearing. Responses to pertinent comments and communications and reconciliation of problem areas, insofar as possible. c. Revisions to the draft EIR, as required, 3. Appear at two (2) meetings of the Environmental Review Board, a Planning Commission meeting, anal possibly a City Council meeting. 4. Provide representatives who, will meet with and on. behalf of the Agency, whenever, requested by Agency, at meetings rerui.red relative to the Environmental Report's rev"ews and/or hear- ings until and to 45 days after submittal of the final EIR, or until said final EIR is approved by Agency, whichever occurs first. 5. Provide indemnification policy in an amount sufficient to protect the local agency from any and all claims which the Agency may sustain or incur as a result of the negligence of the contractor, or contractor's agents. PAIN II The City of Huntington Beach, heretowith and hereinaf.er called the Agency, in consideration of the foregoing services, hereby agrees to the following t 1. To provide contractor with copies of relevant environmental reports conducted to date for the City. Z. To provide all existing data pertinent to the completion of the final environmental impact report. 3. To seek cooperation from the Agency's developer in providing access to the real property which is the subject matter of the proposed action and all information or documents, studies any?/or reports pertaining to the propo.�.d development and to the completion of the environmental impact report. 4. To pay a fixed fee to Envista for its professional services a,n the sum of not more than $4,600.00 for tasks outlined in this contract. Said fee includes administrative costs. The fee shall be paid to Contractor per the schedule contained in Exhibit B, which is hereby made a part of this contract. PART I I T The Contractor and Agency agree to the further terms and condi_ tians set forth in this PART III: 1. The Contractor shall keep all information and data relating to or connected with the contract documents and the work confidential in all respects, and shall not, without prior written consent of the :Agency, publicize any information to third persons. 9 n 2. Contractor shall start work on the proposed action at the signing of the contract. 3. Agency may extend the time of completion and./or any of the due dates specified herein upon written notice to the Contractor. Without such written notice, no extension of time is valid. 4. In the event an action be brought for recovery of monies due or to become due under this contract or by reason of any breach of any covenant herein contained, the prevailing party shall be entitled to all of the costs in connection therewith. S. Contractor warrants the accuracy of statements made in its reports, that its reports shall be based upon data believed to be accurate and correct and shall be prepar^d in a professional and expert manner, 6. Termination: Agency may terminate this contract upon written notice to the Contractor. Upon termination, Contractor shall be entitled to compensation in proportion to the services performed to date of termination. Upon request, Contractor shall make available, and turn over to Agency's possession, all work done to date of termination relating to the project herein. 7. For Agency, administration of this contract shall be by the secretary of the Environmental Review Board or his du].}T appointed and authorized representative, 8. All notices from Contractor required herein must be written and directed to said secretary or representative and those from Agency must be by said secretary or his representative to Contractor, to bind Agency. The Contractor will provide an Environmental Impact Report in full compliance with the State Guidelines as amended on December 171 1973, and Cityordinances for the proposed 294- unit Planned Developemnt located on approximately 54 acres of land in the R2-PD-14 District at the southwest corner of Slater Avenue and Graham Street in the City of Huntington Beach. 2. The Contractor shall ,consult directly with the following persons or organizations concerned with environmental effects of the project: a. Public Agencies Orange County Flood Control District California State Division of Highways Orange County Health Department Orange County Sanitation District Orange County Road Department Federal Housing Administration California Regional Water Quality Control Board b. Quasi -Public Agencies General Telephone Company - Westminster Southern California Edison Company Southern California Gas Company C. Schools Huntington Beach Union High School District Ocean View School District d. City Departments City Engineer Fire Marshal Recreation and Parks Director Police Department Building Department Planning Department 3. Contractor shall include in the report a study of the economic impact upon,, the Ocean View Elementary and the Huntington) Beach Union High School Districts. i 1 4 Contractor shall include an. ,economic analysis (cost vs. revenue to the Gity of Huntington Beach) based upon the projected salves price of —the units proposed within this development.' This sales ir- formatioi is to be furnished to the Contractor by the City, as provided by the developer. AML 5. The Contractor shall provide a detailed statement of the impacts generated by this development upon the community's recreational areas. 6. The Contractor shall provide a detailed analysis of the traffic generated by the proposed 294-unit development and the effect of this traffic on air and noise quality. 7. The Contractor shall include in the EIR a comprehensive traffic study, to be prepared by the City traffic consultant conducting such analyses and to be r:rovided to the Contractor by the City. This report is to thoroughly describe the environmental impact of the deletion of Slater Avenue from the existing Master Plan of Arterial Streets and Highways. 8. The Contractor shall include in the report a list of all public agen(- es having jurisdiction over any portion of the project. 9. The Contractor shall include copies of all correspondence from all persons or agencies contacted concerning this project in the environmental impact report. EXHIBIT B SCHEDULE OF PAYMENT 1. 25% forthwith as a retainer. 2. 25% upon, determination by the Environmental Review Board that the Draft EIR is adequate for distribu- tion and review.' 3. 25 upon adoption of the Final EIR -by the Environmental Review Board 4. 25% upon acceptance of the Final EIR by the City. However, if Agen.c,, fails to act within -forty-five days (45) after the Final BIR has been submitted, ,the withheld fee shall be paid forthw -<h to Contractor.
