Is 12-26/156j AGREEMENT THIS AGREEMENT made and entered into by and between the CITY OF FOUNTAIN VALLEY, a municipal corporation, hereinafter called "FOUNTAIN VALLEY," the CITY OF HUNTINGTON BEACH, a municipal corporation, hereinafter called "HUNTINGTON BEACH," the CITY OF SEAL BEACH, a municipal corporation, hereinafter called "SEAL BEACH," the CITY OF WESTMINSTER, a municipal corporation, hereinafter called "FTFSTMINSTER," and the COUNTY OF ORANGE, a political subdivision of the State of California, hereinafter called "COUNTY," W I T K E S SETH: WHEREAS, the cities of FOUNTAIN VALLEY, HUNTINGTON BEACH, SEAL BEACH, WESTMINSTER and COUNTY maintain as part of their emergency services an organized and equipped fire depart— ment, charged with the duty of fire protection, rescue, para— medical and fire investigation services within the corporate limits of each of said cities and Midway City and Sunset Beach, the unincorporated area of the county; and WSA:MP:ahb 8/11/B0 WHEREAS, investigation has disclosed that it would be to the mutual benefit of each city and the county that the ser— vices of each fire department be in some circumstances extended outside of the corporate limits of each city and Midway City and Sunset Beach, the unincorporated area of county, and into the 1. other cities and county respectively; and WHEREAS, the parties hereto desire to enter into a mu- tual response pact, wherein in some circumstances one party will first respond to a fire, rescue or emergency medical incident within the corporate limits of the other cities and Midway City and Sunset Beach, the unincorporated areas of the county and con- versely and mutually the other cities and county will in some cir- cumstances respond first to involvements within the corporate limits of another city or the unincorporated area of the county; and WHEREAS, -the parties hereto desire to set forth their rights, duties and responsibilities with respect to said mutual response obligations, NOW, 'THEREFORE, for and in consideration of the covenants herein contained, performed and to be performed, the parties hereto agree as follows: z The parties hereto, pursuant to the authority granted by California Government Code section 55632 and subject to California Government Code section 55634, do hereby contract to respond to fire, rescue and medical emergencies and fire in- vestigations outside their corporate or unincorporated geographi- cal limitations, and within the corporate area of said cities or Midway City and Sunset Beach or unincorporated area of the others, In accordance with the terms and conditions as shall hereinafter appear. 2. II Each of the parties hereto will provide for fire company emergency response and coverage to geographical areas of the other cities and county, accompanied by a minimum of three men, including a company commander, under the terms and condi- tions as shall hereinafter appear. III Each of the parties hereto will provide paramedical service to geographical areas of the other cities and county, accompanied by a minimum of two certified paramedics under the terms and conditions as shall hereinafter appear. IV Each party respectively shall provide and maintain a sufficient self-insurance program or liability insurance to protect it from casualty losses by reason of the activities contemplated by this contract, and each party so insured shall provide each other party with a certificate of insurance, and shall cause their insurance carriers to have each other party jointly insured under any such liability insurance policy, to the extent of the activities contemplated by this contract. Each of the parties hereto respectively agrees, to the extent they may legally do so, to indemnify each other party against any final judgment awarding monetary damages resulting from its acts or omissions in the provision of fire and paramedic services pur- suant to this agreement arising under Government Code section 895.2 3• or otherwise except for liability resulting from the concurrent negligence of such other party or parties. In the event any party hereto is made a defendant in any action arising out of or in connection with this agreement, the party so served shall forthwith notify the other parties to this agreement of such service and supply such parties with copies of the summons and complaint. In the event Judgment is entered against the parties hereto as a joint tort feasor with any other party or parties hereto, any of the apportionment of monetary damages by way of final judgment shall be made by a court of compe- tent jurisdiction and each party waives the right to a jury ap- portionment. V Each city and county hereunder shall comply with the workmen's compensation laws of this jurisdiction without cost to the other cities and county, and each city and county shall pay its own personnel without cost to the other cities and county, said pay to include existing employee benefits such as vacation time, retirement, shift arrangements, health and accident in- surance, and such other benefits as exist in each city and county, all without cost to the others. VI Each of the parties hereto shall be fully responsible for all repairs, maintenance and upkeep of all equipment in use pursuant to this agreement, while said equipment is used outside 4. s of its geographical limitations, said repair and maintenance and upkeep to include gas, oil, lubrication, parts replacement and repair of casualty damage. Vi I It is understood and agreed by and between the parties hereto that only standard, interchangeable equipment will be used, pursuant to this agreement, and that in the event any equipment or fixtures are not standard or interchangeable, the same will be modified at the cost and expense of the city or county owning the equipment prior to the time that any of said equipment is used outside of the jurisdiction of the city or county owning said equipment, pursuant to this agreement. VIII It is further understood and agreed by and between the parties hereto that the paramedical service mutually agreed to be rendered pursuant to this agreement shall include fire and rescue services. Ix It is further understood and agreed by and between the parties hereto that each city and county will provide a pre- determined grid mapping system designating the response areas for each city and county, all of which shall be developed in each city and county at its own cost. X It is further understood and agreed by and between the 5. parties hereto that each city and county warrants and represents that it has sufficient equipment to handle the involvements which shall be assigned to it through the aforementioned agreed response pattern. It is further understood and agreed that each city and county shall provide the necessary police traffic control per— sonnel within its geographical boundaries, and that traffic light control, if any, shall be the responsibility of each city and county within its own geographical boundaries. XI I It is further understood and agreed by and between the parties hereto that, for the purposes of liaison and the adminis- tration of this contract, there is hereby designated the fire chiefs of each city and county who shall jointly be responsible for the administration of this contract. It is also understood and agreed that this responsibility may be delegated to agents or employees of the respective fire departments of the cities and county, and that each party shall furnish the others in writing the names and rank of all participating officers. XIII It is further understood and agreed that where a city or county responds outside its geographical boundaries or area that the other city and county will provide, when available, an officer of its department of the grade of battalion commander fi . ME or greater, who will be in charge and will direct activities. XIV This agreement shall remain in full force and effect from and after the date hereof, providing that the same may be terminated by any of the parties after giving written notice to terminate not less than ninety (90) days from and after the date of such notice. III Each city respectively shall provide and maintain a suitable liability insurance policy to protect it 2. from casualty losses by reason of the activities contem- plated by this contract, and each city shall provide the other with a certificate making the other cities joint insured under said liability insurance policy, to the extent of the activities contemplated by this contract. IV Each city hereunder shall maintain suitable workmen's compensation coverage for its own employees without cost to the other cities, and each city shall payroll its own personnel without cost to the other cities, said payroll to include existing employee benefits such as vacation time, retirement benefits, shift arrangements, health and accident insurance and such other benefits as exist in each city, all without cost to the others. XIV It is understood and agreed by and between the parties hereto that no money payments will be made between cities, that no charges will be assessed by any city against the others, and that each city shall be fully responsible for all of its costs in connection with the administration and performance of this contract. xv This Agreement shall remain in full force and effect from and after the date hereof, providing that the same may be terminated by any of the parties after giving notice in writing of its intention to terminate not less than ninety (90) days from and after the date of said notice. The intent is to drop the boundaries of the cities for the aforementioned purpose. This means that regardless of which city the fire is located in, the nearest engine company will respond to the fire alarm.
