AGREEMENT'FOR ,SALE AND EXCHANGE OF REAL PROPERTY
THIS AGREEMENT is made and entered into this 14th .day
of November, 1977, by and between THE CITY OF HUNTINGTON
BEACH, a municipal corporation, hereinafter referred to as
"CITY" and FOXX DEVELOPMENT CORPORATION, a California corpora -
Lion, hereinafter referred to as "FOXX".
The CITY agrees to sell 'FOXX the property described herein
under Exhibit "A" and :FOXX agrees to convey to CITY the property
described in Exhibit "B", plus the cash payment provided herein
for said property upon the following terms and conditions:
1. 'FOXX shall pay to CITY consideration in the amount
of Two Hundred and Four Thousand Dollars ($204,000) consisting
of:

in Exhibit "B", situated in Orange County, State of California,
said property as described in Exhibit "B" having an appraised

five Thousand Dollars ($175,000).

2. (a) On or before September 30,/ FOXX shall execute and
deliver a grant deed in a form satisfactory to CITY, conveying
the property described in Exhibit "B" to CITY, and simultaneously
therewith making payment of Twenty-nine Thousand Dollars ($29,000)
to CITY.
(b) Within twenty (_20) days thereafter, CITY shall
deliver a grant deed to FOXX conveying the property described

3. Simultaneously with delivery of the grant deed to
CITY, FOXX shall provide to CITY a standard California Land
Title Association policy of title insurance covering the property
described in Exhibit "B"; and CITY, simultaneously with deliver-
ing grant deed to FOXX, shall provide FOXX with the same type
of policy of title insurance for the property described in
Exhibit "A".
I4. Taxes shall be prorated to date of recording.
5. This Agreement is subject to the CITY obtaining a
release of all interest of the Federal Department of Housing
and Urban Development in the property described in Exhibit "A"

Statement of Issue, Recommendation, Analysis, Funding Source, Alternative Actions:
STATEMENT OF ISSUE:
On October 17, 1977 the City Council transferred the Department of Housing and Urban
Development (HUD) interest in the surplus 2.5 acre Taylor Park site to the adjacent
Terry Park site through adoption of Resolution #4534. On. November 14, 1977 the City of
Huntington Beach entered into an agreement with Foxx Development Company for the trade
purchase of the City -owned 2.5 acre surplus Taylor Park site for the 1.1 acre Foxx-owned
"Old Town" Park parcel. It has been discovered that the legal description of the
City -owned Taylor site was incorrectly written in Exhibit "A" of the "Agreement for Sale
and Exchange of Real Property."
RECOMMENDED ACTION:
That the City Council a) repeal Resolution #4534; b) adopt substitute Resolution #4685;
and, c) amend Exhibit "A" of the "Agreement for Sale and Exchange of Real Property"
between the City and Foxx Development Company, which was previously approved, to
substitute the correct legal description of the 2.5 acre surplus Taylor Park site.
ANALYSIS:
The City Council amended Resolution #4540 on September 18, 1978 in substituting the
correct legal description of the 2.5 acre surplus Taylor Park site to allow the deeds to
be executed in the City/Foxx trade purchase agreement between the surplus Taylor Park
site and a 1.1 acre parcel within "Old Town" Park. The HUD interest transfer has now
been approved by all parties and the property exchange can take place upon City Council
approval of the corrected legal description on the attached Agreement. Adoption of
substitute Resolution #4685 and repeal of Resolution #4534 will provide a clearer
description of the actions that have taken place by incorporating the City/Foxx
Agreement as Exhibit 1 of Resolution #4685.
FUNDING SOURCE:
Foxx Development Company to pay the City $29,000.

WHEREAS, the parties hereto entered into that certain Contract for
Grant No. OS-30(G), dated on or about April 2, 1964, (herein called
the "Existing Contract"), and
WHEREAS, the parties now desire to amend the Existing Contract:
NOW, THEREFORE, in consideration of the mutual covenants, promises
and representations contained herein and in the Existing Contract,
the parties hereto do agree as follows:

description in Section 2, The Program, and substituting in lieu

(herein called the "Contract"), identified as Contract No. OS-30(G), to be entered
into between yourself and the United States of America. I have also examined the
two counterparts of the Contract.
I have further examined that certain Resolution adopted by you on August 21,
1978, wherein the execution of the Contract was authorized.
I have made appropriate inquiry and I am satisfied that said Resolution is still
in full force and effect, that there is no pending or threatened litigation (either in
Federal or State courts) challenging your authority to enter into the Contract, and
that no legislation (either State or local) has been enacted which affects your
power or authority to enter into the Contract and carry out the Program set out
therein.
I am, therefore, of the opinion that you are authorized to enter into the
Contract, that it has been executed as authorized by said Resolution and by law,
and that, when the Contract has been executed by the Government, it will
constitute a valid, binding, and legal agreement between yourself and the

STATEMENT OF ISSUE:
On February 28, 1977 the City Council authorized the acquisition and
development of "Old Town" neighborhood park be funded from the State Park
1976 Bond funds. Negotiations, appraisals, purchases and agreements to
purchase have been ongoing the past 2z years in the City's effort to . B
acquire the S+ acre park site between Delaware and Huntington Streets.
RECOMMENDED ACTION:
That City Council approve the attached resolution, an application for 1976
State Urban and Coastal Bond Grant funds for the acquisition and develop-
ment of "Old Town" neighborhood park.
ANALYSIS:
Negotiations have been approved by the City Council for acquisition of
parcel 8. The City has purchased parcels 6, 7, 41, 42 and 43. Foxx
Development Company is willing to sell parcel 40 at a reasonable price,
which will require Council approval as a separate action. Eminent Domain
was filed in February 1977 on parcels 14, 1S and 16. These latter three (3)
parcel acquisitions plus development of the S+ acre site would be eligible
for State Park Bond reimbursement.
ALTERNATIVE:
Redirect the use of State Park Bond funds of 1976.
FUNDING SOURCE:
Park Acquisition and Development Funds with reimbursement from State Park
Bonds of 1976, up to $421,259.

STATEMENT OF ISSUE:
Negotiations, appraisals, purchases and agreements to purchase have been
ongoing for the past 2,12 years in the City's effort to acquire the 5+ acre
"Old Town" park site between Delaware and Huntington Streets, 350 feet south
of Yorktown. The subject parcel, owned by Foxx Development Company comprises
approximately 10,350 square feet (.24 acres) and can be purchased for $75,000.
RECOMMENDED ACTION:
That City Council authorize the City Right -of -Way Agent to offer $75,000 for
subject 4-plex lot (including a single family living unit) within the 8
authorized "Old Town" park site boundaries to Foxx Development Company.
ANALYSTS
The attached memo from Charles Davis, Right -of -Way Agent, indicates Foxx
Development Company is willing to sell the subject parcel for $75,000 and
has indicated in his best judgment that it is a good buy. Since 4-plex lots
are rapidly increasing in value in this area, our appraisals are rapidly
outdated. If we should seek to acquire this property through eminent domain,
the City would be required to relocate the family that is living in the
old house.
ALTERNATIVE:
1) Attempt to negotiate a better price.
2) Determine the fair market value in court.

Please note that sales #2 and #3 have triplex potential only while

1/19/77 Memo to Belsito from Worthy indicating council approved development
plans for Terry Park leaving former 2.38 acre (net) adjacent parcel
as surplus to park needs. Foxx requested City consider trading
former Terry Site for Foxx owned "Old Town" park parcel. Requested
resolution be prepared declaring Terry parcel surplus so that
trade negotiations with Foxx may begin for their "Old Town" parcel.
1/20/77 Foxx presented his estimate of value analysis for 1.1 acre of Smith
parcel within the "Old Town" park as $137,768.50.
1/31/77 Memo to Belsito from Worthy requesting permission to update the
appraisal of the former 2.38 acre park site reflecting the zone
change from MI -A to R-1.
2/17/77 Appraisal received from Locke Land Service for 2.33 acre former Terry
park site. Zoning has been changed from M-1 to R-1. Locke's value
estimate was $85,400 per acre or $204,000 for the parcel.
2/25/77 Memo to Belsito from Worthy requesting the Planning Commission determine
that the former Terry Park parcel (2.38 acre) is surplus to the park
needs of the City. Also indicated that permission was requested from the
federal department of HUD to transfer their interest in the former Terry
site to the proposed "Old Town" park site.
3/22/77 Meeting held with Foxx, Palin, Harlow, Davis and Worthy regarding trade/
purchase of former Terry Park.
3/23/77 Letter to Foxx from 1!orthv Ind Davis making the following offer:
1) City offered Taylor Street site (2.38 acres) at Locke appraisal
value of $204,000 provided acceptance of offer 2.
2) City offered $120,000 for 50% (1.1 net acres) of Foxx Delaware
Street property even though October 28 Davis/Baker appraisal was
$73,590 on high side.
3/25/77 Meeting held with Foxx, Palin, Davis and Worthy regarding Silva Property.
3/25/77 Letter to Worthy from Foxx making following counter offer:
1) Would accept City offer of Taylor Street property for $204,000.
2) Rejected $120,000 offered by City for 1.1 acres of Delaware Street
property. Valued site at $175,000.

a resolution for City Council action to support Planning Commission

SUBJECT: TERRY -OLD TOWN PARK (TRADE/PURCHASE WITH
FOXX DEVELOPMENT COMPANY)
STATEMENT OF PROBLEM:
The City Council has authorized staff to proceed with the
Department of Housing and Urban Development to have their
interest ($5,500 granted in 1965) in the original Terry Park
Site (2.5 acres) transferred to the adjacent new Terry Park
Site (5 acres) to allow the original site to be declared
surplus and included in a trade/sale agreement between the
City and Foxx Development Company for a 1.1 acre parcel within
the "Old Town" park boundary. At present the paperwork for
the HUD transfer of interest in properties has not been
completed but verbal agreement from the HUD representatives
has been received. Foxx Development Company has agreed to
accept the trade/purchase agreement subject to the City
obtaining a release of all interest of the Federal Department
of Housing and Urban Development in the original 2.5 acre
Terry Park Site.
RECOMMENDED ACTIOII:
That City Council approve the attached resolution of intent to
declare the 2.5 acre original Terry Park Site as surplus
property, the resolution to transfer the department of IIUD
interest in the surplus site to the new 5 acre Terry Park
Site and the attached agreement with Foxx Development
Company for trade/sale of their 1.1 acre (formerly Smith)
property within the "Old Town" park site for the 2.5 acre
original Terry Park Site.

ANALYSIS:
This park site is located in the quarter section bounded by
Main Street on the south, Beach Boulevard on the east, Talbert
Avenue on the north and Gothard Street on the west. The
southern half of the quarter section is a mix of single family
residential, condominiums, apartments and commercial development.
The northwest corner and land west of the Southern Pacific
Railroad is zoned M-1 while a strip fronting Beach Boulevard
on the east is commercial development. The Ocean View School
District purchased a 15 acre school site on Taylor Drive
extending northerly in the heart of the quarter section in
the early 1960's. The City purchased a 2.5 acre park site
adjacent to the east side of the school in 1965 for $66,000
with HUD assistance ($5,500). The Ocean View School District
kept this a low priority for school purposes and eventually
sold the site to the City in 1974 as the board determined
they would no longer need a school there. Subsequent hearings
were held and the zoning east of the school changed to R-1.
Foxx Development Company purchased 7.5 acres of the available
R-1 land and wished to purchase the surplus 2.5 acre park
site to include in their current subdivision plans. The City
has proceeded with development of the southerly five acres
of the former Ocean View School District 15 acre school site
which will serve the residents as a neighborhood park.
