Often these matters require immediate attention. To provide this service, four environmental consultant firms will be available on an on -call basis. Project assignments will be rotated among the consultants, based upon their expertise. Typical assignments may range from investigation of subsurface gas anomalies and monitoring of the City's methane gas collection systems to urban runoff water quality monitoring and services. The proposed contracts allow for a five-year contract term with a total budget not to exceed $1,000,000 per contract. No new projects will be authorized in the fourth and fifth years of the contract. FOR AS NEEDED ENVIRONMENTAL ENGINEERING SERVICES THIS AGREEMENT ("Agreement") is made and entered into by and between the City of Huntington Beach, a municipal corporation of the State of California, hereinafter referred to as "CITY," and GC ENVIRONMENTAL, INC., a California corporation, hereinafter referred to as "CONSULTANT." WHEREAS, CITY desires . to engage the services of a consultant to provide environmental engineering services on an "as needed" basis; and Pursuant to documentation on file in the office of the City Clerk, the provisions of the Huntington Beach Municipal Code, Chapter 3.03, relating to procurement of professional service contracts have been complied with; and CONSULTANT has been selected to perform these services, NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows: 1. SCOPE OF SERVICES CONSULTANT shall provide all services as described in CITY's Request for Proposal dated September, 2003 and CONSULTANT's Proposal dated October 13, 2003, collectively attached hereto as Exhibit "A," and incorporated into this Agreement by this reference. These services shall sometimes hereinafter be referred to as the `PROJECT." In the event there are any conflicts or inconsistencies between this Agreement, the CITY's RFP, or the CONSULTANT's Proposal, the following order of precedence shall govern: (1) Agreement, (2) the CONSULTANT's Proposal, and (3) the CITY's RFP. 04agree/GC Environmental/7/6/04 1 i • CONSULTANT hereby designates Richard W. Prosser, who shall represent it and be its sole contact and agent in all consultations with CITY during the performance of this Agreement. 2. CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to work directly with CONSULTANT in the performance of this Agreement. 3. TERM; TIME OF PERFORMANCE Time is of the essence of this Agreement. The services of CONSULTANT are to commence as soon as practicable after the execution of this Agreement by CITY (the "Commencement Date"). This Agreement shall expire five (5) year(s) from the Commencement Date unless sooner terminated as provided herein. All tasks specified in the Scope of Services shall be completed no later than five years from the Commencement Date of this Agreement. These times may be extended with the written permission of CITY. The time for performance of the tasks identified in the Scope of Services are generally to be shown in the Scope of Services. This schedule may be amended to benefit the PROJECT if mutually agreed to in writing by CITY and CONSULTANT. 4. COMPENSATION In consideration of the performance of the services described herein, CITY agrees to pay CONSULTANT on a time and materials basis at the rates specified in Exhibit "B," which is attached hereto and incorporated by reference into this Agreement, a fee, including all costs and expenses, not to exceed One Million Dollars ($1,000,000.00). 04agree/GC Environmental/7/6/04 2 5. EXTRA WORK In the event CITY requires additional services not included in the Scope of Services or changes in the scope of services described in the Scope of Services CONSULTANT will undertake such work only after receiving written authorization from CITY. Additional compensation for such extra work shall be allowed only if the prior written approval of CITY is obtained. 6. • METHOD OF PAYMENT CONSULTANT shall be paid pursuant to the terms of Exhibit "B." 7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS CONSULTANT agrees that title to all materials prepared hereunder, including, without. -'limitation, all original drawings, designs, reports, both field and office notices, calculations, computer code, language, data or programs, maps, memoranda, letters and other documents, shall belong to CITY, and CONSULTANT shall turn these materials over to CITY- upon expiration or termination of this Agreement or upon PROJECT completion, whichever shall occur first. These materials may be used by CITY as it sees fit. 8. HOLD HARMLESS CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless CITY, its officers, elected or appointed officials, employees, agents and volunteers from and against any and all claims, damages, losses, expenses, demands and defense costs (including, without limitation, costs and fees of litigation of every nature or liability of any kind or nature) arising out of or in connection with CONSULTANT's performance of this Agreement or its failure to comply with any of its obligations contained in this Agreement by CONSULTANT, its officers, agents or employees except such loss or damage which was caused by the sole negligence or willful misconduct of CITY. CONSULTANT will conduct 04agree/GC Environmental/7/6/04 3 all defense at its sole cost and expense, and CITY shall approve selection of CONSULTANT's counsel. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by CONSULTANT. 9. PROFESSIONAL LIABILITY INSURANCE CONSULTANT shall furnish a professional liability insurance policy covering the work performed by it hereunder. This policy shall provide coverage for CONSULTANT's professional liability in an amount not less than One Million Dollars ($1,000,000) per occurrence and in the aggregate. The above -mentioned insurance shall not contain a self -insured retention, "deductible" or any other similar form of limitation on the required coverage except with the express written consent of CITY. A claims -made policy shall be acceptable if the policy further provides that: A. The policy retroactive date coincides with or precedes the initiation of the scope of work (including subsequent policies purchased as renewals or replacements). B. CONSULTANT shall notify CITY of circumstances or incidents that might give rise to future claims. CONSULTANT will make every effort to maintain similar insurance during the required extended period of coverage following PROJECT completion. If insurance is terminated for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two (2) years to report claims arising from work performed in connection with this Agreement. 04agree/GC Environmental/7/6/04 4 10. CERTIFICATE OF INSURANCE Prior to commencing performance of the work hereunder, CONSULTANT shall furnish to CITY a certificate of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverage as required by this Agreement; the certificate shall: A. provide the name and policy number of each carrier and policy; B. shall state that the policy is currently in force; and C. shall promise that such policy shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty (30) days' prior written notice; however, ten (10) days'. prior written notice in the event of cancellation for nonpayment of premium. CONSULTANT shall maintain the foregoing insurance coverage in force until the work under this Agreement is fully completed and accepted by CITY. The requirement for carrying 'the foregoing insurance coverage shall not derogate from the provisions for indemnification of CITY by CONSULTANT under the Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of the policy of insurance. CONSULTANT shall pay, in a prompt and timely manner, the premiums on the insurance hereinabove required. . 11. INDEPENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor herein and not as an employee of CITY. CONSULTANT shall secure at its own cost and expense, and be responsible for any and all payment of all taxes, social security, state disability insurance compensation, unemployment 04agree/GC Environmental/7/6/04 5 • compensation and other payroll deductions for CONSULTANT and .its officers, agents and employees and all business licenses, if any, in connection with the PROJECT and/or the services to be performed hereunder. 12. TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and whether or not the PROJECT is fully complete. Any termination of this Agreement by CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided herein. In the event of termination, all finished and unfinished documents, exhibits, report, and evidence shall, at the option of CITY, become its property and shall be promptly delivered to it by CONSULTANT. 13. ASSIGNMENT AND DELEGATION This Agreement is a personal service contract and the work hereunder shall not be assigned, delegated or subcontracted by CONSULTANT to any other person or entity without the prior express written consent of CITY. If an assignment, delegation or subcontract is approved, all approved assignees, delegates and subconsultants must satisfy the insurance requirements as set forth in Sections 9 and 10 hereinabove. 14. COPYRIGHTS/PATENTS CITY shall own all rights to any patent or copyright on any work, item or material produced as a result of this Agreement. 15. CITY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement. No officer or employee of 04agree/GC Environmental/7/6/04 6 CITY shall have any financial interest in this Agreement in violation of the applicable provisions of the California Government Code. 16. NOTICES Any notices, certificates, or other communications hereunder shall be given either by personal delivery to CONSULTANT's agent (as designated in Section 1 hereinabove) or to CITY as the situation shall warrant, or by enclosing the same in a sealed envelope, postage prepaid, and depositing the same in the United States Postal Service, to the addresses specified below; provided that CITY and CONSULTANT, by notice given hereunder, may designate different addresses to which subsequent notices, certificates or other communications will be sent: TO CITY: City of Huntington Beach ATTN: Director of Public Works 2000 Main Street Huntington Beach, CA 92648 17. Prosser 1230 North Jefferson Street, Suite J Anaheim, CA 92807 When CITY's consent/approval is required under this Agreement, its consent/approval for one transaction or event shall not be deemed to be a consent/approval to any subsequent occurrence of the same or any other transaction or event. 18. MODIFICATION No waiver or modification of any language in this Agreement shall be valid unless in writing and duly executed by both parties. 04agree/GC Environmental/7/6/04 7 19. SECTION HEADINGS The titles, captions, section, paragraph and subject headings, and descriptive phrases at the beginning of the various sections in this Agreement are merely descriptive and are included solely for convenience of reference only and are not representative of matters included or excluded from such provisions, and do not interpret, define, limit or describe, or construe the intent of the parties or affect the construction or interpretation of any provision of this Agreement. 20. INTERPRETATION OF THIS AGREEMENT The language of all parts of this Agreement shall in all cases be construed as a whole, according to its fair meaning, and not strictly for or against any of the parties. If any provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be unenforceable, void, illegal or invalid, . such holding_ shall not invalidate or affect the remaining covenants and provisions of this Agreement. No covenant or provision shall be deemed dependent upon any other unless so expressly provided here. As used in this Agreement, the masculine or neuter gender and singular or plural number shall be deemed to include the other whenever the context so indicates or requires. Nothing contained herein shall be construed so as to require the commission of any act contrary to law, and wherever there is any conflict between any provision contained herein and any present or future statute, law, ordinance or regulation contrary to which the parties have no right to contract, then the latter shall prevail, and the provision of this Agreement which is hereby affected shall be curtailed and limited only to the extent necessary to bring it within the requirements of the law. 04agree/GC Environmental/7/6/04 8 21. DUPLICATE ORIGINAL The original of this Agreement and one or more copies hereto have been prepared and signed in counterparts as duplicate originals, each of which so executed shall, irrespective of the date of its execution and delivery, be deemed an original. Each duplicate original shall be deemed an original instrument as against any party who has signed it. 22. IMMIGRATION CONSULTANT shall be responsible for full compliance with the immigration and naturalization laws of the United States and shall, in particular, comply with the provisions of the United States Code regarding employment verification. 23. LEGAL SERVICES SUBCONTRACTING PROHIBITED CONSULTANT and CITY agree that CITY is not liable for payment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. CONSULTANT understands that pursuant to Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for CITY; and CITY shall not be liable for payment of any legal services expenses incurred by CONSULTANT. 24. ATTORNEY'S FEES In the event suit is brought by either party to construe, interpret and/or enforce the terms and/or provisions of this Agreement or to secure the performance hereof, each party shall bear its own attorney's fees, such that prevailing party shall not be entitled to recover its attorney's fees from the non -prevailing party. 04agree/GC Environmental/7/6/04 9 25. SURVIVAL Terms and conditions of this Agreement, which by their sense and context survive the expiration or termination of this Agreement shall so survive. 26. GOVERNING LAW This Agreement shall be governed and construed in accordance with the laws of the State of California. 27. ENTIRETY The parties acknowledge and agree that they are entering into this Agreement freely and voluntarily following extensive arm's length negotiation, and that each has had the opportunity to consult with legal counsel prior to executing this Agreement. The parties also acknowledge and agree that no representations, inducements, promises, agreements or warranties, oral or otherwise, have been made by that party or anyone acting on that party's behalf, which are not embodied in this Agreement, and that that party has not executed this Agreement in reliance on any representation, inducement, promise, agreement, warranty, fact or circumstance not expressly set forth in this Agreement. This Agreement, and the attached exhibits, contain the entire agreement between the parties respecting the subject matter of this 04agree/GC Environmental/7/6/04 10 Agreement, and supercedes all prior understandings and agreements whether oral or in writing between the parties respecting the subject matter hereof. This proposal has been prepared in response to the City's Request for Proposal (RFP). — As -Needed General Environmental Engineering Services, dated September 3, 2003. 2.1 Project Understanding Based on the review of the RFP, we understand that the City from time to time has the need to retain the services of a consulting environmental engineering firm on an "as -needed" basis to supplement City staff in implementing their extensive capital improvement program. The consulting environmental engineering firm will assist in various tasks, including but not limited to performing field investigations, routine methane gas monitoring, maintenance and inspection of active gas collection systems, commerciallindustrial water quality inspections, water quality best management practices review, as well as design and preparation of plans, specifications, cost estimates, and contract documents. The City is seeking an environmental engineering consultant who has experience with naturally occurring gas anomaly/odor control, closed landfills, passive/active gas collection systems, wastewater odor control, wetland natural treatment systems, storm water quality, and storm water management. GCE and our teaming member, Moffitt & Nichol Engineering, have extensive experience in all of these areas. GCE offers a range of general and highly specialized environmental services required to meet the City's needs. GCS's landfill gas control engineering and design, and operation and maintenance capabilities make us one of the most highly respected and qualified landfill gas (LFG) and naturally occurring gas consulting groups in the industry. GCE truly did "write the book" on Operations and Maintenance for LFG systems! The Solid Waste Association of North America (SWANA) selected GCE to prepare the Landfill Gas Manual of Practice (MOP), a comprehensive guide for landfill owner/operators. GCE personnel also participated with both the City of Los Angeles and Orange County to prepare the methane regulations for building development in gassy areas. We have dealt with odor emissions at landfills and have provided expert witness testimony on odor and noise issues related to landfills. We have designed gas treatment and disposal systems for wastewater treatment plants, prepared corrosion studies, and helped with gas fired engine controls. We have a background in collecting and processing oil field gas, whether it is solution gas that is separated from oil, well casing gas or production from a gas well. We believe that you will find that our solutions to problems are well thought out and not merely "cookie cutter" solutions. • Solutions are tailored to the problem we are trying to solve with special consideration of the client's needs. Given our extensive engineering background, we can design systems that many general engineering companies are unable to do. We are committed to providing the finest quality comprehensive environmental consulting services for the full range of projects required by the City at competitive prices. We have provided client names and contact information in Appendix A for the City's use in verifying our qualifications. The following sections provide a brief overview of GCE's qualifications, range of services provided similar to those in the RFP, qualifications for this project, our billing rates, and the required information requested in the RFP. We have .included brief summaries of a few representative projects with scopes of work similar to those in the RFP to demonstrate the depth and breadth of our experience. We will be happy to provide the City with additional project descriptions upon request. 2.0 APPROACH 2.1 Understanding the Objectives GCE understands that the City's goal for the project is to obtain the services of up to three qualified environmental consulting firms with technical expertise and experience in landfill and oil field gas, hazardous waste management, water quality and wastewater treatment, research studies and grant applications, wetland restoration and natural treatment systems, and construction management to support City staff on an "as -needed" basis. The various tasks the City requires include field data collection, routine gas monitoring, operation and maintenance of active gas collection systems, preparation of report and studies, research and preparation of grant applications for approval by state and federal agencies, performing investigative and research studies, water quality management practices review and evaluation, preparation of design plans specifications and cost estimates, preparation of construction bid documents, construction management, and wetland natural treatment systems evaluation/design. 2.2 Overall Approach GCE seeks to start every project with a clear definition of the project and the objectives of the client. To accomplish this step, GCE will meet with the City to review the goals and visit the project site. Based on this information, GCE will provide the City with a proposed scope of work, a statement of our understanding of the project, and proposed budget. Following authorization, GCE will prepare a design memo, design report, testing workplan, etc. describing the project, a detailed approach to all deliverables. If options are available to complete the work, GCE will explore the. advantages and disadvantages of the options and the cost ramifications on the project. Following approval of this report, detailed work will proceed. GCE has assembled a Team of highly qualified registered. civil and mechanical engineers, registered and certified geologists and hydrogeologists, and trained field technicians with the required expertise and extensive experience to support the City Project Manager(s) to manage all aspects of their projects and meet goals. Furthermore, because this work is the backbone of our business, GCE possesses the instruments and tools required to carrying out the required engineering and monitoring. We understand the need to respond in a timely and efficient manner to support the City Project Manager(s) with their project needs to achieve optimum systems operation, to comply with 2 regulatory requirements and to meet the scheduled dates for submittal to the agencies. GCE staff is well trained to respond to on -call services and will be there to support the City upon request. We have reviewed the Scope of Services as provided in the RFP and will provide expertise to respond to the project's needs as requested. 2.3 Scope of Work 2.3.1 Monitoring and Inspections GCE has extensive experience in administering on -going monitoring and inspection programs as well as applying all inspection skills and engineering experience to develop creative solutions to ' specific problems. As an example, strong sewer odors were present around the clubhouse at a golf course in the City of La Habra. GCE traced this problem to an incorrectly plumbed toilet. To fix the problem, GCE installed a pole light with a gas vent riser through the center connected to a clean -out. The odor problem was completely eliminated and additional lighting was an added benefit. 2.3.2 Studies and Reports GCE regularly prepares reports describing work performed, results, potential concerns, if any, potential solutions, their advantages, disadvantages, likelihood of success and costs. Reports prepared by GCE include; routine operations and maintenance reports, quarterly groundwater monitoring reports, site assessment studies workplan/ reports, remedial action plan/ feasibility study reports, health risk assessments, SWPP/ SPCC plans, and engineering remediation design reports. Reports.- are prepared following approved formats by regulatory agencies and clients. The collected data is evaluated by professionals with the required expertise; based on the results and site conditions our conclusions and recommendations are offered. GCE will evaluate other potential unknown areas of concern, when result of the studies don't offer absolute site -related conclusions. For instance, GCE investigated methane gas in a monitoring probe in Mountain View California. After performing monitoring and analyzing a gas sample, our conclusion was that the gas was probably from an off -site source. A report was written stating the work performed, results, evaluation of results and conclusion. We were unable to confirm the off -site source because we did not have access to the adjacent property. 2.3.3 Grant Applications GCE has prepared various grant applications to obtain funding for numerous projects. These grants have been requested and successfully obtained for health risk studies (SCAQMD), EPA Brownfield assessment demonstration pilot grant, gas transport, modeling and research on gas separation membranes. 2.3.4 Preliminary Engineering Much preliminary engineering is performed during the feasibility study process so that costs of various alternatives can be. compared and the advantages and disadvantages discussed. Again, this is a common function performed on every project GCE does and is included in the design report. 2.3.5 Permits The engineering GCE normally performs requires us to obtain all environmental and construction permits. GCE can assist or obtain permits from applicable regulatory agencies. 2.3.6 Construction Documents Preparation of engineering calculations and designs; plans, specifications, and bid documents is an integral part of GCE's normal work. We maintain an extensive library of standard specifications and drawings, which can be tailored to each project, thus expediting execution of the project and reducing project costs. 2.3.7 Bidding Stage. Because GCE prepares many construction documents, we also participate in our conduct many pre -bid construction meetings. Following the meeting, either the City or GCE will need to prepare minutes that include contractor questions and answers. During bidding, GCE will field contractor questions. Each time a contractor calls, a telephone record will be prepared and if. the question and answer could affect other contractor's bids, it will be circulated to them. Following the bids, GCE will tabulate the bids, check contractor references, and make a recommendation to the City. GCE is experienced in all aspects of the bidding process, including RFQ preparation, pre -bid alignment, bid evaluation, contract development, and project management. GCE will provide minutes for prebid meetings, responding to contractor questions and 2.3.8 Construction Stage The construction is started by conducting a kickoff meeting. The sequence of construction, site activities, construction issues and concerns (i.e., safety, odors, etc.), authority of the inspectors, payment terms and schedules and project meeting schedules are established at this - meeting. Additionally, construction hold points or items that require continuous inspection are defined. Other contract obligations such as development of a construction schedule, health and safety plan, insurance, submittal approval, rejection of work and/or materials, procedures for change orders, project completion, and maintenance of a red -line drawing set are also required. All of the above items will then be coordinated during the construction process by the City or GCE. 3.0 TEAM ORGANIZATION GCE's Project Team has the experience, expertise, staff and resources to undertake all management, technical, fieldwork, environmental, regulatory support, quality .assurance, and documentation requirements of the project. The GCE Team is comprised of GCS's key senior personnel and GCE's associates with the required expertise for each project. In addition to our staff, we have solicited the services of Moffett and Nichol (M&N), a multi -disciplinary planning and engineering firm with extensive expertise in. conceptual planning (engineering, environmental review and permitting), feasibility studies, preliminary and final design services and construction support activities for creek and wetland restoration. 4 • 0 The key personnel selected for this project have extensive experience with landfill and -oil field gas management consulting services, engineering design, specifications, and cost estimate preparation, hazardous waste management, water quality issues and regulations, waste water management, ecological issues, construction management, research studies, and federal and state grant applications preparation. Our project organization is presented in Figure 1. Mr. Richard Prosser, the President of GCE will manage this project. Because of the scope of this project and GCE's commitment to fulfill the needs of the project without hindrance and delay, we have assigned Ms. Farideh Kia, the Vice President of GCE, as the Assistant Project Manager, thereby providing the City key points of contact with full responsibility for project performance. The Project Management Team will assure that project-. resources are available and that all contractual and administrative requirements of the project are met at all times. The Project Manager will be supported by senior professionals who will be responsible for performing the individual work activities. This section of our proposal discusses the key members of the Project Team and their qualifications. The qualifications summaries presented below briefly describe key personnel capabilities as they relate to this project. Full resumes of these individuals will be provided upon request. Mr. Richard Prosser, P.E.: Mr. Prosser, the proposed Project Manager and Principal Engineer, has over 27 years experience as a landfill gas, oil and gas, environmental, and process systems design engineer. His experience includes managing, designing, and performing third party review of landfill gas collection/control/recovery systems, condensate systems and landfill gas flare stations. He has served on methane task forces for the City of Los Angeles and the County of Orange and been involved in the rule making process for over 20 years. He commonly performs technical, performance, and economic evaluations, landfill gas generation modeling, designing and troubleshooting of landfill gas collection systems, landfill fire mitigation, flare stations design and troubleshooting, compressor plant design, energy recovery facilities design and operation, and leachate and condensate water treatment system design. He has designed building protection systems for invading gases for hotels, office buildings, golf course clubhouses, and homes. He has designed and programmed PLC control/SCADA systems to remotely monitor and control flare stations. Ms. Farideh Kia, RG, CHG, REA II: the proposed Assistant Project Manager and project OA/QC officer, has over 18 years of environmental consulting, hazardous waste mitigation, environmental compliance, wastewater treatment, soil and groundwater remediation and site closure. Ms. Kia has managed and directed many multi -task projects for private and government projects. Ms. Kia has assisted and directed numerous landfill and oil field closure projects involving locating and permitting, both air and water Solid Waste Assessment Tests (SWATS), construction quality assurance (CQA) management of landfill cell lining operations, and groundwater and methane gas issues for both landfill and oil field development. Her expertise in both landfill operations and oil field closures makes her particularly effective in managing soils gas, soil and groundwater remediation projects. Her responsibilities include, but are not limited to directing field personnel, performing review, analyses of data accumulated and preparation of final reports for review by Local Enforcement Agencies (LEAS). M.S. Kia's experience also 5 include hazardous waste facilities audit and permitting, water quality inspection, treatment systems permitting, hydrogeologic investigations, Phase I and Phase H environmental site assessments, lead and ,asbestos surveys, and working in biologically sensitive areas, preparation of Spill Prevention Control and Countermeasure (SPCC) and Storm Water Pollution Prevention (SWPP) Plans. Ms. Kia is well versed in regulations governing environmental contamination, and is familiar with laboratory analytical methods. Ms. Kia will assist the Project Manager and will utilize GCE environmental professionals and company resources to assure timely completion of the project. Dan Waineo, P.E.:, Mr. Waineo has extensive background in environmental engineering and water resources. He is currently the Project Manager for a countywide landfill gas management program for Kem County Waste Management Department. He is responsible for the design of landfill extraction systems and compressor systems related to the landfill industry at numerous sites throughout the United States. Mr. Waineo has designed numerous landfill gas collection systems, condensate control systems, compressor and cooling and digester gas systems, methane protection systems for buildings, and _ been responsible for modifications to existing collection/control systems. Mr. Waineo has extensive landfill gas generation modeling experience and recently presented a paper on finite element modeling of landfill gas at the SWANA Conference in Orlando, Florida. He has prepared NSPS Certification reports, and been involved with Title V compliance projects in the Pacific northwest and has provided expert witness assistance and construction oversight and operations and maintenance services at several landfills. Ken Zenobia, P.E.: Mr. Zenobia has over 25 years experience in civil and environmental engineering, hazardous waste mitigation, environmental compliance, industrial wastewater treatment/design, remediation and closure, expert witness/testimony. Mr. Zenobia managed and directed many major industrial and government projects, including National Priority List (NPL) sites and one of the nation's largest on -site remediation and RCRA closure projects involving 250,000 tons of hazardous waste. Mr. Zenobia extensive experience also include hazardous waste facilities design and permitting, industrial waste water quality inspection, treatment permitting and design, assessment, remediation and restoration of wetlands and biologically sensitive areas, preparation of Spill Prevention Control and Countermeasure. (SPCC) and Storm Water Pollution Prevention (SWPP) PIans, conducting research studies, and preparation of grant applications for federal and state funded projects. Christopher Webb: Mr. Webb with the firm of Moffatt & Nichol Engineers has ten years of experience in wetland and riverine planning and design. Mr. Webb has expertise in overall enhancement efforts including conceptual engineering and permitting, and has managed final design projects. In addition to his technical capabilities, Mr. Webb possesses strong communication skills that make him very effective at presenting technical information_ to audiences with mixed levels of understanding. Mr. Richard Frizzell, R.G.: Mr. Frizzell is a Registered Geologist with over 13 years of experience in environmental sciences including numerous Phase 1 environmental site assessments, Phase II soil and groundwater investigations; and underground storage tank (UST) removals and closures, Solid Waste Assessment Tests (SWATs), landfill siting, Environmental Impact Reports (E1Rs) related to landfill feasibility, closure and expansion plans, Remedial Action Plans (RAPS), remediation system installation. Additional experience includes working knowledge of environmental regulations including, but not limited to CCR Titles 22, 23, and 27; CFR Title 40, Subtitle D, and APCD and SCAQMD rules and regulations. Mr. Robert Douglas, P. E.: Mr. Douglas has extensive process engineering experience, including preparation of conceptual and detailed engineering designs, engineering studies, cost estimates, bid preparation and evaluation, environmental permitting, development of operating instructions, construction support, field check-out, commissioning, performance testing, project management and technology development. His project experience includes gas recovery and treatment, landfill gas systems, odor control in wastewater and other applications, hydrogen sulfide removal, wastewater treatment, combined cycle power plants, plant utilities, and a variety of refinery and petrochemical plant systems. Mr. Sam Yang: Mr. Yang has thirteen years of experience in engineering and consulting services. His experience covers Phase I, Phase H, groundwater/soil sampling, site monitoring, chemical analysis (RCRA metals, MCL, benchmark values), contamination remediation, air/wastewater/storm water permitting, fire/building permitting. He has been responsible for engineering coordination, project management, cost estimation, scheduling, construction supervision, start up, and troubleshooting. He has performed comprehensive Environmental Health & Safety Audits, site inspection, supervised ambient air monitoring for lead emissions, and performed emissions tests and performance tests at many large-scale power plants, performed 'engineering design for air pollution control systems, prepared engineering and commercial documents for many large projects, participated in job walks, pre -bid meetings, bid openings, performed bid evaluation, contract negotiation, interfaced with contractors and subcontractors and performed construction supervision, engineering assistance, start up, performance testing, and troubleshooting for large-scale air pollution control system at power plant operation. Mr. Brian Millage: Mr. Millage has valuable knowledge and experience in data collection procedures, field maintenance, environmental report writing, project coordination, subcontractor procurement and drawing experience using AutoCAD and Microstation. He is in charge of field sampling and monitoring, indoor and outdoor air monitoring, and operation and maintenance of remediation systems for various sites. He performs and supervises monthly instantaneous surface monitoring, perimeter probe monitoring and operations and maintenance of landfill flare stations and vapor extraction systems using filtration to reduce VOC's. He also performs inspections of the landfill cover and prepares LFG migration and surface emission reports for agency submittal. Other field experience includes installation of soil boring and monitoring wells, soil gas sampling and groundwater sampling and construction quality assurance. He has knowledge of federal and state regulations governing contaminated sites and waste disposal facilities. The proposed key staff will be supported by other GCE technical and administrative staff as needed. If requested, we will provide the County with qualifications and resumes of support staff. 7 4.0 STATEMENT OF QUALIFICATIONS 4.1 GCE Company Qualifications A California corporation founded in 1991, GCE is certified .as a small business by the State of California Office of Small and Minority Business (OSM.B). GCE is a licensed General "A", Hazardous Waste engineering contractor in the State of California (license #709413). Principals of the firm have been involved in the environmental and landfill gas industries for over. 20 years. GCE's founder has been involved in the landfill gas industry since its inception in the late 1970's. GCE's Landfill Gas Control and Gas Process Design Division is one of the most highly respected and qualified landfill gas consulting groups in the industry. Our environmental staff includes engineers, geologists, environmental assessors, technicians and CADD specialists who offer experience in mechanical, civil, and environmental engineering, modeling, design, geology, health risk assessment, and hydrogeology. This diversity of staff combined with our turnkey project management services, provides our clients an opportunity to develop long-term relationships with a small company that can control project costs and provide a breadth of services. Our Construction Management and CQA program consist of actions taken to provide confidence that our services conform to project and client requirements. GCE's main objective is to maintain a high standard of achievement through excellence and dependability in our work. Our approach to the project consists of establishment of project requirements, scope and objectives, review of Client needs and desires and regulatory requirements for incorporation into the project, election of qualified personnel for specified tasks, preparation of specifications, construction documents, budget and schedule, selection of qualified contractors through a bidding process, construction management, thorough review of all data during the design and construction processes, review of field procedures and techniques to confirm their appropriateness and . adequacy in meeting project objectives, application of quality control measures to data collection and analysis, complete and thorough documentation of the above. 4.2 Moffatt & Nichol Engineering Profile Moffatt & Nichol — M&N is a multi -disciplinary planning and engineering firm that provides a full range of restoration services. These include conceptual planning (engineering, environmental review and permitting), feasibility studies, preliminary and final design_ services and construction support activities for creek and wetland restoration. M&N has been in business since 1946, and provide services including wetlands and watershed restoration, coastal and oceanographic engineering, port planning, harbor works and waterways, bridges, buildings, industrial facilities, military installations, public works and management supervision and inspection in the field of construction. M&N has completed feasibility studies, cost estimates, and preliminary and final designs for restoration in Southern California and worldwide. Relevant projects have included restoration of salt, brackish and freshwater marshes, creeks and rivers, watershed management, beach nourishment, tidal inlet design, shore protection and other features. Processes involve hydrology, hydraulics, stream and coastal sediment transport, water quality, and anthropogenic effects. Analysis tools include hydrologic and hydraulic modeling using a variety of programs, use of Geographic Information Systems (GIS), AutoCAD, Intergraph and others. 4.3 Project Experience Presented below are brief summaries of representative projects with similar scopes requested in the RFP. Additional project experiences and references will be provided upon request. Landfill/ Oil Field Gas Experience Protect: Landfill Gas Management, Mountain View, CA Project Manager: Richard Prosser Budget: $1,000,000 Duration: 1986 to Present The City of Mountain View Landfill encompasses over 1000 acres. The landfill is home of the Shoreline Regional Park. This showcase project includes the Shoreline Amphitheater, an 18-hole golf course with clubhouse/restaurant, and park. GC Environmental, Inc. (GCE) and GCE's staff have performed most of the landfill gas (LFG) engineering work that has been done at the site for the past 14 years including the flare station design, original and upgraded collection in the Front nine area of the golf course, and improvements to the gas barrier for Michael's Restaurant which has a multi- level methane protection system that includes landfill gas extraction, parking lot and building subsurface ventilation, and LEL monitors. One of the first projects performed at the site was to bring the landfill into compliance with the Bay Area Air Quality Management District's (BAAQMD) Rule 34. This involved the installation of a landfill gas collection system and a landfill gas flare.system. The flare system was designed to collect gas from all areas of the site including Laidlaw's and Pacific Gas and Electric's (PG&E) gas systems. GCE personnel also worked with Bill Graham Presents to control methane gas emissions from a grass seating area on the landfill. By the early 1990s, PG&E's LFG system was returned to the City. This system was old and in need of numerous repairs and upgrades. GCE was retained to re -design the landfill gas and leachate extraction systems for the 544-acre landfill parcel. The scope of work consisted of designing and preparing bid documents to upgrade the LFG system including leachate and condensate collection and disposal, LFG system expansion, and the preparation of bid documents including special provisions specifications. All work was performed to satisfy the applicable requirements of CCR Title 14 (Chapters 3 and 5) and Title 23 (Chapter 15), revised Article 5, 40 CFR Part 258 (Subtitle D) and the strict standards of the City of Mountain View. In addition, all designs complied with the requirements of CIWMB, BAAQMD, RWQCB, and the County of Santa Clara acting as LEA. GCE continues to be involved at the site, performing system upgrades as needed to help keep the system operating reliably. 9 +� s Project: Countvwide Landfill Gas Management Program; Kern Countv, CA Project Manager: Dan Waineo Budget: $840,000 Duration: 1997-Present Mr. Dan Waineo has been the project manager and design engineer on this countywide project since 1997. Under a multi -year service contract designed to assist the County GCE has bee providing the landfill gas engineering and management services for eight landfills owned and operated by the County. GCE's services include; landfill gas investigation, landfill gas generation modeling, LFG system design, CQA services during LFG system construction, LFG probe installation, LFG well extension, LFG well construction, Operation and maintenance consultation, and emission guideline certification. Additionally, GCE assisted the County in successfully arguing that ground flares should not be required for landfills if candlestick flares can meet regulatory issues. As a result, Kern County APCD is allowing candlestick flares. Wastewater Management Experience Proiect: Fast -Track Permitting and Remediation Proiect, Los Vaqueros Water Conveyance Pipeline, Brentwood, California. Project Manager: Ken Zenobia Budget: $950,000 Duration: 1995-1996 Developed a conceptual remediation plan, prepared a permit application, negotiated with the Central Valley Regional Water Quality Control Board (RWQCB) to expedite permit approval, and set-up a complete turn -key remediation system for the .Los Vaqueros Water Conveyance Pipeline project. The above items were completed within 10 days of authorization to proceed. During construction activities, petroleum hydrocarbon contamination from adjacent pipelines was detected in the dewatering system. A remediation plan was devised and executed to remove the oil contamination. Project: Industrial Waste Pretreatment Survey, Naval Air Facility, El Centro (NAFEC), California Project Manager: Ken Zenobia Budget: $50,000 Duration: 1995 Evaluation of all industrial waste discharges on the base, effectiveness of ongoing pretreatment systems and hazardous chemical inputs. Assessed impacts of each individual discharge to the base's sewer treatment plant and NPDES permit. Provided recommendations for pretreatment, system upgrades, product substitution, and other process modifications. By performing cost analyses on suggested modifications, assessment of financial impacts of pollution prevention measures aided in justifying quick implementation. 10 Sensitive Habitat/ Wetland Restoration _Project: Remediation and Restoration of a Remote Sensitive Habitat, San Bernardino County, California. Project Manager: Ken Zenobia Budget:. $450,000 Duration: 2000-2002 Prepared comprehensive environmental workplans for the remediation and restoration of this large (greater than 100,000 CY) illegal waste disposal site located in a remote sensitive wetland habitat in the San Gabriel Mountains north of San Bernardino, California. This high profile project included considerable geotechnical / environmental engineering expertise, providing overall project consulting and recommendations, engineering design, project oversight, monitoring and testing. This $3M site restoration project required over one year of legal mitigation meetings, negotiations and coordinating with over thirty PRPs, eleven Federal, State, and County authorities and respective legal counsels. Mr. Zenobia facilitated obtaining $300,000 State grant money from the CA IWMB to assist the PRPs and agencies in the site restoration project budget. Work also included biological site surveys to identify existing flora and fauna and the preparation of a site restoration plan. Project: Topanga Creek and Lagoon Restoration Feasibility Study, Topanga, CA Project Manager: Christopher Webb (Moffatt and Nichol) Budget: $365,000 Duration: 2001-2003 Mr. Webb managed the effort to design and model restoration alternatives for Topanga Creek in Malibu for fish passage. The creek is steelhead trout habitat that experiences encroachment, land sliding, impaired water quality and habitat degradation. The project was to restore and enhance the watershed to create a self-sustaining ecosystem for fish passage and breeding over the long- term. Project: Bolsa Chica Wetlands Restoration, Orange County, CA Assistant Project Manager: Christopher Webb (Moffatt and Nichol) Budget: $3,000,000 Duration: 1997-Present In 1997, a group of federal and state agencies entered into a memorandum of agreement (MOA) with the Port of Los Angeles and Port of Long Beach to implement a coastal wetlands restoration project at Bolsa Chica. As part of the MOA, the group of agencies known collectively as the Steering Committee has taken the responsibility of developing eight restoration alternatives for Bolsa Chica and analyzing the alternatives through the California Environmental Quality Act and National Environmental Policy Act. M&N provided preliminary engineering services to the Steering Committee consisting of numerical modeling, analyses using empirical methods and equations, conceptual design, and disposal analyses. Tidal and flood hydraulic modeling was performed to determine the habitat distribution for each alternative and to assess the impact of flood and ebb bar shoaling on habitat distribution. Numerical water quality simulations were done to estimate the impacts of a tidal inlet on nearshore water quality and to evaluate the impact of flood flows on the restored coastal salt marsh habitat. Shoreline evolution modeling was 11 conducted to predict the impacts of bar formation, jetty construction, and maintenance dredging on the upcoast and downcoast shoreline reaches. Grant Application Process Experience Proiect: Nevada Division of Environmental Protection with a State-wide Brown elds redevelopment program Project Manager: Ken Zenobia Budget: $45,000 Duration: 2002-2003 Mr. Zenobia assisted the Nevada Division of Environmental Protection with a statewide Brownfields redevelopment program funded by an EPA Brownfields Assessment Demonstration Pilot grant and a revolving loan fund grant. The project includes multi -site Phase I and Phase II assessments, preparation of EPA Superfund program quality assurance project plans and sampling and analysis plans, health and safety plans, project management plans, focused feasibility studies, remedial action plans, best management practice plans, and community involvement and interagency coordination. This program is addressing a variety of sites and contaminants including former mine sites, former industrial and manufacturing sites, and old landfills. Water Quality Storm Water Management Project: Storm Water Pollution Prevention (SWPP) Spill Prevention Control and Countermeasure (SPCC) Plans North Campus, University of California, Irvine: Irvine, CA Project Manger: Farideh Kia Budget: $10,000 Duration: 2000-2003 A Storm Water Pollution Prevention (SWPP) Plan for the UCI North Campus was -prepared in conformance with the waste discharge requirements of Water Quality Order No. 95-3 of the California Regional Water Quality Control Board (CRWQCB). The waste discharge requirements were issued for the entire UCI campus by the CRWQCB, pursuant to Federal Regulations for storm water discharge issued by the U.S. Environmental Protection Agency on November 16, 1990 (40 CFR 122, 123, 124). Attachment "C" of Order 95-03 specifies the requirements for the preparation and content of a Storm Water Pollution Prevention Plan (SWPP Plan). The purpose of the SWPP Plan was to (1) identify and evaluate potential sources of storm water pollution from the North Campus facility, and (2) identify specific best management practices to reduce or prevent pollutants from being discharged in storm water or authorized non - storm water discharges from the site. The Plan was submitted to and approved by the Regional Water Quality Control Board with no modifications. A Spill Prevention, Control, and Countermeasure (SPCC) Plan was prepared in accordance with 40 CFR 112.7 for UCI North Campus in Irvine, California, to address the storage and management of fuels and other petroleum products. The plan described procedures, structures, and equipment at the facility to prevent spills and to mitigate or preclude any impact on the environment. 12 0 • Monitoring and Inspection Experience Protect: Antelope Valley Recycling and Disposal Facility; Palmdale, CA Project Manager: -Farideh Kia Budget: $250,000 Duration: 1997-2003 GCE Staff, Mr. Brian Millage, currently performs monthly instantaneous surface monitoring, perimeter probe monitoring and O&M of a temporary vapor extraction system using carbon vessels to filter VOC's. He also performs inspections of the landfill cover and prepares LFG migration and surface emission reports for submittal to the Antelope Valley Air Pollution Control District (AVAPCD). Other on -site experience includes interfacing with agency officials and boring/drilling crews, performing construction quality assurance for a landfill gas system installation and performing soil probe gas and .groundwater sampling. In addition, he also performs monthly indoor air quality sampling for permanent on -site buildings. Construction Management Experience. Emergencv Response LFG Collection Svstem Upgrade, and Flare Design / Build and O&M Services, Old Bakersfield Landtzll, Bakersfield, CA Project Manager: Richard Prosser Budget: $600,000 Duration: 6 Weeks LFG System Construction plus On -going Assitance The Bakersfield Old Sanitary Landfill is an unlined class 3 Landfill located in the City of Bakersfield, California, which has been inactive since 1981 Because of landfill settlement and other work performed at the site, by 1995 the landfill gas collection was not adequate to control offsite gas emissions. As a result methane concentration in the probes has increased to the point that one resident was eventually relocated due to methane emissions and odors. The City decided to take emergency actions to control offsite gas emissions. GCE was retained as a subconsultant by Kleinfelder to provide fast track design/construction services to control the lateral subsurface gas migration. Because of the immediate danger to life and health, GCE was asked to mobilize an engineer/design staff on -site within one week after the contract was signed and start the new system within six weeks. GCE accomplished this goal by completing the project within budget and starting the newly installed flare and control system one week ahead of schedule. The system that was designed is unique because it was designed to fit into the site closure plan without modifications. 13 5.0 SCHEDULE OF HOURLY RATES (Effective January 1, 2004) 5.1 Fee Structure/Benefits GCE's fee schedule is presented in Appendix C. The benefits of GCE's proposed fee schedule are: • GCE's hourly rates will be fixed through year 2005, provided prevailing rates do not exceed GCE's fees. • GCE will perform the work on a time, material and expense basis with a not -to -exceed maximum. This will provide the City with savings if the time required developing a project is reduced and will protect the City by having a not -to -exceed amount without prior authorization. • As a company specializing in this business area, our efficiency makes our cost for services extremely competitive. • Preparation or travel time will not be charged to the project. • GCE has a proven ability to control projects of this nature and accomplish all project goals as set forth by the City. Minimum billing charges are unacceptable. CONSULTANT shall only charge for actual time spent. For example, minimum of 0.2 hours for phone calls or 0.4 hours for letters is unreasonable unless that is an accurate measure of time spent. 2. Each month's bill should include a total to date. That total should provide, at a glance, the total fees and costs incurred to date for the case or matter. 3. Telephone, cellular phone and postage charges are billable at actual cost. A copy of all service bills/costs should accompany the billing for each single item that exceeds Seventy -Five Dollars ($75.00). The fee for the sending or receiving of facsimiles shall not exceed Twenty-five Cents ($0.25) per page. CITY will not pay a fee or charge for telephone calls or facsimiles to CITY. Photocopier costs should be no more than the actual cost of duplication, or Ten Cents ($0.10) per page, whichever is less. 4. CITY will not pay for secretarial time or secretarial overtime. CITY will not pay for secretarial tasks or tasks that should be subsumed into CONSULTANT's overhead. Delivery of work product: A copy of every memorandum, letter, report, calculation and other documentation prepared by CONSULTANT shall be submitted to CITY to demonstrate progress toward completion of tasks. In the event CITY rejects or has comments on any such product, CITY shall identify specific requirements for satisfactory completion. 9. CONSULTANT shall submit to CITY an invoice for each monthly payment due. Such invoice shall: A) Reference this Agreement; B) Describe the services performed; C) Show the total amount of the payment due; D) Include a certification by a principal member of CONSULTANT's firm that the work has been performed in accordance with the provisions of this Agreement; and E) For all payments include an estimate of the percentage of work completed. Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is making satisfactory progress toward completion of tasks in accordance with this Agreement, CITY shall approve the invoice, in which event payment shall be made within thirty (30) days of receipt of the invoice by CITY. Such approval shall not be unreasonably withheld. If CITY,does not approve an invoice, CITY shall notify CONSULTANT in writing of the reasons for non -approval and the schedule of performance set forth in Exhibit "A" may at the option of CITY be suspended until the parties agree that past performance by CONSULTANT is in, or has been brought into compliance, or until this Agreement has. expired or is terminated as provided herein. 10. Any billings for extra work or additional services authorized in advance and in writing by CITY shall be invoiced separately to CITY. Such invoice shall contain all of the information required above, and in addition shall list the hours expended and hourly rate charged for such time. Such invoices shall be approved by CITY if the work performed is in accordance with the extra work or additional services requested, and if CITY is satisfied that the statement of hours worked and costs incurred is accurate.
