HomeMy WebLinkAboutGENERAL TELEPHONE COMPANY - GTC - 1979-05-07FORM GC2224 (9/76) G mEll ALTELEEl HOPIE 0011711PPMV OF CAUFORmA An Equal Opportunity Employer Contract No. _0_123 COMMUNICATIONS SYSTEM CANCELLATION CONTRACT It is hereby agreed 'between GENERAL TELEPHONE COMPANY OF CALIFOR.\TIA, heroinafter referred to as the "Utility;" and City of Huntington Beach, 2000 Ma.ilt, Hunt.l.ngton Beach, CA , hereinafter referred to as the "Customer," that: I The Custumer hereby places an order with the Utility for an expandable Rolm CBX wired fir 80 trunks and 464 stations, equipped for 80 tr.Lmks and 448 stations, with. 73 trunks and 444 stations working communications system. The U ility hereby agrees to begin the engineering, place the necessary orders and commence installation and construction necessary to provide for the use of the Customer the equipment and facilities to furnish said communications system. The i:xm of this contract is from the date of execution until the date of installation. The date of installation shall be deemed to be the date on which the equipment hereb ordered is available and accepted for use by the Customer. 2. Upon establishment of service on the date of installation the Customer will ply to the Utility the tariff rates effective on said date for the communications service ltF reby ordered and will be governed by the rules and regulations on file with the Public Utilities Commission of the State of California. The tariff rates include, but are not limited to, service connection charges, nonrecurring service charges and any applicable basic termination charge(s). 3. If during the term of this contract the Customer cancels al or any part of the communicaAions system hereby ordered, the Customer will pay to the Utility an amount of money as provided herein below in (a) or (b), whichever is less: (a) Any and all ci. sts expent_'ed or committed for the installation and removal of said equipment and facilities, includi)g but not limited to labor costs, engineering and supp;y expenses, and costs of equipment and facilities less salvage valuo, or (b) The cliargFs which would Have been applicable a,,ider the Utility's tariffs if the date of installation had coincided with the date of cancellation, as shown on the Exhibit "A attached hereto and made a part hereof, 4, The Utility may mquire the Customer to deposit with the Utility upon execution of this contract an amount of money equal to the cancellat on charges under Subparagraph 3(b), calculated as if the date of cancellation. and date of execution coincided, The Utility will pay io the Customer simple interest at the rate of ?% per annum upon an/ said deposit for the duration of the contract. * All services for which Basic Tertnination Charges are filed in the Utility's tariffs 5. Ownership of all equipment furnished by the Utility stall remain with the Utility. The Customer shall be responsible for loss or damage to the equipment furnished under this contract unless such loss or damage is due to causes beyond his control. E. The Utility shall have the right of ingress to and egress from the Customer's premises at all reasonable hours for any purpose reasonably connected with the performance of its duties or the exercise of its rights under this Agreement, including but not limited to the rernoval of any and all of its property upc_, cancellation of this contr?rt by the Customer. 7. This contract shall at all times be subject to such change or modification as the Public Utilities Commission of the State of California may from time to trine direct in the exercise of its jurisidiction. 8. The terms of this contract ane each of them cannot be waived, altered or amended by any representatirn or promises of any person unless the same be consented to in writing by trc Utility, 9. The rights and duties under this contract cannot be assigned by the Customer without the writtert consent of the Utility, 10. Yes No Subject CITY HALh TELEPHONE SYSTEM City Administrator's Comments Approve as recommended Statement of Issue, Recommendation, Analysis, Funding Source, Alternative Actions: Statement of Issue - There is a need to improve the existing City Hall telephone system for the purpose of enhancing employee produc,';vity, providing better phone coverage, improve management controls and to lower costs. Recommendation - Approve an installation contract for 1,54,697 with the General Telephone Company for the i nstall ation of a new ROLM telephone system. Analysis - T : C,ity's existing Centrex •Telephone system was installed in the old Civic Center in 1972. This s system was later transferred to the new Civic Center in 1974. The current hardware is outdated by comparison to present industry standards. Also, the state of the art is such that electronic switching; equipment is available at a much l ower cost. luring the last six months a City-wide project team has been studying our telephone system and analyzing the need for o change., The purpose of a study was to determine potential cast savings aid if employee productivity could be increased. Many existing system audits have been mcae and new telephone systems evaluated for the purpose of determining the best course of action. Comparisons have been made between private versus public system4. Field trips were made to other cities and Industrial sites to inspect and inquire about user satisfaction. Both management and employees were contacted to determine the positive as well as 4he negative aspects. There is no question on fhe part of the project team that a change should be made at the earliest possible date and the best decision is to acquire a ROLM system from the General Telephone Company. An installation charge of approximately $55,000 can be made from the first year savings. When tha- ROLM system is blender) into the total City-wide system, i.e. Police, Fire, Lifeguard, Library and Public Works, the monthly cost savings is approximately $4,.000. An additional savings, of $0500 per " month will automatically take place through the ROLff system feature of route optimisation. The total package represents a yearly cost savings of over $50,000. RCP scw e ACIL FORM 603215 (2.68) GEu[RAL COMMUNICATIONS SYSTEM CANCELLATION AND TERMINATION CONTRACT It is hereby agreed between GENERAL TELEPHONE COMPANY OF CALIFORNIA, hereinafter referred to as the "Company," and CITY OF HUNTINGTON BEACH hereinafter referred to as .:ie "Customer," that: j` 1. The Customer hereby places an order with the Company for a 200 Line CENTREX communications system. The Company will rrovide, install and maintain for the use of the Customer the necessary mechanical equipment and facilities as detailed in Exhibit "A" attached hereto needed in connection with the furnishing of the system. The entire service to be furnished by the Company is to be in accordance with its established rates, rules and regulations. 2. Ownership of all equipment furnished by the Company shall remaii: in the Company. Tho Customer shall be responsible for loss or damage to the equipment furnished under this Contract unless such loss or damage is due to causes beyond his control. 3. If the Customer cancels all or any part of the initial order, including subsequent additions, between the date this Contract is executed 4nd the date installation of the equipment is completed, the Customer will pay to the Company an amount of money equal to the cost incurred by the Company for that portion of the system which has been cancelled. These costs will include, where applicable, labor costs for the installation and removal of the equipment and engineering and supply expense. The amount shall not exceed charges set forth in Exhibit "A" attached, hereto. The date of in; tallation shall be deemed to be the date on which the equipment provided herein is available for use of the Customer. 4. In the event, the equipment to provide the operational features of the system provided hereunder is not retained by the Customer for the period specified in the Company's tariffs, or as, set forth on Exhibit "A" in lieu thereof, the Customer will pay to the Company an amount of money equal to the cost of the equipment and installation, less do ^ost of recoverable equipment, plus the estimated cost of removal. At the Company's option the Customer may be required to make an initial payment to the Company at the time of executing thi-s Contract equal to the costs specified in Section 4 above. For each full month the Customer retains service under this Contract the Company will refund to the Customer an amount of money equal to --I /gQ- except that the refunds will be accumulated for a twelve-month period, at which time payment will be made to the Customer. These Rnr.ual refunds will include interest on the refunded amoutt and on the unreiunded balance at the ra}.e of 6 percent per annum. In the event the Customer does not retain service for a full twelve-month period the Company will refund to the Customer, without interest, the accumulated credit for each full month. the Customer retained service In that portion of the twelve-month period in which service was discontinued. 6, In the event a portion of the equipment established tinder this Contract or any Supple- ment thereto is removed or discontinued at the request of the Customer., it shall be deemed, for purposes of determining the termination charges applicable, that such equipment shall have been removed or discontinued in inverse order to its Installation. 7. The Company will provide and install such additions to the initial installation of equip- ment as may be requested by the Customer from time to time, provided, however, that each such additional installation of equipment amounting to five hundred dollars ($ 500.00) or more shall be covered by a contract supplement made pursuant to the terms and conditions of the schedule of rates then in effect and on file with the 1hablic Utilities Comp tission of the State of California. 8. This Contract is not transferable without the writ -ten consent of the Comp uiy. 9.
